-39-MapServerLicenseAgreement地圖服務(wù)器許可協(xié)議核心提示：BETWEENAAACORPORATIONANDBBB,INC.THISAMENDEDANDRESTATEDAGREEMENT(thisAgreement)isenteredintoasof_________,_________,_________(M,D,Y)(theEffectiveDate)byandbetweenAAACORPORATION,acorporationorganizedunderthelawsoftheBETWEENAAACORPORATIONANDBBB,INC.THISAMENDEDANDRESTATEDAGREEMENT(thisAgreement)isenteredintoasof_________,_________,_________(M,D,Y)(theEffectiveDate)byandbetweenAAACORPORATION,acorporationorganizedunderthelawsoftheStateof_________(PLACENAME)(AAA),andBBB,INC.,acorporationorganizedunderthelawsoftheStateof_________(PLACENAME)(BBB),withreferencetothefollowingfacts:A.Onorabout_________,_________,_________(M,D,Y),AAAcausedtheformationofBBBandtransferredcertainAAAassetstoBBBinreturnforcertainstockinBBB.B.ToassistBBBinitsdaytodayoperationsasanewcorporateentity,AAAandBBBenteredintoaMapServerLicenseAgreementdatedasof_________,_________,_________(M,D,Y)(theMapServerAgreement),pursuanttowhichAAAprovidedcertainlocalstreetmapsanddrivingdirectionsandothermappingservicestoBBB,andBBBengagedAAAtoprovidesuchservices.C.ThepartiesnowdesiretoamendandsupercedetheMapServerLicenseAgreementinitsentiretybyenteringintothisAmendedandRestatedMapServerLicenseAgreementpursuanttothetermsandconditionssetforthherein.THEREFORE,thepartiesherebyagreeasfollows:[**]=AAAConfidential1.Definitions1.1Affiliatesshallmeananyentityinwhich,asoftheEffectiveDate,BBB,directlyorindirectly,orthroughoneormoreintermediaries,holdsthebeneficialownershipofmorethanfiftypercent(50%)oftheequitysecuritiesorinterests,andonlysolongassuchownershipcontinues.1.2DatashallmeanallthirdpartydatalicensedbyAAAandusedinMapsandintheseparateDataDump,asoftheEffectiveDate.1.3DataDumpshallmeanthesetofdataincludingbutnotlimitedtoPointsofInterest,city,andregion,generallycontaininguniqueidentifierssuchastherelatedgeographiclocation,name,type,andlanguage,andusedinBBB’scatalogingsystemtoenableuserstosearchbyPointofInterestwhenperformingasearchonBBB.1.4BBBIconshallmeananygraphicsortext,including,withoutlimitation,persistenthyperlinksintheformofanBBBlogoorotherrepresentationaliconcreatedbyBBBforanBBBtravelserviceorproduct.1.5BBBDataFeedshallmeanthedatasuppliedbyBBBtoAAAwhichcontainsthegeographiclocationforanytravelserviceofferedbyBBB,andthelocation[**]wheretheBBBIconorotherrepresentationalicon,whichincludesanunderlyingURLtotheBBBWebSite,shouldbeplacedontheMapPoint.NetMapsusedbyBBB.1.6BBBMapsshallmeanthemapservicesprovidedontheBBBWebSite,locatedat.BBB.comasoftheEffectiveDate.1.7BBBUpdatesshallmeananyupdates,upgrades,errorcorrections,orotherimprovementstotheServerTechnologythatBBBoritsAffiliatesmayhavedevelopedorwilldeveloppursuanttothisAgreement.1.8BBBWebSitemeansanywebsiteownedorcontrolledbyBBBoritsAffiliates,whichisaccessedbyusers.1.9LaunchDateshallmeanthedatethatBBBbeginsprovidingtravelserviceswithmapsservedfromcomputershostedbyAAA,andwhichinnoeventwillbelaterthansix(6)monthsaftertheEffectiveDate;providedAAAhasmeettherequirementsofExhibitCandthepartieshavenotmutuallyagreedtopostponesuchuse.1.10Linkshallmean:(i)oneormorehyperlinkslocatedontheapplicableareasoftheMapPoint.NetMaps,or(iii)anyotheralternativemethodthatenablesausertoaccessBBB.LinksalsoincludeanyconnectiontoBBBthroughtheInternet,email,broadband,InternetII,wirelessandhandhelddevices,cellphones,digitalappliances,orotherdigitalinteractivemeans,networks,devices,ortransmissions(whetherexistingnoworinthefuture).1.11Mapsshallmeancollectively,theBBBMapsandtheMapPoint.NetMaps.1.12MapPoint.NetMapsshallmeanareliablewebenabledmappingsolutiondevelopedbyAAAthatincludesinteractivemaps,proximitysearchinganddetaileddrivingdirections.1.13PointofInterestshallmeanthosecertaingeographiclocations,whichincludebutarenotlimitedto,suchplacesascampgrounds,parksandotherattractionsorplacesofinterest(e.g.theEmpireStateBuilding).1.14ServerTechnologyshallmeanthecomputersoftwareownedbyAAAandlistedinExhibitA.1.15ServiceshallmeanthehostingofServerTechnology,MapPoint.NetMaps,specificationsandformats,andwhichincludeswithoutlimitationthetesting,implementation,hosting,maintenance,support,operationandupdateschedules,asapplicable,fortheServerTechnology,DataandMapPoint.NetMapsasprovidedbyAAAtoBBBasapartofsuchservice,whichenablesBBBtousetheMapPoint.NetMapsascontemplatedherein.[**]2.Delivery,Operation,andUse2.1Delivery.ThepartiesacknowledgethatBBBalreadyhascopiesoftheServerTechnologyandDatainitspossessionasoftheEffectiveDate.2.2UpdatesandErrorCorrections.(a)AAA.AAAandBBBwillcooperatetotesttheinitialversionofMapPoint.NetMapsthatAAAisoperatingasoftheEffectiveDateinabetaenvironmenttoascertainifitmeetsthestabilityrequirementsoutlinedinExhibitChereto.Eachupgradetheretoshallbetestedinasimilarfashion.Thepartieswillcooperatetoensurethatthebetatestingoftheinitialversionandanyupgradetheretoisconcludedinatimelymanner.(b)MapPoint.NetMapUpdates.WhenandifAAAmakescommerciallyavailableduringthetermofthisAgreementanyupdates,upgrades,errorcorrections,orotherimprovementstotheMapPoint.NetMaps(MapPoint.NetMapUpdates),AAAshallpromptlymakeavailablesuchMapPoint.NetMapUpdatestoBBBonservershostedbyAAAtotheextentpermittedunderapplicablelicenseagreements.UponBBB’scommencementofuse,suchMapPoint.NetUpdatesshallbeconsideredpartoftheMapPoint.NetMapsforpurposesofthisAgreement.BBBmustcommenceusingeachMapPoint.NetMapUpdatewithinsixty(60)daysafteritisfirstmadecommerciallyavailable;providedtheymeettherequirementsofExhibitCandthepartieshavenotmutuallyagreedtopostponesuchuse.(c)BBB.IntheeventthatBBBoritsAffiliatedevelopsanyupdates,upgrades,errorcorrections,orotherimprovementstotheServerTechnology,BBBshallpromptlydeliver,orcauseitsAffiliatetodeliver,suchBBBUpdatestoAAA.2.3SupportandOperation.PriortotheLaunchDate,BBBshallbesolelyresponsibleforthesupportandoperationoftheBBBMaps.EffectiveasoftheLaunchDate,AAAshallbesolelyresponsibleforthesupportandoperationoftheMaps,andagreestoprovidetheServicetoBBBinaccordancewithExhibitCheretowithatleastthesameservicelevelthatAAAwillprovidetotheAAApropertiescurrentlyusingBBBMapsbackendmapserver,whichshallbenolessthanacommerciallyreasonableservicelevel.AsoftheEffectiveDate,theseAAApropertiesincludeCarPoint,HomeAdvisor,MSCommute,MSNMobile,MSNBCandYellowPages(theAAABackendProperties).AAAshallinsurethatithastheserverinfrastructurenecessarytodeliverstableserviceandhandlethevolumeofcalls/queriestoBBB’sMapPoint.NetMapsserversthatwillbegeneratedbyusagelevelsforecastedquarterlybyBBBpursuanttoSection2.4,andthatsuchserviceshallbedeliveredinahighgradeandprofessionalmannerandinaccordancewiththisSection2.3andExhibitC.AAAwillprovideBBBwithninety(90)daysadvancednoticeshouldAAAchangeoralterinanywaytheunderlyinglatitude/longitudesystemprovidedatthetimeoflaunchofMapPoint.NetMapsonBBB.ThepartieswillimplementaprocessforBBB’stransitiontouseofMapPoint.NetMapsassetforthinSection2.5below.[**]2.4BBBwillmakeacommerciallyreasonableefforttoprovideAAAwithreasonablyaccuratequarterlyforecastofusageandsixty(60)daysadvancenoticeofanyknownsignificantusagevolumeincreasesandmajorreleases.2.5TransitionPlan.ThepartiesagreethatBBB’stransitiontoMapPoint.NetMapswillproceedasfollows:(a)PriortotheLaunchDate,AAAshallprovideBBBwithanexplanationoftheservicesandoperatingproceduresnotspecifiedonExhibitCthatAAAwillprovide.(b)AAAshallresolvethefour(4)bugswhicharelistedonExhibitEheretopriortotheLaunchDate.(c)AAAandBBBwilltesttheinitialversionofMapPoint.NetpursuanttoSection2.1above.(d)BBBmustgiveAAAatleastsixty(60)dayspriorwrittennoticeoftheactualLaunchDate.(e)ThecurrentmapserverURLsownedbyBBBandusedforprovidingMapstocertainBBBMapsuserswillbeallowedtoreferenceBBB’sdedicatedclusterforMapPoint.Net.BBBwillputtheredirectinplacetotheAAAservers.2.6UseofMaps.(a)ThepartiesacknowledgethatAAAisalreadyusingBBBMapstoservelocalstreetmapsand/orprovidedrivingdirectionsintheAAABackendProperties.AAAagreesthatbytheLaunchDate,itshallceaseuseofBBBMapsontheAAABackendProperties,andinanyandallcurrentandfutureversionofanyAAAsoftwareprograms(currentlyusedinFrontPage,MacOffice,Entourage,andAAAOutlook).Notwithstandingtheforegoing,AAAshallnotberequiredtoceaseuseofBBBMapsinAAAHotmail,AAAIESearchorMSN.com,ortostoplinkingtothefrontendofanBBBWebSite;provided,however,thatfollowingtheLaunchDate,BBBshallnotbeobligatedtoprovidemappingservicestoanyAAApropertyorproduct.(b)NotwithstandinganythingtothecontraryinthisAgreement,thepartiesagreeandacknowledgethatBBBshallnotberequiredtouseorcontinuetousealloranypartoftheMapPoint.NetMapsortheServiceprovidedbyAAAuntilsix(6)monthsaftertheEffectiveDate,providedthatsuchMapPoint.NetMapsorServicemeettherequirementsofExhibitCandthepartieshavenotmutuallyagreedtopostponesuchuse.2.7MapPoint.NetMapFunctionality.Withinone(1)yearfollowingtheEffectiveDate,AAA,atitssolecostandexpense,willdevelopforMapPoint.NetMapsfunctionalitywhichenablesBBB,atitsoption,todisplaywithinsuchMapPoint.NetMaps,anBBBIconoraiconrenderedbyAAAtorepresentthespecificlocationofatravelservicemade[**]availablebyBBB(RepresentationalIcon),whichwillcontainaLinkbacktoanBBBWebSitedeterminedbyBBB.2.8CoBranding.(a)ExceptpursuanttocertainBBBagreementswhereMapsarenotbrandedwithBBBIcons,thepartiesagreethatallMapsusedbyBBBwillcontainanBBBIconandtheMapPoint.NetlogodesignatedbyAAAfromtimetotime.ThepartiesagreethatinanycasewhereaMapisnotbrandedwithanBBBlogo,BBBshallnotberequiredtobrandsuchMapwithaAAAlogo.InnoeventshalltheAAAMapPoint.Netlogocontaindesignationssuchas.orhttp://ormarksofsimilarintentthatserveasaprotocoldesignator,orfunctionasaclickablelinktoanyWebpage.TheBBBIconandtheMapPoint.Neticonwillnotincludeanythirdpartymarksoradvertisements.TheBBBIconshallappearincloseproximitytoMapPoint.Netlogo,withtheplacementandsizeofsuchcobrandingtobecommerciallyreasonableandmutuallyagreeabletotheparties.ArepresentativesampleoftheMapcobrandingisattachedasExhibitGhereto.(b)AAAshallmaintaintheBBBIconprovidedtoAAAbyBBBforsuchcobrandingoranyadditiontoorsubstitutethereofthatBBBmayprovidetoAAAfromtimetotimeduringthetermofthisAgreement.IntheeventBBBprovidesAAAwithanewormodifiedBBBIconforsuchcobranding,AAAshallimplementthenewBBBIconwithinthirty(30)daysfollowingreceiptoftheupdatefromBBB.AAAshallnotuseanyBBBIconinanyothermannerorforanyotherpurposewithoutpriorwrittenapprovalbyBBB.BBBshallnotuseanytrademarkofAAAinanymannerorforanypurposewithoutpriorwrittenapprovalbyAAA.2.9DatasetUpdates.AAAwillusecommerciallyreasonableeffortstoupdatetheDataonaquarterlybasis.2.10PointofInterestDisplay.BBBshallhavetherighttoselectwhichPointofInterestwillbedisplayedontheMapPoint.NetMapsprovidedbyAAAtoBBBinaccordancewiththisAgreement.3.License3.1ServerTechnology.AAAherebygrantstoBBBanditsAffiliatesaperpetuallicense(i)tomake,use,reproduce,modify,adapt,createderivativeworksbasedon,andtranslatetheServerTechnologyinobjectcodeandsourcecodeform,and(ii)todistribute(directlyandindirectly),transmit,displayandperformpublicly,license,rent,lease,andselltheServerTechnologyinconnectionwithMapsinobjectcodeform.Notwithstandingtheforegoing,BBBanditsAffiliatesshallhavenorighttodistribute,transmit,display,license,rent,leaseorsellinanymanneranyportionoftheServerTechnologyimplementedintheAAAGeographyProductUnit’sretailproductsorinternaltoolswithoutthepriorapprovalofAAA.Additionally,BBBagrees,foritselfandonbehalfofitsAffiliates,thatBBBanditsAffiliatesshallnotlicensetheServerTechnology,inanymanner,tothirdpartiesthatproduceproductsorservicesthatarecompetitivewiththeAAAGeographyProductUnit’s[**]ortheLearningBusinessUnit’sproductsorserviceswithoutthepriorapprovalofAAA,whichapprovalshallnotbeunreasonablywithheldordelayed.3.2ThirdPartyExclusions.Fortwentyfour(24)monthsaftertheEffectiveDate,AAAagreesthatitwillnotwithrespecttolocalstreetmapsanddrivingdirectionsandothermappingservices,providesuchmappingservicestothefollowingentitiesthroughadirectcontractualagreementwithsuchentities:HotelReservationsNetwork,Travelocity,Orbitz,Cendant(butonlywithregardtoCendant’stravelrelatedservicesandbusinesses),Priceline,oranyentitythat,atthetimesuchagreementisexecuted,isawhollyownedsubsidiaryofanyoftheforegoingentities.Notwithstandingtheforegoing,TravelocityshallremainanexcludedpartyforthetermofthisAgreement.Inaddition,AAAagreesthatBBBshallbeaprovideroftravelbooking,travelserviceortravelPointofInterestdatathatisfeaturedand/orintegratedintotheMapsprovidedand/ordevelopedbytheAAAGeographyProductUnit.3.3Data.AsoftheEffectiveDate,AAAhaslicensestousetheDataforAAA’sownbusinesspurposes.TotheextentAAAhastherighttosublicenserightsinDatatoBBBforBBB’sbusinesspurposes,AAAherebydoessosublicensetheDataforuseinconnectionwithMapsandtheDataDump.TotheextentAAAdoesnothavetherighttosublicenseDatatoBBBandtotheextentsuchsublicenseisnecessaryforthepurposesoftheServicesdescribedinSection2.3above,AAAshallusereasonableeffortstoassistBBBtoobtainlicensesinsuchData,atBBB’sexpense.Additionally,BBBagreesthatitshallnotlicensetheData,inanymanner,tothirdpartiesthatproduceproductsorservicesthatarecompetitivewiththeAAAGeographyProductUnit’sortheLearningBusinessUnit’sproductsorserviceswithoutthepriorapprovalofAAA,whichapprovalshallnotbeunreasonablywithheldordelayed.3.4BBBUpdatestoServerTechnology.BBB,onbehalfofitselfanditsAffiliates,herebyirrevocablyconveysandassignstoAAA,andagreestoassigntoAAA,allright,titleandinterestinanycopyrightsintheBBBUpdates,andinallrenewalsandextensionsofthosecopyrightsthatmaybesecuredunderthelawsnoworhereafterinforceandeffectintheUnitedStatesofAmericaorinanyothercountryorcountries.4.Payments4.1ServerTechnology.AAAshallprovidethelicensesintheServerTechnologytoBBBfreeofcharge.CommencingupontheLaunchDate,BBBmay,butshallnotberequiredto,developBBBUpdatestotheServerTechnology,buttotheextenttheyaredevelopedtheyshallpromptlybedeliveredtoAAA.4.2PaymentSchedules.ThepaymentschedulesforservicesdeliveredunderthisAgreementandpriortotheEffectiveDateofthisAgreementareonExhibitFattachedhereto.4.3MostFavoredNation.AAAwillnotchargeBBBapriceforServicesrenderedunderthisAgreement,orprovideBBBwithalevelofservice,thatislessfavorablethantherateschargedortheservicesprovidedtoanythirdpartyunlesssuchthirdpartyagreesto[**]useMapPoint.NetMapsmorefrequentlythanBBB’sthencurrentactualusageofMapPoint.NetMaps.5.ConfidentialInformation.Thepartiesunderstandandacknowledgethateachofthem(andtheirrespectiveemployees,consultantsandsubcontractors)mayhavedisclosedtoit,inconnectionwiththerenditionofservicesandperformanceoftheirobligationsofthisAgreement,confidentialand/orproprietaryinformationoftheotherparty.ThetermsandconditionsofthatcertainNonDisclosureAgreementbetweentheparties,dated_________,_________,_________(M,D,Y),shallapplytoallsuchconfidentialandproprietaryinformation.AAAandBBBeachagreethatthetermsandconditionsofthisAgreement,includingitsattachments,willbedeemedtoconstitute,andbetreatedas,confidentialinformationpursuanttothisSection5.6.Warranties,Indemnification,andLimitationofLiability6.1Warranties.(a)AAArepresentsandwarrantsthatitisacorporationdulyorganized,validlyexisting,andingoodstandingunderthelawsoftheStateof_________(PLACENAME)andhasauthoritytoenterintothisAgreementandperformitsobligationshereunder;and(b)AAArepresentsandwarrantsthatithasandwillnotgrantanyrightsintheServerTechnologytoanythirdpartythatareinconsistentwiththerightsgrantedtoBBBherein.(c)BBBrepresentsandwarrantsthatitisacorporationdulyorganized,validlyexisting,andingoodstandingunderthelawsoftheStateof_________(PLACENAME)andhasauthoritytoenterintothisAgreementandperformitsobligationshereunder.(D)EXCEPTASPROVIDEDINTHISSECTION6.1,EACHPARTYDISCLAIMSALLWARRANTIES,EITHEREXPRESS,IMPLIEDORSTATUTORY,INCLUDINGBUTNOTLIMITEDTOANY(IFANY)IMPLIEDWARRANTIESOFMERCHANTABILITY,OFFITNESSFORAPARTICULARPURPOSE,OFLACKOFVIRUSES.THESERVERTECHNOLOGY,DATA,BBBUPDATES,ANDMAPSAREPROVIDEDASISWITHALLFAULTS,ANDNOWARRANTIESORPROMISESAREMADETHATLICENSEDMATERIALSWILLWORKORWORKFORANYPARTICULARPURPOSE.ALSO,THEREISNOWARRANTYOFTITLE,AUTHORITY,ORNONINFRINGEMENTINTHELICENSEDMATERIALS.6.2Indemnification.(a)AAA.(i)AAAshallindemnifyandholdharmlessBBBandBBB’sdirectors,officers,employees,andagents(each,anBBBClaimant),fromanyandallthirdpartyclaims,demands,actionsorcausesofaction,costs,liabilities,losses,expenses,damages,judgments,awards,chargesandamountspaidinsettlement(including[**]reasonableattorney’sfees,costsandexpertwitnessfees)broughtagainstsuchBBBClaimanttotheextentitisbaseduponaclaimthattheServerTechnologyinfringeanycopyrightorpatentormisappropriateanytradesecretofathirdparty(BBBClaims).(ii)IntheeventanythirdpartyassertsaclaimofinfringementwithrespecttoanyServerTechnologyoranyportionthereof,AAAshallnotifyBBBpromptlyandmay,atAAA’sexpense,replaceormodifytheServerTechnologyorportionthereofwithaversionthatisnoninfringing,providedthatthereplacementormodifiedversionhassubstantiallyequivalentfunctionalitytotheversionbeingreplaced.(iii)AAAshallhavenoobligationtoindemnifyunderthisSection6.2totheextentanBBBClaimarisesoutofanBBBClaimant’scontinuinguseofinfringingServerTechnologyafter(a)AAAhasprovidedanoninfringingreplacementwithsubstantiallyequivalentfunctionality,and(b)theBBBClaimanthashadareasonableamountoftimetotestandimplementthereplacementversion.(iv)IntheeventanBBBClaimismadeorfiledagainstanBBBClaimant,theBBBClaimantshallpromptlynotifyAAAofthesameinwriting,andAAAshalldefend,compromise,and/orsettletheBBBClaimatitsexpense.AAAshallnotberesponsiblefortheexpenses,includingcounselfees,oftheBBBClaimantincurredafterAAAassumesdefenseoftheBBBClaim,buttheBBBClaimantmayparticipatethereinandretaincounselatitsownexpense.AAAwillnotberesponsibleforanysettlementmadebyBBBoranyBBBClaimantwithoutAAA’swrittenpermission,whichwillnotbeunreasonablywithheldordelayed.AAAwillnotconsenttotheentryofanyjudgmentorenterintoanysettlementaffectingtheBBBClaimant,totheextentthatthejudgmentorsettlementinvolvesmorethanthepaymentofmoney,withoutthepriorconsentoftheBBBClaimant,whichconsentshallnotbeunreasonablywithheldordelayed.BBBandanyBBBClaimantshallprovideinformation,assistanceandauthority,atBBB’sexpense,tohelpAAAdefend,compromiseorsettlesuchBBBClaim.(v)AAAshallindemnifyandholdharmlessanyBBBClaimantfromandagainstanyforeign,U.S.federal,state,local,municipalorothergovernmentaltaxes,duties,levies,fees,excisesortariffs,arisingasaresultoforinconnectionwiththetransactionsassociatedwiththeusebyAAAofBBBMaps,including,withoutlimitation,anystateorlocalsalesorusetaxesoranyvalueaddedtaxorbusinesstransfertaxnoworhereafterimposedonorwithrespecttosuchtransactions.Allsuchtaxes(andanypenalties,interest,orotheradditionstoanysuchtaxes),withtheexceptionoftaxesimposedonBBB’snetincomeorwithrespecttoBBB’spropertyownership,shallbethefinancialresponsibilityofAAA.AAAagreestoindemnify,defendandholdBBBharmlessfromanyclaims,causesofaction,costs(including,withoutlimitation,reasonableattorneys’fees)andanyotherliabilitiesofanynaturewhatsoeverrelatedtosuchtaxes.ThissectionshallgovernthetreatmentofalltaxesarisingasaresultoforinconnectionwiththetransactionsassociatedwiththeusebyAAAofBBBMapsnotwithstandinganyothersectionofthisAgreement.[**](b)BBB.(i)BBBshallindemnifyandholdharmlessAAA,itsAffiliatesandthedirectors,officers,employees,andagentsoftheforegoing(each,anAAAClaimant),fromanyandallthirdpartyclaims,demands,actionsorcausesofaction,costs,liabilities,losses,expenses,damages,judgments,awards,chargesandamountspaidinsettlement(includingreasonableattorney’sfees,costsandexpertwitnessfees)broughtagainstsuchAAAClaimanttotheextentitisbaseduponaclaimthatanBBBIconortheBBBUpdatesinfringeanycopyright,trademark,tradedress,privacyright,publicityrightorpatent,ormisappropriateanytradesecretofathirdparty,orconstitutesunfaircompetitionorunfairtradepractices(AAAClaims).(ii)IntheeventanythirdpartyassertsaclaimofinfringementwithrespecttoanyBBBIconorBBBUpdatesoranyportionthereof,BBBshallnotifyAAApromptlyandmay,atBBB’sexpense,replaceormodifytheBBBIconorBBBUpdatesorportionthereofwithaversionthatisnoninfringing,providedthatthereplacementormodifiedversionhassubstantiallyequivalentfunctionalitytotheversionbeingreplaced.(iii)BBBshallhavenoobligationtoindemnifyunderthisSection6.2totheextentaAAAClaimarisesoutofaAAAClaimant’scontinuinguseofinfringingBBBIconorBBBUpdatesafter(a)BBBhasprovidedanoninfringingreplacementwithsubstantiallyequivalentfunctionality,and(b)theAAAClaimanthashadareasonableamountoftimetotestandimplementthereplacementversion.(iv)IntheeventaAAAClaimismadeorfiledagainstaAAAClaimant,theAAAClaimantshallpromptlynotifyBBBofthesameinwriting,andBBBshalldefend,compromise,and/orsettletheAAAClaimatitsexpense.BBBshallnotberesponsiblefortheexpenses,includingcounselfees,oftheAAAClaimantincurredafterBBBassumesdefenseoftheAAAClaim,buttheAAAClaimantmayparticipatethereinandretaincounselatitsownexpense.BBBwillnotberesponsibleforanysettlementmadebyAAAoranyAAAClaimantwithoutBBB’swrittenpermission,whichwillnotbeunreasonablywithheldordelayed.BBBwillnotconsenttotheentryofanyjudgmentorenterintoanysettlementaffectingtheAAAClaimant,totheextentthatthejudgmentorsettlementinvolvesmorethanthepaymentofmoney,withoutthepriorconsentoftheAAAClaimant,whichconsentshallnotbeunreasonablywithheldordelayed.AAAandanyAAAClaimantshallprovideinformation,assistanceandauthority,atAAA’sexpense,tohelpBBBdefend,compromiseorsettlesuchAAAClaim.(v)BBBshallindemnifyandholdharmlessanyAAAClaimantfromandagainstanyforeign,U.S.federal,state,local,municipalorothergovernmentaltaxes,duties,levies,fees,excisesortariffs,arisingasaresultoforinconnectionwiththetransactionscontemplatedunderthisAgreement(otherthanwithrespecttotheuseofandpaymentsforBBBMaps)including,withoutlimitation,anystateorlocalsalesorusetaxesoranyvalueaddedtaxorbusinesstransfertaxnoworhereafterimposedonorwithrespecttosuchtransactions.Allsuchtaxes(andanypenalties,interest,orotheradditionstoanysuch[**]taxes),withtheexceptionoftaxesimposedonAAA’snetincomeorwithrespecttoAAA’spropertyownership,shallbethefinancialresponsibilityofBBB.BBBagreestoindemnify,defendandholdAAAharmlessfromanyclaims,causesofaction,costs(including,withoutlimitation,reasonableattorneys’fees)andanyotherliabilitiesofanynaturewhatsoeverrelatedtosuchtaxes.ThissectionshallgovernthetreatmentofalltaxesarisingasaresultoforinconnectionwiththisAgreement(otherthanwithrespecttotheuseofandpaymentsforBBBMaps)notwithstandinganyothersectionofthisAgreement.6.3Data.ThepartiesagreethatBBBshallbenefitfromanywarrantiesand/orindemnificationforDataprovidedbyDatalicensorsunderAAA’slicenseagreementsforData,totheextentsuchwarrantiesand/orindemnificationextendtoBBB.6.4LimitationofLiability.TOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAWANDEXCEPTWITHRESPECTTOANYBREACHOFCONFIDENTIALITYOWEDUNDERSECTION5,INNOEVENTSHALLEITHERPARTYBELIABLEFORANYSPECIAL,INCIDENTALORCONSEQUENTIALDAMAGESWHATSOEVERARISINGOUTOFORINANYWAYRELATEDTOTHISAGREEMENT,EVENIFTHEPARTYBEENADVISEDOFTHEPOSSIBIL
