MalaysiaDischargingport:NorthChinaMainPortShipment:onorbefore30thJuly,2016第四條交貨條款和交貨時(shí)間成本加運(yùn)費(fèi)加保險(xiǎn)費(fèi)，中國北方主要港口裝貨港：馬來西亞卸貨港：中國北方主要港口2016年7月30日前裝運(yùn)ARTICLE–5WEIGHTDETERMINATIONEachGOODSshipmentshallbeweighedattheloadingportandcertifiedbyshipmasterandSGSMalaysiaaccordingtothedraftofthevessel,thecostofsuchinspectionwillbefortheSeller.Weightthusweighedshallbehereinaftercalled“Seller’sBuyerinvoicehasweighttherighttobepresentordispatchthirdpartytobepresenttoevidencetheloadedquantitydeterminateatloadingport.Atdischargingport:FinalweightdeterminationoftheGOODSshallbedecidedbyChinaCertification&InspectionGroupCo,Ltd/oritssubsidiaryco.(CCIC)ortheaveragebetweentheCCICChinaandSGSChinaatdischargingport,thecostofCCICChinawillbefortheBuyer，andthecostofSGSChinawillbefortheSeller.FinaldryweightisbasedonactualweightmeasurementmentionedinCertificateofWeightissuedbyCCICChinaortheaveragebetweentheCCICChinaandSGSChinaatdischargingportminusactualfreemoistureshowninCertificateofQualityissuedbyCCICortheaverageofthefreeMoisturebetweentheCCICChinaandSGSChinaatdischargingPort.第五條:重量決定每船貨物將在裝貨港由船長與馬來西亞SGS根據(jù)船的吃水測量重量，測量費(fèi)用由賣方承擔(dān)。如此測量的重量稱為“賣方的發(fā)票重量”，買方有權(quán)出席或者派第三方出席監(jiān)督裝貨港的重量測定。在卸貨港：最終貨物的重量將由中國認(rèn)證&檢驗(yàn)集團(tuán)有限公司/或其附屬公司(CCIC)在卸貨港或者中國CCIC與中國SGS的平均值來確定，其中中國CCIC費(fèi)用由買方承擔(dān),中國SGS費(fèi)用由賣方承擔(dān)。最終的干噸數(shù)按照中國CCIC在卸貨港出具的重量證上的實(shí)際重量數(shù)或者中國CCIC與中國SGS的平均值減掉中國CCIC在卸貨港出具的質(zhì)量證上的自由水分?jǐn)?shù)或者中國CCIC與中國SGS的平均值的結(jié)果。ARTICLE–6SAMPLINGANDANALYSISSamplingandanalysiswillbecarriedoutatSeller ’sexpensebySGSMalaysiaduringltheloadingport.TheBuyermay,atBuyer’sexpense,haveitsrepresentativespresentatthetimeofsamplingandanalysis.Notwithstandingtheforegoing,inordertoensureafairinspection,afterarrivalofthevessel,thesellerwillcommissionSGSChinatoconductsampling.SamplingandanalysiswillbecarriedoutindependentlybyCCICChinaandSGSChinaatthedischargingport.Subjecttoparagraphbelow,theCCICChinaresultshallbethebasisoftheFinalSettlement.AllexpensesinconnectionwithsuchsamplingandanalysisbyCCICChinashallbeontheBuyer'saccount.Thesampletakenforanalysisshallbein3partsandsealed,onesampledforanalysisbyCCICChina,onesampledforanalysisbySGSChina,andoneretainedforthepurposeofanumpireanalysis(sampledbySGSChina),ifrequired,tobeanalysedbyanindependentISO-approvedlaboratory.Thethirdpartyanalysiscosttobebornebythelosingparty.IftheCCICChinadischargeportresultsareaboveorbelowtherejectionlevel,orthedifferencebetweenCCICChinaandSGSChinaanalysisresultsatdischargeportareover%(inclusiveof%)forAl2O3,SiO2,ormoisture,thesellercanchooseeitherusingtheaveragebetweentheCCICChinaandSGSChinadischargeportasthefinalbasis,orcanchoosetochallengeCCICChinadischargeportresultsanduseumpiresampleresultsasthefinalsettlement.Ifthedifferenceislessthan%(exclusiveof%),thedischargingportCCICChinareportasabasisforfinalsettlement.第六條:質(zhì)量檢驗(yàn)在裝港取樣分析由SGSMalaysia施行，并由賣方承擔(dān)檢驗(yàn)成本。買方有權(quán)到場或派第三方到取樣分析現(xiàn)場，相關(guān)費(fèi)用由買方自行承擔(dān)。盡管前有所述，為保證檢驗(yàn)的公平，貨物到卸港后，賣方委托 SGSChina進(jìn)行取樣/檢驗(yàn)。卸港取樣以及分析由 CCICChina和SGSChina單獨(dú)實(shí)施。除所述情況，此 CCICChina分析結(jié)果為最終結(jié)算依據(jù)。與 CCICChina有關(guān)的取樣分析成本由買方承擔(dān)。測試及測試樣品總共有3份并妥善封好,CCICChina取的一份作為CCICChina的分析之用,SGSChina取的一份作為SGSChina的分析之用,一份(SGSChina取的一份)會保留以備日后可能需要的獨(dú)立ISO認(rèn)可的仲裁分析之用。其仲裁費(fèi)用敗訴方承擔(dān)。如果CCICChina卸港檢驗(yàn)結(jié)果超過拒收值，或卸港CCICChina與SGSChina檢驗(yàn)結(jié)果之間AL2O3,SIO2,水分任一指標(biāo)檢差值在%以上（包含%），賣方可以選擇按卸港CCICChina與SGSChina的檢驗(yàn)報(bào)告中的平均值作為最終結(jié)算依據(jù),或者賣方可以選擇以仲裁樣品化驗(yàn)結(jié)果作為最終結(jié)算依據(jù)。如果相差在%內(nèi)(不含%)，將卸港CCICChina報(bào)告作為最終結(jié)算依據(jù)。ARTICLE7–PAYMENT第七條:付款PaymentoftheUponSigningpayment,ProvisionalInvoiceand,ifrelevant,theFinalInvoice,shallbepaidbyT/TinaccordancewiththisAgreement.定金、首款和尾款都是以美元為貨幣，電匯支付 .50%PaymentInitialInvoice(“InitialPayment”)50%amounoftinghetotalvalueshallbepaidtotheselleruponthecargoloadedonthebargesreach24000ton.Thetotalvaluecalculatedbasedthecontractstatedprice(USDwithoutadjustment,andthedryweightcalculatedonthebasisofthequantitystatedinthecontract(55,MT)minusthemaximumfreemoisturecontentstatedinthecontract(15%).“首付款”在賣方駁船裝貨數(shù)量到 24000噸，買方支付賣方 50%貨款，總貨款計(jì)算：價(jià)格為合同規(guī)定價(jià)格:40美元無任何價(jià)格調(diào)整，數(shù)量為合同規(guī)定濕噸數(shù)量（
