ce.IntheeventoftheSeller'sfailuretoeffectloadingwhenthevesselarrivesdulyattheloadingport,allexpensesincludingdeadfreightand/ordemurragechargesthusincurredshallbefortheSeller'saccount.裝運通知(ShippingAdvice)：一但裝載完畢，賣方應立即通知買方合同編號、品名、已發(fā)運數量、發(fā)票總金額、毛重、船名/車/機號及啟程日期等。TheSellershall,immediatelyuponthecompletionoftheloadingofthegoods,advisetheBuyeroftheContractNo.,namesofcommodity,loadingquantity,invoicevalues,grossweight,nam eofvesselandshipmentdateimmediatelyTransshipmentisallowedandpartialshipmentisprohibited.轉運被允許，和分批裝運被禁止。檢驗(Inspection)：發(fā)貨前，制造廠應對貨物的質量、規(guī)格、性能和數量/重量作精密全面的檢驗，出具檢驗證明書，并說明檢驗的技術數據和結論。貨到目的港后，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物的規(guī)格和數量/重量進行檢驗，如發(fā)現貨物殘損或規(guī)格、數量與合同規(guī)定不符，除保險公司或輪船公司的責任外，買方得在貨物到達目的港后的10日內憑商檢局出具的檢驗證書向賣方索賠或拒收該貨。在保證期內，如貨物由于設計或制造上的缺陷而發(fā)生損壞或品質和性能與合同規(guī)定不符時，買方將委托中國商檢局進行檢驗。Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandq uantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.Afterarrivalofthegoodsattheportofdestination,theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.Ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisContract,exceptwhentheresponsibilitieslieswithInsuranceCompanyorShippingCompany,theBuyershall,within10daysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamag eofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.索賠(Claim)：買方憑其委托的檢驗機構出具的檢驗證明書向賣方提出索賠(包括換貨)，由此引起的全部費用應由賣方負擔。若賣方收到上述索賠后30天未予答復，則認為賣方已接受買方索賠。ThebuyershallmakeaclaimagainsttheSeller(includingreplacementofthegoods)bythefurtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheSelle r.TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSe llerfailtoreplywithin30daysaftertheSellerreceivedtheBuyer'sclaim.遲交貨與罰款(LatedeliveryandPenalty):除合同第21條不可抗力原因外，如賣方不能按合同規(guī)定的時間交貨，買方應同意在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按每一天收0.02%，不足一天時以一天計算。但罰款不得超過遲交貨物總價的3%。如賣方延期交貨超過合同規(guī)定15天時，買方有權撤銷合同，此時，賣方仍應不遲延地按上述規(guī)定向買方支付罰款。買方有權對因此遭受的其它損失向賣方提出索賠。ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat0.02%foreveryday,odddayslessthanonedaysshouldbecountedasonedays.Butthepenalty,however,shallnotexceed3%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSell erfailtomakedelivery15dayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.不可抗力(ForceMajeure)：凡在制造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負責任。在發(fā)生上述情況時，賣方應立即通知買方，并在14天內，給買方特快專遞一份由當地民間商會簽發(fā)的事故證明書。在此情況下，賣方仍有責任采取一切必要措施加快交貨。如事故延續(xù)4星期以上，買方有權撤銷合同。TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellershalladvisetheBuyerimmediatelyoftheoccurrencementionedaboveandwithi n14daysthereaftertheSellershallsendanoticebycouriertotheBuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incaseth eaccidentlastsformorethan4weekstheBuyershallhavetherighttocanceltheContract.爭議的解決(Arbitration):凡因本合同引起的或與本合同有關的任何爭議應協(xié)商解決。若協(xié)商不成，應提交中國國際經濟貿易仲裁委員會深圳分會，按照申請仲裁時該會現行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。AnydisputearisingfromorinconnectionwiththeContractshallbesettledthroughfriendlynegotiation.Incasenosettlementisreached,thedisputeshallbesubmitte dtoChinaInternationalEconomicandTradeArbitrationCommission（CIETAC）,ShenzhenCommissionforarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.通知（Notices）:所有通知通過 UmmQsaar港，(卸貨港應為非美國制裁的伊拉克港口)。在收到并確認買方可操作的L/C后30日內，賣方應向買方發(fā)貨物準備就緒通知書。AminimumloadrateofSEVENTHOUSANDMETRICTONS(7,000MT)perweatherworkingday(PWWD)isguaranteedbytheSeller.Alsobuyermustguaranteeberthingifhereceivesthearrivalnoticewithsevendaysinadvanee.Also,allunioadingchargesatperbuyer 'scostandrisk賣方應保證最小的裝貨率是每晴天工作日 7000噸。買方必須保證在收到到達通知7天內安排泊位。并且卸貨中產生的所有費用和風險由買方承擔。Productdeliveryatunioadingportandacceptanee:目的港運輸和接貨：賣方至少應在裝運7個工作日期前安排好船只，船只要求最小裝載量為3萬噸，使用期最長不超過20年，最少3個艙門，有全套的裝載設備，起重機負荷不小于10噸，；與國際法規(guī)完全相符的旗幟、安全性能，以確保船身和設備。租船和海運的全部費用由買方負責。Sellershallnominatesuitablevesselatleastseven(7)bankingdayspriortoshipment.Vesselnominatedforloadingtheproductshallbeaminimumof30,000DWCC,max20yearsold,minimum3holds/hatches,havingfullyoperationalcargogearofminimum10MTSSWLcranes(orotherwiseagreedbySellerinWriting),fullycompliantwithallinternationalregulationsofflag,safety,ism,insuredforhullandmachineryandcoveredbyafirstclassP&Iclub.Alltaxes/duesforthevesselandoceanfreightshallbethesoleresponsibilityofbuyer.NoticeofreadinessatUmmQsaar,IraqshallbetenderedwhenthevesselinallaspectsarereadyforberthinginaccordancewiththiscontractandundertheCharterPartyAgreement.Sellershallhavetheberthingarrangedattheloadingportandreadytostarttheloading,ifbuyerinformestimatedarrivaldaywithin7daysinadvance.Thesellerwillgrantberthingofthevesselwithin7(Seven)daysofthereceiptoftheestimatedarrivaldatebytheShippingAgentorBuyer,whichmaynotbeunreasonablywithhold.伊拉克裝運港的裝運準備就緒通知應在船只按合同和租船協(xié)議規(guī)定全方位停泊后發(fā)出。
