編號：2011-PD03InsecurityservicecontractNo。:2011—PD03甲方:北京君為仁和大型活動咨詢管理有限公司PartyA：Beijingeagleandlarge-sca1eactivitiesAdvisoryManagementLtd.乙方：上海法源企業(yè)管理有限公司PartyB:ShanghaisourceEnterpriseManagementLimited甲方為世界頂級商貿(mào)品牌企業(yè)，乙方為亞洲專業(yè)保全服務(wù)之供應(yīng)商。甲、乙雙方因商業(yè)合作需要經(jīng)充分協(xié)商，達(dá)成如下一致意見并簽訂本合同，以資雙方共同信守。5partyforthewor1d'stoptradebrandenterprises,PartyBfortheAsianprofessionasecurityserviceprovider。A,Bbothsidesbecauseofbusinessneedafterfullconsultations,reachedthefollowingconsensusandsignedthiscontract,asawayofmutualcommitment.5第一條：服務(wù)內(nèi)容first:servicecontent1。甲方聘用乙方，根據(jù)甲、乙雙方確認(rèn)的《保全服務(wù)方案》，乙方向甲方提供保全服務(wù)，并按照乙方的管理模式對警衛(wèi)隊員進(jìn)行管理。依據(jù)雙方確認(rèn)的崗位職責(zé)要求,執(zhí)行安全防范任務(wù)，承擔(dān)相應(yīng)的保安服務(wù)責(zé)任并遵守甲方符合法律規(guī)定的各項規(guī)章制度。partytoemployPartyB,accordingtoa,Bbothpartiesconfirmthatthe”securityservice",PartyAPartyBtoprovidesecurityservices,andinaccordancewiththeBmanagementmodeonguardmanagement.Basedontheconfirmationofbothpostdutyrequirement,implementsecuritytask,assumecorrespondingresponsibilityofthesecurityserviceandabidebythepartyinaccordancewiththelawrulesandregu1ations.2。乙方進(jìn)行人力派駐，進(jìn)行活動現(xiàn)場安全管理事務(wù)及特別安全護衛(wèi)服務(wù)。Bofhumanpresence,activitiesonsitesafetymanagementaffairsandspecialsecurityguardservices。服務(wù)地點:浦東國金中心《蘋果店》；Venue：PudongcountryJinZhongxin"Applestore。”;服務(wù)時間：2011年05月06日—2011年5月22日Businesshours:05Nov06一May22,20112011工作總小時數(shù)30050小時，大寫為叁萬零伍拾小時整(，項目已經(jīng)執(zhí)行完畢，詳細(xì)明細(xì)見附件確認(rèn)單)。Totalworkinghours30050hours,capitalizedforSanwan1ingwupickup(hour,projectshavebeencompleted,moredetailsseeAnnexconfirmation)。第二條:服務(wù)費second:servicefee上述服務(wù)每小時每人80元,總計費用為人民幣貳佰肆拾萬零肆仟元整(小寫:￥2404000.00元)，如有增加，以實際增加進(jìn)行計算.上述費用包含乙方服務(wù)人員來往交通、裝備、薪酬、福利、保險等費用。Theserviceeachhour80yuanperperson,thetotalcostofRMBtenthousandErbaisiWanlingsiwhole(lowercase：2404000yuan),suchasincreased,toactuallyincreasecalculation.ThefeeincludesBservicepersonnel,equipment,trafficbetweensalary,welfare,insurancecosts.在本合同項下費用甲方完全履行情形下，乙方同意按照上述價款的90%支付，即乙方實際凈得為人民幣2163600元整。Underthetermsofthiscontractpartyacompleteperformancecostsituation,PartyBagreestopaytheabove90%ofthepriceofPartyB,namelynetfor2163600yuan.本合同簽訂前，甲方已經(jīng)支付首筆款項為人民幣伍拾萬元整;余款在首筆款項支付后的60日內(nèi)支付完畢(即2011年8月24日前)。Thesigningofthiscontract,PartyAhaspaidupfrontpaymentsforyuanWushimillionyuan；thebalanceintheupfrontpaymentwithin60daysafterthepaymentiscompleted(i.e.before24August2011)。乙方公司賬戶:上海法源企業(yè)管理有限公司Bcompanyaccounts：ShanghaisourceEnterpriseManagementLimited開戶銀行:中國郵政儲蓄銀行上海寶山區(qū)支行Bank：PostalSavingsBankofChinaShanghaibranchBaoshanDistrict賬號：100079754170010001accountnumber:100079754170010001第三條:甲方權(quán)利義務(wù)Articlethird:therightsandobligationsofPartyA1。甲方應(yīng)為乙方現(xiàn)場工作人員提供必要的工作條件及相應(yīng)辦公值班用具(指辦公座椅、照明接入工具如電線、電扇等，負(fù)責(zé)對保全人員進(jìn)行本單位規(guī)章制度的教育。保全人員進(jìn)駐現(xiàn)場后，甲方應(yīng)把企業(yè)自身防盜、消防等真實情況通報乙方及乙方保全人員,使之能在執(zhí)勤過程中及時發(fā)現(xiàn)隱患，及時報告和妥善處理。PartyAshallprovidePartyB1fieldstafftoprovidethenecessaryworkingconditionsandcorrespondingofficedutyappliances(officechairs,lightingaccesstoolssuchaswire,electricfanandothersecuritypersonnel,responsiblefortherulesandregulationsoftheeducation.Securitypersonnelstationedinthescene,PartyAshouldtakeenterprisesecurity,fireandotherrealcircumstancebulletintoPartyBandPartyBtoaguard,sothatitcanindutiesintheprocessoftimelydetectionofproblems,timelyreportandproperlyhandleo2。甲方接受乙方安全服務(wù)后，甲方不能使用其他單位保安員或使用變相的“保安員”混合執(zhí)勤。不得指派乙方警衛(wèi)人員執(zhí)行服務(wù)合同內(nèi)容以外的任何任務(wù)，否則因此造成乙方警衛(wèi)員人身傷害或財產(chǎn)損失的一切責(zé)任均由甲方承擔(dān)。securityservicesafterPartyBandacceptedbyPartyA,PartyAcannotuseotherunitsofsecurityguardortheuseofso—called"securityguards"mixedduty。PartyBshallassignguardsexecutingservicecontractoutsideofanytask,otherwisePartyBguardresultinginpersonalinjuryorpropertydamagebyPartyAshallbeara1lresponsibi1ity。3。甲方有權(quán)對警衛(wèi)人員的工作進(jìn)行監(jiān)督，對不符合本合同的行為有權(quán)提出質(zhì)疑，并要求乙方及時改進(jìn)。甲方如有合理理由,可以要求乙方更換警衛(wèi)人員，應(yīng)以書面形式通知乙方，乙方在收到書面通知后3個工作日內(nèi)更換警衛(wèi)人員(臨時活動的可以通知乙方現(xiàn)場負(fù)責(zé)人暫停相關(guān)警衛(wèi)人員工作)。PartyAhastherighttosecuritypersonneltosupervisethework,donotconformtothecontract job).4。在不增加總服務(wù)費的前提下，甲方應(yīng)及時答復(fù)乙方提交的書面安全防范隱患報告并及時改進(jìn),否則因未改進(jìn)部分造成的責(zé)任由甲方依法承擔(dān)。withoutincreasingthetotalservicefeesunderthepremise,PartyAshalltimelyreplysubmittedbyPartyBwrittensecurityhiddentroublereports,andpromptimprovement,orfai1ingtoimprovepartcausedbyPartyAshallbearthe1iabi1ity.5。按本合同約定的時間和方式向乙方支付安全服務(wù)費用，當(dāng)甲方要求增加服務(wù)內(nèi)容或本合同規(guī)定的任務(wù)、責(zé)任加重及危險系數(shù)增大時，甲方必須及時通知乙方，由甲、乙雙方協(xié)商解決。accordingtothecontractatthetimeandthewaytopayPartyBsecurityservicecharge,whenPartyAaskstoincreaseservicesorthisagreementtask,increasedresponsibi1itiesandriskcoefficient,PartyAshouldinformPartyBintime,froma,Bbothsidesnegotiatedsett1ement。.甲方不得安排警衛(wèi)人員為個人提供安保服務(wù)，不得安排警衛(wèi)人員直接處理甲方經(jīng)濟糾紛或勞動爭議，不得安排警衛(wèi)人員監(jiān)視工人生產(chǎn)勞動和生活等與安全服務(wù)無關(guān)的其他活動，否則由此造成的后果由甲方承擔(dān)一切法律、經(jīng)濟賠償責(zé)任。PartyAshal1notarrangetheguardsforindividualstoprovidesecurityservices,securitypersonneldea1withPartyAshallnotbearrangedtodirecteconomicdisputesorlabordisputes,shallnotassigntheguardsmonitoringthelaborandlifesafetyservicesandotheractivitiesnot, otherwise theconsequencesresultingfromPartyAsha1lbearallthelega1,economic 1iability..警衛(wèi)人員是乙方員工，甲方無權(quán)對乙方的警衛(wèi)人員進(jìn)行處罰，若警衛(wèi)員有違反甲方管理制度或未盡到警衛(wèi)工作職責(zé)需要處罰的，甲方應(yīng)及時通知乙方，并建議乙方對警衛(wèi)人員進(jìn)行處罰或進(jìn)行人員更換，如造成的損失由乙方承擔(dān).guardsistheemployeeofPartyB,PartyAshallhavetherighttopunishtheguards,ifthesecurityguardshavebreachofPartyA'smanagementsystemornottoguarddutiestopunishment,PartyAshouldinformPartyBintime,andsuggestedthatthePartyBtotheguardspunishmentorpersonne1changes,suchasthelosscausedbyPartyB.第四條:乙方權(quán)利義務(wù)Articlefourth：therightsandobligationsofPartyB.乙方派駐的警衛(wèi)人員必須無違法犯罪前科、沒有不適宜保全工作的任何疾病，并經(jīng)過嚴(yán)格的保安培訓(xùn)，包括治安、保衛(wèi)、防火、防盜、法律等崗位培訓(xùn)，培訓(xùn)合格后安排上崗；定期對警衛(wèi)人員進(jìn)行在崗培訓(xùn)不定期進(jìn)行督查。警衛(wèi)人員要求嚴(yán)格遵守《保全人員守則》的規(guī)定忠于職守，責(zé)任心強，積極做好“防火，防盜、防破壞、防事故”的“四防”工作。PartyBstationedguardsmustbenocriminalrecord,notsuitableforpreservationworkofany esponsibilityheartisstrong,activelycarryout"fire,theft,damage,preventionagainstaccidents”intheworkof”fOurprevention"。.落實防火、防盜、防破壞等安全措施，發(fā)現(xiàn)責(zé)任區(qū)域內(nèi)的安全隱患,及時報告甲方協(xié)助予以處理。發(fā)生在值勤區(qū)域內(nèi)的刑事案件、治安案件治安災(zāi)害事故，及時處理并通告甲方和當(dāng)?shù)鼐剑扇〈胧┍Ｗo發(fā)案現(xiàn)場，協(xié)助警方處理各類治安、刑事案件，依法妥善處理責(zé)任范圍內(nèi)的其他突發(fā)事件.fulfilfire,theft,damagepreventingandothersecuritymeasures,foundwithintheregionofresponsibilitysecurityrisks,timelyreporttoassistPartytohandle。Inattendanceareawithinthecriminalcase,publicsecuritycasesecuritydisasters,thetimelyprocessingandnotifyPartyAandthelocalpolice,totakemeasurestoprotectthecrimescene,toassistthepolicetodealwithallkindsofpublicorder,criminalcases,toproperlyhandletheresponsibilityinthecontextofotheremergencies。.乙方應(yīng)及時答復(fù)甲方提出的工作建議，在不違反法律及不超出服務(wù)范圍的情況下在合理范圍內(nèi)進(jìn)行改進(jìn)。PartyBshallpromptlyreplyPartyraisedsuggestions,indoesnotviolatethelawandnotbeyondtheservicerangeofcircumstancesinthereasonablescopeforimprovement..當(dāng)乙方警衛(wèi)人員不能有效履行安全維護義務(wù)的，乙方應(yīng)及時更換人員，一般不超過3個工作日(臨時活動當(dāng)場決定)。PartyBguardscannoteffectivecarryoutthesafetymaintenanceobligations,PartyBshalltimelyreplacementpersonnel,generallynotmorethan3workingdays(temporaryactivitiesonthespotdecisions).5。在保證有效履行合同和事前通知甲方的前提下，為保障保全隊伍整體素質(zhì)的提高，經(jīng)甲方同意，可適當(dāng)調(diào)整警衛(wèi)員，或?qū)l(wèi)人員作出的晉升、調(diào)任及開除等人事處理inensuringtheeffectiveperformanceofthecontractandadvancenoticetoPartyAunderthepremise,fortheprotectionofsecurityteamwholequalityrise,theconsentofPartyA,canbeadjustedtotheguards,ortheguardsmadepromotion,transferandfirepersonnelprocessing。.乙方警衛(wèi)人員在工作中違反本合同約定及甲方的工作要求或出現(xiàn)過錯導(dǎo)致甲方經(jīng)濟損失的，后果由乙方依法賠償.PartyBguardsatworkinviolationoftheprovisionsofthiscontractandPartyA’srequirementsortheappearanceoffaultcauseeconomiclossesofPartyA,PartyBshallpaytheconsequences..乙方負(fù)責(zé)為警衛(wèi)人員提供特定保安裝備，包括服裝、警棍、巡邏燈具等并負(fù)責(zé)以上保全裝備的維修及更換，甲方人員人為損壞裝備的由甲方承擔(dān)責(zé)任。PartyBshallberesponsiblefortheguardstoprovidespecificsecurityequipment,includingclothing,batons,patrollamps,andisresponsiblefortheabovepreservationequipmentrepairandreplacementofdamagedequipmentpersonnelofPartyA,PartyAshalltakeresponsibilityo8、乙方進(jìn)行大型活動安全維護時，出現(xiàn)現(xiàn)場安全特發(fā)事件的，甲方現(xiàn)場安全管理人員及警衛(wèi)人員應(yīng)當(dāng)全力配合并服從乙方管理及指揮，不得擅自處理，以免導(dǎo)致事件擴大而喪失最佳處理良機。,Bmajoreventssecuritymaintenance,on—sitesafetyaccidentoccurs,partyasitesafetymanagementpersonnelandsecuritypersonnelshouldfullycooperatewithobeyBmanagementandcommand,withouttreatment,soasnottocauseexpansionofthebesttreatmentopportunitylossevento第五條:賠償條款Fifth： indemnityclause.事故發(fā)生后甲方或乙方警衛(wèi)人員(以先發(fā)現(xiàn)者為準(zhǔn))應(yīng)立即向警方報案并通知對方，對因乙方未及時通知甲方,導(dǎo)致甲方無法對事故原因進(jìn)行合理查勘或無法核實損失情況，由乙方承擔(dān)責(zé)任.Aftertheaccident1PartyAorPartyBtotheguards(firstfoundinwhichever)shouldbeimmediatelyreportedtothepoliceandinformeachother,duetoPartyBfailstonotifyPartyAintime,PartyAcannotleadtothecausesoftheaccidentarereasonablesurveyorcannotverifyloss,Bassumeresponsibilityo2。事故發(fā)生后，經(jīng)公安、消防等相關(guān)職能部門出具責(zé)任認(rèn)定書，確定是由乙方警衛(wèi)人員進(jìn)行保全服務(wù)工作時的過失或故意行為，造成甲方經(jīng)濟損失的，乙方負(fù)責(zé)承擔(dān)賠償責(zé)任，但不包含甲方現(xiàn)金，珠寶、有價證券、商業(yè)資料及其它難以確定價值的物品。aftertheaccident,thepolice,fireandotherrelatedfunctionaldepartmentsissuedtheresponsibilitytorecognizethebook,isdeterminedbyPartyBtheguardsforsecurityserviceworkofthenegligenceorwillfulact,causingeconomiclossesofPartyA,PartyBshallbeartheliabilityforcompensation,butdoesnotcontainacash,jewelry,securities,andotherbusinessinformationitisdifficulttodeterminethevalueofthegoods.3。事故發(fā)生后甲方應(yīng)該盡力采取必要合理的措施防止或減少損失，否則因此擴大的損失，乙方不承擔(dān)賠償責(zé)任.aftertheaccident,PartyAshouldendeavortotakenecessaryandreasonablemeasures,preventorreducealoss,orsotheenlargedlosses,PartyBshallnotbeartheliabilityforcompensation..因甲方人員違規(guī)而造成的責(zé)任事故，乙方不承擔(dān)責(zé)任。4Partypersonnelirregularitiescausedbytheaccident,PartyBshallnotassumeresponsibility.第六條：保密條款sixth:confidentialityclause本合同中所有條款均屬商業(yè)秘密，甲、乙雙方均負(fù)有保密義務(wù),未經(jīng)對方書面同意，不得向任何第三方透漏.任何一方向第三方透漏本合同相關(guān)信息,均屬違約行為，未泄密方有權(quán)要求泄密方支付違約金，相當(dāng)于本合同規(guī)定的保全服務(wù)費用總額的30%,并保留向泄密方追究因泄密造成的商業(yè)利益損失的權(quán)利。thisa1lthetermsofthecontractaretradesecrets,a,Bbothpartieshavetheobligationtokeep changeandtheliabilityforbreachofcontract1o本合同本次活動已經(jīng)結(jié)束，乙方不得單獨向服務(wù)客戶(蘋果公司)提出任何費用追索事宜，否則甲方有權(quán)在總費用中扣除給甲方造成的直接損失。情節(jié)嚴(yán)重的，可以暫停支付剩余款項(本合同簽訂前已經(jīng)發(fā)生的甲方不予追究)。thiscontractthisactivity
