lfofOWNERandtheContractor;本合同協(xié)議書由業(yè)主和承包商代表簽署TheContractorhassubmittedtoOwnerthePerformanceBondandAdvancePaymentBond.承包商向業(yè)主提交了履約保函和預(yù)付款保函TheContractorhasreceivedtheAdvancePaymentfromOwnerinaccordancewithrelevanttermsoftheContract.承包商收到了業(yè)主按照合同相關(guān)條件支付的預(yù)付款A(yù)rticle4.Appendices附件TheAppendiceslistedinthePartIIofArticle1formanintegralpartofthisContractAgreement.條款1中所列的第二部分的附件構(gòu)成合同協(xié)議整體不可分割的部分ReferenceintheContracttoanyAppendixshallmeantheAppendicesattachedheretoandtheContractshallbereadandconstruedaccordingly.合同中所提及的任何附件，指的是合同所附的附件。承包商提交如下文件：ListofCivilandArchitecturedrawingsandtimeforsubmission土建圖紙及提交時(shí)間清單engineering,manufacturing,procurement,supply,transportation,erectionandcoissioning,detailedforallsystemandmainpartsofthepowerplant,civilworks,andspecifiedtimeforstart/finishandrelationshipforeachtask設(shè)計(jì)，制造，采購，供貨，運(yùn)輸，安裝，調(diào)試的總體進(jìn)度表，電廠所有系統(tǒng)、主要部分、土建的詳細(xì)進(jìn)度表，開工/完工具體時(shí)間表，以及各個(gè)任務(wù)間的關(guān)系Technologicaldiagram(withP&Idiagram)技術(shù)圖紙（工藝管道及儀表流程圖）LayoutofCCBwithdetailarrangementoftablesandpanel(3dimensions)中央控制室（CCB）的平面布置圖，及操作臺(tái)和控制屏的詳細(xì)布置5.GeneralPlantLay-out,consistingofbuildings,outdoorsystems,road,establishedonthebaseontopographyinvestigationatsite電廠總布置圖，包括根據(jù)工程現(xiàn)場(chǎng)調(diào)查的建筑、戶外系統(tǒng)、道路等.6.Drawingsforallbuildingsarrangementandarchitecture,includedperspectiveofpowerplantandsections(scale1:100)所有建筑物布局和建筑結(jié)構(gòu)圖紙，包括火電廠的透視圖和剖面圖(比例尺為1:100)7.includinglistofpipesandvalveswiththedescriptionsofmaterial,diameterandratedpressure,dimension,insulationthicknessofallpipes.IsometricDrawings(3-dimensionalwithpipelength)areincluded系統(tǒng)圖紙、管道分支圖紙，包括管道與閥門清單（含所有的管道的材料、直徑、額定壓力、尺寸、絕緣厚度描述）。包含等容積的圖紙（有管道長(zhǎng)度的三維圖）Article5.Coencement,Completion,PossessionandLiquidatedDamages開工，竣工，進(jìn)場(chǎng)和約定賠償金TimeforCoencement開工時(shí)間5.1TheContractorshallcoencetheWorksrightaftertheEffectiveDateaccordingtothetimescheduleasdescribedinAppendix4oftheContract.承包商須在合同生效日后，立即按照合同附件4的時(shí)間進(jìn)度要求開始工作。TimeforPossession進(jìn)場(chǎng)時(shí)間5.3OwnershallgivefullpossessionofandaccordallrightsofaccesstotheSiteandrightstoallotherareasforimplementationofContractonorbeforethedate(s)ofContractEffectiveDate.業(yè)主在合同生效之日或者之前,給承包商進(jìn)入和占用現(xiàn)場(chǎng)各部分實(shí)施合同的權(quán)利.TimeforCompletion竣工時(shí)間5.2WithoutprejudicetoGC26.2oftheGeneralConditionsVolume1Biddingdocument,theContractorshallproceedwiththeWorksinaccordancewiththetimeschedulespecifiedinAppendix4(ProjectImplementationSchedule)heretoandshallattainProvisionalAcceptanceoftheCoal-firedThermalPowerPlantwithin36monthsforUnitNo.1and42monthsforUnitNo.2andthewholePlantfromtheEffectiveDateofContract.在不違背招標(biāo)文件第1卷的GC26.2的規(guī)定的前提下，承包商應(yīng)該根據(jù)附件4（項(xiàng)目實(shí)施進(jìn)度表）的規(guī)定，在合同生效之日起36個(gè)月內(nèi)獲得燃煤火電廠1號(hào)機(jī)組的臨時(shí)驗(yàn)收，在合同生效之日起42個(gè)月內(nèi)獲得燃煤火電廠2號(hào)機(jī)組和整個(gè)電廠的臨時(shí)驗(yàn)收。LiquidatedDamagesforDelay工期延遲約定損害賠償金5.4IftheContractorfailstoattainProvisionalAcceptanceoftheCoal-firedThermalPowerPlantoranypartthereofwithintheTimeforCompletionSpecifiedinArticle5.2(TimeforCompletion)aboveorwithinsuchextendedtimetowhichtheContractorshallbeentitledunderGC39(ExtensionofTimeforCompletion)oftheGeneralConditions/Volume1-ITB,theContractorshallpaytoOWNERUSD120,000/dayxtotaldaysofdelayforeachUnitpursuanttoGC26.2oftheGeneralConditions.Suchamountshallbepaidasliquidateddamagesandnotexceedtenpercents(10%)ofContractPrice.如果承包商未能按照條款5.2（竣工時(shí)間）的規(guī)定時(shí)間獲得燃煤火電廠的臨時(shí)驗(yàn)收，或者根據(jù)第1卷（ITB）的GC39（竣工時(shí)間的延長(zhǎng)）的規(guī)定，在延長(zhǎng)后的擔(dān)保竣工之日仍未獲得燃煤火電廠的臨時(shí)驗(yàn)收，那么根據(jù)GC26.2的規(guī)定，從規(guī)定竣工之日起開始計(jì)算，承包商應(yīng)該向業(yè)主支付的工期延遲違約賠償金為每臺(tái)機(jī)組120,000USD/天，作為延遲違約賠償金支付的金額不得超過合同總價(jià)格的10%。5.5GuaranteePeriod保證期TheGuaranteePeriodforthePlantshallbenotlessthan24monthseffectivefromthedateofProvisionalAcceptanceUnitissuedbyOWNERandinaccordancewithGC27根據(jù)GC27的規(guī)定，電廠的保證期是從業(yè)主對(duì)機(jī)組臨時(shí)驗(yàn)收起的二十四（24）個(gè)月內(nèi)Article6Insurance保險(xiǎn)TheinsurancetobetakenoutandmaintainedbytheContractorpursuanttoGC34(Insurance)oftheGeneralConditionsVolume1–BiddingDocumentshallbeasspecifiedinAppendix3(InsuranceRequirements)hereto.承包商的保險(xiǎn)根據(jù)招標(biāo)文件附錄（保險(xiǎn)要求）的規(guī)定執(zhí)行Article7PerformanceGuaranteesandLiquidatedDamages性能保證和違約賠償金PerformanceGuarantees性能保證7.1TheContractorguaranteestheattainmentofthePerformanceGuaranteesspecifiedinPerformanceGuarantees(Appendix8)heretoinaccordancewithGC28(PerformanceGuarantees)oftheGeneralConditions/Volume1–ITB,subjecttoandupontheconditionsspecifiedinPerformanceGuarantees(Appendix8)hereto.承包商承諾達(dá)到附錄8（性能擔(dān)保）規(guī)定的性能擔(dān)保值，并符合第1卷（ITB）GC28的規(guī)定。LiquidatedDamagesforFailuretoAttainPerformanceGuarantees未能達(dá)到性能保證要求的違約賠償金LiquidatedDamagesfordelayinTimeforCompletionofeachUnitofOWNERPowerPlantwillbe120,000USD/dayofdelayforeachunitfromtheguaranteedDateofCompletionorfromthedateresultingfromanExtensionofTimeforCompletiongrantedinaccordancewithGC39,uptoamaximumof10%ofthecontractprice.對(duì)于業(yè)主燃煤火電廠每臺(tái)機(jī)組或其任何一部分，如果實(shí)際竣工時(shí)間延遲，那么從保證竣工期起開始計(jì)算，或者根據(jù)GC39的規(guī)定，從延長(zhǎng)后的保證竣工期起開始計(jì)算，違約賠償金為120,000USD/天，總違約賠償金不得超過合同總價(jià)格的10%。LiquidatedDamagespayableuponfailuretomeetPerformanceGuarantees未達(dá)到性能擔(dān)保的要求，需要支付的違約賠償金是：TheContractorshallpaytoYYforLiquidatedDamagesasstipulatedinAppendix8oftheContractAgreement.LiquidatedDamagesforfailuretomeetthePerformanceGuaranteesshallbe20%oftheContractValueasmaximum.TotalaggregateliabilityforallliquidateddamagesasstipulatedinGC26.2andGC28.2inthiscontractshallnotexceed20%ofcontractprice.承包商向YY集團(tuán)支付的違約賠償金在附錄8（合同協(xié)議）中有規(guī)定，性能擔(dān)保的最高違約賠償金是合同總價(jià)格的20%。本合同GC26.2和GC28.2范圍類所有的違約賠償金的累計(jì)金額不得超過合同總價(jià)格的20%。7.2IftheContractorfailstoattainthePerformanceGuaranteesspecifiedinPerformanceGuarantees(Appendix8)heretotheContractorshallpaytoOWNERliquidateddamagesassetoutinAppendix14oftheContractAgreement(PerformanceGuaranteesandPenaltyforfailuretomeetPerformanceGuarantees)hereto.TheContractor’spaymentforfailurenottoattainPerformanceGuaranteesshallnotexceedtwentypercents(20%)ofContractprice.如果承包商未能達(dá)到附件8（性能保證）的要求，承包商應(yīng)該按照附件14（性能保證和未能達(dá)到性能保證要求的違約賠償金）中的規(guī)定，向業(yè)主支付違約賠償金，未能達(dá)到性能保證的違約賠償金不超過合同總價(jià)格的20%。Article8Bonds保函AdvancePaymentBond預(yù)付款保函8.1PursuanttoGC13.2(AdvancePaymentBond)oftheGeneralConditions,theContractorshalldelivertoOWNERnotlaterthantwentyone(21)daysaftersigningtheAgreement,abondintheformsetoutinPartIII-(FormsandProcedure-AdvancePaymentBond)heretoissuedbyabankacceptabletoOWNER,issuedwithamountis,asumequaltotheamountoftheadvancepaymentcalculatedinaccordancewithAppendix1(TermsandModeofPayment)hereto.根據(jù)GC13.2（預(yù)付款保函）的規(guī)定，承包商應(yīng)在協(xié)議簽署之日起21天之內(nèi)通過業(yè)主可接受的銀行，按照第三部分的格式（格式和程序-預(yù)付款保函）向業(yè)主開立預(yù)付款保函，保函金額為等同于根據(jù)附件1計(jì)算的預(yù)付款金額。PerformanceBond履約保函8.2PursuanttoGC13.3(PerformanceBond)oftheGeneralConditions/Volume1-ITB,theContractorshalldelivertoOWNERwithintwentyone(21)daysafterthedateofsigningtheAgreement,abondintheformofPerformanceBonds(PartIIIFormsandProcedure–PerformanceBond)heretoissuedbybankacceptabletoOWNER,issuedwithamountisequivalentthetenpercents(10%)ofContractPrice.PerformanceBondinanamountequaltofivepercent(5%)oftheContractPriceshallremainvalidfromthedateofitsissuanceuntiltheissuanceofFinalAcceptanceCertificateofthefirstunitissuedbyOWNER.PerformanceBondinanamountequaltotheremainedfivepercent(5%)oftheContractPriceshallremainvalidfromthedateofitsissuanceuntiltheissuanceofFinalAcceptanceCertificateofthesecondunit.根據(jù)第1卷（ITB）的GC13.3（履約保函）的規(guī)定，承包商應(yīng)該從簽訂合同協(xié)議之日的21天之內(nèi)，通過業(yè)主接受的銀行，按照履約保函的格式（第三部分-格式和程序-履約保函）向業(yè)主開立一份履約保函，保函金額為.等同于合同總價(jià)格的百分之十(10%)。金額等同于合同總價(jià)格百分之五（5%）的履約保函有效期將從出具之日起直到業(yè)主頒發(fā)一號(hào)機(jī)組最終驗(yàn)收證書為止。金額等同于合同總價(jià)格百分之五（5%）的履約保函有效期將從出具之日起直到業(yè)主頒發(fā)二號(hào)機(jī)組最終驗(yàn)收證書為止Notwithstandingtheforegoing,iftheDefectLiabilityPeriodisextendedwithrespecttoanypartofthePlantinaccordancewithGC27.8oftheGeneralConditions,theContractorshallarrangeforthebondtoremainvaliduntiltheexpirationoftheDefectLiabilityPeriodwithrespecttosuchpartinanamountequaltofivepercent(10%)oftheContractPriceofthatpart.但是，如果根據(jù)GC27.8的規(guī)定，電廠的任何部分的缺陷責(zé)任期延長(zhǎng)，承包商應(yīng)該安排履約保函的有效期相應(yīng)延長(zhǎng)到缺陷責(zé)任期結(jié)束，相應(yīng)的金額為該部分合同價(jià)格的百分之十(10%)。Article9Contractor’sTotalMaximumLiability承包商的最大責(zé)任TheContractor’stotalmaximumliabilitypursuanttoGC30.1shallnotexceedtheContractPrice.ThemaximumtotalliabilitiesoftheContractorforallLiquidatedDamagesshallbelimitedto20%oftheContractPrice.根據(jù)GC30.1條，承包商的全部最大責(zé)任不超過合同價(jià)格。承包商對(duì)所有違約賠償金的最大全部責(zé)任不超過合同價(jià)格的20%。Article10Financing融資ThesourceofcapitalforpaymenttoEPCContractorisfinancedbyOwner.支付給EPC總承包商的資金由業(yè)主籌措。Article11Notices通知AllnoticestobegivenundertheContractshallbesenttoOWNERortheContractor,asthecasemaybe,attheaddresssetforthbelow:所有傳遞給業(yè)主或或者承包商的的通知應(yīng)該用用以下聯(lián)系方方式：Article12GooverniingLaaw條款12：適用法律ThegoveerningglawofthheConntracttshalllbethellawoffOWNEER.ThheConntracttwilllbeiimplemmenteddinccompliiancewiththellawsoofOWNNER.合同適用的法律是是的法律。承承包商應(yīng)該嚴(yán)嚴(yán)格遵循國法法律執(zhí)行合同同。Article13Arrbitraation條款13：仲裁13.1TheeplacceofanyaarbitrrationnpurssuanttoGCC6.1(Arbiitratiion)ooftheeGeneeralCCondittions//Volumme1-IITBshhallbbetheeOWNEERIntternattionallArbiitratiionCeentreatthheOWNNERChhamberrofCCoerceeandIndusstry((VCCI)).根據(jù)GC6.1（仲裁裁）的規(guī)定，任任何仲裁地點(diǎn)點(diǎn)應(yīng)該是國工工商總會(huì)的國國際仲裁中心心。13.2TheelangguageofthhearbbitrattionsshallbeEnnglishh.仲裁語言為為英語。簽署部分略附件一：工程程保險(xiǎn)要求TherequiiremenntoffInsuuranceeforEnginneerinngBeforePPAC,ttheOwwnersshallbeartheddeducttiblessforthellossaand/orrdamaagewhhichiiscauusedbbyreaasonooftheeOwneer(inncludiinghiisempployeeeandconsuultantt);Iffthelossand/oordammageiiscauusedbbyanyythirrdparrty,ttheCoontracctorsshallbeartheddeducttiblessforthellossaand/orrdamaagewhhichccannottbecclaimeedfroomtheeinsuurer;TheCContraactorshalllbearrthededucctibleesforrthelossand/oordammagewwhichiscaausedbyottherrreasonn(exccludinngForrceMaajeuree)；FromPACttoFACC,theeConttractoorshaallbe
