901GeneralProvisions1.1DefinitionsIntheConditionsofContract(“theseConditions”),whichincludeParticularConditionsandtheseGeneralConditions,thefollowingwordsandexpressionsshallhavethemeaningstated.Wordsindicatingpersonsorpartiesincludecorporationandotherlegalentities,exceptwherethecontextrequiresotherwise.TheContract“Contract”meanstheContractAgreement,theseConditions,theEmployer’sRequirement,theTender,andfurtherdocument(ifany)whicharelistedintheContractAgreement.“ContractAgreement”meansthecontractagreementreferredtoinSub-Clause1.6[ContractAgreement],includinganyannexedmemoranda.“Employer’srequirements”meansthedocumententitledemployer’srequirements,asincludedintheContract,andanyadditionsandmodificationstosuchdocumentinaccordancewiththeContract.Suchdocumentspecifiesthepurpose,scope,and/ordesignand/orothertechnicalcriteria,fortheWorks.“Tender”meanstheContractor’ssignedofferfortheWorksandallotherdocumentswhichtheContractorsubmittedtherewith(otherthantheseConditionsandEmployer’sRequirements,ifsosubmitted),asincludedintheContract.“PerformanceGuarantees”and“Scheduleofpayments”meanthedocumentssonamed(ifany),asincludedintheContract.PartiesandPersons“Party”meanstheEmployerortheContractor,asthecontextrequires.“Employer”meansthepersonnamedasemployerintheContractAgreementandthelegalsuccessorsintitletothisperson.“Contractor”meanstheperson(s)namedascontractorintheContractAgreementandthelegalsuccessorsintitletothisperson(s).“Employer’sRepresentative”meansthepersonnamedbytheEmployerintheContractorappointedfromtimetotimebytheEmployerunderSub-Clause3.1[theEmployer’sRepresentative],whoactsonbehalfoftheEmployer.“Contractor’sRepresentative”meansthepersonnamedbytheContractorintheContractorappointedfromtimetotimebytheContractorSub-Clause4.3[theContractor’sRepresentative],whoactsonbehalfoftheContractor.“Employer’sPersonnel”meanstheEmployer’sRepresentative,theassistantsreferredtoinSub-Clause3.2[OtherEmployer’sPersonnel]andallotherstaff,labourandotheremployeesoftheEmployerandoftheEmployer’sRepresentative;andanyotherpersonnelnotifiedtotheContractor,bytheEmployerortheEmployer’sRepresentative,asEmployer’sPersonnel.“Contractor’sPersonnel”meanstheContractor’sRepresentativeandallpersonnelwhomtheContractorutilizesonSite,whomayincludethestaff,labourandotheremployeesoftheContractorandofeachSubcontractor,andanyotherpersonnelassistingtheContractorintheexecutionoftheworks.“Subcontractor”meansanypersonnamedintheContractasasubcontractor,oranypersonappointedasasubcontractor,forapartoftheWorks;andthelegalsuccessorsintitletoeachofthesepersons.“DAB”meansthepersonorthreepersonssonamedintheContract,orotherperson(s)appointedunderSub-Clause20.2[AppointmentoftheDisputeAdjudicationBoard]orSub-Clause20.3[FailuretoAgreeDisputeAdjudicationBoard].“FIDIC”meanstheFederationInternationaldesIngenieurs-Conseils,theinternationalfederationofconsultingengineers.Dates,Test,PeriodsandCompletion“BaseDate”meansthedate28dayspriortothelatestdateforsubmissionoftheTender.“CommencementDate”meansthedatenotifiedunderSub-Clause8.1[CommencementofWorks],unlessotherwisedefinedintheContractAgreement.“TimeforCompletion”meansthetimeforcompletingtheWorksoraSection(asthecasemaybe)underSub-Clause8.2[TimeforCompletion],asstatedintheParticularConditions(withanyextensionunderSub-Clause8.4[ExecutionofTimeforCompletion]),calculatedfromtheCommencementDate.“TestsonCompletion”meansthetestswhicharespecifiedintheContractoragreedbybothPartiesorinstructedasaVariation,andwhicharecarriedoutunderClause9[TestsonCompletion]beforetheworksoraSection(asthecasemaybe)aretakenoverbytheEmployer.“Taking-OverCertificate”meansacertificateissuedunderClause10[Employer’sTakingOver].“TestsafterCompletion”meansthetests(ifany)arespecifiedintheContractandwhicharecarriedoutunderClause12[TestsafterCompletion]aftertheworksoraSection(asthecasemaybe)aretakenoverbytheEmployer.“DefectsNotificationPeriod”meanstheperiodfornotifyingdefectsintheWorksoraSection(asthecasemaybe)underSub-Clause11.1[CompletionofUnderstandingWorksandRemedyingDefects],asstatedintheParticularConditions(withanyextensionunderSub-Clause11.3[ExtensionofDefectsNotificationPeriod]),calculatedfromthedateonwhichtheWorksorSectioniscompetedascertifiedunderSub-Clause10.1[TakingOveroftheWorksandSections].IfnosuchperiodisstatedintheParticularConditions,theperiodshallbeoneyear.“PerformanceCertificate”meansthecertificateissuedunderSub-Clause11.9[PerformanceCertificate].“day”meansacalendardayand“year”means365days.MoneyandPayments“ContractPrice”meanstheagreedamountstatedintheContractAgreementforthedesign,executionandcompletionoftheWorksandtheremedyingofanydefects,andincludesadjustment(ifany)inaccordancewiththecontract.“Cost”meansallexpenditurereasonablyincurred(ortobeincurred)bytheContractor,whetheronorofftheSite,includingoverheadandsimilarcharges,butdoesnotincludeprofit.“FinalStatement”meansthestatementdefinedinSub-Clause14.11[ApplicationforFinalPayment].“ForeignCurrency”meansacurrencyinwhichpart(orall)oftheContractPriceispayable,butnottheLocalCurrency.“LocalCurrency”meansthecurrencyoftheCountry.“ProvisionalSum”meansasum(ifany)whichisspecifiedintheContractasaprovisionalsum,fortheexecutionofanypartoftheWorksorforthesupplyofPlant,MaterialorservicesunderSub-Clause13.5[ProvisionalSums].“RetentionMoney”meanstheaccumulatedretentionmoneyswhichtheEmployerretainsunderSub-Clause14.3[ApplicationforInterimPayments]andpaysunderSub-Clause14.9[PaymentofRetentionMoney].“Statement”meansastatementsubmittedbytheContractoraspartofanapplicationforpaymentunderClause14[ContractPriceandPayment].WorksandGoods“Contractor’sEquipment”meansallapparatus,machinery,vehiclesandotherthingsrequiredfortheexecutionandcompletionoftheWorksandremedyingofanydefects.However,Contractor’sEquipmentexcludesTemporaryWorks,Employer’sEquipment(ifany),Plant,MaterialsandanyotherthingsintendedtoformorformingpartofthePermanentWorks.“Goods”meansContractor’sEquipment,Materials,PlantandTemporaryWorks,oranyofthemasappropriate.“Materials”meansthingsofallkinds(otherthanPlant)intendedtoformorformingpartofthePermanentWorks,includingthesupply-onlymaterials(ifany)tobesuppliedbytheContractorundertheContract.“PermanentWorks”meansthepermanentworkstobedesignedandexecutedbytheContractorundertheContract.“Plant“meanstheapparatus,machineryandvehiclesintendedtoformorformingpartofthePermanentWorks.“Section”meansapartoftheWorksspecifiedintheParticularConditionsasaSection(ifany).“TemporaryWorks”meansalltemporaryworksofeverykind(otherthanContractor’sEquipment)requiredonSitefortheexecutionandcompletionofthePermanentWorksandtheremedyingofanydefects.“Works”meansthePermanentWorksandtheTemporaryWorks,oreitherofthemasappropriate.OtherDefinitions“Contractor’sDocuments”meansthecalculations,computerprogramsandothersoftware,drawings,manuals,modelsandotherdocumentsofatechnicalnaturesuppliedbytheContractorundertheContract;asdescribedinSub-Clause5.2[Contractor’sDocuments].“Country”meansthecountryinwhichtheSite(ormostofit)islocated,wherethePermanentWorksaretobeexecuted.“Employer’sEquipment”meanstheapparatus,machineryandvehicles(ifany)madeavailablebytheEmployerfortheuseoftheContractorintheexecutionoftheWorks,asstatedintheEmployer’sRequirements;butdoesnotincludePlantwhichhasnotbeentakenoverbytheEmployer.“ForeMajeure”isdefinedinClause19[ForeMajeure].“Laws”meansallnational(orstate)legislation,statutes,ordinancesandotherlaws,andregulationsandby-lawsofanylegallyconstitutedpublicauthority.“PerformanceSecurity”meansthesecurity(orsecurities,ifany)underSub-Clause4.2[PerformanceSecurity].“Site”meanstheplaceswherethePermanentWorksaretobeexecutedandtowhichPlantandMaterialsaretobedelivered,andanyotherplacesasmaybespecifiedintheContractasformingpartoftheSite.“Variation”meansanychangetotheEmployer’sRequirementsortheWorks,whichisinstructedorapprovedasavariationunderClause13[VariationandAdjustment].1.2InterpretationIntheContract,exceptwherethecontextrequiresotherwise:Wordsindicatingonegenderincludeallgenders;Wordsindicatingthesingularalsoincludethepluralandwordsindicatingthepluralandwordsindicatingthepluralalsoincludethesingular.Provisionsincludingtheword“agree”,”agreed”or“agreement”requiretheagreementtoberecordedinwriting,and“written”or“inwriting”meanshand-written,type-written,printedorelectronicallymade,andresultinginapermanentrecord.ThemarginalwordsandotherheadingsshallnotbetakenintoconsiderationintheinterpretationoftheseConditions.1.3CommunicationsWherevertheseConditionsprovideforthegivingorissuingofapprovals,certificates,consents,determinations,noticesandrequests,thesecommunicationsshallbe:inwritinganddeliveredbyhand(againstreceipt),sentbymailorcourier,ortransmittedusinganyofagreedsystemsofelectronictransmissionasstatedintheParticularConditions;anddelivered,sentortransmittedtotheaddressfortherecipient’scommunicationsasstatedintheContract.However:iftherecipientgivesnoticeofanotheraddress,communicationsshallthereafterbedeliveredaccordingly;andiftherecipienthasnotstatedotherwisewhenrequestinganapprovalorconsent,itmaybesenttotheaddressfromwhichtherequestwasissued.Approval,certificates,consentsanddeterminationsshallnotbeunreasonablywithheldordelayed.1.4LawandLanguageTheContractshallbegovernedbythelawofthecountry(orotherjurisdiction)statedintheParticularConditions.IfthereareversionsofanypartoftheContractwhicharewritteninmorethanonelanguage,theversionwhichisintherulinglanguagestatedintheParticularConditionsshallprevail.ThelanguageforcommunicationsshallbethatstatedintheParticularConditions.Ifnolanguageisstatedthere,thelanguageforcommunicationsshallbethelanguageinwhichtheContract(ormostofit)iswritten.1.5PriorityofDocumentThedocumentsformingtheContractaretobetakenasmutuallyexplanatoryofoneanother.Forthepurposesofinterpretation,thepriorityofthedocumentsshallbeinaccordancewiththefollowingsequence:theContractAgreement;theParticularConditions;theseGeneralConditions;theEmployer’sRequirements;theTenderandotherdocumentsformingpartoftheContract.1.6ContractAgreementTheContractshallcomeintofullforceandeffectonthedatestatedintheContractAgreement.Thecostsofstampdutiesandsimilarcharges(ifany)imposedbylawinconnectionwithentryintotheContractAgreementshallbebornebytheEmployer.1.7AssignmentNeitherPartyshallassignthewholeoranypartoftheContractoranybenefitorinterestinorundertheContract.However,eitherParty:mayassignthewholeoranypartwiththeprioragreementoftheotherParty,atthesolediscretionofsuchotherParty,andmay,assecurityinfavorofabankorfinancialinstitution,assignitsrighttoanymoneysdue,ortobecomedue,undertheContract.1.8CareandSupplyofDocumentEachoftheContractor’sDocumentsshallbeinthecustodyandcareoftheContractor,unlessanduntiltakenoverbytheEmployer.UnlessotherwisestatedintheContract,theContractorshallsupplytotheEmployersixcopiesofeachoftheContractor’sDocuments.TheContractorshallkeep,ontheSite,acopyoftheContract,publicationsnamedintheEmployer’srequirements,theContractor’sDocuments,andVariationsandothercommunicationsgivenundertheContract.TheEmployer’sPersonnelshallhavetherightofaccesstoallthesedocumentsatallreasonabletimes.IfaPartybecomesawareofanerrorordefectofatechnicalnatureinadocumentwhichwaspreparedforuseinexecutingtheWorks,thePartyshallpromptlygivenoticetotheotherPartyofsucherrorordefect.1.9ConfidentialityBothPartiesshalltreatthedetailsoftheContractasprivateandconfidential,excepttotheextentnecessarytocarryoutobligationsunderitortocomplywithapplicableLaws.TheContractorshallnotpublish,permittobepunished,ordiscloseanyparticularsoftheWorksinanytradeortechnicalpaperorelsewherewithoutthepreviousagreementoftheEmployer.1.10Employer’sUseofContractor’sDocumentsAsbetweentheParties,theContractorshallretainthecopyrightandotherintellectualpropertyrightsintheContractor’sDocumentsandotherdesigndocumentsmadeby(oronbehalfof)theContractor.TheContractorshallbedeemed(bysigningtheContract)togivetotheEmployeranon-terminabletransferablenon-exclusiveroyalty-freelicencetocopy,useandcommunicatetheContractor’sDocuments,includingmakingandusingmodificationsofthem.Thislicenceshall:applythroughouttheactualorintendedworkinglife(whicheverislo
