Accordingtotheworkrequirement,PartyAmaysendPartyBtoworkatotherOrganizations.

Article3BasedupontheworkrequirementandafterconsultationwithPartyB,theOrganizationmayadjusttheposition,duty,andworkplaceofPartyB.Ifsuchadjustmenthappens,PartyAshallbeinformedwithin15days;PartyAandPartyBshallsignanagreementonsuchalterationtotheemploymentContract.

ChapterIIIWorkingHours,HolidaysandLeave

Article4Theworkinghours,holidaysandleaveshallbearrangedbytheOrganizationincompliancewithrelevantlawsoftheStateandtherequirementoftheworkposition.

Article5TheOrganizationshallpayPartyBovertimefeeaccordingtotherelatedregulationsoftheStateifPartyBisrequiredtoworkovertime.

ChapterIVLaborProtectionsandWorkingConditions

Article6TheOrganizationshallprovidenecessaryworkingconditions,toolsandlaborprotectionarticlesaccordingtorelevantregulationsandrequirementsofthestate.

PartyBshallstrictlyabidebythelaborsafetyregulationsofbothPartyAandtheOrganization,anditisstrictlyforbiddentoworkinviolationoftherelevantregulationssoastopreventaccidentsinthecourseofthework.

ChapterVRemuneration

Article7TheremunerationforPartyBduringhis/heremploymentperiodshallbecalculatedbasedonthetotalfeesforemploymentasdeterminedhereinbytheLaborServiceContractonEmploymentofChineseCitizens/orAgreement/orMOU.

(I)PartyB’sincomedistributionisindicatedbytheattachedTable.

(II)TheminimumsalarystandardoftheBeijingMunicipalityshallbetakenasthebasicsalaryofPartyB.

(III)ThesalaryofPartyBintheprobationperiod:PartyAshallpaynolessthan80%ofPartyB’sremuneration.

(IV)SickleavesalaryofPartyB:Withintheprescribedtreatmentperiod,PartyAshallpayataratenolessthan80%oftheminimumsalarystandardoftheBeijing

Municipality.

(V)RemunerationandbenefitsofPartyBduringunemploymentshallbepaidbyPartyAaccordingtotheminimumsalarystandardoftheBeijingMunicipality.

(VI)BothPartyAandPartyBagreeasfollowsontheremunerationandrelevantmattersincaseofarrearsonthepartoftheOrganization:

1.IntheeventthattheOrganizationhasbeenover30daysinarrearswithpaymentofthetotalemploymentfeesorPartyB’sremuneration,socialinsurancepremiums,housingprovidentfundormanagementfeedefinedbythisContractwhilePartyBprovidesnormalservice,PartyBshallreporttoPartyAintimeandhasanobligationtoassistPartyAwithrepresentationstoPartyAsoastourgetheOrganizationtomaketimelypaymentofalltherelevantfeesprescribedbytheContract.

2.DuringtheperiodwhentheOrganizationhasbeenoveronemonth,butlessthantwomonthsinarrearswithrelevantpayment,PartyAshall

advancemoneyforPartyB’sremuneration,andalsopayPartyB’ssocialinsurancepremiumsandhousingprovidentfundfirstandgetpaidbacklater.

3.IncasetheOrganizationhasbeeninarrearsfortwomonths,PartyAmay

removePartyBfromthecurrentpostatitsdiscretion.WhereasPartyBshallcooperateontheirowninitiativeandobeytheworkarrangementbyPartyA.FailuretodosoonthepartofPartyBshallberegardedasanagreementbetweenPartyAandPartyBtoterminatethisContract.

4.IncasePartyBiswillingtocontinuetheirservicetotheOrganizationeven

theOrganizationisinarrearswithpayment,PartyAshallpayPartyB’sremunerationaccordingtotheminimumsalarystandardoftheBeijing

Municipality.

5.IncasetheOrganizationentrustsPartyBwithpaymentofPartyA’stotal

employmentfeesormanagementfeeandPartyBfailstopaytherelevantfeetoPartyAintimewithoutanylegitimatereason,leadingtothearrearsonthepartoftheOrganization,PartyAshallhavetherighttogivethewarningandinformtheOrganization.IncasePartyBhasrefusedtomakesuchpaymentfortwomonthsandthereforefunctionaryembezzlementormisappropriationhascroppedup,PartyAmaycancelthisContractwith

PartyAshallpaynoeconomiccompensationincaseofterminationorcancellationofthisContractaccordingtoSection3or5ofthisagreement.

ChapterVISocialInsuranceandOtherBenefits

Article8EntrustedbytheOrganization,PartyAshallhandletheproceduresrelatingtothesocialinsuranceandhousingprovidentfundforPartyBaccordingtotheregulationsofthestateandtheBeijingMunicipality.

TheamountofthesocialinsurancepremiumsandhousingprovidentfundforPartyBduringtheemploymentperiodandthewayofpaymentshallbedecideduponandimplementedincompliancewiththestipulationsoftheLaborServiceContractontheEmploymentofChineseCitizens/orAgreement/orMOUlawfullysignedbetweenPartyAandtheOrganization.

(I)ThemedicaltreatmentforPartyBduringillnessorincaseofnonwork-relatedinjuryshallfollowtherelevantregulationsoftheStateandtheBeijing

Municipality.

(II)ThebenefitsforPartyBshallfollowtherelevantregulationsofthestateandtheBeijingMunicipalityincaseheorshecontractsoccupationaldiseaseorsufferswork-relatedinjury.

Article9IncaseofarrearsonthepartoftheorganizationorduringPartyB’sunemployment,PartyAshalladjustthebenchmarksforthesocialinsurancepremiumsandthehousingprovidentfundinaccordancewiththeregulationsoftheStateandthenpaythepremiumsandhousingprovidentfundforPartyB.

ChapterVIIDiscipline

Article10PartyBshallabidebytheworkingdiscipline,rulesandregulationsofbothPartyAandthediplomaticmission.

(I)PartyAhastheresponsibilitytotrainandeducatePartyBonvocationalethics,professionalskills,laborsafety,workingdiscipline,rulesandregulations.

(II)PartyBhastheobligationtoreceivetheeducationandtrainingbyPartyA.PartyAhastherighttosettleanybreachorviolationcommittedbyPartyBandeventoterminatetheemploymentcontractaccordingtorelevantregulations.

ChapterVIII

TerminationandExpirationof

theEmploymentContract

Article11ThisContractmaybeterminatedifconsensusisreachedbetweenthetwoparties.

Article12ThisContractmaybeterminatedifPartyBnotifiesPartyAinwriting30daysinadvance;orPartyBnotifiesPartyA3daysinadvanceduringtheprobationperiod.

Article13IfPartyAortheOrganizationisinanyofthefollowingcircumstances,PartyBmayterminatethisContract:

(I)failstoprovidelaborprotectionorworkingconditionsstipulatedbythis

Contract;

(II)failstopayfullamountoftheremunerationintime;

(III)failstopaythepremiumsofsocialinsuranceandthehousingprovidentfundaccordingtolaw;

(IV)compelsPartyBtoworkbywayofviolence,threatsorunlawfulrestrictionofpersonalfreedom.

Article14PartyAmayterminatetheContract,ifPartyBisinanyofthefollowingcircumstances:

(I)isprovedduringtheprobationperiodnotuptotherequirementsforemployment;

(II)materiallybreachesworkingrulesandregulationsofPartyAandthe

Organization;

(III)commitsseriousderelictionofdutyorengagesinmalpractices,causingsubstantiallossestoPartyAortheOrganization;

(IV)“holdspostconcurrently”inotherinstitutionorestablishesdefactolabor

relationshipwithotherinstitution;

(V)isprosecutedforcriminalresponsibilityaccordingtolaw;

(VI)isinothercircumstancessupportingPartyA’sterminationofthisContract

asstipulatedbylawsoradministrativeregulations.

Article15PartyAmayterminatetheContractafteritgivesa30days

noticetoPartyB,ifPartyBisinanyofthefollowingcircumstances:

(I)Aftertheprescribedperiodofmedicalcareforanillnessornon-workrelatedinjury,isstillincapableofengaginginhis/heroriginaljob,norcanhe/sheengageinthejobotherwisearrangedbyPartyA;

(II)isincompetentandremainsincompetentaftertrainingoradjustmentofhis/herjobposition.

Article16PartyAshallnotapplyArticle15ofthisContracttoterminatethe

Contract,ifPartyBisinanyofthefollowingcircumstances:

(I)isengagedinoperationexposinghim/hertohazardsofoccupationaldiseaseandhasnotundergoneapre-departureoccupationalhealthcheck-up,orbeingsuspectedofhavingcontractedanoccupationaldiseaseandbeingdiagnosedorundermedicalobservation;

(II)hasbeenconfirmedashavinglostorpartiallylosthis/hercapacitytoworkduetoanoccupationaldiseaseorwork-relatedinjuries;

(III)receivesmedicaltreatmentfordiseasesornon-workrelatedinjurieswithintheprescribedperiodofmedicalcare;

(IV)isafemaleemployeeduringherpregnant,puerperal,ornursingperiod.

Article17Underanyofthefollowingcircumstances,thisContractshallbeterminated.

(I)EmploymentContractisexpired;

(II)PartyBhaslawfullystartedtoenjoythebasicpension;

(III)PartyBhasbeenpaidfortheapplicabledischargeeconomiccompensationincompliancewiththeregulationsoftheState;

(IV)WithoutthepriorconsentfromPartyA,PartyB,duringhis/heremploymentwiththeOrganization,asksforaresignfromtheOrganizationorquitsthejobwithoutnotifyingtheOrganization;

(V)TheOrganizationdeclarestoclosedownortodismantle;

(VI)PartyBpassesaway,orhasbeendeclareddeadormissingbythepeoplecourt;

(VII)Othercircumstancesprescribedbylawsandadministrativerules.

Article18AtthetimeofcancellationorterminationofthisContract,PartyAshallproduceacertificateforsuchcancellationortermination,andcompletethepersonnelsocialinsurancerelationshiptransferformalitiesforPartyBwithin15days.

ChapterIXEconomicCompensation

Article19Underanyofthefollowingcircumstances,PartyAshallpaytoPartyBeconomiccompensation:

(I)PartyAproposestoPartyBforterminationofthisContractinaccordancewiththetermsofArticle11ofthisContract,andconsensusisreachedafterconsultationswithPartyBtoterminatetheContract;

(II)PartyBterminatesthisContractaccordingtothetermsofArticle13ofthis

Contract;

(III)PartyAterminatestheContractincompliancewiththetermsofArticle15

Article20TheeconomiccompensationshallbebasedonPartyB’syearsofservicewiththeOrganizationattherateofhis/hermonthlysalaryforeveryfullyearofservice.Anyservicelengthofmorethansixmonthsbutlessthanoneyearshallbecountedasoneyear;foranyservicelengthoflessthansixmonths,theeconomiccompensationpayabletoPartyBshallbehalfofhis/hermonthlysalary..

IfPartyB’ssalaryisthreetimeshigherthantheaveragemonthlysalaryofemployeesinBeijinginthepreviousyear,theeconomiccompensationpayabletoPartyBshallbeattherateofthreetimestheaveragemonthlysalaryofemployeesandthecountablelengthofserviceforeconomiccompensationshallnotexceedtwelveyears.

ThemonthlysalaryreferstotheaveragesalaryofPartyBofthetwelvemonthspriortotheterminationorexpirationofthisContract.

IfItem(I)Article15oftheContractisappliedtoterminatethisContract,PartyAshallpayPartyBinadditionmedicalcaresubsidiesequivalenttotheamountofsixmonths’salaries.Moreover,PartyAshallpayanadditionalamountof50%ofthemedicalcaresubsidiestoPartyBincaseofaseriousdisease,and100%ofthemedicalcaresubsidiesincaseofafataldisease.

Article21PartyBshallcompletethehand-overofworkaccordingtotheregulationsofPartyAandtheOrganization.Economiccompensationshallbepaidduringtheprocessofthehand-over.

Article22IftheOrganizationpaysdirectlytoPartyBtheeconomiccompensation,PartyBshallrefundallreceivedcompensationtoPartyAinatimelyfashion;inthiscase,PartyAwill,inaccordancewiththeprovisionsofthisContract,continuethelaborrelationshipwithPartyB.IfPartyBfailstorefundtheeconomiccompensationreceivedfromtheOrganization,thenitshallbeassumedthatPartyAhasexecutedsuchobligation,andthatbothpartiesagreetoterminatethisContract,andPartyBshallnotclaimanyothereconomiccompensation.

Article23IfPartyBisinthecircumstanceasdescribedinItem(II)and(III)Article14ofthisContract,thereforedischargedbyPartyA,whichcauseslosstoPartyA,thenPartyBshallbeliableforcompensationofsuchloss.

ChapterXOtherContentsasAgreedupon

Article25PartyAandPartyBagreetoaddthefollowingcontentstothis

ChapterXISettlementofDisputesandMiscellaneous

Article26PartyBshalltimelyinformPartyAinwritingifanydisputearisesbetweenPartyBandtheOrganization,andPartyAshallassistwiththemediation.

Article27AnydisputearisingduetotheexerciseofthisContractshouldbesolvedthroughfriendlyconsultation.Incaseeitherpartyrequestsarbitrationafterfailureinsettlementthroughconsultations,thenitshouldbesubmittedtotheLaborDisputeArbitrationCommissionofDongchengDistrict,Beijingwithin60daysoftheoccurrencedayofsuchdispute.

Article28PartyBaffirmstheaddresswritteninthisContractistheserviceaddressforfilesanddocumentsrelatingtolaborrelationshipmanagement.ShouldthisaddressbechangedPartyBshallinformPartyAofsuchchangeinwriting.ItshouldbedeemedasservedoncePartyAdispatchesrelevantdocumentsatthisaddress.IfPartyBdoesnottimelyinformPartyAofthechangeoftheaddressinwrittenform,whichmakesitimpossiblefortherelevantdocumentsfromPartyAtobedispatched,PartyBshallbeaccountablefortheconsequencesalone.

Article31AnyotheragreementsconcludedpriortotheeffectivedateofthisContractbetweenthetwopartiesshallautomaticallybecomeinvalidasoftheconclusiondateofthisContract.IncaseanyarticleprescribedinotherrelatedagreementssignedpreviouslydoesnotconformtothisContract,thisContractshalltakeprecedence.
