ntamountanddate[***]priortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.2.ThepaymentmadebytheBorrowerandthedeductionfromtheaccountoftheBorrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.3.IntheeventtheBorrowerfailstorepaytheloan,theLendershallhaverightstodeductthedebtfromthebankaccountoftheBorrowerattheLenderorempowerthebranchesoftheLendertodeductthedebtfromthebankaccountoftheBorrowerattheLendersbranches;4.Theinstallmentofrepaymentshallnotlessthan1million.ARTICLE9DEBTCERTIFICATETheLendershallkeeprecordintheLendersaccountfortheprincipal,interestsandfeesandotherfeesoftheBorrowerunderthiscontract;Theabovementionedrecordandthedocumentationforthedraw-down,repaymentandpaymentofinterestisthecertificatesofthedebtsbetweentheBorrowerandtheLender.ARTICLE10GUARANTY1.（the"Guarantor"）shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.2.Duringthetermofthiscontract,iftheguarantorsfinancialstatusbecomedeterioratedortheliabilitiesforrepaymentofdebtsbecomeweak,theLendershallhaverighttorequesttheBorrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthiscontract.ARTICLE11REPRESENTATIONSANDWARRANTIESI.TheBorrowersrepresentsandwarrantsasfollows:1.TheBorrowerisacompanydulyorganizedandvalidlyexistingunderthelawofthePeoplesRepublicofChinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.TheBorrowerhasthepowertohandleitassetsusedinoperation.2.TheBorrowerisatitsoptiontosignandperformthiscontract.ItistheBorrowerstruemeaningandhasthepowertosignthiscontractanditisnotbreachitarticleofassociationorregulationsorcontracts.Theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.3.Thealldocuments,materials,reportsandcertificatesprovidedtotheLenderbytheborrowerforconsummationofthiscontractistrue,real,competeandeffective4.TheBorrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausetheLenderrefusetoextendtheloan:（1）TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialeventswhichbreachregulations,lawsorcompensationtoothers;（2）Pendingactionsandarbitration;（3）TheBorrowersdebtsorproposeddebtsorliensandotherencumbrances;（4）Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts;（5）TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditors.II.TheBorrowerherebywarrantsasfollows:1.Usingthecapitaloftheloanasusagesetforthinthiscontract,theBorrowerwillnotusetheloanasEquityinvestment;TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity,future,realestateetc.TheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry.TheBorrowerwillnotmisusingorappropriationoftheloan.2.Makingpaymentandrelatedexpensesinaccordancewiththeprovisionssetforthinthiscontract;3.Providingupdatedfinancialstatementorfinancialbulletineveryquarter;Providingtheauditedfinancialreportatthefirstquartofeachyear;Providingoperationreport,financialreportorotherfilesandmaterialsandshallwarrantthereality,correctandeffectivenessforthefilesandmaterials;4.Anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbenefitsoftheLenders;5.AcceptingthesupervisionoftheLender,providesassistanceandcooperationfortheLenderssupervisions;6.Willnotreducetheregistrationcapital;PriorapprovalfromthelendershallberequiredwhentheBorrowerchangesofshareholdersandoperationmanner（includingbutnotlimitedtojointventure,cooperation,jointlycooperation;dissolution,closedown,liquidation,transformation;merger;changetosharecompany,usethehousing,machineryorotherrealassetsortrademark,intellectualproperty,Knowhow,landingusingrightsorotherintangibleassetstoinvestinsharecompanyorinvestmentcompany,tradingofoperationrightorownrightbycontracting,jointoperation,trusteeship）7.TheBorrowershallinformtheLenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheBorrowerwhentheBorrowerguaranteeforotherpartyormortgageitsassets.TheBorrowerwarrantsthatwillnotdisposetheassetswhichwillmakeadverseimpactonitsabilityofpayingdebts.8.TheBorrowerwillnotpaytheothersimilarloanspriortotheLender;9.TheBorrowerwarrantstoinformtheLenderimmediatelywhenthefollowingeventsoccurred:（1）TheeventofbreachofcontractunderthiscontractorotherloanorguarantycontractsbetweentheBorrowerandanybranchesofBankofChinaorotherbanks,non-bankfinancialorganization;（2）TheBorrowerchangesshareholdersorrevisethearticleofassociation;（3）TheBorrowersufferdifficultiesandbadresultinfinancialandoperation;（4）TheBorrowerinvolvesinmaterialactionsorarbitration;10.TheBorrowershallkeepsufficientbalanceforrepaymentprior[***]totheduedate.11.TheBorrowershallkeepitsbanktransactionsregardingincomecollection,sellforeigncurrencyorbuyforeigncurrencyect.ShallbeconductedattheLenderorotherbranchesoftheLender.Theturn-overforthecapitalshallsatisfythedemandoftheLender;III.TheBorrowersrepresentationsandwarrantshereunderthiscontractshallbeeffectiveevent
