One fullsetofoperationinstructionsconcernedshallbeenclosedinthecase(s).3.裝箱標志:賣方應在每件商品包裝上用不褪色油墨標明件號、毛重、凈重、尺碼和如下字樣 :“切勿受潮”、“小心輕放”、“此端向上”等:ShippingMark ：TheSellersshallmarkoneachpackagewithfadelesspaintthepackagenumber,grossweight,netweight,measu rementandthewordings: “KEEPAWAYFROMMOISTURE”,“HANDLEWITHCARE”, “THISSIDEUP”,etc.,ZHENGZHOU,CHINA裝運期限：收到貨款60天內(nèi)發(fā)貨。TimeOfShipment ：within60daysafterreceiptofT/T.裝運口岸：鄭州保稅庫。PortOfLoading: ZhengzhouBondedWarehouse目的口岸：鄭州PortOfDestination：zhengzhou7保險：由賣方承擔。Insurance:ToBeCoveredBytheSeller.8.付款條件：100%T/TTermsOfPayment:100%T/T9.單據(jù)Document:、發(fā)票兩份,注明合同號及合同中其它細節(jié).。CommercialInvoicein2copiesindicatingcontractnumberandmakingoutindetailsasperrelativecontract.、兩份由賣方出具的裝箱單,注明毛、凈重、尺碼和所裝貨物的品名數(shù)量。Packinglistin2copiesissuedbytheSellers.Duplicatewithindicationofbothgrossandnetweights,個人精心創(chuàng)作，質(zhì)量一流，希望能得到您的認可。謝謝！編輯頁眉，選中水印，點擊刪除，可批量刪除水印。Measurementsandquantityofeachitempacked、由制造廠(賣方)簽發(fā)的質(zhì)量、數(shù)量證明書各兩份。包裝證明:熏蒸證明并在外包裝上加施IPPC標識（如為木箱包裝）或非木質(zhì)包裝證明。PackingCertificate:Beneficiary'scertificatecertifyingthatthewoodpackagingmaterialsinthisshipmenthavebeentreatedandofficiallymarkedIPPCorbeneficiary'scertificateofNO-WOODpackingmaterials.裝運通知:賣方在貨物裝運后,應在兩天內(nèi)將合同編號、商品名稱、數(shù)量、毛重、發(fā)票金額、和起運日期用傳真通知買方。ShippingAdvice:TheSellersshallwithin2daysuponthecompletionoftheloadingofthegoods,advisebyfaxtotheBuyersofthecontractNo.,commodity,quantity,grossweight,invoicedvalue,anddateofdispatch.品質(zhì)保證GuaranteeofQuality:保證貨物系全新，未曾用過，并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。TheSellersshallguaranteethatthegoodsarebrandnew,unusedandcorrespondinallrespectswiththequality,specificationsandperformanceasstipulatedinthisContract.檢驗和索賠InspectionAndClaims:在交貨以前，制造廠應就訂貨的質(zhì)量、規(guī)格、性能、數(shù)量/重量做出準確和全面的檢驗，并出具貨物和本合同規(guī)定相符的證明書。Themanufacturesshallbeforemakingdelivery,makeapreciseandcomprehensiveinspectionofgoodsasregardstheirquality,specifications,performanceandquantity/weight,andissuecertificatescertifyingthatthegoodsareinconformitywiththestipulationsofthisContract.Thecertificatesshallformanintegralpartofthedocumentstobepresentedtothepayingbankfornegotiation/collectionofpaymentbutshallnotbeconsideredasfinalinrespectofquality,specifications,performanceandquantity/weight.ParticularsandresultsofthetestcarriedoutbythemanufacturersmustbeshowninastatementtobeattachedtothesaidQualityCertificate.不可抗力:無論在商品制造或裝運或轉(zhuǎn)運期間,如有不可抗力事件發(fā)生,賣方將不對由此而導致的逾期或不能交貨負責。但此時,賣方應立即將不可抗力事件通知買方,并于通知后十四天內(nèi)以傳真方式向買方提供一份由不可抗力事件發(fā)生地權威機構出具的不可抗力事件證明。賣方不能取得出口許可證不得作為不可抗力。在這種情況下,賣方仍有義務竭盡全力盡快交貨。如不可抗力事件持續(xù)超過十周,買方有權撤銷合同,買方在銀行所支付的費用由賣方承擔.ForceMajeure:TheSellersshallnotbeholdresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorthecourseofloadingortransit.TheSellersshalladviceBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshouldsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.Seller’inabilitysinobtainingexportlicenseshallnotbeconsideredasForceMajeure.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhaverighttocanceltheContract,thesellersbeartheexpenseswhichpaidtothebankbythebuyers.15.遲交和罰款:如延遲交貨除人力不可抗事故者外，賣方應付給買方每一星期按遲交貨總值的0.5%的遲交罰款，不足一星期的遲交日作為一星期計算，此項罰款總額不超過全部遲交貨物總值的5%，在議付貨款時由銀行代為扣除，或由買方在付款時進行扣除。如果賣方交貨延期超過合同規(guī)定的10個星期時,買方有權取消合同.盡管取消了合同,但賣方仍須立即向買方交付上述規(guī)定罰款.LateDeliveryAndPenalty:Incaseofdelayeddelivery,exceptforforcemajeurecases,TheSellersshallpaytotheBuyersforeveryweekofdelayapenaltyamountingto0.5%ofthetotalvalueofthegoodswhosedeliveryhasbeendelayed.Anyfractionalpartofaweekistobeconsideredafullweek.Thetotalamountofpenaltyshallnot,however,exceed5%ofthetotalvalueofthegoodsinvolvedinlatedeliveryandistobedeductedfromtheamountduetotheSellersbythepayingbankatthetimeofnegotiation,orbytheBuyersdirectatthetimeofpayment.Thebuyerscancancelthecontractifthesellers’deliverydateisdelayedupweeksaccordingtothecontract,butthesellersstillmustoffertheabovepenaltytothebuyerswithoutconditions.16.仲裁：一切因執(zhí)行本合同或與本合同有關的爭執(zhí),應由雙方友好協(xié)商解決。如經(jīng)協(xié)商仍未能達成協(xié)議,則應提交中國國際經(jīng)濟貿(mào)易仲裁委員會裁決。按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則,由申訴一方選擇該會由該會上海分會在上海進行仲裁。仲裁委員會的裁決為終局裁決,對雙方均有約束力。仲裁費用除仲裁委另有決定外,應由敗訴一方負擔。Arbitration:AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedtoChina個人精心創(chuàng)作，質(zhì)量一流，希望能得到您的認可。謝謝！編輯頁眉，選中水印，點擊刪除，可批量刪除水印。International Economic andTrade Arbitration Commission for arbitration, which shall beconducted byitsShanghaiSub-CommissioninShanghaiinaccordancewiththeCommission’sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties;bothpartiesshallnotseekrecourseto
