BuyerwishestopurchaseSeller'sGoldoveranagreedupontimeperiod.鑒于：買方同意在有效時期內(nèi)按協(xié)議采購賣方的黃金NOWTHEREFORE:

ThePartiesagreetotheTermsandConditionsasfollows:在此：雙方同意以下的合同條款1.SCOPEOFTHECONTRACT:合同適用范圍：a)

TheSeller,underfullauthorityandresponsibility,declaresthathehasthecapabilityandunrestrictedrighttoselltheGoldandguaranteesthatheiscapabletolegallyexporttheGoldDust.賣方在完全權利和責任下，聲明其有能力和自由權利去銷售黃金及保證是合法出售。Sellermustpay

thefulloflocaltaxes,duties,insurance,smelting/assay,governmentfees,shippingcostfromlocationofgoldtoloadingairport,shippingcostfromdepartureoforigintobuyerdesignatedairport.賣方必須全額支付當?shù)囟愘M，關稅，保險，檢驗，政府費用，從當?shù)氐綑C場運費，機場到最終買方目的地機場運費。Afterthegoldisdeliveredtobuyerdesignatedairport,

SellerRepresentativeorShippingAgentisnotallowedtoask

forrandomsamplefeeordiplomatfeeorsecuritystoragefeeorreleasechargeorwarehousefee,etc.Paymentismade100%atagobyswifttransferaftersatisfactoryfinalassayreportforthewholequantityinbuyerselectedrefinery.當黃金運送到達買方目的地機場，賣方代表人或運輸代理必須同意讓買方親自看和檢測全部的數(shù)量。賣方代表人或運輸代理不能收取隨機抽樣費或者外交費或者安全保管費或者倉庫發(fā)放費等等，100%的貨款必須在買方的精煉廠對全部數(shù)量做出最終的滿意報告后進行電匯。b)

TheBuyer,underfullcorporateauthorityandresponsibilitydeclaresthatheandhisassociateshavethefullcapabilitytopurchasetheun-refinedgoldandsuchpurchasewillbeincreasedwithoptionsofannualextensions.買方在完全法人權利和責任下聲明其和其合作伙伴完全由能力去采購未提煉的黃金及今后將會增加年度采購量。AnyexcuseofdelayedorpartialpaymentisnotacceptedafterfinalassayandthevalueacceptedbybothBuyerandSeller.當雙方接受最終的檢驗報告和接受其價值后，任何的延遲或部分付款理由都不再接受。c)Shouldanyirregularitiesduringthecourseofthisexerciseisexecuteddetailsshallbenotifiedtotherelevantauthoritieswhichwillbefollowedupbyaruthlesspursuitforbreachofcontract.如果在履行條款的過程當中，發(fā)生任何不法行為的將會報告給監(jiān)管當局進行違約合同的無情控訴2.COMMODITYSPECIFICATIONS:物品描述3.QUANTITY:數(shù)量SelleragreestosellanddelivertotheBuyerundertheTermsofthisAgreementaspotquantityof500KG.The100KGcanbedeliveredontranchesof100KG.Ifrequestedbytherefinerybaseddailycapacity.AndtrancheswillbedeterminedbyorBuyer.賣方同意按照本協(xié)議的現(xiàn)貨500KG銷售和交貨，100KG可以作為一部分交貨，如果基于精煉廠每日產(chǎn)能，數(shù)量可由買方?jīng)Q定。4.PRICE:價格：USD/KGCIF價a)ThepricepayablebytheBuyertotheSellerisfixedatpriceUS$XXXXXUSDperkgofgolddustCIF.這個價格是買方向賣方應付的固定價格USDXXXXXKG，CIF

b)Referencedfundsinthisagreementtobewired,isinUnitedStatesCurrencyonly.本協(xié)議的參考價格將是美元轉(zhuǎn)帳5.DELIVERYTERMS:交貨條款ThedeliverytermsforthisS.P.A.agreementshallbeonaCIFbasis(byAir-cargo)totheBuyer'sdesignatedairport()本協(xié)議的交貨條款為CIF（空運）到買方目的地機場

b)TheSellerwillpayalltaxes,duties,insurance,etc,inthecountryoforigin.賣方將在原產(chǎn)國支付全部的稅費，關稅，保險等TheSellerwillbeartheshippingcostfromthedeparturepoint(Accra,Ghana)totheBuyer’sdesignateddestinationairport().賣方將要承擔從出發(fā)站阿克拉到買方目的地機場運費

TheBuyerwillclearshipmentofGoldDustthroughCustomsattheportofimport.TheBuyerwilltransportthegoldfromBuyer’sdesignatedairport()undertheSeller’snamebutattheBuyer’sCosttotheBuyer’sdesignatedrefinery.買方將在進口港通過海關進行黃金的清關

e)TheBuyerwillbephysicallypresentatCustomsoftheportofimportandtoinsureallprocedureshavebeenfollowedandactualdeliverywascompletedtotherefinery.BuyerwillnotifytheSellerofsuccessfulcompletionofeventsinwrittenform.買方將要在進口海關確保整個流程是按照實際的完整交貨到精煉廠，買方要以書面形式通知賣方事情已成功辦理完成了。f)

LegalOwnershipofGoldDustisretainedbytheSelleruntilthepaymentinfullisreceivedbySeller’sbankfromtheBuyer.黃金的法定所有權保留在賣方手里直到收到買方的所有貨款。6.PAYMENTTERMS:付款方式：FinalpaymentfortheGoldshallbemadebyWireTransfertotheSeller'sdesignatedBank,within48hoursafterreceiptoffinalassayreportfromtherefinery.PaymentNoticewillserveaspartofthecontractandhasthesamelegaleffect.在收到精煉廠的檢驗報告的48小時內(nèi)，最終的貨款將通過轉(zhuǎn)賬到賣方指定的銀行賬戶，付款通知將視為合同的一部分及擁有相等的法律效力7.PROCEDURE:

BuyersignsthisAgreementande-mailsittoSellerforhissignature.SellersendssignedAgreementtotheBuyerviae-mail.買方簽了這個協(xié)議并通過郵件發(fā)給賣方簽名。2.TheBuyershalladvisehis/herbanktoissueaSwiftmessageMT799ForproveoffundasabilitytoaffectthepaymentafterAssayreportforthevalueofthegolddustandsentviaSWIFTtoSellersBankasasecurityforthetwoparties.買方要通知其銀行發(fā)出MT799的電文做資金支付能力證明以便驗貨認可后能電匯給賣方銀行的對雙方的保證。3.UponreceiptofconfirmationslipofthebankMT799bySeller’snominatedbankSellercommencepackagingofthesaidquantityanddelivertothechoiceofRefineryoftheBuyerforfinalAssaytonecessitateout-rightfullpayment一旦賣方指定銀行收到MT799電文的確認書，將會著手包裝所說的數(shù)量和交貨到買方選擇的精煉廠做最后的檢驗以便全款的順利支付4.Within10workingdaysofreceiptoftheconfirmationslipoftheMT799,theSellerwilldeparttoBuyer’sdestination().在接到銀行MT799的確認電文10天內(nèi)，賣方將動身去買方的目的地5.TheBuyermustinspectandconfirmthewholelotofthesaidquantityinperson.買方必須親自進行整批貨數(shù)量的檢驗和確認6.

AssaywillbeconductedatBuyers’accountatthepresenceofbothbuyerandSellerinBuyer’schoiceofrefineryin當買方和賣方現(xiàn)場在買方指定的精煉廠時，檢驗費將由買方賬號扣除7.

PaymentwillbefacilitatedbyanAuthorityInvoicefromtheSeller.付款將按照由賣方出具的一份權威發(fā)票進行。8.

PaymentbytheBuyershallbemadetotheSeller'sdesignatedBankwithin5daysafterreceiptoffinalassayreportfromtherefineryanditsvaluewillbeacceptedbybothBuyerandSeller.在接收到由買方指定的精煉廠發(fā)出的雙方都接受的最后檢驗報告的5天內(nèi)買方要付款給賣方指定的銀行。8.DOCUMENTS:文件：Theshipmentanddeliveryshallbeidentifiedwithallassignedcontractreferencecodesandnumbers.SellertoprovidethefollowingdocumentstoBuyerpriortoarrivalofthegold:發(fā)貨和交貨應該等同于所簽合同參考的編號和數(shù)字，賣方提前提供以下文件給買方TwooriginalsofCommercialInvoicesinfavouroftheBuyer2份買方贊同的正式的商業(yè)發(fā)票CertificateOfOrigin原產(chǎn)地證CertificateOfOwnership

所有者證明ExportPermit出口許可證PackingList裝箱單OriginalCopyoftheAirwayBill空運單的復印件CustomsDeclarationForm(s)(suppliedbyBuyer,ifapplicable)報關單（如果可能的話，買方提供）Declarationthatthegoldisfreeandclearandofnon-criminalorigin,unencumberedandfreeofanyliens,andistransferableandexportable聲明這個黃金沒有牽連和沒有犯罪來源，沒有阻礙和沒有扣押權，是可轉(zhuǎn)讓和出口的。9.TITLEOFGOODS貨物所有權:TheTitletothegoldshalltransferfromtheSellertotheBuyerimmediatelyuponclearingCustomsandwillbeplacedintotheaccountoftheBuyerattherefinerywiththenecessarydocuments.Provided,however,Buyerwillnottakelegalownershipuntiltheagreedpriceofthegoldispaidasperthiscontractafterfinalassayfromtherefinery.通關于手續(xù)一旦辦理完，黃金的所有權由賣方轉(zhuǎn)移給買方，并同必要的文件一同置于買方的提煉廠。但是，如果在提煉廠做出最后化驗后，買方?jīng)]有根據(jù)本合同約定好的黃金價格與預付款，則買方?jīng)]有法律所有權。10．CLEARTITLE明確所有權:SellerconfirmsandwarrantsthattheTitleofthegoldtobesoldhereinwillbefreeandclearofanyandallLiensandencumbrancesandSellerstatesthatthegoldisnotofterroristand/orcriminalorigin.賣方確認并保證，在這里出售的黃金所有權無任何留置權和產(chǎn)權負擔。賣方申明，黃金不是來自罪犯和、或恐怖主義分子。11.WARRANTIES特約條款:TheSellershallpayalltherequireddutiesandchargesincountryofexport.賣方應支付所有出口所需的費用。Sellerwarrantsthatthecommoditycanbeshippedtoanywhereintheworldwithoutrestrictions.賣方保證商品不受任何限制的運送到世界的任何一個地方。TheSelleragreestoacceptthefinalassayreportfromtheBuyer'sdesignatedrefinery,acceptingpaymentofeachshipmentafterfinalassayofthegold.賣方同意接受買方指定的提煉廠的最終化驗報告，接受黃金化驗后的每批貨物的付款。AdditionalchargesduetotheexcessiveimpuritycontentofthegoldwillbedeductedfromtheamountpayabletotheSeller.由于黃金雜質(zhì)含量過高，附加費將扣除后支付給賣方。12.FORCEMAJEURE不可抗力:Thepartiesheretoshallnotbeheldliableforanyfailuretoperformunderthe"ForceMajeure"clauseasregulatedbytheInternationalChamberofCommerce,Paris-Francewhichclausesaredeemedtobeincorporatedherein.法國巴黎國際商會規(guī)定的“不可抗力”條款納入本合同。雙方應執(zhí)行不可抗力條款。13.ETHICS:(NON-CIRCUMVENTIONandNON-DISCLOSURE)誠信：（非規(guī)避和保密）BuyerandSellerandCarrieracknowledgethattheharmtotheotherpartywouldbesubstantialandthereforetheSellerandBuyeragreetoabidebytheCustomaryInternationalrulesofnon-circumventionandnon-disclosureasestablishedbytheInternationalChamberofCommerceinParis,Franceforaperiodoffive(5)yearsfromthedatehereof.SaidNon-circumventionandnon-disclosureshallinclude,butnotbelimitedtocommunicatingwitheachother'sbanks,refiners,representativesofBuyerdealingwithCustoms,brokersorSeller'smandate.TheunderstandingandaccordofthissubparagraphwillsurvivetheterminationofthisAgreement.買方，賣方和承運人承認對方的傷害將是巨大的，因此，賣方和買方同意在本合同生效起五年之內(nèi)，遵守法國巴黎國際商會制定的國際慣例的非規(guī)避和保密規(guī)則。非規(guī)避和保密規(guī)則應當包括但不限于：與對方的銀行，提煉廠，處理通關的買方代表，經(jīng)紀人或賣方的委托人的交流。本條款將在本協(xié)議終止之日失效。14.TOTALAGREEMENT整個合同:ThisAgreementsupersedesanyandallprioragreementsandrepresentstheentireAgreementbetweentheparties.Nochanges,alterationsorsubstitutionsshallbepermittedunlessthesameshallbenotifiedinwritingandsignedbybothparties.本協(xié)議取代任何及所有先前的協(xié)議，代表雙方之間的全部協(xié)議。除非有經(jīng)雙方簽字的書面通知，否則禁止改動或替換。15.EXECUTIONOFTHISAGREEMENT本合同的執(zhí)行:ThetermsofthisAgreementshallbeConfirmedandsignedbytheBuyerandtheSellerandcarrierviafacsimileorEmail.SaidexecutedfacsimileoremailshallbebindingandinitiatesandconcludesthelegalliabilitiesbetweenBuyerandSellerofthisAgreement.Bysigningbelow,allpartiesabidebytheircorporateandlegalresponsibility,andexecutethisAgreementunderfullpenaltyofperjury.AnydisputeordisagreementofanykindbetweenthesignatoriestothisagreementshallberesolvedbybindingarbitrationinaccordancewiththelawsofGhanaandthearbitrationtribunalshallconsistofthree(3)arbitratorschosenbythepartiesfromaslateofeight(8)proposedarbitratorsprovided...本合同條款由買方，賣方和承運人通過傳真或電子郵件確認并簽署。傳真或電子郵件對買方和賣方之間就此合同的法律責任具有約束力。在簽署本合同之后，各方遵守他們的法律責任，若違反此合同，將處與罰款。任何爭議或簽署合同出現(xiàn)的分歧應在加納法律下通過有約束力的仲裁解決，仲裁庭由買賣雙方在備選的八名仲裁員中挑選三名組成。Ifthepartiesareunabletoagreeonallthreearbitratorswithinseven(7)daysafterreceiptoftheslateprovided,anappointmentshallbemadebytheArbitrationbody.Thedecisionofthetribunalshallbefinalandbindingandnoappealshalllietherefrom.Thetribunalshallhavethepowertoorderonepartytocontributetothereasonablecostsandexpensesoftheotherparty,ortopayalloranyportionofthecostsofthearb
