PartyAshall,onthedateandinthecopiesnumberstatedintheTermsofAgreement,providePartyBwithcompleteconstructiondrawings(includingas-builtdrawingsandcopiesstoredonsite)priortothecommencementdate,andensurethedrawingsareaccurateandhavethedesigndepthtomeettheconstructionrequirements,andPartyBshallkeepthedrawingsconfidentialasrequiredintheTermsofAgreement.二、甲方不能按第四條第一款約定提供全套圖紙，將不能提供的圖紙名稱、提供期限列入本條款，并保證滿足實(shí)施“施工綜合進(jìn)度計(jì)劃”的需要。II.ProvidedthatPartyAwhichcannotprovidethefullsetofdrawingsasspecifiedinparagraph1ofArticle4,shallinclude,inthisarticle,thenamesofthedrawingswhichcannotbeprovidedandtheperiodoftimeforprovisionthereof,inadditiontoensuremeetingtheneedsoftheimplementationoftheComprehensiveConstructionProgressSchedule.三、甲方對(duì)圖紙有特殊保密要求的，乙方采取相應(yīng)的措施保密、由甲方承擔(dān)費(fèi)用。III.WherePartyAhasspecialconfidentialityrequirementsforthedrawings,PartyBshalltakeappropriatemeasurestokeepthesameconfidentialandPartyAshallbearthecoststhereof.四、乙方要求增加圖紙份數(shù)，甲方應(yīng)按《協(xié)議條款》約定的時(shí)間予以復(fù)制、交付，費(fèi)用由乙方承擔(dān)。IV.PartyAshall,uponPartyB’srequirementofadditionalcopiesofthedrawings,reproduceanddeliverthesameatPartyB'sexpenseinaccordancewiththetimespecifiedintheTermsofAgreement.五、乙方未如約收到甲方提供的圖紙，應(yīng)在5天內(nèi)將所需圖紙或指示的內(nèi)容、理由、時(shí)間及遲誤后果通知甲方代表。甲方代表在乙方提交通知后2天內(nèi)未答復(fù)，按第七條第二款約定處理。V.ProvidedthatPartyBfailtoreceivethedrawingsprovidedbyPartyAasagreed,itshallnotifyPartyA'srepresentative,withinfivedays,ofthecontent,reason,timeandconsequencesofdelayoftherequireddrawingsorinstructions.WherePartyA'srepresentativefailstoreplywithintwodaysuponPartyB'ssubmissionofthenotice,theissueshallbedealtwithasspecifiedinArticle7(2).六、乙方發(fā)現(xiàn)甲方提供的圖紙不完整、不準(zhǔn)確或設(shè)計(jì)深度不能滿足施工要求。應(yīng)及時(shí)通知甲方代表，酌情按第四條第五款或第二十五條第一款約定處理。乙方對(duì)甲方提供的圖紙有如上缺陷未發(fā)現(xiàn)，甲方仍應(yīng)按第七條第二款或第二十五條第四款約定承擔(dān)責(zé)任，并給付因此造成的修補(bǔ)、拆除、改建、重建等費(fèi)用。VI.ProvidedthatPartyBfindsthedrawingsprovidedbyPartyAincomplete,inaccurateorfailureofthedesigndepthmeettheconstructionrequirements,itshallpromptlynotifyPartyA'srepresentativeanddealwith,asappropriate,theissuesasspecifiedinArticle4(5)orArticle25(1).WherePartyBfailstodiscoverthedefectiveasdescribedaboveinthedrawingsprovidedbyPartyA,PartyAshallstillbeliableasspecifiedinArticle7(2)orArticle25(4),inadditiontoeffectpaymentofthecostsofrepair,demolition,alteration,reconstruction,etc.therefrom.第四章質(zhì)量與驗(yàn)收ChapterFourQualityandAcceptance第十四條檢查和返工Article14.InspectionandRework一、乙方按相應(yīng)的電力建設(shè)施工及驗(yàn)收技術(shù)規(guī)范、約定采用的標(biāo)準(zhǔn)、設(shè)計(jì)的要求和甲方代表依據(jù)合同發(fā)出指令施工，隨時(shí)接受甲方代表及其委派人員的檢查檢驗(yàn)，為檢查檢驗(yàn)提供便利條件，并按甲方代表及其委派人的要求進(jìn)行返工、修改，承擔(dān)由自身原因?qū)е路倒?、修改的費(fèi)用。因甲方不正確糾正或其它非乙方原因引起返工、修改的經(jīng)濟(jì)支出，由甲方承擔(dān)，工期相應(yīng)順延。I.PartyBshallcarryouttheconstructioninaccordancewiththeCorrespondingTechnicalSpecificationsforConstructionandAcceptanceofElectricityConstruction,thestandardsagreedtobeadopted,therequirementsofthedesignandtheinstructionsissuedbyPartyA'srepresentativepursuanttothecontract?sspecification,atanytime,accepttheinspectionandinspectionofPartyA'srepresentativeanditsdelegates,inadditiontoprovidefacilitiesfortheinspectionandcheck,andmakereworkingandmodificationsasrequiredbyPartyA'srepresentativeanditsdelegates,andbearthecostsofreworkingandmodificationscausedbyitself.TheeconomicexpensesforreworkormodificationduetotheincorrectcorrectionbyPartyAorothernon-PartyBreasonsshallbebornebyPartyAandtheworkperiodshallbeextendedaccordingly.二、以上檢查合格后，又發(fā)現(xiàn)由乙方原因引起的質(zhì)量問題，仍由乙方承擔(dān)責(zé)任。II.ThequalitydeficiencyfoundduetoPartyB’sreasonsubsequencetopassingoftheaboveinspectionshallbePartyB’sresponsibilitythereof.三、以上檢查檢驗(yàn)應(yīng)執(zhí)行電力建設(shè)工程施工質(zhì)量檢驗(yàn)及評(píng)定標(biāo)準(zhǔn)等規(guī)定，在不影響正常施工的前提下進(jìn)行，如影響正常施工，除非經(jīng)檢查檢驗(yàn)為質(zhì)量不合格，因此發(fā)生的費(fèi)用則由甲方承擔(dān)，相應(yīng)順延工期。III.TheaboveinspectionandtestingshallbeconductedinaccordancewiththeConstructionQualityInspectionandAssessmentStandardsforElectricityConstructionProjectsandshallbeconductedwithoutaffectingthenormalconstruction,unlesstheinspectionandtestingisunqualified,andthecostsincurredthereforeshallbebornebyPartyAandtheconstructionperiodshallbepostponedaccordingly.第十五條質(zhì)量等級(jí)評(píng)定ArticleXV.Qualitygradeevaluation一、工程質(zhì)量應(yīng)達(dá)到約定的工程施工質(zhì)量檢驗(yàn)及評(píng)定標(biāo)準(zhǔn)規(guī)定的合格條件。甲方要求部分或全部工程質(zhì)量達(dá)到優(yōu)良標(biāo)準(zhǔn)，應(yīng)支付由此增加的經(jīng)濟(jì)支出，對(duì)工期有影響的應(yīng)給予相應(yīng)順延。I.Thequalityoftheworksshouldmeettheagreedconditionsforpassingtheconstructionqualityinspectionandassessmentstandards.ProvidedthatPartyArequirespartoralloftheworkstobeofsuperiorquality,itshallpaytheresultingincreasedeconomicexpenditureinadditiontograntacorrespondingdelayiftheconstructionperiodisaffected.二、工程達(dá)不到約定質(zhì)量條件的部分，甲方代表一經(jīng)發(fā)現(xiàn)，可要求乙方返工，乙方應(yīng)按甲方代表要求的時(shí)間返工，直到符合約定條件。因乙方原因達(dá)不到約定條件，由乙方承擔(dān)返工費(fèi)用，工期不予順延。返工后仍不能達(dá)到約定條件，乙方承擔(dān)違約責(zé)任。II.PartyA'srepresentativemay,iffindingthepartofworksfailtomeettheagreedqualityconditions,requestPartyBtoredothework,andPartyBshallreworkthesameatthetimerequestedbyPartyA'srepresentativeuntilitmeetstheagreedconditions.ProvidedthattheagreedconditionsarenotmetduetoPartyB?sreason,PartyBshallbearthecostofreworking,withoutextensionoftheworkperiod,andbeartheliabilityforbreachofcontract.三、由于設(shè)計(jì)或材料、構(gòu)件、配件、設(shè)備等非乙方原因使工程未達(dá)到約定質(zhì)量條件，乙方予以返工、修改的經(jīng)濟(jì)支出由甲方承擔(dān)，工期相應(yīng)順延。乙方無力予以修改的，經(jīng)甲方代表認(rèn)可，該部分可不在評(píng)定質(zhì)量等級(jí)之列。III.Providedthattheworkfailtomeettheagreedqualityconditionsduetodesignormaterials,components,fittings,equipmentandotherduetononofPartyB?sreason,theeconomicexpensesforreworkandmodificationbyPartyBshallbebornebyPartyA,andtheconstructionperiodshallbepostponedaccordingly.ThepartswhichPartyBisunabletomakeanychangeoramendmentmaybeexcludedfromthequalityratinguponapprovalbyPartyA'srepresentative.四、雙方對(duì)工程質(zhì)量有爭(zhēng)議，可按第三十條約定處理。IV.AnydisputeoverthequalityoftheprojectmaybedealtwithasspecifiedinArticle30.第十六條隱蔽工程和中間驗(yàn)收Article16ConcealedWorksandIntermediateAcceptanceInspection一、需要進(jìn)行中間驗(yàn)收的工程或部位，在《協(xié)議條款》中約定其名稱、驗(yàn)收時(shí)間、要求及甲方應(yīng)提供的便利條件。I.Fortheprojectorpartrequiringintermediateacceptance,thename,acceptancetime,requirementsandtheconvenienceconditionsprovidedbyPartyAshallbestipulatedinthetermsoftheAgreement.二、工程具備履蓋、掩蓋條件或達(dá)到約定的中間驗(yàn)收部位，乙方自檢合格后在隱蔽或中間驗(yàn)收48小時(shí)前通知甲方代表驗(yàn)收，并準(zhǔn)備驗(yàn)收記錄。通知包括乙方自檢記錄、隱蔽和中間驗(yàn)收的內(nèi)容、驗(yàn)收時(shí)間和地點(diǎn)。驗(yàn)收合格，甲方代表在驗(yàn)收記錄上簽字后，方可進(jìn)行隱蔽和繼續(xù)施工。驗(yàn)收不合格，乙方在限定時(shí)間內(nèi)修改后重新驗(yàn)收。II.PartyBshall,iftheprojecthavethetrackcover,cover-upconditionsorreachintermediateacceptanceparts,notifyPartyA'srepresentativeofacceptance48hourspriortoconcealmentorintermediateacceptanceafterpassingtheself-inspectionandpreparestheacceptancerecords.ThenoticeincludesPartyB'sself-inspectionrecords,thecontentofconcealmentandintermediateacceptance,inadditiontothetimeandplaceofacceptance.AcceptanceissatisfactoryandPartyA'srepresentativesignsontheacceptancerecordbeforeconcealmentandcontinuationofconstruction;ifacceptanceisunacceptable,there-acceptshouldbeconductedafterPartyB?smodificationwithinalimitedtime.三、工程質(zhì)量符合規(guī)范要求，驗(yàn)收24小時(shí)后。甲方代表不在驗(yàn)收記錄上簽字，可視為甲方代表已經(jīng)批準(zhǔn)，乙方可進(jìn)行隱蔽或繼續(xù)施工。III.ProvidedthatthequalityoftheworkmeetstherequirementsofthespecificationandthePartyArepresentativefailstosigntheacceptancerecordsubsequentto24hoursofacceptance,itcanbedeemedashavingbeenapprovedbythePartyA’srepresentativeandPartyBcancarryoutconcealmentorcontinueconstruction.第十七條分部試運(yùn)Article17.DivisionTrialOperation一、工程具備分部試運(yùn)條件，應(yīng)按電力建設(shè)工程啟動(dòng)及竣工驗(yàn)收規(guī)程等規(guī)定進(jìn)行分部試運(yùn)。除約定由設(shè)備制造、供貨單位自行調(diào)試的以外，由乙方負(fù)責(zé)分部試運(yùn)、編制分部試運(yùn)方案和措施，提交甲方代表批準(zhǔn)后執(zhí)行。甲方代表在乙方提交方案后7日內(nèi)予以批準(zhǔn)或提出修改意見，逾期未批復(fù)即視為經(jīng)甲方代表批準(zhǔn)。I.TheprojectwhichsatisfytheconditionsfordivisionalcommissioningshallbeconducteddivisiontrialoperationinaccordancewiththeProceduresfortheCommencementandCompletionAcceptanceofElectricityConstructionWorksandotherregulations.Exceptforthoseagreedtobecommissionedbytheequipmentmanufacturerorsupplier,PartyBshallberesponsibleforthedivisionalcommissioning,preparingproposalsofdivisionalcommissioningandmeasures,inadditiontosubmittingthesametoPartyA'srepresentativeforapprovalbeforeimplementation.PartyA'srepresentativeshallapproveorproposeamendmentstotheproposalswithinsevendaysofitssubmissionbyPartyB.FailuretoapproveoverduetimeshallbedeemedtohavebeengrantedbyPartyA'srepresentative.二、乙方在分部試運(yùn)的48小時(shí)之前通知甲方代表參加，甲方代表不能按時(shí)參加分部試運(yùn)可書面委托他人全權(quán)代理，非發(fā)生第三十條約定的情況不得推遲。II.PartyBshall，48hoursinadvance,notifyPartyA'srepresentativetoattendthedivisionaltrialrun.ProvidedthatPartyA'srepresentativeisunabletoattendthedivisionaltrialrunontime,hemayappointanotherpersoninwritingtoactonhisbehalfathissolediscretionandshallnotbepostponedunlessthecircumstancesspecifiedinArticle30occur.三、分部試運(yùn)的調(diào)整試驗(yàn)記錄，由乙方及調(diào)試單位作出，甲方代表在記錄上簽字，作為質(zhì)量驗(yàn)收和整套啟動(dòng)的依據(jù)。III.TherecordsoftheadjustmenttestsofthedivisionalcommissioningshallbemadebyPartyBandthecommissioningunit,andsignedbyPartyA'srepresentativeontherecordsasthebasisforquality?acceptanceandcompletestart-up.四、由于乙方原因試運(yùn)達(dá)不到驗(yàn)收要求，甲方代表在試運(yùn)后24小時(shí)內(nèi)提出修改意見，由乙方按其意見修改后重新試運(yùn)。IV.IfthetrialrunfailstomeettheacceptancerequirementsduetoPartyB,PartyA'srepresentativewillproposemodificationswithin24hoursafterthetrialrunandPartyBwillmodifythetrialrunaccordingtohiscommentsandre-runit.五、甲方代表未參加分部試運(yùn)且未委托他人代理，或參加試運(yùn)未在約定時(shí)間內(nèi)提出修改意見、試運(yùn)合格不簽字驗(yàn)收，試運(yùn)結(jié)束24小時(shí)后試運(yùn)記錄自行生效，甲方應(yīng)予以承認(rèn)，乙方可繼續(xù)施工并可據(jù)以辦理有關(guān)手段。V.ProvidedthatPartyA'srepresentativefailstoparticipateinthedivisionaltrialrunandappointanotherpersontoactonhisbehalf,nordoitproposeamendmentstothetrialrunwithintheagreedtime,orifhefailstosignforacceptanceafterthetrialrunhasbeencompletedfor24hours,therecordofthetrialrunshalltakeeffectonitsown,PartyAshallacknowledgeandconfirmit,PartyBmaycontinuetheconstructionandmayhandletherelevantmeansaccordingly.六、經(jīng)分部試運(yùn)合格的設(shè)備和系統(tǒng)，由于生產(chǎn)或試運(yùn)需要繼續(xù)運(yùn)轉(zhuǎn)，可交由甲方負(fù)責(zé)保管和運(yùn)行維護(hù)。VI.Theequipmentandsystemsthathavepassedthedivisionaltestrun,beingrequiredtocontinuetooperateduetoproductionortestrun,maybehandedovertoPartyAforstorageandoperationandmaintenance.七、分部試運(yùn)費(fèi)用除已包括在合同價(jià)款之內(nèi)或《協(xié)議條款》另有約定的，均由甲方承擔(dān)。VII.ThecostofcommissioningofpartsshallbebornebyPartyAunlessincludedinthecontractpriceorotherwisespecifiedintheTermsofAgreement.八、由于設(shè)計(jì)、設(shè)備制造、操作不當(dāng)?shù)确且曳皆蛟斐稍囘\(yùn)達(dá)不到驗(yàn)收要求，由乙方或由乙方配合責(zé)任方拆除、修理、重新安裝，所發(fā)生的費(fèi)用及重新購置材料、設(shè)備價(jià)款和運(yùn)費(fèi)等，均由甲方給付后與責(zé)任方結(jié)算，延誤的工期予以相應(yīng)順延。VIII.Providedthatthetrialrunfailstomeettheacceptancerequirementsduetodesign,equipmentmanufacturing,improperoperationandotherreasonswhichnotattributabletoPartyB,PartyBshall,orbyitscooperationwiththeresponsibleparty,dismantle,repairandreinstall,andthecostsincurredthereforeandthepriceofre-purchasedmaterials,equipmentandfreightwillbepaidbyPartyAbeforemakingsettlementthereofwiththeresponsibleparty,andthedelayedworkperiodwillbeextendedaccordingly.第十八條驗(yàn)收和重新檢驗(yàn)Article18.AcceptanceandRe-inspection一、單項(xiàng)工程、單位工程、分項(xiàng)工程、分部工程具備驗(yàn)收條件應(yīng)如約予以驗(yàn)收，由乙方在驗(yàn)收48小時(shí)前提交“驗(yàn)收通知”，通知甲方代表參加驗(yàn)收。通知包括驗(yàn)收的內(nèi)容、時(shí)間、地點(diǎn)，附上乙方自檢記錄。I.Theindividualworks,unitworks,sub-workanddivisionalworksshallbeacceptedasagreedandPartyBshallsubmittheNoticeofAcceptance48hourspriortotheacceptancetonotifyPartyA'srepresentativetoattendtheacceptance.Thenoticeshallincludethecontent,timeandlocationoftheacceptanceattachingPartyB'sself-inspectionrecords.二、甲方代表不能按時(shí)參加驗(yàn)收可書面委托他人代理，或在驗(yàn)收24小時(shí)前向乙方提出延期要求，延期不得超過2天。否則，乙方可自行組織驗(yàn)收，甲方應(yīng)承認(rèn)其驗(yàn)收記錄有效。II.PartyA'srepresentativecannotattendtheacceptanceontime,he/shecanentrustanotherpersontoactonhis/herbehalfinwriting,orrequestPartyBtoextendtheacceptance24hoursbeforetheacceptance,andtheextensionshallnotexceed2days.Otherwise,PartyBmayorganizeitsownacceptanceandPartyAshallacknowledgeitsacceptancerecordsasvalid.三、無論甲方代表是否參加驗(yàn)收，當(dāng)其提出對(duì)已經(jīng)隱蔽工程重新檢驗(yàn)的要求時(shí)，乙方應(yīng)按要求進(jìn)行剝露，并在檢驗(yàn)后重新進(jìn)行履蓋或修復(fù)。檢驗(yàn)合格，甲方承擔(dān)由此發(fā)生的經(jīng)濟(jì)支出，賠償乙方損失并相應(yīng)順延工期。檢驗(yàn)不合格，乙方承擔(dān)發(fā)生的費(fèi)用，工期也予順延。III.IrrespectiveofwhetherPartyA'srepresentativeattendstheacceptance,PartyBshall,uponproposingtherequesttore-inspectthealreadyconcealedworksbyPartyA'srepresentative,striptheexposureasrequiredandre-performthecoverorrepairaftertheinspection.Wherethetestispassed,PartyAwillbeartheresultingeconomicexpensesandcompensatePartyBforthelossandextendtheworkperiodaccordingly,iftheinspectionunsuccessful,PartyBshallbearthecostsincurredandtheworkperiodshallbepostponed.第五章合同價(jià)款與支付ChapterFiveContractPriceandPayment第十九條合同價(jià)款及調(diào)整Article19ContractPriceandAdjustment一、甲乙雙方在簽訂《協(xié)議條款》時(shí)交換各自開戶銀行出具的履約保函，保證依法履約付款，待保修期滿后退還。I.Thepartiesheretoshall,atthetimeofsigningtheTermsofAgreement,exchangePerformanceSecurityissuedbytheirrespectivedepositarybankstoguaranteeandensurethepaymentforperformanceinaccordancewiththelaw,toberefundedattheendofthewarrantyperiod.二、合同價(jià)款在《協(xié)議條款》中予以約定，按《建設(shè)工程價(jià)款結(jié)算辦法》和《關(guān)于基本建設(shè)工程實(shí)行竣工結(jié)算的具體規(guī)定》結(jié)算付款，任何一方不得擅自改變，發(fā)生下列情況之一的可作調(diào)整。II.ThecontractpriceisspecifiedintheTermsofAgreementandpaymentissettledinaccordancewiththeMeasuresforSettlementofConstructionProjectPricesandtheSpecificProvisionsontheImplementationofCompletionSettlementforCapitalConstructionProjects,whichmaynotbechangedbyeitherpartyandmaybeadjustedintheeventofoneofthefollowingcircumstances:1．甲方代表確認(rèn)的工程量增加或經(jīng)甲方代表批準(zhǔn)、乙方代表同意的工程量削減；1.AnyincreaseinthequantityofworksconfirmedbyourrepresentativeoranyreductioninthequantityofworksapprovedbyPartyA'srepresentativeandagreedbyPartyB'srepresentative.2．甲方代表確認(rèn)的設(shè)計(jì)變更或工程洽商；2.ThedesignchangesorengineeringnegotiationsconfirmedbyPartyA'srepresentative.3．工程造價(jià)管理部門公布的價(jià)格調(diào)整；3.Thepriceadjustmentsannouncedbytheconstructioncostmanagementauthority.4．合同約定的其它增減或調(diào)整。4.Anyotherincrease,decreaseoradjustmentasspecifiedinthecontract.三、合同價(jià)款可調(diào)整的范圍，在《協(xié)議條款》中約定。III.ThescopeofadjustablecontractpriceisspecifiedinthetermsoftheAgreement.第二十九條保修Article29.Warranty一、執(zhí)行電力建設(shè)工程啟動(dòng)及竣工驗(yàn)收規(guī)程、工程質(zhì)量管理辦法等規(guī)定，乙方對(duì)竣工交付使用的工程所存在的質(zhì)量缺陷負(fù)責(zé)維修。I.PartyBshallberesponsibleforthemaintenanceofqualitydefectsinthecompletedworksdeliveredforuseinaccordancewiththeRegulationsontheAcceptanceProceduresofInitiationandCompletionofPowerConstructionWorksandtheManagementMethodsoftheWorksQuality.二、保修項(xiàng)目、內(nèi)容、范圍，由甲乙雙方在《協(xié)議條例》中約定。II.Thewarrantyitems,contentsandscopeshallbeagreedbybothpartiesintheAgreementRegulations.三、保修期，整體工程或其中分單項(xiàng)、單位、分項(xiàng)、分部驗(yàn)收交付的工程，均從移交甲方之日起分別計(jì)算保修期。III.Warra
