274.TheMerchantisresponsibleforreturninganyemptycontainer,withinteriorcleanatthedesignatedplace,andwithin60daysfollowingtothedateofrelease,failingwhichthecontainershallbeconstruedaslost.TheMerchantshallbeliabletoindemnifytheCarrierforanylossorexpensewhatsoeverarisingoutoftheforegoing,includingbutnotlimitedtoliquidateddamagesequivalenttothesoundmarketvalue

-orthedepreciatedvalueduebytheCarriertoacontainerlessor.TheCarrierisentitledtocollectadepositfromtheMerchantatthetimeofreleaseofthecontainerwhichshallberemittedassecurityforpaymentofanysumsduetotheCarrier,inparticularforpaymentofalldetentionanddemurrageand/orcontainerindemnityasreferredabove.

315.Followingtotheslowdown/lockoutaffectingtheUSwestcoastports,cargomaybedischargedinanalternativeportwithoutnotice-subjecttoavailability-orbeonforwardedtotheintendedportof

RECEIVEDbytheCarrierfromtheShipperinapparentgoodorderandcondition(unlessotherwisenotedherein)thetotalnumberorquantityofcontainersorotherpackagesorunitsindicatedabovebytheMerchantforcarriage,subjecttoallthetermshereof(includingthetermsonpageone)andtarifffortherelevanttrade,fromtheplaceofreceiptortheportofloading,whicheverapplicable,totheportofdischargeorplaceofdelivery,whicheverapplicable.ThisWaybillisdeemedtobeacontractofcarriageasdefinedinArticleI(b)oftheHagueRulesandHagueVisbyRulesalthoughthisisnotadocumentoftitletotheGoods.

DELIVERYwillonlybemadeonPaymentofallFreightandChargesandtothenamedConsigneeoranythirdpartynominatedbytheConsigneebywritteninstructiontotheCarrierorhisAgent,unlesstheShipperinstructsotherwisepriortodelivery.Therightsandliabilitiesarisingaccordingtothetermshereofshall(withoutprejudicetoanyruleofcommonlawandstatus) ebindingbetweentheCarrierandConsigneeasifthisagreementhasbeenmadebetweenthemandtheShipperguaranteesonreceptionofthisWaybillthathehasaccepteditonhisownbehalf,onbehalfoftheConsigneeandtheOwneroftheGoods,andwarrantsthathehasauthoritytodoso.

AllclaimsandactionsarisingbetweentheCarrierandtheMerchantinrelationwiththecontractofCarriageevidencedbythisWaybillshallexclusivelybebroughtbeforetheTribunaldeCommercedeMarseilleandnootherCourtshallhavejurisdictionwithregardstoanysuchclaimoraction.Notwithstandingtheabove,theCarrierisalsoentitledtobringtheclaimoractionbeforetheCourtoftheplacewherethedefendanthashisregisteredoffice.
