(“companyname”)haveexpressedtheirinterestinpartneringwith____(填寫我方公司)inprojectsrelatedtothetechnologies,products,servicesandtotalsolutionsinalllinksofthepowerchainanditsrelevantfieldsinthescopeofcooperation.公司 (填寫外方公司)有意與_____在合作范圍內(nèi)的 ______和相關領域的技術，產(chǎn)品，服務和綜合解決方案等項目進行合作。NOW,THEREFORE,thePartiesagreetojointlyworktogetherintheconstructionofthetechnologies,products,servicesandtotalsolutionsinalllinksofthe________(填寫合作領域)andotherinfrastructuredevelopmentprojectsinthescopeofcooperation(hereinafterreferredtoasthe“Projects”).現(xiàn)各方同意聯(lián)合致力于合作范圍內(nèi)的所有電力與相關基礎設施中技術、產(chǎn)品、服務和綜合解決方案的建設（以下簡稱項目）。ArticleIPurpose 目的ThepurposeofthisMOUistoprovideaframeworkofcooperationandfacilitatecollaborationamongtheParties,onanon-exclusive(orexclusive)basisintheProjects.本MOU的目的為各方在此項目上非排他性（或排他性的，兩者選一個）的提供合作框架和促進合作。ArticleIIAreasofCooperation 合作領域2.1 ThePartiesagreetocooperateinthefollowingareasofactivity: 各方同意在以下領域進行合作：a.ThePartiesthatwillundertaketoexploreanddevelopthemarketandconstructionoftheProjectsinthescopeofcooperationwithtermstobeagreed(includingbutnotlimitedtoanyformsofprocurementcontractforequipment,serviceorturn-keyprojects).雙方將在合作范圍內(nèi)的共同開發(fā)市場和進行工程建設 （包括但不限于任何形式的設備、服務或總包項目的采購合同）b.Createpartnershipwithstateownedand/orprivate–thescopeofcooperationcompaniesinotherstrategicsector/swithpotentialforjobcreation,povertyreductionandotherdevelopmentalobjectives;與合作范圍內(nèi)的國有或私營企業(yè)在其它戰(zhàn)略領域，如創(chuàng)造就業(yè)，減少貧困，和其他發(fā)展性的目的而合作。c.EstablishingbusinesscontactswithinterestedandpotentialChineseandotherinternationalcompanieswhoarecommittedtocontributetosustainabledevelopmentinthescopeofcooperation.與有意向的有潛力的在合作范圍內(nèi)的促進可持續(xù)發(fā)展的中國和其他國際公司建立商業(yè)聯(lián)系。2.2 ThePartiesagreethatthispresentcooperationisbuiltonmutualtrust amongthePartiesandthatnoneofthePartiesshalldoanyactsthatunderminetheinterestsoftheotherPartyatalltimes.HonestandfrankdisclosuresofinformationoftheProjectsarerequiredthroughoutthetermofcooperationwhichisformedofandinrelationtothisMOUamongtheParties.各方同意目前的合作是基于各方之間的相互信任，各方任何時候都不得做出有損其它方利益的行為.各方在本MOU相關的合作過程中都要誠實坦誠交換信息。ArticleIIIConsultationandExchangeofInformation咨詢與信息交換3.1ThePartiesshall,onaregularbasis,keepeachotherinformedofandconsultduringtheprogressandshareinformationofandrelatingtotheProjectstrulyandaccurately.各方應定期就與有關項目有關的信息真實且準確地進行通知、商討和信息共享。3.2ConsultationandexchangeofinformationanddocumentsunderthisArticleIIIshallbewithoutprejudicetoarrangementsaccordingtowhichcertaininformationanddocumentsmayberequiredtobemaintainedconfidentialandbeingofrestrictedcharacter.本條款下的對信息和文件的商討和交換均不影響任何關于保密和限制性信息和文件的保密要求。3.3 EachofthePartiesshallatanytimethatdeemedappropriatetorequestandconvenemeetingsforreportingand/orreviewingtheprogressofactivitiesbeingcarriedoutunderthispresentMOUandforplanningandimplementingfutureactivities.各方應在任何被認為恰當?shù)臅r候，要求召開會議，匯報和/或回顧根據(jù)本MOU所開展活動的進展，并計劃和實施未來的活動。3.4 ThePartiesmayinvitetechnicalteamstoattendmeetingswiththescopeofcooperationgovernmentofficialsfornegotiationsoftheProjectsandimplementation.Invitationsshallbemadeinreasonabletime(withonemonthpriornotice)andtakeintoaccountoftheworkschedulesoftheParties.各方可以邀請技術團隊參加與合作范圍內(nèi)的政府的會議來商討項目和實施。 邀請應提前做好（提前一個月）并要考慮工作日程。ArticleIVImplementationoftheMOU本MOU的實施4.1 Inordertoimplementthespecificactivitiesenvisionedhereunder,thePartiesshallconcludetransactionagreements,cost-sharingagreementsetc.whichshallspecifythescopeofworkandcostsorexpenses,salesrevenueorprofitrelatingtotheactivityandhowtheywilltobesharedand/orbornebytheParties.Thecost-sharingagreementsshallspecifyindetailtheexpensesneedtobeinvestedduringthewholeprocessoftheProjects,includingbutnotlimitedtothepreparation,operationandfinalizationoftheProjects.為了實施下文約定的具體行動， 各方應簽訂交易協(xié)議、 費用共擔協(xié)議等，明確與上述具體行動有關的工作范圍、 成本、銷售收入或利潤及其如何分配和承擔。 成本共擔協(xié)議應明確項目全程所投入的詳細成本，包括但不限于準備、運營直至終止。4.2 ThecostsofpublicrelationsactivitiesrelatingtothisMOU,thatarenototherwiseaddressedbyaspecificcost-sharingagreementconcludedhereunder,willbetheresponsibilityofeachpartyindependently.本MOU下公共關系活動的費用，如果沒有簽署的協(xié)議規(guī)定明確哪方承擔，應由各方獨自承擔。4.3 ThePartieshavenointentiontoformanypartnership,agencyorauthorizedrepresentativerelationshipamongthemandnosuchrelationshipsaretobeformedbyvirtueofthisMOU.NoneofthePartiesshallenterintoanycontractorcommitmentonbehalfoftheotherParty(ies)ThePartiesshallbesolelyresponsibleformakingallpaymentstoandonbehalfofitsownaccount,asprovidedunderthisMOUand/orcost-sharingagreementsconcludedhereunder.各方之間無意設立任何合伙、代理或授權代表關系，本

MOU項下或成本共擔協(xié)議項下的款項。4.4 EachPartyshallberesponsibleforitsownactsandomissionsinconnectionwiththisMOUanditsimplementation.各方應對本 MOU和實施中自己的行為或義務負責。ArticleVUseofNameandLogoetc.名字或商標等的使用5.1 NoneofthePartiesshallusethename,logo,tradenamesortrademarksoftheotherPartiesoritssubsidiaries,and/oraffiliates,oranyabbreviationoftheaforesaid,forwhateverpurposesandinwhatevermanners,whetherornotitisinconnectionwithitsbusinessorotherwise,unlessexpresspriorwrittenapprovaloftheotherPartiesareobtainedineachcaseofusewithtermstobeagreed.除非按照約定經(jīng)一方事先書面允許，任何一方不得為任何目的、以任何形式使用其它方和/或其子公司、附屬公司的名稱、標識、商號或商標，不論該使用行為是否與其自身業(yè)務有關。5.2 BothpartiesacknowledgethattheyarefamiliarwithdynamicpoliticalenvironmentinthescopeofcooperationandthatnoneofthePartiesshallbeassociated,whetherdirectlyorindirectlyandinwhatevermanner,withanypoliticalorsectariancausesinthescopeofcooperation.IfanyPartydidhaveanysuchassociationand/orcausesinthescopeofcooperation,thatPartyshallinformtheotherPartiesimmediatelywithoutdelay.ThePartiesherebyagreethatwhenonePartyhasanypoliticalassociationand/orcausesinthescopeofcooperation,thisshallbealegitimatereasonforearlytermination,withoutcompensation,bytheotherPartiesofthisMOUandofallothertransactionagreements,cost-sharingagreementsetc.雙方都熟悉合作范圍內(nèi)的國家的動態(tài)政治環(huán)境，各方都沒有直接或間接或以任何形式，與合作范圍內(nèi)的的政治或宗派事件相關聯(lián)。如果任何一方有關聯(lián)，該方應立即通知其他方。各方同意當其中一方與合作范圍內(nèi)的的政治或宗派事件相關聯(lián)，本MOU的其他方可視為提前終止本MOU、其他貿(mào)易協(xié)議或成本共擔協(xié)議等的正當理由，并無賠償責任。ArticleVIDuration,Termination,Modification有效期，終止與修改6.1 TheproposedcooperationunderthisMOUisexclusiveandshallhavedurationofaninitialperiodofone(1)year,commencing_____(dates)unlessearlyterminationaccordingtoclause5.2aboveorbyeitherPartyuponatleasttwo(2)months’priornoticeinwritingtotheotherParties.ThePartiesmayagreetoextendthetermofthisMOUforasubsequentperiod(s)uptothree(3)years,unlessotherwisemutuallyagreedinwriting.本

項下預期的合作應是排他的，最初期限應為

1年，自_____起，除非根據(jù)第5.2條提前終止或任何一方提前至少兩個月書面通知終止本 MOU。各方可以同意本MOU到期后繼續(xù)順延，最多順延 3年，除非各方另行書面約定。6.2 IntheeventofterminationofthisMOU,thecost-sharingagreementsandprojectdocumentsconcludedpursuanttothisMOUshallalsobeterminatedinaccordancewiththeterminationprovisioncontainedinsuchagreements.Insuchcase,thePartiesshalltakeallnecessarystepstoensurethattheactivitiescarriedoutundertheMOU,thecost-sharingagreementsandprojectdocumentswillbepromptlyandorderlyterminated.如果本MOU終止，根據(jù)本MOU簽訂的成本共擔協(xié)議和項目文件應同時按照該等協(xié)議和文件約定的條款予以終止。在此情形下，各方應采取各種必要措施來確保根據(jù)本MOU、成本共擔協(xié)議和項目文件開展的活動迅速且有序地予以終止。6.3 ThisMOUshallbeamendedbymutualagreementinwritinganddulyexecutedbytheParties.本MOU應由各方合意以書面形式作出修改并依約履行。ArticleVIINoticesandAddresses通知與地址7.1 AllnoticesorothercommunicationsrequiredorpermittedtobegivenpursuanttoorinreferencetothisMOUshallbeinwritingandshallbevalidandsufficientifdeliveredordispatchedbyregisteredmail,courier,personaldeliveryorfax(emailNOTaccepted)asthecasemaybe,tothePartyattheaddresssetforthbelowinthisMOUorasfromtimetotimeupdatedbyeachParty.Noticegivenashereinprovidedshallbedeemedtohavebeenserved(i)inthecaseofpersonaldeliveryatthetimewhenthenoticeisleftattheaddressee’saddressasstatedhereinbeloworitslastknownaddress;or(ii)inthecaseofdeliverybyregisteredmailorcourierontheseventh(7th)dayafterposting;or(iii)uponconfirmation(asgeneratedbythefaxmachine)ofcorrecttransmissiontotherecipient’sfaxmachine.根據(jù)或與本MOU有關的所需要或允許作出的所有通知和其他通訊均應當以書面形式作出，且應當合法且有效地以掛號信、郵寄、私人遞送或傳真（ 不接受電子郵件）形式遞送至本MOU下文約定的各方地址，或者各方不時更新的其他地址。在下列情形下遞送的通知應視為已送達：（1）如果以私人遞送的方式，通知到達被送達人的下述地址或其他的最新已知地址；或（

2）掛號信或郵件寄出后第

(“companyname”):Attention:Mr.__________ArticleVIIIGoverningLawsandJurisdictionandSettlementofDisputes8.1ThisMOUislegallybindingtotheParties.本MOU對各方有法律約束力。8.2 ThisMOUshallbegovernedandconstruedinaccordancetothelawsofPeople’sRepublicofChina.本MOU受中華人民共和國法律管轄。8.3 ThePartiesshallusetheirbesteffortstoenterintofriendlynegotiationandsettlementamicablyofanydispute,controversyorclaimarisingoutofthisMOU(the“Dispute”)within[Sixty(60)days]fromthedatethatonePartysendingrequestsforsuchanegotiation.IfthePartiesamicablysettledtheDisputebythemselves,theyshallenterintoasettlementagreementinwritingandtobedulyexecutedbytheParties.IfthePartiesgenuinelyattemptednegotiationbutfailedtoreachanysettlementterms,eitherPartymaysubmittheDisputeforarbitrationasstatedhereinbelow.各方應在一方發(fā)出要求協(xié)商的請求之日起 60日內(nèi)，盡各方最大努力進行友好協(xié)商和解決因本MOU引起的任何糾紛、異議或索賠（“爭議”）。如各方自行友善解決爭議，各方應簽訂書面的解決協(xié)議并依約履行。如果各方確實已盡力協(xié)商但未達成任何解決方案，任何一方可以就爭議按照下述方式提起仲裁。8.4 Anydispute,controversyorclaimamongthePartiesarisingoutofthisMOUwhichisnotsettledamicablyinaccordancewiththeforegoingparagraphshallbereferredtoarbitrationundertheUNCITRALArbitrationRulestheninforce.Thearbitraltribunalshallhavenoauthoritytoawardpunitivedamages.ThePartiesshallbeboundbyanyarbitrationawardrenderedasaresultofsucharbitrationasthefinaladjudicationofanysuchcontroversy,claimordispute.ThePartiesfurtheragreethefollowings:各方之間未能按照前述方式友好解決的任何糾紛、異議或索賠，應當根據(jù)彼時有效的聯(lián)合國國際貿(mào)易法委員會仲裁規(guī)則進行仲裁。仲裁庭無權判處懲罰性賠償。各方應受經(jīng)上述仲裁所作出的任何仲裁裁決的約束， 視其為任何糾紛、異議或索賠的終局裁決。各方進一步同意：TheplaceofarbitrationshallbeatBeijing.ThelanguagetobeusedinthearbitralproceedingsshallbeinEnglishlanguage.仲裁中使用的語言應為英語。8.5 ThisMOUispreparedinEnglishandChinese.IncaseofanydiscrepanciescontainedbetweentheEnglishandChineseversions,theEnglishversionshallprevail.本MOU應為中英文版本。如果中英文版本有差異，以英文版本為準。ArticleIXMiscellaneous其他條款ThisMOUandanyrelatedco-financingagreements(ifany)andprojectdocuments(ifany)comprisethecompleteunderstandingofthePartiesinrespectofthesubjectmatter
