鑒于甲方在大熊貓金融中心—樓投資建設(shè)““共享辦公創(chuàng)業(yè)服務(wù)平

臺(tái),與甲方開設(shè)的其他眾創(chuàng)空間一并創(chuàng)設(shè)【熊貓樂園】,為企業(yè)家創(chuàng)業(yè)者提供相關(guān)服

務(wù);乙方已經(jīng)知悉甲方的服務(wù)內(nèi)容,愿意加入【熊貓樂園】接受相關(guān)服務(wù),經(jīng)雙方協(xié)

商一致,達(dá)成如下協(xié)議:

inBuilding_ofPandanIFC;issetupalongwithothermassinnovationspacesopenedbyPartyA,

whichprovidesrelatedservicesforentrepreneursandpioneers.PartyBhasbeeninformedoftheservice

contentsofPartyAandiswillingtojoininandacceptrelatedservices.Throughconsensus,bothparties

reachthefollowingagreement:

第一條會(huì)員服務(wù)

Article1MemberService

1.1乙方自愿加入【熊貓樂園】,成為【熊貓樂園】會(huì)員,付費(fèi)接受甲方的相關(guān)服

務(wù),自愿遵守本協(xié)議的約定。

1.1PartyBvoluntarilyjoinsin[PTC]andbecomesthememberof[PTC].PartyBpaystoaccept

relatedservicesofPartyAandvoluntarilyadherestothestipulationsofthisagreement.

1.2乙方擁有大熊貓金融中心樓單元的面積為平方米專享

商務(wù)空間(具體位置見附件一:乙方商務(wù)空間建筑面積平面圖;商務(wù)空間裝修

及設(shè)備見附件二:商務(wù)空間交接確認(rèn)單)。

1.2PartyBownstheexclusivecommercialspaceofUnit_,Building—,PandanIFC,withthearea

of___squaremeters,(theconcretelocationisseeninAppendix1:planofthecoveredareaof

PartyB'scommercialspace;decorationandequipmentofthecommercialspaceisseenin

Appendix2:theformoftakeoverconfirmationofthecommercialspace).

1.3雙方確認(rèn),乙方的商務(wù)空間須做辦公室使用。會(huì)員期間內(nèi),未經(jīng)甲方書面同意,

乙方不得擅自改變商務(wù)空間的用途。會(huì)員期間內(nèi),乙方不得使用、允許或默許

商務(wù)空間用作任何非法或損害【熊貓樂園】整體商譽(yù)的行為及用途,否則甲方

有權(quán)單方面終止本合同,由此造成的一切損失均由乙方承擔(dān)。

1.3BothpartiesconfirmthatthecommercialspaceofPartyBshallbeusedastheoffice.

Duringthememberperiod,withoutthewrittenapprovalofPartyA,PartyBshallnot

arbitrarilychangetheuseofcommercialspace.Duringthememberperiod,PartyB

shallnotuse,allownorconniveatcommercialspace'sbeingusedfortheillegalor

harmfulbehavioranduseoftheoverallcommercialreputationof[ThePhoenix

Club].Otherwise,PartyAhastherighttounilaterallyterminatethiscontract.Allthe

lossesarisingoutofthisshallbeassumedbyPartyB.

1.4基本服務(wù)

1.4.1依據(jù)乙方需求,提供包括內(nèi)資企業(yè)、外資企業(yè)、中外合資企業(yè)的注冊(cè)及變更,人

力資源招聘等基本服務(wù)。

1.4.2依據(jù)乙方需求,提供深圳市內(nèi)勞斯萊斯VIP專車接送服務(wù)、全國各地酒店協(xié)議價(jià)

入住服務(wù),價(jià)格另行協(xié)商。

1.4.3甲方提供精品咖啡服務(wù),乙方可根據(jù)使用額度享受相應(yīng)服務(wù)。

1.4.4甲方提供云端健身服務(wù)。

1.4BasicServices

1.4.1InaccordancewithPartyB'sdemands,providethebasicservicessuchasregistration

andchangehumanresourcerecruitmentfordomestically-fundedenterprises,

foreign-fundedenterprises,Sino-fbreignjointenterprises.

1.4.2InaccordancewithPartyB'sdemands,providetheVIPexclusivevehiclepickup

servicesofRolls-RoycewithinShenzhen,check-inserviceaccordingtothe

negotiatedpricesofhotelsnationwide.Thepricesshallbeseparatelynegotiated.

1.4.3PartyAshallprovideexcellentcoffeeservice,andPartyBcanenjoythe

correspondingserviceaccordingtoitsamountofuse.

1.4.4PartyAshallprovidecloudfitnessservice.

1.5增值服務(wù)

依據(jù)乙方實(shí)際需求,甲方協(xié)助乙方開展發(fā)展規(guī)劃編制、商業(yè)模式研究、商業(yè)計(jì)

劃書編制、團(tuán)隊(duì)組建、宣傳營銷等咨詢工作,甲方可免收服務(wù)費(fèi)用。乙方要求

甲方幫助深入研究和實(shí)際編制的,雙方采取一事一議的方式,由甲方指定的專業(yè)

服務(wù)機(jī)構(gòu)及其他相應(yīng)的機(jī)構(gòu)提供有償服務(wù)。

1.5Value-addedServices

InaccordancewithPartyB'sactualdemands,PartyAhelpsPartyBtocarryoutthe

consultationworksuchasformulationofdevelopmentplanning,researchof

commercialmode,formulationofcommercialprojectplan,teamsetup,publicity

marketing.PartyAmayexemptserviceexpense.IfPartyBrequiresPartyAtohelp

within-depthresearchandactualformulation,bothpartiesadoptthemodeofone

matterandonediscussion;PartyAdesignatestheprofessionalserviceorganizations

andotheraccordingorganizationstoprovidepaidservice.

1.5.1依據(jù)乙方實(shí)際需求,甲方幫助引進(jìn)專業(yè)機(jī)構(gòu),為乙方提供財(cái)務(wù)顧問、稅務(wù)顧問、

法律顧問、管理咨詢、營銷咨詢、研發(fā)咨詢等服務(wù),甲方可免收中介服務(wù)費(fèi)。

依據(jù)乙方實(shí)際需求,甲方幫助乙方配備商業(yè)導(dǎo)師,為乙方提供商業(yè)指導(dǎo),甲方

可免收中介服務(wù)費(fèi)。

1.5.1InaccordancewithPartyB'sactualdemands,PartyAhelpsbringintheprofessional

organizationsandprovidesfinancialconsultant,taxconsultant,legalconsultant,

managementconsultation,marketingconsultation,R&DconsultationforPartyB.

PartyAmayexempttheintermediaryserviceexpense.

InaccordancewithPartyB'sactualdemands,PartyAhelpsPartyBtoallocatethe

commercialtutors,providecommercialguidanceforPartyB.PartyAmayexempt

theintermediaryserviceexpense.

1.6資助政策申報(bào)輔導(dǎo)服務(wù)

依據(jù)國家部委/省市/各區(qū)下設(shè)的科技、經(jīng)促、發(fā)改、文化等相關(guān)政府職能部門資

助政策,甲方協(xié)助乙方及時(shí)申報(bào),協(xié)助乙方引進(jìn)專業(yè)機(jī)構(gòu)編制項(xiàng)目可研報(bào)告、

項(xiàng)目建議書、科研項(xiàng)目申請(qǐng)等各類申報(bào)材料,并在申報(bào)過程中協(xié)助乙方與相關(guān)

職能部門有效溝通。未取得政府資助的項(xiàng)目,甲方免收服務(wù)費(fèi);取得政府資助

的項(xiàng)目,甲方按照雙方簽訂的中介服務(wù)協(xié)議收取服務(wù)費(fèi)。

1.6ServiceofSubsidyPolicyDeclarationGuidance

Inaccordancewiththesubsidypoliciesofrelatedgovernmentfunctional

departmentsincludingscience&technology,economicpromotion,development

reform,culturesetbythenationalministries/provincesandcities/districts,PartyA

helpsPartyBtodeclareintime,helpsPartyBtobringinvariousdeclaration

materialssuchastheprojectfeasibilityreports,projectproposal,scientificresearch

projectapplicationformulatedbyprofessionalorganizations.Inthedeclaration

process,PartyAhelpsPartyBwiththeeffectivenegotiationswithrelatedfunctional

departments.Fortheprojectsthatfailtogetthegovernmentsubsidy,PartyA

exemptsserviceexpense.Fortheprojectsthatgetthegovernmentsubsidy,PartyA

chargesserviceexpenseaccordingtotheintermediaryserviceagreementsignedby

bothparties.

1.7融資服務(wù)

1.7.1甲方協(xié)助乙方開展融資工作、設(shè)計(jì)融資方案、提供項(xiàng)目路演、對(duì)接投資機(jī)構(gòu)。乙

方融資失敗的,甲方可酌情免收服務(wù)費(fèi);乙方融資成功的,甲方按照雙方簽訂

的融資服務(wù)協(xié)議的約定收取服務(wù)費(fèi)。

1.7.2依據(jù)乙方的實(shí)際情況和請(qǐng)求,乙方可向甲方提出融資申請(qǐng)、提交融資材料。經(jīng)甲

方審核通過后,甲方可使用自有資金或其管理的創(chuàng)業(yè)股資基金、股權(quán)投資基金

對(duì)乙方進(jìn)行投資。

1.7.3依據(jù)乙方項(xiàng)目實(shí)際情況和請(qǐng)求,甲方可協(xié)調(diào)第三方以租金換股權(quán)增資入股乙方。

1.7FinancingService

1.7.1PartyAhelpsPartyBcarryoutthefinancingwork,designthefinancingscheme,

providetheprojectroadshow,connectwiththeinvestmentorganizations.Ifthe

financingofPartyBfails,PartyAmayexempttheserviceexpenseaccordingtothe

concreteconditions.IffinancingofPartyBsucceeds,PartyAchargestheservice

expenseaccordingtothestipulationsofthefinancingserviceagreementsignedby

bothparties.

1.7.2InaccordancewithPartyB'sactualconditionsandrequests,PartyBmaypropose

thefinancingapplicationtoPartyA,submitthefinancingmaterials.AfterPartyA

reviewsit,PartyAmayusetheself-ownedcapitaloritsmanagedpioneeringstock

fundandstockinvestmentfundtoinvestinPartyB.

1.7.3InaccordancewithPartyB'sprojectactualconditionsandrequests,PartyAmay

coordinatewiththethird-partytoexchangethestockwithrentalandincreasethe

fundtoPartyB.

1.8其他服務(wù)

依據(jù)乙方實(shí)際需求,甲方與乙方另行簽訂服務(wù)協(xié)議,甲方協(xié)助乙方引進(jìn)專業(yè)機(jī)構(gòu),

開展包括但不限于產(chǎn)品和股權(quán)眾籌、營銷推廣、知識(shí)產(chǎn)權(quán)及商標(biāo)申報(bào)、高新企業(yè)

認(rèn)定、軟件企業(yè)認(rèn)定及行業(yè)內(nèi)相關(guān)的資質(zhì)認(rèn)定工作。

1.8OtherServices

InaccordancewithPartyB'sactualdemands,PartyAandPartyBseparatelysign

serviceagreement;PartyAhelpsPartyBintroduceintheprofessionalorganizations,

carryouttheservicesincludingbutnotlimitedtoproductsandstockright

crowd-funding,marketingpromotion,declarationofintellectualpropertyand

trademark,affirmationofhigh-techenterprisesandaffirmationofsoftwareenterprises,

andotherrelatedqualificationcertificationwork.

1.9服務(wù)說明

1.9.1本協(xié)議第一條約定的內(nèi)容為選擇性服務(wù)內(nèi)容,乙方可按照公司發(fā)展所需自主選擇。

1.9.2甲方對(duì)以上會(huì)員服務(wù)有最終解釋權(quán)和調(diào)整權(quán),入會(huì)會(huì)員確認(rèn)能夠?qū)Υ死斫獠o條

件接受。

1.9ServiceInstructions

1.9.1ThecontentsinArticle1ofthisagreementarethealternativeservicecontents.Party

Bmayautonomouslychooseitaccordingtothecorporatedevelopment.

1.9.2PartyAownstherightoffinalinterpretationandadjustmentrightoftheabove

memberservices.Themembersconfirmtounderstandthisandunconditionally

acceptit.

第二條會(huì)員費(fèi)用

Article2MemberExpense

2.1會(huì)費(fèi)(服務(wù)費(fèi)):根據(jù)乙方選擇的會(huì)員等級(jí)和專屬商務(wù)空間面積(按照每平米

398元計(jì)算)。乙方應(yīng)繳納會(huì)費(fèi)每月人民幣元(大寫:)。

服務(wù)費(fèi)自年_月一日起逐年遞增—%=

2.2每月會(huì)費(fèi)乙方應(yīng)于當(dāng)月—日前(如—日前一日為國家規(guī)定的公眾假期,則乙

方應(yīng)當(dāng)提前至前一個(gè)工作日繳納)向甲方以轉(zhuǎn)賬或甲方指定的其他方式支付,

會(huì)費(fèi)繳納以到賬時(shí)間為準(zhǔn)。甲方指定的收款銀行及賬戶信息:—收款

人:;開戶銀行:;銀行賬戶:。

2.3本合同項(xiàng)下會(huì)員費(fèi)用每半年繳交一次,每次一次性繳交六期會(huì)費(fèi),乙方應(yīng)在本合

同簽訂后一個(gè)工作日內(nèi)支付會(huì)費(fèi)共計(jì)人民幣元(大寫:),

即自年月日至年月日的會(huì)員費(fèi)用。

2.4本合同項(xiàng)下的稅費(fèi)由承擔(dān),乙方在足額收款后應(yīng)向甲方提供相應(yīng)的服

務(wù)費(fèi)發(fā)票。

2.2Forthemonthlymembershipdues,PartyBshallpayPartyBthroughthetransferor

payitinthepreviousoneworkingday).Thepaymentofmembershipduesshallrefer

2.3Themembershipfeeunderthiscontractshallbepaideverysixmonthsonetime,and

eachpaymentshallbethesixmembershipfees.PartyBshallpay

第三條服務(wù)期限

3.1會(huì)員服務(wù)期限:年_月_日始,至______年一月—日止,共2年。會(huì)

員服務(wù)到期前3個(gè)月,乙方應(yīng)與甲方協(xié)商續(xù)約以及相關(guān)費(fèi)用事宜。

Article3ServiceDeadline

3.1Periodofmembershipserviceistwoyearsfromto.Before

thethreemonthswhentheperiodisdue,PartyBshallnegotiatetherenewaland

relevantcostswithPartyA.

第四條會(huì)籍保證金

4.1乙方應(yīng)繳納相當(dāng)于一個(gè)月會(huì)費(fèi)的保證金,合同終止后30日內(nèi),如未發(fā)生本合同

第十二條規(guī)定情形的,乙方無違反管理守則或規(guī)章、無欠費(fèi)(包含會(huì)費(fèi)、水電

費(fèi)等一切費(fèi)用)的情況下,會(huì)籍保證金無息退還。

4.2乙方如不履行本合同條款或違反本合同約定提前解除本合同或損壞商務(wù)空間及

其附屬設(shè)施的,則甲方有權(quán)直接將會(huì)籍保證金予以扣收,不足部分乙方應(yīng)及時(shí)

補(bǔ)足,并有權(quán)要求乙方另行支付違約金、賠償金等。

Article4MembershipCashDeposit

4.1PaityBshallpaythecashdepositequaltothemembershipduesof_months.Within

30daysafterthecontractterminates,ifthestipulatedcaseinArticle12inthis

contractdoesnotoccurandPartyBdoesnotviolatethemanagementrulesand

regulationsandhasnotowedexpenses(includingmembershipdues,waterand

electricityexpense),membershipcashdepositwillberefundedbyinterest-free.

4.2IfPartyBdoesnotpaythecontractsumorviolatethiscontracttoreleasethiscontract

inadvanceordamagethecommercialspaceanditsauxiliaryfacilities,PartyAhas

therighttodirectlydeductthemembershipcashdeposit.Fortheinsufficientpart,

PartyBshallmakeitupintime.PartyAalsohastherighttorequirePartyBto

separatelypayliquidateddamages,indemnity.

第四條裝修期

4.1裝修期為_個(gè)月,即從年月日至_____年月—日。

4.2裝修期內(nèi),乙方應(yīng)交的會(huì)費(fèi)標(biāo)準(zhǔn)為每月人民幣元。但如因甲方原因延遲交

付商務(wù)空間,則該裝修期以此順延。

Article4DecorationPeriod

4.1Thedecorationperiodlastsfor_months,namelyfromMMDD,YYtoMMDD,

YY.

4.2Withinthedecorationperiod,thestandardofmembershipduesthatPartyBshould

payis___yuanpermonth.Ifdeliveryofthecommercialspaceispostponedforthe

reasonofPartyA,thisdecorationperiodshallbethuspostponed.

第五條進(jìn)場及交付標(biāo)準(zhǔn)

5.1雙方約定,本合同項(xiàng)下的進(jìn)場日為年_月_日。本商務(wù)空間如有附屬設(shè)備,

有關(guān)附屬設(shè)備應(yīng)開列清單并由甲、乙雙方清點(diǎn)后簽字確認(rèn),附屬設(shè)備清單作為

本協(xié)議的附件。交付方式:現(xiàn)狀交付。

5.2乙方應(yīng)于收到甲方通知交付3日內(nèi)與甲方辦理該商務(wù)空間的交接手續(xù)。若非因甲

方原因乙方未能在規(guī)定時(shí)間內(nèi)辦理所有交接手續(xù)的,則視為本合同約定交付日

起已經(jīng)交接給乙方使用,乙方應(yīng)自合同約定交付日起承擔(dān)該商務(wù)空間的相應(yīng)費(fèi)

用。乙方超過交付時(shí)間一個(gè)月后仍未辦理商務(wù)空間驗(yàn)收、交接手續(xù),則甲方有

權(quán)單方終止本合同,沒收會(huì)籍保證金及已繳付的首月會(huì)費(fèi)。

5.3甲方延遲一個(gè)月仍未向乙方交付的,乙方有權(quán)解除本合同,并有權(quán)要求甲方雙倍

賠償會(huì)籍保證金金及退回已繳付的首月會(huì)費(fèi)。

Article5ApproachandDeliveryStandard

5.1BothpartiesagreethatthedayofapproachunderthiscontractisMMDD,YY.Ifthis

commercialspacehastheaffiliatedequipment,listofrelatedaffiliatedequipment

shallbegiven.Afterbothpartiesmakeaninventory,theysigntoconfirmit.Thelist

oftheaffiliatedequipmentisregardedastheappendixofthisagreement.Modeof

delivery:deliveryasitis.

5.2PaityBshalldealwiththetakeoverproceduresofthecommercialspacewithPartyA

within3daysafterreceivingthedeliverynoticeofPartyA.IfPartyBfailstodeal

withallthetakeoverprocedureswithinthestipulatedtimenotforthereasonofParty

A,itisdeemedthatithasbeentakenovertoPartyBsincethedeliverydayagreedby

thiscontract;PartyBshallassumetheaccordingexpensesofthecommercialspace

sincethedeliverydaystipulatedbythiscontract.IfPartyBstillfailstohandlethe

checkandtakeoverproceduresofthecommercialspaceafteronemonthsincethe

deliveryday,PartyAhastherighttounilaterallyterminatethiscontract,confiscate

themembershipcashdepositandthepaidmembershipduesofthefirstmonth.

5.3IfPartyApostponesthedeliverytoPartyBforonemonth,PartyBhastherightto

releasethiscontractandhastherighttorequirePartyAtogivedoublecompensation

ofthemembershipcashdepositandreturnthepaidmembershipduesofthefirst

month.

第六條商務(wù)空間的裝飾裝修

6.1若乙方需要對(duì)商務(wù)空間進(jìn)行裝修,應(yīng)自行承擔(dān)所有的相應(yīng)費(fèi)用包括向物業(yè)管理公

司支付裝修保證金。乙方可向甲方咨詢裝修相關(guān)設(shè)計(jì)、風(fēng)格以及施工等相關(guān)事宜。

6.2乙方承諾對(duì)裝修設(shè)計(jì)文件自行承擔(dān)全部責(zé)任。在裝修過程中服從物業(yè)管理公司及

其他單位(如涉及)的管理和指揮,并按照物業(yè)管理公司的規(guī)定繳納因裝修而發(fā)

生的收費(fèi)項(xiàng)目,包括但不限于裝修保證金、垃圾清運(yùn)費(fèi)等。乙方對(duì)該商務(wù)空間的

裝飾裝修必須符合法律法規(guī),遵守關(guān)于裝修設(shè)計(jì)文件審查的規(guī)章制度,且不能破

壞甲方已經(jīng)完成的裝修。

6.3乙方違反本合同約定的各項(xiàng)要求對(duì)該商務(wù)空間進(jìn)行裝飾裝修的,則物業(yè)管理部門

有權(quán)通知乙方改正。自物業(yè)管理公司發(fā)出通知之日起超過5日,乙方仍未改正的,

則物業(yè)管理公司有權(quán)對(duì)該商務(wù)空間停止水、電等能源供應(yīng)或直接采取強(qiáng)制措施予

以糾正,因此而發(fā)生的一切損失和費(fèi)用均由乙方承擔(dān),乙方仍應(yīng)當(dāng)按本合同約定

承擔(dān)會(huì)費(fèi)等費(fèi)用。

6.4若乙方裝修涉及水、電、消防、空調(diào)及排污等中央系統(tǒng)的接駁、更改或移動(dòng)等,

須征得所屬大廈物業(yè)管理處書面同意并建議由本大廈原施工方施工,所需費(fèi)用由

乙方承擔(dān)。

6.5乙方保證不因?qū)ι虅?wù)空間進(jìn)行裝飾裝修而造成任何的財(cái)產(chǎn)損失或人身傷害,否則,

由乙方自行負(fù)責(zé)糾紛的解決及賠償并承擔(dān)一切責(zé)任。

6.6本合同期滿或合同提前解除后,裝修部分殘留物由乙方自行清除完畢。

Article6FurnishingandDecorationoftheCommercialSpace

6.1IfPartyBneedstodecoratethecommercialspace,PartyBshallpayallcorresponding

expenses,includingthepaymentofthedecorationdeposittotheProperty

ManagementCompany.PartyBmayseekadviceonrelateddesign,style,and

constructionrelatedmattersofthedecorationfromPartyA.

6.2PartyBpromisestoassumealltheresponsibilitiesofthedecorationdesigndocuments,

obeythemanagementandcommandofthepropertymanagementcompanyandother

units(ifitinvolves)inthedecorationprocess,andpaytheexpenseprojectsarisingout

ofdecorationstipulatedbythepropertymanagementcompany,includingbutnot

limitedtothedecorationcashdeposit,garbagecleaningexpenses.PartyB'sfurnishing

decorationofthecommercialspacemustkeepinlinewithlawsandregulations.Party

Bmustabidebytherulesandsystemsrelatedtothedocumentcensorshipof

decorationdesignandshallnotdestroythedecorationthatPartyAhasfinished.

6.3IfPartyBviolatesthevariousrequirementsstipulatedbythiscontractandconducts

furnishinganddecorationofthecommercialspace,thepropertymanagement

departmenthastherighttonotifyPartyBtocorrectit.IfPartyBstillfailstocorrectit

formorethan5dayssincethedaywhenthepropertymanagementcompanyissuesthe

notice,thepropertymanagementcompanyhastherighttostoptheenergysupplysuch

aswater,electricitytothecommercialspaceordirectlyadoptthecompulsory

measurestocorrectit.Allthelossesandexpensearisingoutofthisshallbeassumed

byPartyB,PartyBshallalsoassumethemembershipduesstipulatedinthiscontract.

6.4IfPartyB'sdecorationinvolvestheconnection,changeormoveofthecentralsystems

suchaswater,electricity,fire,airconditioningandpollutiondischarge,itshallgainthe

writtenapprovalofthepropertymanagementdepartmentofthebuilding.Theoriginal

constructionpartyofthebuildingissuggestedtoconstruct.Theexpensesrequired

shallbeassumedbyPartyB.

6.5PartyBguaranteesnottocauseanypropertylossesorpersonalinjuryarisingoutofthe

furnishinganddecorationofthecommercialspace.Otherwise,PartyBshallbe

responsibleforthedisputesolutionandcompensation,andassumeallthe

responsibilities.

6.6afterthiscontractexpiresorthecontractisreleasedinadvance,PartyBshallclearthe

residuesofdecoration.

第七條緊急狀態(tài)和商務(wù)空間維修

7.1該商務(wù)空間及其所在區(qū)域或其相鄰的建筑發(fā)生火災(zāi)、爆炸、恐怖活動(dòng)等危害公共

安全的事件或發(fā)生重大的刑事犯罪行為等不可預(yù)測的突發(fā)性事件的情形,或存

在發(fā)生上述危害公共安全的事件或突發(fā)性事件的潛在危險(xiǎn)的情形構(gòu)成本合同項(xiàng)

下所述緊急狀態(tài)。

(1)發(fā)生緊急狀態(tài)時(shí),甲方或物業(yè)管理部門可以在不通知乙方的情況下,自

行決定中斷對(duì)該商務(wù)空間的水、電、燃?xì)獾饶茉垂?yīng)或停止空調(diào)、電梯

等設(shè)施設(shè)備的運(yùn)行。但事后應(yīng)當(dāng)通過適當(dāng)途徑盡快通知乙方,并作出說

明。

(2)因緊急狀態(tài)或者公用事業(yè)部門或者有關(guān)政府部門的要求、命令而導(dǎo)致該

商務(wù)空間的水、電、燃?xì)獾饶茉垂?yīng)中斷或空調(diào)、電梯等設(shè)施設(shè)備停止

運(yùn)行的,甲方、物業(yè)管理部門不承擔(dān)任何責(zé)任。

(3)因處置緊急狀態(tài)而造成該商務(wù)空間及相關(guān)設(shè)施設(shè)備受到損害或其他財(cái)產(chǎn)

損失的(無論是因?yàn)榧追?、物業(yè)管理部門或相關(guān)政府部門工作人員的行

為),其中凡屬于乙方的貨物、設(shè)備等,均由乙方自行承擔(dān)。

7.2該商務(wù)空間因工程質(zhì)量原因發(fā)生損壞的,甲方應(yīng)予以維修。但是,甲方不因?yàn)?/p>

對(duì)該商務(wù)空間及其相關(guān)設(shè)施設(shè)備和能源供應(yīng)系統(tǒng)進(jìn)行維修而向乙方作出任何

形式的賠償或補(bǔ)償。甲方對(duì)該商務(wù)空間的維修責(zé)任只限于該商務(wù)空間的結(jié)構(gòu)及

交接時(shí)甲方提供的設(shè)備設(shè)施(本合同另有約定的除外)。此外,甲方亦應(yīng)維修商

務(wù)空間的公共部位/區(qū)域。乙方裝修或增設(shè)的設(shè)施設(shè)備由乙方自行維修。

倘在任何時(shí)間內(nèi)非因甲方的過錯(cuò),該商務(wù)空間的水、電、煤氣供應(yīng)或空調(diào)服務(wù)

停止供應(yīng)或該商務(wù)空間內(nèi)的任何公共設(shè)施停止運(yùn)作,甲方不必為此而向乙方承

擔(dān)任何賠償責(zé)任或減免乙方任何會(huì)費(fèi)及其它費(fèi)用。甲方向該商務(wù)空間提供的保

安人員、管理人員、任何性質(zhì)的機(jī)械、電子防盜系統(tǒng)(如有),將不構(gòu)成甲方有

義務(wù)負(fù)責(zé)該商務(wù)空間或其內(nèi)之財(cái)物的保安、保管。除甲方的過錯(cuò)外,乙方在任

何時(shí)間都應(yīng)自行對(duì)該商務(wù)空間或其內(nèi)之財(cái)物負(fù)責(zé)。

7.3因乙方原因?qū)е略撋虅?wù)空間的水、電、燃?xì)獾饶茉垂?yīng)中斷或空調(diào)、電梯等設(shè)

施設(shè)備停止運(yùn)行的,乙方應(yīng)當(dāng)承擔(dān)修復(fù)所需的一切費(fèi)用,并賠償因此給甲方及

第三方所造成的一切損失。

7.4因乙方對(duì)該商務(wù)空間進(jìn)行裝飾裝修工程或因乙方的其他行為導(dǎo)致甲方或物業(yè)管

理部門無法對(duì)相關(guān)的管道、線路和設(shè)備進(jìn)行檢修、調(diào)試或及時(shí)采取補(bǔ)救措施的,

則因此而發(fā)生的損失或因此而擴(kuò)大的損失,應(yīng)當(dāng)由乙方自行承擔(dān)損失及可能發(fā)

生的損害賠償責(zé)任,甲方、物業(yè)管理部門不負(fù)賠償責(zé)任。

Article7EmergencyConditionandRepairoftheCommercialSpace

7.1Thecommercialspaceanditsregionoritsneighboringbuildingshavetheeventsthat

endangerthepublicsecuritysuchasfire,explosionandterroristactivitiesorhavethe

unpredictableemergencyeventssuchasthemajorcriminalbehaviors,orhavethe

aboveeventsofendangeringthepublicsecurityorthecaseswithpotentialdangersof

theemergencyevents,whichconstitutethefollowingemergencyconditionsunder

thiscontract.

(1)Incaseofemergencycondition,PartyAoritspropertymanagementdepartment

mayindependentlydecidetostoptheenergysupplysuchaswater,electricity,gasto

thecommercialspacewithoutnotifyingPartyB,orstoptheoperationofthefacility

andequipmentsuchasairconditioningandelevator,butPartyAshallnotifyPartyB

throughproperapproachesassoonaspossibleaftertheeventandmakeexplanations.

(2)Iftheenergysupplysuchaswater,electricity,gastothecommercialspaceorthe

facilityandequipmentsuchasairconditioningandelevatorisstoppedoutofthe

emergencyconditionortherequirementsofthepublicutilitydepartmentsorrelated

governmentdepartments,PartyAandthepropertymanagementdepartmentshallnot

assumeanyresponsibilities.

(3)Ifharmisdonetothecommercialspaceandrelatedfacilityandequipmentoutof

theemergencyconditionorotherpropertylosses(whetheritisthebehaviorofParty

A,workingstaffofthepropertymanagementdepartmentorrelatedgovernment

departments),PartyBshallindependentlyassumetheproductsandequipmentof

PartyB.

7.2Ifthecommercialspacehasanydamageoutoftheprojectquality,PartyAshall

repairit.However,PartyAdoesnotmakeanycompensationorindemnitytoParty

Boutoftherepairofthecommercialspaceandrelatedfacilityandequipmentand

theenergysupplysystem.PartyA'srepairresponsibilityofthecommercialspaceis

onlylimitedtothestructureofthecommercialspaceandtheequipmentand

facilitiesprovidedbyPartyAinhandover(exceptforotherwiseagreedinthis

contract).Inaddition,PartyAshallrepairthepublicparts/regionsofthecommercial

space.PartyBshallrepairitsdecorationorthefacilityandequipmentitincreases.

Ifthewater,electricity,gassupplyserviceisstoppedoranypublicfacilitystops

operationwithinthecommercialspacenotoutofthemistakeofPartyAatanytime,

PartyAdoesnothavetoassumeanycompensationresponsibilitytoPartyBnor

exemptanymembershipduesandotherexpensesofPartyB.Thesecurityguards,

management,mechanism,electronicsecuritysystem(ifany)providedbyPartyA

forthecommercialspaceshallnotconstitutePartyA'sobligationofbeing

responsibleforthesecurityofthecommercialspaceorthepropertieswithinit.

ExceptforthemistakesofPartyA,PartyBshallberesponsibleforthecommercial

spaceandthepropertieswithinitatanytime.

7.3Ifwater,electricity,gassupplyserviceisstoppedoranypublicfacilitystops

operationwithinthecommercialspaceoutofPartyB,PartyBshallassumeallthe

expensesrequiredforrepairandcompensateallthelossescausedtoPartyAandthe

third-party.

7.4IfPartyAorthepropertymanagementdepartmentfailstooverhaul,debugoradopt

theremedymeasurestotherelatedpipes,routesandequipmentoutofPartyB's

furnishinganddecorationprojectdonetothecommercialorotherbehaviorsof

PartyB,thelossesarisingoutofthisortheexpandedlossesshallbeassumedby

PartyB.PartyBshallalsoassumethecompensationresponsibilityforthepossible

harms.PartyAandthepropertymanagementdepartmentdonotassumeany

compensationresponsibility.

第八條乙方在會(huì)員期間的照管責(zé)任

8.1自進(jìn)場日后,未經(jīng)甲方書面同意,乙方不得擅自改變或損壞該商務(wù)空間的空間

結(jié)構(gòu)、外墻部分、以及甲方提供的任何設(shè)施設(shè)備(包括專用設(shè)施設(shè)備和共用設(shè)

施設(shè)備)。

8.2對(duì)于設(shè)置或通過該商務(wù)空間的設(shè)施設(shè)備,乙方應(yīng)當(dāng)給予充分的注意和保護(hù)。

8.3乙方在使用該商務(wù)空間時(shí),應(yīng)當(dāng)遵守中國包括環(huán)境保護(hù)、衛(wèi)生、防疫、文化、

安全、治安、消防管理在內(nèi)的各項(xiàng)法律規(guī)定,自行負(fù)責(zé)該商務(wù)空間內(nèi)經(jīng)營安全、

消防安全、財(cái)產(chǎn)安全保衛(wèi)工作,承擔(dān)因此而產(chǎn)生的一切費(fèi)用支出和責(zé)任,并服

從甲方在安全工作上的統(tǒng)一協(xié)調(diào)、管理。

8.4乙方保證正常合理的使用該商務(wù)空間及其設(shè)施設(shè)備,不得放置任何超過該商務(wù)

空間設(shè)計(jì)荷載的物品;不得采取任何可能導(dǎo)致不合理的縮短該商務(wù)空間建筑物

及設(shè)施設(shè)備使用期限的行為。

8.5乙方保證不從事任何可能阻礙、影響相鄰區(qū)域內(nèi)甲方或其他會(huì)員合法權(quán)利的行

為或其他不合理的干涉、擾亂甲方或其他會(huì)員正常經(jīng)營的行為。

8.6對(duì)于因乙方原因?qū)е碌乃?、煙、燃?xì)獾认嚓P(guān)物質(zhì)外泄或因乙方原因?qū)е禄馂?zāi)、

爆炸等危害公共安全的事件發(fā)生或乙方有不良經(jīng)營行為的,則乙方應(yīng)當(dāng)對(duì)甲方

及第三方因此而蒙受的損失給予賠償,包括人身損害和財(cái)產(chǎn)損害。本款內(nèi)所述

乙方的責(zé)任也適用于乙方的工作人員或其他與乙方相關(guān)的人員,并由乙方承擔(dān)

連帶賠償責(zé)任。

8.7因第三方原因?qū)е乱曳截?cái)產(chǎn)發(fā)生損害或?qū)е乱曳矫墒軗p失的,由乙方自行向第

三方索賠,甲方、物業(yè)管理部門不承擔(dān)任何賠償或補(bǔ)償責(zé)任。

Article8PartyB'sResponsibilityofLookingafterDuringtheMemberPeriod

8.1Sincetheentranceday,withoutPartyA'swrittenapproval,PartyBshallnot

arbitrarilychangeordamagethespacialstructure,externalwallpartandany

facilityandequipmentprovidedbyPartyA(includingtheexclusiveand

commonfacilityandequipment).

8.2Forthefacilityandequipmentofthecommercialspace,PartyBshallgiveadequate

attentionandprotection.

8.3Inusingthecommercialspace,PartyBshallabidebyvariousrulesandstipulations

includingenvironmentprotection,sanitation,anti-epidemic,culture,security,public

security,firemanagementinChina,shallberesponsibleforthesecurity,fire

security,propertysecurityguardworkofthecommercialspace,assumeallthe

expensesandresponsibilitiesarisingoutofthisandobjectPartyA'sunified

coordination,managementintermsofthesecuritywork.

8.4PartyBguaranteestonormallyandreasonableusethecommercialspaceandits

facilityandequipmentandnottosetanyobjectsbeyondtheloaddesignedbythe

commercialspace;PartyBshallnotadoptanybehaviorthatmayunreasonably

shortentheusedeadlineofthebuildingandthefacilityandequipmentofthe

commercialspace.

8.5PartyBguaranteesnottobeengagedinanybehaviorthatmayhinderandinfluence

thelegalrightsofPartyAorothermemberswithinthen
