有關(guān)銷售代理協(xié)議中英版SalesAgencyAgreement銷售代理協(xié)議ThisSalesAgencyAgreement(the“Agreement”)ismadeandenteredintoasof_____________(the“EffectiveDate”),byandbetween[SellerName],acompanyorganizedandexistingunderthelawsof[SellerCountry],withitsprincipalplaceofbusinessat[SellerAddress](the“Seller”),and[AgentName],acompanyorganizedandexistingunderthelawsof[AgentCountry],withitsprincipalplaceofbusinessat[AgentAddress](the“Agent”).本銷售代理協(xié)議（以下簡(jiǎn)稱“本協(xié)議”）于_________（以下簡(jiǎn)稱“生效日期”）簽訂，雙方為[銷售方名稱]（以下簡(jiǎn)稱“銷售方”），一個(gè)根據(jù)[銷售方所在國(guó)家]的法律組織成立并存在于[銷售方地址]地的公司，和[代理方名稱]（以下簡(jiǎn)稱“代理方”），一個(gè)根據(jù)[代理方所在國(guó)家]的法律組織成立并存在于[代理方地址]地的公司。WHEREAS,theSellerdesirestoengagetheAgenttorepresentandpromotethesaleoftheSeller’sgoodsandproducts(the“Products”)intheterritorydescribedinExhibitA(the“Territory”);and鑒于，銷售方希望委托代理方代表和推廣銷售銷售方的貨物和產(chǎn)品（以下簡(jiǎn)稱“產(chǎn)品”）在附件A所述的領(lǐng)土內(nèi)（以下簡(jiǎn)稱“領(lǐng)土”）內(nèi)銷售；并WHEREAS,theAgentdesirestorepresentandpromotethesaleoftheProductsintheTerritoryinaccordancewiththetermsandconditionsofthisAgreement.鑒于，代理方愿意在本協(xié)議的條款和條件下代表和推廣在領(lǐng)土內(nèi)銷售產(chǎn)品。NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedhereinandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:現(xiàn)在，鑒于各方在此相互承諾并約定了本協(xié)議的條款和條件，以及其他的有價(jià)值的約束，各方承認(rèn)并確認(rèn)接受和充分考慮，就下述事項(xiàng)達(dá)成協(xié)議：1.AppointmentofAgent1.代理方的委任1.1TheSellerherebyappointstheAgentasitsnon-exclusivesalesagentwithintheTerritoryforthesaleoftheProducts.1.1銷售方在此提名并委托代理方作為其在領(lǐng)土內(nèi)銷售產(chǎn)品的非獨(dú)家代理人。1.2TheAgentherebyacceptstheappointmentandagreestouseitsbesteffortstopromoteandsolicitordersfortheProductsintheTerritory.1.2代理方在此接受委派，并同意盡最大努力促進(jìn)和征求領(lǐng)土內(nèi)產(chǎn)品的定單。1.3TheAgentshallhavenopowerorauthoritytoenterintoanyagreementsorcommitmentsonbehalfoftheSeller,exceptasspecificallyauthorizedbytheSellerinwriting.1.3除非銷售方特別書(shū)面授權(quán)，否則代理方無(wú)權(quán)代表銷售方簽訂任何協(xié)議或承諾。2.Territory2.領(lǐng)土2.1TheTerritorycoveredbythisAgreementisdescribedinExhibitA.2.1本協(xié)議所涵蓋的領(lǐng)土如附件A所述。2.2TheSellerreservestherighttosellitsProductsintheTerritoryeitherthroughtheAgentordirectlythroughitsownsalesforceorotherauthorizedagents.2.2銷售方保留在領(lǐng)土內(nèi)通過(guò)代理方或自己的銷售團(tuán)隊(duì)或其它被委托的代理商直接銷售產(chǎn)品的權(quán)利。2.3TheAgentshallnotsellorsolicitordersfortheProductsoutsideoftheTerritory,exceptwiththepriorwrittenconsentoftheSeller.2.3代理方未經(jīng)銷售方事先書(shū)面同意，不得在領(lǐng)土外銷售或征求產(chǎn)品訂單。3.TermsofSale3.銷售條款3.1ThetermsandconditionsofsaleoftheProductsshallbesetforthintheSeller’sstandardtermsandconditionsofsale,asmaybemodifiedfromtimetotimebytheSellerinitssolediscretion.3.1銷售產(chǎn)品的條款和條件應(yīng)詳細(xì)列明在銷售方的標(biāo)準(zhǔn)銷售條款和條件中，銷售方可以隨時(shí)自行決定進(jìn)行修改。3.2TheAgentshallinformandpromotethesaleoftheProductstoprospectivecustomerswithintheTerritoryinaccordancewiththetermsandconditionssetforthintheSeller’sstandardtermsandconditionsofsale.3.2代理方應(yīng)在領(lǐng)土內(nèi)根據(jù)銷售方的標(biāo)準(zhǔn)銷售條款和條件，在推廣中向潛在客戶介紹和銷售產(chǎn)品。3.3TheAgentshallnotmodifyoramendthetermsandconditionsofsaleoftheProductsormakeanycommitmentsorrepresentationsonbehalfoftheSellerwithrespecttothesaleoftheProducts,unlessspecificallyauthorizedinwritingbytheSeller.3.3代理方不得修改或改變銷售產(chǎn)品的銷售條款和條件，也不得在銷售產(chǎn)品的過(guò)程中對(duì)銷售方作出任何承諾或代表，除非經(jīng)過(guò)銷售方書(shū)面授權(quán)。4.OrdersandDelivery4.訂單和交貨4.1TheAgentshallsubmitallordersfortheProductstotheSellerinwriting.4.1代理方應(yīng)書(shū)面向銷售方提交所有產(chǎn)品訂單。4.2TheSellershallhavetherighttoacceptorrejectanyorderforanyreason,initssolediscretion.4.2銷售方有權(quán)毋需說(shuō)明拒絕或接受任何產(chǎn)品訂單。4.3TheSellershallusecommerciallyreasonableeffortstosupplytheProductsinaccordancewiththetermsandconditionsoftheacceptedorders.4.3銷售方應(yīng)根據(jù)已接受訂單的條款和條件，采取商業(yè)上合理的努力供應(yīng)產(chǎn)品。4.4TheAgentshallberesponsibleforallcostsassociatedwithdeliveryoftheProductstothecustomerswithintheTerritory.4.4代理方應(yīng)對(duì)將產(chǎn)品交付給領(lǐng)土內(nèi)客戶的所有費(fèi)用負(fù)責(zé)。5.PricesandPayment5.價(jià)格和支付5.1ThepriceoftheProductsshallbeassetforthintheSeller’spricelistineffectatthetimeofsale.5.1產(chǎn)品價(jià)格應(yīng)以銷售時(shí)銷售方的價(jià)格清單中列明的價(jià)格為準(zhǔn)。5.2TheAgentshallbeentitledtoasalescommissiondeterminedassetforthinExhibitBforallsalesofProductsbytheAgentwithintheTerritory.5.2代理方將享有按附件B列明的比例計(jì)算的銷售提成，適用于代理方在領(lǐng)土內(nèi)銷售產(chǎn)品的所有銷售。5.3TheSellershallinvoicethecustomerdirectlyforthepriceoftheProducts,andtheAgentshallinvoicetheSellerforitscommission.5.3銷售方應(yīng)直接向客戶開(kāi)具產(chǎn)品購(gòu)買發(fā)票，代理方應(yīng)向銷售方開(kāi)具銷售提成發(fā)票。5.4TheAgentshallberesponsibleforpayingallapplicabletaxesinconnectionwiththereceiptofitscommission.5.4代理方應(yīng)負(fù)責(zé)支付與其銷售提成有關(guān)的所有適用稅款。6.Confidentiality6.保密6.1TheAgentacknowledgesthatitmayhaveaccesstoconfidentialandproprietaryinformationoftheSellerinconnectionwiththeperformanceofitsobligationsunderthisAgreement.6.1代理方確認(rèn)可能會(huì)在執(zhí)行本協(xié)議下的其義務(wù)時(shí)，接觸到銷售方的機(jī)密和專有信息。6.2TheAgentagreestoholdallsuchconfidentialandproprietaryinformationinstrictconfidenceandnotdisclose,use,copy,orreproducesuchinformationexceptasrequiredfortheperformanceofitsobligationsunderthisAgreementorasotherwiseauthorizedinwritingbytheSeller.6.2代理方同意嚴(yán)格保密所有此類機(jī)密和專有信息，并不披露、不使用、不復(fù)制或不再生產(chǎn)此類信息，除非對(duì)履行其在本協(xié)議下的義務(wù)有所要求或經(jīng)銷售方書(shū)面授權(quán)。7.TermandTermination7.期限和終止7.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectforaperiodof___________[months/years](the“Term”),unlessearlierterminatedasprovidedinthisAgreement.7.1本協(xié)議于生效日期開(kāi)始，并將在___________[個(gè)月/年]（以下簡(jiǎn)稱“期限”）內(nèi)有效，除非根據(jù)本協(xié)議規(guī)定提前終止。7.2EitherpartymayterminatethisAgreementatanytimeuponwrittennoticetotheotherparty,foranyreasonornoreason,initssolediscretion.7.2任何一方都可以隨時(shí)書(shū)面通知對(duì)方終止本協(xié)議，理由充分并在各方的自主決定范圍內(nèi)。7.3UponterminationofthisAgreement,theAgentshallimmediatelyceasealluseoftheSeller’strademarks,copyrightedmaterials,andotherintellectualpropertyandreturnordestroyallconfidentialandproprietaryinformationoftheSellerinitspossession.TheprovisionsofSections1,2,3,4,5,6and8shallsurvivetheterminationofthisAgreementandcontinueineffect.7.3本協(xié)議終止后，代理方應(yīng)立即停止使用銷售方的商標(biāo)、版權(quán)材料和其它知識(shí)產(chǎn)權(quán)，歸還或銷毀其所持有的銷售方的所有保密和專有信息。第1、2、3、4、5、6、8節(jié)所規(guī)定的條款將在本協(xié)議終止后繼續(xù)有效。8.Miscellaneous8.其他條款8.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal,withrespecttosuchsubjectmatter.8.1本協(xié)議構(gòu)成各方在本協(xié)議主題上的完整協(xié)議，取代所有無(wú)論書(shū)面或口頭是否的關(guān)于該主題的以前和同時(shí)的協(xié)議和理解。8.2ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectiveheirs,executors,administrators,successors,andassigns.8.2本協(xié)議對(duì)雙方均有約束力并為雙方及其各自的繼承人、遺囑執(zhí)行人、管理人、受讓人和繼承人小組帶來(lái)福利。8.3ThisAgreementmaynotbeamended,modified,orsupplementedexceptinwri
