英文購(gòu)銷(xiāo)合同

SalesContract

ThisSalesContract(the"Contract")ismadeandenteredintoon[insertdate]byandbetween[insertnameofbuyer],acompanyorganizedandexistingunderthelawsof[insertcountryorjurisdictionwherethecompanyisorganized],withitsprincipalplaceofbusinessat[insertaddress]("Buyer"),and[insertnameofseller],acompanyorganizedandexistingunderthelawsof[insertcountryorjurisdictionwherethecompanyisorganized],withitsprincipalplaceofbusinessat[insertaddress]("Seller").

1.Definitions

1.1InthisContract,thefollowingcapitalizedtermswillhavethefollowingmeanings:

a)"Goods"meansthegoodstobesoldbySellertoBuyerunderthisContract.

b)"Price"meansthepurchasepricetobepaidbyBuyertoSellerfortheGoods.

c)"DeliveryDate"meansthedateonwhichtheGoodsaretobedeliveredbySellertoBuyer.

d)"Incoterms"meanstheInternationalCommercialTermspublishedbytheInternationalChamberofCommerce.

2.EffectofContract

2.1ThisContractsetsforththeentireagreementbetweenthepartieswithrespecttothesaleoftheGoods,andsupersedesallpriornegotiations,agreements,andunderstandingsbetweentheparties,whetherwrittenororal.

2.2ThisContractwillnotbedeemedtocreateanyagency,partnership,jointventure,orotherformofjointenterprisebetweentheparties.

3.Goods

3.1SellerwillsellanddelivertoBuyer,andBuyerwillpurchaseandtakedeliveryof,theGoodsinaccordancewiththetermsandconditionssetforthinthisContract.

3.2TheGoodswillconformtothespecificationsdescribedintheproductdescriptionattachedheretoasExhibitA,whichisherebyincorporatedbyreferenceintothisContract.

4.PurchasePriceandPayment

4.1ThePricefortheGoodswillbe[insertamount][insertcurrency].PaymentofthePricewillbemadebyBuyertoSellerontheDeliveryDate.

4.2AllpaymentsmadeunderthisContractwillbemadein[insertcurrency].

5.Delivery

5.1TheGoodswillbedeliveredtoBuyerbySellerontheDeliveryDate.

5.2TheGoodswillbedeliveredinaccordancewiththeIncoterms[insertchosenIncoterm].

5.3IftheGoodsarenotdeliveredontheDeliveryDate,Buyermay,atitsdiscretion,eitherterminatethisContractoracceptdeliveryoftheGoodsatalaterdatetobespecifiedbySeller.IfBuyerchoosestoterminatethisContract,SellerwillrefundtoBuyeranypaymentsmadebyBuyerunderthisContract.

6.RepresentationsandWarranties

6.1Eachpartyrepresentsandwarrantstotheotherpartythat:

a)itisdulyorganizedandvalidlyexistingunderthelawsofthejurisdictionofitsorganization;

b)ithasthepowerandauthoritytoexecute,deliver,andperformitsobligationsunderthisContract;and

c)thisContracthasbeendulyauthorizedandexecutedbyitandconstitutesitsvalidandbindingobligation.

6.2SellerrepresentsandwarrantstoBuyerthattheGoodswillbefreefromdefectsinmaterialandworkmanshipandwillconformtothespecificationsdescribedinExhibitA.

7.Termination

7.1EitherpartymayterminatethisContractiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[insertnumber]daysafterreceivingwrittennoticethereoffromthenon-breachingparty.

8.LimitationofLiability

8.1Neitherpartywillbeliabletotheotherpartyforanyspecial,indirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisContract,evenifsuchdamageswereforeseeableorthepartyagainstwhomsuchdamagesareclaimedwasadvisedofthepossibilityofsuchdamages.

8.2TheliabilityofeitherpartyunderthisContractwillbelimitedtothePricepaidbyBuyertoSellerfortheGoodsgivingrisetotheliability.

9.ChoiceofLawandForum

9.1ThisContractwillbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.

9.2AnydisputearisingoutoforinconnectionwiththisContractwillberesolvedbyarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission.

10.GeneralProvisions

10.1AnyamendmentormodificationofthisContractmustbeinwritingandsignedbytheparties.

10.2ThisContractmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.

10.3ThisContractwillbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.

10.4ThisContractmaybeexecutedincounterparts,eachofwhichwillbedeemedanoriginalandallofwhichtogetherwillconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.
