er,heshallhavetherighttorefusetocarryouttherelevantinstructionsoftheengineer,andshallnotifytheemployerintime,however,iftheemployerconfirmsinwritingtherelevantinstructionsoftheengineer,thecontractorshallcomplywiththesame.3.3.3在發(fā)包人和承包人之間提供證明、行使決定權(quán)或處理權(quán)時(shí)，工程師應(yīng)作為獨(dú)立專業(yè)的第三方，根據(jù)自己的專業(yè)技能和判斷進(jìn)行工作。但工程師或其人員均無(wú)權(quán)修改合同，且無(wú)權(quán)減輕或免除合同當(dāng)事人的任何責(zé)任與義務(wù)。3.3.3Whenprovidingproof,exercisingtherightofdecisionorhandlingbetweentheemployerandcontractor,theengineershallworkasthirdpartywithindependentprofessional,basedonhisownprofessionalskillsandjudgment.However,neithertheengineernorhispersonnelhastherighttomakeamendmentofcontract,andhasnorighttoreduceorrelieveanyresponsibilitiesandobligationsofthepartieshereto.3.3.4?通用合同條件中約定由工程師行使的職權(quán)如不在發(fā)包人對(duì)工程師的授權(quán)范圍內(nèi)的，則視為沒(méi)有取得授權(quán)，該職權(quán)應(yīng)由發(fā)包人或發(fā)包人指定的其他人員行使。若承包人認(rèn)為工程師的職權(quán)與發(fā)包人（包括其人員）的職權(quán)相重疊或不明確時(shí)，應(yīng)及時(shí)通知發(fā)包人，由發(fā)包人予以協(xié)調(diào)和明確并以書面形式通知承包人。3.3.4Iftheauthoritytobeexercisedbytheeisnotwithinthescopeoftheemployer'sauthorizationtotheengineer,itshallbedeemednottohavebeenauthorized,andtheauthorityshallbeexercisedbytheemployerorotherpersondesignatedbytheemployer.Ifthecontractorconsiderstheengineer‘sauthorityoverlapsorisnotclearwiththeemployer’sauthority(includingitspersonnel),theemployershallbenotifiedintime,andtheemployershallcoordinate,clarifyandnotifythecontractorinwriting.4.5.3分包人資質(zhì)4.5.3Qualificationsofsubcontractors分包人應(yīng)符合國(guó)家法律規(guī)定的資質(zhì)等級(jí)，否則不能作為分包人。承包人有義務(wù)對(duì)分包人的資質(zhì)進(jìn)行審查。ThesubcontractorshallbeconformingtothequalificationlevelstipulatedbyState’slaws,otherwiseitcannotbeasubcontractor.Contractorisobligedtocarryoutinspectionofsubcontractor’squalification.4.5.4分包管理4.5.4SubcontractingManagement承包人應(yīng)當(dāng)對(duì)分包人的工作進(jìn)行必要的協(xié)調(diào)與管理，確保分包人嚴(yán)格執(zhí)行國(guó)家有關(guān)分包事項(xiàng)的管理規(guī)定。承包人應(yīng)向工程師提交分包人的主要管理人員表，并對(duì)分包人的工作人員進(jìn)行實(shí)名制管理，包括但不限于進(jìn)出場(chǎng)管理、登記造冊(cè)以及各種證照的辦理。Thecontractorshallcarryoutnecessarycoordinationandmanagementorcontroloftheworkofthesubcontractor,useduediligencetoensurethesubcontractorstrictlyimplementstheState’smanagementregulationsoverthesubcontractingmatters.Thecontractorshallsubmitthelistofsubcontractor’smainmanagementpersonneltotheengineer,andperformthereal-namemanagementofthesubcontractor’sstaff,includingwithoutlimitationtothemanagementofentryandexitthesite,registration,inadditiontoprocessingofvariouscertificatesandlicence.4.5.5分包合同價(jià)款支付4.5.5PaymentofSubcontractPrice（1）?除本項(xiàng)第（2）目約定的情況或?qū)Ｓ煤贤瑮l件另有約定外，分包合同價(jià)款由承包人與分包人結(jié)算，未經(jīng)承包人同意，發(fā)包人不得向分包人支付分包合同價(jià)款；(1)Exceptforthecircumstancesstipulatedinarticle(2)ofthissubarticleortheparticularconditionshereofotherwisestipulated,thesubcontractpriceshallbesettledbythecontractorandthesubcontractor,withoutthecontractor’sconsent,theemployershallnotpaythesubcontractorthesubcontractprice;（2）?生效法律文書要求發(fā)包人向分包人支付分包合同價(jià)款的，發(fā)包人有權(quán)從應(yīng)付承包人工程款中扣除該部分款項(xiàng)，將扣款直接支付給分包人，并書面通知承包人。(2)Ifthelegalinstrumentsinforcerequiretheemployertopaythesubcontractpricetothesubcontractor,theemployerhavetheauthoritytodeductsuchpartofthepaymentfromthecontractor’sprojectcostandpaythedeductiondirectlytothesubcontractorwithnoticeinwritingtothecontractor.4.6聯(lián)合體4.6Consortium4.6.1經(jīng)發(fā)包人同意，以聯(lián)合體方式承包工程的，聯(lián)合體各方應(yīng)共同與發(fā)包人訂立合同協(xié)議書。聯(lián)合體各方應(yīng)為履行合同向發(fā)包人承擔(dān)連帶責(zé)任。4.6.1Thepartiestotheconsortiumshall,withtheemployer’sconsentjointlyconcludeacontractagreementwiththecontractor,bejointlyandseverallyliabletotheemployerfortheperformanceofthecontract.4.6.2承包人應(yīng)在專用合同條件中明確聯(lián)合體各成員的分工、費(fèi)用收取、發(fā)票開具等事項(xiàng)。聯(lián)合體各成員分工承擔(dān)的工作內(nèi)容必須與適用法律規(guī)定的該成員的資質(zhì)資格相適應(yīng)，并應(yīng)具有相應(yīng)的項(xiàng)目管理體系和項(xiàng)目管理能力，且不應(yīng)根據(jù)其就承包工作的分工而減免對(duì)發(fā)包人的任何合同責(zé)任。4.6.2Thecontractorshallspecifythedivisionoflabor,feecollection,andinvoiceissuanceofeachmemberoftheconsortiumintheparticularconditionshereof.Theworkcontentofeachmemberoftheconsortiummustbeinlinewiththequalificationsofthememberrequiredbyapplicablelaws,andshouldhaveacorrespondingprojectmanagementsystemandprojectmanagementabilityandcapability,andshallnotmitigateanycontractualliabilitytotheemployerasperitsdivisionoflaborinthecontractwork.4.6.3聯(lián)合體協(xié)議經(jīng)發(fā)包人確認(rèn)后作為合同附件。在履行合同過(guò)程中，未經(jīng)發(fā)包人同意，不得變更聯(lián)合體成員和其負(fù)責(zé)的工作范圍，或者修改聯(lián)合體協(xié)議中與本合同履行相關(guān)的內(nèi)容。4.6.3Theconsortiumagreementwithidentificationoftheemployershallbetakenastheappendixtocontract.Inthecourseofperformingthecontract,membersoftheconsortiumandtheirscopeofworkshall,withouttheemployer’sconsent,notbechangedorthecontentsoftheconsortiumagreementrelatedtotheperformancehereof.4.7承包人現(xiàn)場(chǎng)查勘4.7Contractor’sInspectiononSite4.7.1除專用合同條件另有約定外，承包人應(yīng)對(duì)基于發(fā)包人提交的基礎(chǔ)資料所做出的解釋和推斷負(fù)責(zé)，因基礎(chǔ)資料存在錯(cuò)誤、遺漏導(dǎo)致承包人解釋或推斷失實(shí)的，按照第2.3項(xiàng)[提供基礎(chǔ)資料]的規(guī)定承擔(dān)責(zé)任。承包人發(fā)現(xiàn)基礎(chǔ)資料中存在明顯錯(cuò)誤或疏忽的，應(yīng)及時(shí)書面通知發(fā)包人。4.7.1Unlessotherwisestipulatedintheparticularconditionshereof,thecontractorshallberesponsiblefortheinterpretationandinferencebasedonthebasicinformationsubmittedbythecontractor,ifthecontractor'sinterpretationorinferenceisfalseduetoerrorsoromissionsinthebasicinformation,itshallbeliableinaccordancewitharticle2.3.Ifthecontractorfindsanyobviouserrorsoromissionsexistinthebasicinformation,itshallnotifytheemployerinwritingintime.6.2材料和工程設(shè)備6.2MaterialsandEngineeringEquipment6.2.1發(fā)包人提供的材料和工程設(shè)備6.2.1Materialsandengineeringequipmentoftheemployerprovide發(fā)包人自行供應(yīng)材料、工程設(shè)備的，應(yīng)在訂立合同時(shí)在專用合同條件的附件《發(fā)包人供應(yīng)材料設(shè)備一覽表》中明確材料、工程設(shè)備的品種、規(guī)格、型號(hào)、主要參數(shù)、數(shù)量、單價(jià)、質(zhì)量等級(jí)和交接地點(diǎn)等。Wheretheemployersuppliesmaterialsorengineeringequipmentonitsown,itshall,atthetimeofconclusionofthecontract,specifyintheappendixtheListofMaterialsandEquipmentSuppliedbytheEmployertotheparticularconditionshereofthevariety,specification,model,mainparameters,quantity,unitprice,qualitygradeandhandoverplaceofthematerialsandengineeringequipment.承包人應(yīng)根據(jù)項(xiàng)目進(jìn)度計(jì)劃的安排，提前28天以書面形式通知工程師供應(yīng)材料與工程設(shè)備的進(jìn)場(chǎng)計(jì)劃。承包人按照第8.4款[項(xiàng)目進(jìn)度計(jì)劃]約定修訂項(xiàng)目進(jìn)度計(jì)劃時(shí)，需同時(shí)提交經(jīng)修訂后的發(fā)包人供應(yīng)材料與工程設(shè)備的進(jìn)場(chǎng)計(jì)劃。發(fā)包人應(yīng)按照上述進(jìn)場(chǎng)計(jì)劃，向承包人提交材料和工程設(shè)備。Thecontractorshall,underandincompliancewiththeprojectprogram,notifytheengineerinwriting28daysinadvanceoftheentryplanforthesupplyofmaterialsandengineeringequipment.Whenthecontractormodifiestheprojectscheduleinaccordancewitharticle8.4[ProjectSchedule],itshallsubmittherevisedentryplanfortheemployer'ssupplyofmaterialsandengineeringequipmentatthesametime.Theemployershallsubmitmaterialsandengineeringequipmenttothecontractorinaccordancewiththeaboveentryplan.發(fā)包人應(yīng)在材料和工程設(shè)備到貨7天前通知承包人，承包人應(yīng)會(huì)同工程師在約定的時(shí)間內(nèi)，赴交貨地點(diǎn)共同進(jìn)行驗(yàn)收。除專用合同條件另有約定外，發(fā)包人提供的材料和工程設(shè)備驗(yàn)收后，由承包人負(fù)責(zé)接收、運(yùn)輸和保管。Theemployershallnotifythecontractor7dayspriortoarrivalofthematerialsandengineeringequipment,andthecontractorshall,togetherwiththeengineer,arrivethedeliveryplacewithintheagreedtimeforacceptancecheck.Unlessotherwisestipulatedintheparticularconditionshereof,thecontractorshall,uponacceptancecheck,responsibleforreceiving,transportingandkeepingthematerialsandengineeringequipment.7.4測(cè)量放線7.4Measuringandsetting-out7.4.1除專用合同條件另有約定外，承包人應(yīng)根據(jù)國(guó)家測(cè)繪基準(zhǔn)、測(cè)繪系統(tǒng)和工程測(cè)量技術(shù)規(guī)范，按基準(zhǔn)點(diǎn)（線）以及合同工程精度要求，測(cè)設(shè)施工控制網(wǎng)，并在專用合同條件約定的期限內(nèi)，將施工控制網(wǎng)資料報(bào)送工程師。7.4.1Unlessotherwisestipulatedintheparticularconditionshereof,thecontractorshallmakethemeasurementandestablishmentoftheconstructioncontrolnetworkunderandincompliancewiththeState’sdatumandsystemofsurveyingandmapping,surveyingandmapping,thespecificationofengineeringmeasurementtechnology,thereferencepoint(line)andthecontractengineeringaccuracyrequire,inadditiontosubmitthedataoftheconstructioncontrolnetworktotheengineer.7.4.2承包人應(yīng)負(fù)責(zé)管理施工控制網(wǎng)點(diǎn)。施工控制網(wǎng)點(diǎn)丟失或損壞的，承包人應(yīng)及時(shí)修復(fù)。承包人應(yīng)承擔(dān)施工控制網(wǎng)點(diǎn)的管理與修復(fù)費(fèi)用，并在工程竣工后將施工控制網(wǎng)點(diǎn)移交發(fā)包人。承包人負(fù)責(zé)對(duì)工程、單位/區(qū)段工程、施工部位放線，并對(duì)放線的準(zhǔn)確性負(fù)責(zé)。7.4.2Thecontractorshallberesponsibleforthemanagementorcontrolexecutionoftheconstructioncontrolnetwork.Iftheconstructioncontrolnetworkislostordamaged,thecontractorshallrepairormakegooditintime.Thecontractorshallbearthecostofmanagementandrepairoftheconstructioncontrolnetworkandhandovertheconstructioncontrolnetworktotheemployersubsequenttothecompletionoftheproject.Thecontractorisresponsibleforthesetting-outoftheproject,unit/articleproject,executionoftheworks,andtheaccuracyofthesetting-out.第8條?工期和進(jìn)度Article8Durationandprogressschedule8.1開始工作8.1Commencementofwork8.1.1開始工作準(zhǔn)備8.1.1Readyforwork合同當(dāng)事人應(yīng)按專用合同條件約定完成開始工作準(zhǔn)備工作。Thepartiesheretoshallcompletethepreparatoryworkforthecommencementundertheparticularconditionshereof.8.1.2開始工作通知8.1.2Notificationofcommencement經(jīng)發(fā)包人同意后，工程師應(yīng)提前7天向承包人發(fā)出經(jīng)發(fā)包人簽認(rèn)的開始工作通知，工期自開始工作通知中載明的開始工作日期起算。除專用合同條件另有約定外，因發(fā)包人原因造成實(shí)際開始現(xiàn)場(chǎng)施工日期遲于計(jì)劃開始現(xiàn)場(chǎng)施工日期后第84天的，承包人有權(quán)提出價(jià)格調(diào)整要求，或者解除合同。發(fā)包人應(yīng)當(dāng)承擔(dān)由此增加的費(fèi)用和（或）延誤的工期，并向承包人支付合理利潤(rùn)。Theengineershall,withtheemployer’sconsentsevendaysinadvance,issuethecontractorthenotificationofcommencementsignedbytheemployerandtheconstructionperiodshallrunfromthecommencementdatestatedinthenotice.Unlessotherwisestipulatedintheparticularconditionshereof,?iftheactualsiteconstructiondateislaterthan84daysaftertheplannedsiteconstructiondate,thecontractorshallhavetherighttorequestpriceadjustmentorterminatethecontract.Theemployershallbeartheaddedcostsand(or)delayed
