外貿(mào)合同范本英文ContractAgreementThisContractAgreement(the“Agreement”)isenteredintoasof[InsertDate],byandbetween[InsertBuyer’sName](“Buyer”),acompanyorganizedandexistingunderthelawsof[InsertBuyer’sCountry],witharegisteredaddressat[InsertBuyer’sAddress],and[InsertSeller’sName](“Seller”),acompanyorganizedandexistingunderthelawsof[InsertSeller’sCountry],witharegisteredaddressat[InsertSeller’sAddress].RecitalsWHEREAS,BuyerdesirestopurchasefromSeller,andSellerdesirestoselltoBuyer,certaingoodsand/orservices(the“Products”)asdescribedinExhibitAattachedhereto;WHEREAS,thepartiesheretowishtosetforththetermsandconditionsofthepurchaseandsaleoftheProducts.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:Article1:Products1.1ProductDescription.TheProductsshallconformtothespecificationssetforthinExhibitAattachedhereto.1.2QualityStandards.TheProductsshallmeetthequalitystandardssetforthinExhibitBattachedhereto.1.3Quantity.ThetotalquantityoftheProductstobepurchasedbyBuyerfromSelleris[InsertQuantity].1.4Delivery.SellershalldelivertheProductstoBuyer’sdesignateddeliverylocationassetforthinExhibitCattachedhereto.Article2:PriceandPaymentTerms2.1Price.ThepurchasepricefortheProductsshallbe[InsertPrice]perunit,assetforthinExhibitDattachedhereto.2.2PaymentTerms.BuyershallmakepaymentfortheProductsby[InsertPaymentMethod]within[InsertPaymentPeriod]daysafterthedateoftheinvoiceissuedbySeller.Article3:DeliveryandInspection3.1Delivery.SellershalldelivertheProductstothedeliverylocationsetforthinExhibitCattachedheretoonorbeforethedeliverydatespecifiedinExhibitC.3.2Inspection.BuyershallhavetherighttoinspectandtesttheProductswithin[InsertInspectionPeriod]daysafterdelivery.IftheProductsdonotconformtotheAgreement,BuyershallnotifySellerinwritingandSellershall,atitssolediscretion,eitherreplacethenon-conformingProductsorrefundthepurchasepriceforsuchnon-conformingProducts.Article4:WarrantiesSellerwarrantsthattheProductsshallconformtothespecificationssetforthinExhibitA,meetthequalitystandardssetforthinExhibitB,andbefreefromanyliensandencumbrances.Article5:ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureofsuchcause.Article6:GoverningLawandDisputeResolution6.1GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].6.2DisputeResolution.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.Article7:EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.Article8:AmendmentsandWaiversThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.AnywaiverofanytermorconditionofthisAgreementshallbeeffectiveonlyifinwritingandsignedbythepartyagainstwhomsuchwaiverissoughttobeenforced.Article9:NoticesAllnotices,requests,demands,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonallyonthepartytowhomnoticeistobegiven,oronthethirddayaftermailingifmailedtothepartytowhomnoticeistobegiven,byfirstclassmail,registeredorcertified,postageprepaid,andproperlyaddressedasfollows:特殊應(yīng)用場合及增加條款國際展會展示產(chǎn)品特殊條款:展會期限和地點:明確展會的開始和結(jié)束日期，以及舉辦地點。展品保護:規(guī)定Seller必須為展品購買保險，保障在展會期間的損失。展覽許可:要求Seller提供所有必要的展覽許可和證書。展會特定交付時間:確定展品必須在展會開始前的一定時間內(nèi)交付給Buyer。跨國公司內(nèi)部采購特殊條款:內(nèi)部審批流程:要求Seller提供與Buyer內(nèi)部審批流程相符合的文件和證明。內(nèi)部規(guī)格標(biāo)準(zhǔn):按照Buyer內(nèi)部使用的特定規(guī)格和標(biāo)準(zhǔn)來定制產(chǎn)品。保密協(xié)議:增加保密條款，保護商業(yè)機密和內(nèi)部信息。長期合作協(xié)議特殊條款:長期價格條款:規(guī)定價格調(diào)整機制，以適應(yīng)未來市場變化。長期供應(yīng)能力:要求Seller提供確保長期供應(yīng)能力的證明。定期審查:設(shè)定定期審查合同執(zhí)行情況的時間點，以便雙方評估合同的持續(xù)有效性。技術(shù)轉(zhuǎn)讓或知識產(chǎn)權(quán)授權(quán)特殊條款:技術(shù)規(guī)格和培訓(xùn):詳細說明技術(shù)規(guī)格和Seller提供的培訓(xùn)內(nèi)容。知識產(chǎn)權(quán)保護:明確Seller對知識產(chǎn)權(quán)的保護義務(wù)和責(zé)任。技術(shù)支持和更新:規(guī)定Seller在技術(shù)支持和軟件更新方面的責(zé)任。緊急或臨時采購特殊條款:快速交貨:確定緊急訂單的快速交貨條款和可能的加急費用。替代來源:如果在規(guī)定時間內(nèi)Seller無法交貨，Buyer有權(quán)尋找替代供應(yīng)商。額外費用補償:規(guī)定由于緊急交貨導(dǎo)致的額外費用應(yīng)由Seller承擔(dān)。附件列表及要求**ExhibitA-產(chǎn)品規(guī)格說明書**要求:詳細描述產(chǎn)品的技術(shù)規(guī)格，尺寸，材料等。**ExhibitB-質(zhì)量標(biāo)準(zhǔn)**要求:包括質(zhì)量檢驗流程，標(biāo)準(zhǔn)和不合格產(chǎn)品的處理方法。**ExhibitC-交付條款**要求:詳細說明交付地點，方式和時間表。**ExhibitD-價格和付款細節(jié)**要求:包括價格明細，付款方式和時間表。**ExhibitE-保險證明**要求:顯示Seller已為貨物購買了適當(dāng)?shù)谋ｋU。**ExhibitF-保密協(xié)議**要求:詳細說明保密信息的定義和保密期限。實際操作中的問題和解決辦法交貨延遲問題:Seller未能在約定時間內(nèi)交付產(chǎn)品。解決辦法:根據(jù)合同中規(guī)定的延遲交貨條款采取行動，要求
