2024債務(wù)債權(quán)轉(zhuǎn)讓協(xié)議書合同編號：__________DebtandEquityTransferAgreementThisDebtandEquityTransferAgreement(the"Agreement")isenteredintoasof__________(the"EffectiveDate"),andbetween:(Hereinafterreferredtoasthe"Creditor")AND(Hereinafterreferredtoasthe"Debtor")(Eacha"Party"andcollectivelythe"Parties").RECITALS:WHEREAS,theCreditoristheholderofcertaindebts(the"Debts")owedtoittheDebtor,detailsofwhicharesetforthinScheduleAattachedhereto;WHEREAS,theDebtorwishestotransferandassignitsequityinterestsincertainsubsidiaries(the"EquityInterests")totheCreditor,inconsiderationforthecancellationoftheDebts;WHEREAS,thePartieshaveagreedtoenterintothisAgreementtoevidencethetransferandassignmentoftheEquityInterestsandthecancellationoftheDebts.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:1.TransferandAssignmentofEquityInterests

1.1TheDebtorhereagreestotransferandassigntotheCreditor,andtheCreditorhereagreestoacceptfromtheDebtor,alloftheDebtor'sright,,andinterestinandtotheEquityInterests,freeandclearofanyliens,encumbrances,orotherclaims,inaccordancewiththetermsandconditionsofthisAgreement.1.2ThetransferandassignmentoftheEquityInterestsshalltakeplaceontheClosingDate(asdefinedinClause6.1below).1.3TheDebtorrepresentsandwarrantsthatithasgoodandmarketabletotheEquityInterests,andthatsuchEquityInterestsarefreeandclearofanyliens,encumbrances,orotherclaims.2.CancellationofDebts

2.1InconsiderationforthetransferandassignmentoftheEquityInterests,theCreditoragreestocancelandreleasetheDebtorfromanyandallobligationsundertheDebts,effectiveasoftheClosingDate.2.2ThePartiesagreethatthecancellationoftheDebtsshallbeafullandfinalsettlementoftheDebtor'sobligationstotheCreditorundertheDebts.3.RepresentationsandWarranties

3.1TheDebtorrepresentsandwarrantstotheCreditorthat:(a)ithasthefulllegalright,power,andauthoritytoenterintothisAgreementandtoconsummatethetransactionscontemplatedhere;(b)thisAgreementhasbeendulyexecutedanddeliveredtheDebtorandconstitutesalegal,valid,andbindingobligationoftheDebtor,enforceableagainsttheDebtorinaccordancewithitsterms;(c)theEquityInterestsarevalidandsubsisting,andtheDebtoristherecordandbeneficialowneroftheentireissuedandoutstandingsharecapitalofthesubsidiaries;(d)therearenolegalorequitablerestrictions,liens,encumbrances,orchargesofanynatureontheEquityInterests;(e)theDebtorhasnotenteredintoanyagreement,contract,orunderstandingwithanyotherpersonorentitythatwouldconflictwithorpreventtheDebtorfromperformingitsobligationsunderthisAgreement;and(f)theDebtorisnotsubjecttoanybankruptcy,insolvency,receivership,orsimilarproceeding.3.2TheCreditorrepresentsandwarrantstotheDebtorthat:(a)ithasthefulllegalright,power,andauthoritytoenterintothisAgreementandtoconsummatethetransactionscontemplatedhere;(b)thisAgreementhasbeendulyexecutedanddeliveredtheCreditorandconstitutesalegal,valid,andbindingobligationoftheCreditor,enforceableagainsttheCreditorinaccordancewithitsterms;(c)theDebtsarevalidandsubsisting,andtheCreditoristheholderoftheDebts;and(d)therearenolegalorequitablerestrictions,liens,encumbrances,orchargesofanynatureontheDebts.4.CovenantsandAgreements

3.TheCreditor'sfailuretoacceptthetransferandassignmentoftheEquityInterestsinaccordancewiththetermsofthisAgreement.

4.TheCreditor'sfailuretocancelandreleasetheDebtsinaccordancewiththetermsofthisAgreement.
