2024英文外貿(mào)合同范本英文合同編號(hào)：__________ContractAgreementThisContractAgreement(the"Agreement")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:RECITALSWHEREAS,theSupplierisengagedinthebusinessofmanufacturingandsupplying[Insertdescriptionofgoodsorservices];WHEREAS,theBuyerdesirestopurchasefromtheSupplier,andtheSupplieragreestoselltotheBuyer,certaingoodsorservicesonthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.APPLICATIONANDDEFINITIONS1.1Application.ThisAgreementshallapplytoallpurchasesofgoodsorservicestheBuyerfromtheSupplier,unlessotherwisespecifiedinwritingbothparties.1.2Definitions.Thefollowingterms,whenusedinthisAgreement,shallhavethemeaningsassignedtotheminthisArticle1orasotherwisedefinedelsewhereinthisAgreement:(a)"DeliveryDate"meansthedateonwhichthegoodsaretobedeliveredtotheBuyeroritsdesignatedrepresentative;(b)"Goods"meanstheproductsandmaterialsdescribedintheOrderForm,includinganyreplacementorsubstitutegoodsagreedupontheparties;(c)"OrderForm"meansthestandardformoforderorpurchaseordersubmittedtheBuyertotheSupplier,whichisattachedheretoasExhibitA;(d)"Price"meansthepricefortheGoodssetforthintheOrderForm;(f)"ForceMajeure"meansanactofGod,labordispute,oranyothercausebeyondthereasonablecontrolofaparty,whichpreventsapartyfromperformingitsobligationsunderthisAgreement.2.ORDERANDACCEPTANCE2.1Order.TheBuyermaysubmitanOrderFormtotheSupplier,specifyingthetype,quantity,anddeliverydateoftheGoodsdesired.3.DELIVERYANDACCEPTANCEOFGOODS3.1Delivery.TheSuppliershalldelivertheGoodstotheBuyeroritsdesignatedrepresentativeonorbeforetheDeliveryDate.TheSuppliershallberesponsibleforallshippingandtransportationcostsunlessotherwiseagreedinwritingtheparties.3.2Acceptance.TheBuyershallinspecttheGoodsupondeliveryandshallwithin[Insertnumberofdays]daysafterdeliverynotifytheSupplierinwritingofanynonconformitiesordeficiencies.TheSuppliershall,atitssolediscretion,eitherreplacethenonconformingordeficientGoodsorrefundthePurchasePriceforsuchGoods.4.PRICEANDPAYMENTTERMS4.1Price.ThePricefortheGoodsshallbeassetforthintheOrderForm.ThePriceisexclusiveofanytaxes,duties,imposts,orsimilarchargesimposedanygovernmentauthorityonthetransactionorthedeliveryoftheGoods,whichshallbepaidtheBuyer.4.2PaymentTerms.TheBuyershallmakepaymentfortheGoods[Insertpaymentmethod]within[Insertnumberofdays]daysafterthedateoftheinvoiceissuedtheSupplier.Interestshallaccrueonanylatepaymentsatanannualrateof[Insertinterestrate]%,calculatedfromtheduedateuntilthedateofpayment.5.WARRANTY5.1Warranty.TheSupplierwarrantsthattheGoodsconformtothespecificationssetforthintheOrderFormandarefreefrommaterialdefectsinmaterialsandworkmanship.TheSupplier'swarrantyshallexpire[Insertnumberofdays]daysafterdeliveryoftheGoods一、附件列表：1.訂單表（OrderForm）見(jiàn)附件A2.供應(yīng)商資質(zhì)證明（Supplier'sQualificationCertificate）見(jiàn)附件B3.貨物檢驗(yàn)報(bào)告（GoodsInspectionReport）見(jiàn)附件C4.付款憑證（PaymentReceipt）見(jiàn)附件D5.交付憑證（DeliveryReceipt）見(jiàn)附件E二、違約行為及認(rèn)定：1.供應(yīng)商未能按照約定時(shí)間交付貨物（Supplier'sFailuretoDeliverGoodsAgreedDeadline）2.供應(yīng)商交付的貨物不符合約定的質(zhì)量標(biāo)準(zhǔn)（Supplier'sDeliveryofNonConformingGoods）3.供應(yīng)商未能履行合同中的其他義務(wù)（Supplier'sFailuretoPerformOtherObligations）4.買(mǎi)方未能按照約定時(shí)間支付貨款（Buyer'sFailuretoMakePaymentAgreedDeadline）5.買(mǎi)方未能履行合同中的其他義務(wù)（Buyer'sFailuretoPerformOtherObligations）三、法律名詞及解釋?zhuān)?.合同協(xié)議（ContractAgreement）本協(xié)議是雙方簽署的，規(guī)定了供應(yīng)商和買(mǎi)方之間貨物或服務(wù)購(gòu)買(mǎi)的條款和條件。2.供應(yīng)商（Supplier）指與買(mǎi)方簽訂合同并提供貨物的實(shí)體。3.買(mǎi)方（Buyer）指與供應(yīng)商簽訂合同并購(gòu)買(mǎi)貨物的實(shí)體。4.交付日期（DeliveryDate）指貨物交付給買(mǎi)方或其指定代表的具體日期。5.貨物（Goods）指訂單表中描述的產(chǎn)品和材料，包括任何雙方同意的替換或替代貨物。6.價(jià)格（Price）指訂單表中規(guī)定的貨物價(jià)格。7.期限（Term）本協(xié)議的有效期，從有效日期開(kāi)始，到第9條規(guī)定的日期結(jié)束。8.不可抗力（ForceMajeure）指無(wú)法預(yù)見(jiàn)、無(wú)法避免且無(wú)法克服的客觀情況，導(dǎo)致一方無(wú)法履行協(xié)議義務(wù)。四、執(zhí)行中遇到的問(wèn)題及解決辦法
