2024簡單車輛買賣協(xié)議合同編號：__________partiesthisagreement(hereinafterreferredtoas"theagreement")isenteredintoasof__________(the"effectivedate"),andbetween:hereinafterreferredtoindividuallyasa"party"andcollectivelyasthe"parties".subjectmatterinconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:article1:saleandpurchaseofvehicle1.1theselleragreestosell,andthebuyeragreestobuythevehicledescribedinExhibit"a"attachedhereto(the"vehicle"),onthetermsandconditionssetforthinthisagreement.article2:purchaseprice2.1thepurchasepriceforthevehicleshallbeusd__________(the"purchaseprice").2.2thebuyershallpaythepurchasepricetothesellerinaccordancewiththepaymenttermssetforthinExhibit"b"attachedhereto.article3:deliveryofvehicle3.1thesellershalldeliverthevehicletothebuyerat__________(the"deliverylocation")onorbefore__________(the"deliverydate").3.2thebuyershallacceptdeliveryofthevehicleatthedeliverylocationonthedeliverydate.article4:warranties4.1thesellerrepresentsandwarrantstothebuyerthat:(a)theselleristhesoleownerofthevehicleandhasgoodandmarketabletothevehicle,freeandclearofanyliensorencumbrances;(b)thevehicleisingoodoperatingconditionandrepair,freefromanydefectsinmaterialsandworkmanship;(c)thevehicleconformstoallapplicablefederal,stateandlocallaws,regulationsandstandards,including,withoutlimitation,thoserelatedtoemissions,safetyandfueleconomy;and(d)thesellerhasprovidedthebuyerwithallrequireddocumentation,including,withoutlimitation,themanufacturer'swarranty,owner'smanual,servicerecordsanddocuments.4.2exceptasexpresslyprovidedinthisagreement,thevehicleissold"asis",andthesellerdisclaimsanyandallotherwarranties,expressorimplied,including,withoutlimitation,warrantiesofmerchantabilityandfitnessforaparticularpurpose.article5:indemnification5.1thebuyershallindemnifyandholdthesellerharmlessfromandagainstanyandallclaims,liabilities,damages,lossesandexpenses(including,withoutlimitation,reasonableattorneys'feesandcosts)arisingoutoforinconnectionwith:(a)theuseoroperationofthevehiclethebuyeroranythirdparty;(b)thebreachofthisagreementthebuyer;or(c)anymisrepresentationorwarrantyclaimagainsttheseller.5.2thesellershallindemnifyandholdthebuyerharmlessfromandagainstanyandallclaims,liabilities,damages,lossesandexpenses(including,withoutlimitation,reasonableattorneys'feesandcosts)arisingoutoforinconnectionwith:(a)anybreachofthisagreementtheseller;or(b)anyclaimthatthesellerdoesnothavegoodandmarketabletothevehicleorthatthevehicleisencumberedanylienorencumbrance.article6:terminationandDefault6.1eitherpartymayterminatethisagreementatanytimeforanyreasonorfornoreasonprovidingwrittennoticetotheotherparty.6.2ifeitherpartybreachesanymaterialtermorconditionofthisagreementandfailstocuresuchbreachwithinareasonableperiodoftime,theotherpartymayterminatethisagreementprovidingwrittennoticetothebreachingparty.article7:generalprovisions7.1thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.7.2thisagreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.一、附件列表：1.附件A：車輛詳細描述2.附件B：支付條款二、違約行為及認(rèn)定：1.賣家違約行為：未能在約定時間內(nèi)交付車輛交付的車輛與描述不符車輛存在隱蔽瑕疵或不符合法定標(biāo)準(zhǔn)未能提供完整的法定文件和證明2.買家違約行為：未能在約定時間內(nèi)支付購買價格未能接受交付或遲延接受交付未履行合同中的其他義務(wù)三、法律名詞及解釋：1.車輛：指本合同項下買賣的機動車輛，具體描述見附件A。2.購買價格：指本合同約定的買家應(yīng)支付給賣家的車輛價款，具體金額見附件B。3.交付地點：指本合同約定的買家應(yīng)接受車輛交付的地點，具體位置見附件B。4.交付日期：指本合同約定的賣家應(yīng)交付車輛的日期，具體日期見附件B。5.違約：指未能履行本合同項下的任何義務(wù)或承諾。四、執(zhí)行中遇到的問題及解決辦法：1.賣家延遲交付車輛：買家有權(quán)要求賣家支付延遲交付的違約金。賣家應(yīng)及時通知買家延遲原因及預(yù)計交付時間。2.車輛不符合約定：買家有權(quán)拒絕接受車輛或要求賣家更換符合約定的車輛。賣家
