房屋買賣合同文檔ThisHousingSaleAgreement(the"Agreement")ismadeandenteredintoonthe_____dayof___,20,byandbetween:SELLER:___________________________Address:_____________________________andBUYER:______________________________Address:_____________________________WHEREAS,theSelleristhelegalownerofthehousingpropertydescribedhereinandwishestosellthesame;andWHEREAS,theBuyerwishestopurchasethesaidpropertyfromtheSeller,NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:1.PropertyDescription:Theproperty(the"Property")beingsoldislocatedat_____andisdescribedasfollows:[insertadetaileddescriptionoftheproperty,includingthetypeofhousing,squarefootage,numberofrooms,andanyotherrelevantdetails].2.PurchasePrice:ThepurchasepriceforthePropertyisthesumof$_____(_____),whichtheBuyeragreestopaytotheSellerinaccordancewiththepaymentscheduleoutlinedinthisAgreement.3.EarnestMoneyDeposit:TheBuyershalldepositwiththeSeller,concurrentlywiththeexecutionofthisAgreement,thesumof$_____(the"EarnestMoney")asevidenceoftheBuyer'scommitmenttothepurchase.TheEarnestMoneyshallbeappliedtowardsthepurchasepriceatClosing.4.ClosingoftheSale:TheClosingofthesale(the"Closing")shalltakeplaceon_____at_____,attheofficeof_____,oratsuchotherplaceasthepartiesmayagreeupon.5.ProrationofPropertyTaxesandOtherExpenses:Allpropertytaxes,utilitycharges,andotherrecurringexpensesshallbeproratedasofthedateofClosingbasedontheactualusageortheduedates,whicheverisapplicable.6.TitleandEscrow:TheSellershallprovidetheBuyerwithatitleinsurancepolicyissuedbyareputabletitleinsurancecompany.ThepartiesshalldeposittheEarnestMoneyandotherrequireddocumentsandfundswith_____(the"EscrowHolder")toopenanescrowforthetransaction.7.Seller'sCovenants:TheSellercovenantsasfollows:ToconveygoodandmarketabletitletotheProperty,freeandclearofallliensandencumbrances,exceptasdisclosedinwritingtotheBuyer;ToprovidetheBuyerwithaclearandunencumberedtitletothePropertyatClosing;TodelivertotheBuyeratClosingadeedtotheProperty.8.Buyer'sCovenants:TheBuyercovenantsasfollows:ToobtainanynecessaryfinancingforthepurchaseoftheProperty;ToprovideallnecessarydocumentsandinformationtotheSellerandtheEscrowHoldertofacilitatetheClosing;TopaythebalanceofthepurchasepriceandallotheramountsdueatClosing.9.Contingencies:ThisAgreementissubjecttothefollowingcontingencies:TheBuyer'ssatisfactorycompletionofapropertyinspectionwithin_____daysaftertheexecutionofthisAgreement;TheBuyer'sreceiptoffinancingapprovalwithin_____daysaftertheexecutionofthisAgreement.10.FinancingContingency:IftheBuyerisunabletosecurefinancingontermsacceptabletotheBuyer,theBuyermayterminatethisAgreement,andtheEarnestMoneyshallbereturnedtotheBuyer.11.PropertyInspectionContingency:TheBuyermayterminatethisAgreementwithin_____daysaftertheexecutionofthisAgreementiftheBuyerisnotsatisfiedwiththeresultsofthepropertyinspection.12.Third-PartyApprovals:IfthePropertyissubjecttoanycovenants,conditions,orrestrictionsimposedbyathirdparty,suchasahomeownersassociation,theSellershallprovidetheBuyerwithanynecessaryapprovals.13.BrokerageCommission:Ifarealestatebrokerisinvolvedinthistransaction,thecommissionandtermsofpaymentshallbeassetforthinaseparatebrokerageagreement.14.LegalDescriptionofProperty:ThelegaldescriptionofthePropertyisasfollows:[insertlegaldescription].15.FixturesandPersonalPropertyIncluded:AllfixturesandpersonalpropertyincludedinthesalearelistedinExhibitAattachedheretoandshallbeconveyedtotheBuyeratClosing.16.UtilitiesandServices:TheSellershallprovidetheBuyerwithastatementofallutilityandserviceaccountsrelatedtotheProperty,andtheBuyershallassumeresponsibilityfortheseaccountsfromtheClosingdate.17.Insurance:TheSellershallmaintaininsuranceonthePropertyuntiltheClosing,andtheBuyershallobtainhomeowner'sinsurancecoverageeffectiveasoftheClosingdate.18.TaxesandAssessments:TheSellershallpayallpropertytaxesandassessmentsdueandowinguptothedateofClosing.TheBuyershallberesponsibleforpropertytaxesandassessmentsfromandaftertheClosingdate.19.EnvironmentalConcerns:TheSellerrepresentsthat,tothebestoftheirknowledge,thePropertyisincompliancewithallapplicableenvironmentalregulationsandthattherearenoknownenvironmentalhazardsorconcerns.20.ZoningandLandUse:TheSellerrepresentsthatthePropertyisincompliancewithallapplicablezoningandlanduseregulations.21.RightofFirstRefusal:TheSellerreservestherightoffirstrefusaltopurchasethePropertybackfromtheBuyerwithin_____daysafterreceivingawrittennoticeoftheBuyer'sintenttosell.22.Confidentiality:BothpartiesagreetokeepthetermsofthisAgreementconfidentialandnotdisclosethemtoanythirdpartywithoutthewrittenconsentoftheotherparty.23.Notices:AllnoticesrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourier,orthreedaysafterbeingsentbycertifiedmail,postageprepaid,totheaddresseslistedabove.24.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,representations,andagreements,whetherwrittenororal.25.Amendments:ThisAgreementmaynotbeamendedormodifiedexceptinwritingsignedbybothparties.26.Severability:IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruck,andtheremainingprovisionsshallbeenforced.27.Waiver:ThefailureofeitherpartytoenforceanyprovisionsofthisAgreementshallnotbeconsideredawaiverofsuchprovisionoroftherighttoenforcesuchprovision.28.Assignment:TheBuyershallnotassignthisAgreementoranyrightsorobligationshereunderwithoutthepriorwrittenconsentoftheSeller.29.TimeoftheEssence:TimeisoftheessenceinthisAgreement,andalldatesandtimesspecifiedhereinarematerial.30.Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.ThisAgreementisexecutedinduplicateoriginals,eachofwhichshallbedeemedanoriginal.SELLER:_____________________________Buyer:_____________________________By:________________________________________________________________________(AuthorizedSignature)By:_________________________________________________________________________(AuthorizedSignature)NotaryPublic:_________________________Mycommissionexpires:______________________Pleasenotethatthisisatemplateandshouldbereviewedandmodifiedbyalegalprofessionaltoensureitmeetsthespecificrequirementsandlegalstandardsofthejurisdictioninwhichthepropertyislocated.31.PropertyConditionDisclosure:TheSellershallprovidetheBuyerwithaPropertyConditionDisclosureStatement,whichaccuratelyreflectstheknownstateofthePropertyasofthedateofthisAgreement.32.Lead-BasedPaintDisclosure:IfthePropertywasbuiltpriorto1978,theSellershallprovidetheBuyerwithalead-basedpaintdisclosureinaccordancewithfederalandstateregulations.33.EnvironmentalAssessment:TheSellershallprovidetheBuyerwithanyavailableenvironmentalreportsorassessmentsrelatedtotheProperty,includinganyknowncontaminationorremediationhistory.34.HomeownersAssociation(HOA)Information:IfthePropertyissubjecttoanHOA,theSellershallprovidetheBuyerwithacopyoftheHOA'sgoverningdocuments,includinganyrules,regulations,andfinancialstatements.35.RentersandLeaseAgreements:IfthePropertyiscurrentlyrented,theSellershallprovidetheBuyerwithcopiesofallleaseagreementsanddiscloseanytenant-relatedissues.36.UtilityandServiceTransfers:TheSellershallberesponsiblefortransferringallutilityservicestotheBuyer'snameatClosing,andtheBuyershallassumeresponsibilityfortheseservicesfromtheClosingdate.37.OccupancyandVacancy:TheSellershalldelivervacantpossessionofthePropertytotheBuyeratClosing.IfthePropertyisoccupied,theSellershallprovidetheBuyerwithacopyoftheevictionnoticeoranyotherrelevantdocumentation.38.PropertyTaxes:TheSellershallprovidetheBuyerwithastatementofallpropertytaxespaidandanypendingtaxassessmentsasofthedateofClosing.39.Insurance:TheSellershallmaintaininsuranceonthePropertyuntilClosing.TheBuyershallobtainhomeowner'sinsurancecoverageeffectiveasoftheClosingdate.40.RepairsandAlterations:TheSellershalldiscloseanyrepairsoralterationsmadetothePropertywithoutthenecessarypermitsorthatmayhavebeendoneinviolationofanyapplicablecodesorregulations.41.EasementsandEncroachments:TheSellershalldiscloseanyeasements,encroachments,orboundarylinedisputesaffectingtheProperty.42.FixturesandPersonalPropertyExclusions:AnyfixturesorpersonalpropertynotincludedinthesaleshallbelistedinExhibitBattachedhereto.43.CovenantNottoSue:TheSellercovenantsnottosuetheBuyeroranysuccessorininterestformattersexistingatthetimeofClosing.44.RighttoAccess:TheSellergrantstheBuyertherighttoaccessthePropertyforthepurposeofinspections,appraisals,andmeasurementsatreasonabletimesanduponreasonablenotice.45.Indemnification:TheSellershallindemnifyandholdharmlesstheBuyerfromanyandallclaims,damages,orlossesarisingfromanybreachoftheSeller'srepresentationsandwarranties.46.LegalFees:IntheeventofanylegaldisputearisingoutofthisAgreement,theprevailingpartyshallbeentitledtorecoverreasonableattorneys'feesandcosts.47.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof_____.48.DisputeResolution:AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughmediationand,ifnecessary,arbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation.49.SuccessorsandAssigns:ThisAgreementshallbebindinguponandinuretothebenefitoftheparties'respectivesuccessorsandass
