tockgrownonthesitebyPartyA,thetermsofwhicharesetforthinAppendix4.Article27:Confidentiality27.1BothpartiesagreetokeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement,exceptasrequiredbylaworwiththeotherparty'sconsent.Article28:InspectionandTermination28.1UponterminationofthisAgreement,PartyBshallhavetherighttoinspectthesitetoensureitisinthesameconditionassetoutinSchedule3.AttachmentsandSupplementaryExplanationsI.AttachmentList:Schedule1:UtilitiesandServicesDetails,specifyingthetypesandcapacitiesofutilitiesandservicesprovided.Schedule2:TerminationFeeandOtherTerms,detailingtheconditionsandfeesassociatedwithearlytermination.Schedule3:SiteConditionReportuponLeaseCommencementandTermination,documentingthestateofthesiteatthebeginningandendofthelease.Schedule4:RightofFirstRefusalTerms,outliningtheconditionsandprocessforPartyB'srightoffirstrefusaltopurchasenurserystock.II.BreachofContractandDetermination:Failuretopayrentorotherchargeswhendue.Unauthorizeduseofthesiteforpurposesotherthancultivationandstorageofnurserystock.Unauthorizedalterationsorimprovementstothesite.SubleasingorassignmentoftheleasewithoutPartyB'sconsent.Breachofconfidentialityorothercovenantsnottosue.III.LegalTermsandDefinitions:Assignment:Thetransferofthewholeofaparty'sinterestinaleasetoathirdparty.Subleasing:Theactofalesseegrantingaleasetoathirdpartyforaportionofthetermoftheoriginallease.ForceMajeure:Eventsbeyondthecontrolofthepartiesthatpreventperformance,suchasnaturaldisastersorwar.Indemnification:Theobligationtocompensateanotherpartyforalossordamagesuffered.IV.IssuesEncounteredDuringExecutionandSolutions:LateRentPayment:PartyAshouldcommunicatewithPartyBregardingthedelayandnegotiatearevisedpaymentscheduleifnec
