1.Services

5.Confidentiality

BothpartiesagreetomaintainstrictconfidentialitywithrespecttoanyproprietaryorconfidentialinformationdisclosedbytheotherpartyduringthecourseofthisAgreement.ThisobligationofconfidentialityshallsurvivetheterminationofthisAgreement.

6.IntellectualProperty

TheConsultantretainsallownershipandintellectualpropertyrightsinanymaterials,documents,ordeliverablespreparedorprovidedbytheConsultantinconnectionwiththeServices.TheClientshallhaveanon-exclusive,worldwide,royalty-freelicensetousesuchmaterialsforitsinternalbusinesspurposes.

7.Indemnification

TheConsultantshallindemnifyandholdtheClientharmlessfromanyandallclaims,liabilities,andexpensesarisingoutoforinconnectionwiththeConsultant'sperformanceoftheServices.

8.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[GoverningJurisdiction].
