WHEREAS,thePrivatePartyhasthenecessaryexpertise,experience,andresourcestocarryouttheProject;

WHEREAS,thePublicPartydesirestodevelop,construct,operate,andmaintaintheProjectforthebenefitofthegeneralpublic;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:

1.ProjectDescriptionandObjectives

ThePartiesagreetocollaborateinthe[ProjectName],whichinvolves[Brieflydescribetheprojectobjectivesandscope].TheProjectaimsto[Statethemaingoalsandbenefits].

2.ProjectDuration

TheProjectshallcommenceonthe[CommencementDate]andcontinueforaperiodof[Duration],unlessextendedorterminatedinaccordancewiththetermsofthisContract.

3.ResponsibilitiesofthePrivateParty

ThePrivatePartyshallberesponsiblefor,amongothers:

a.Designing,constructing,operating,andmaintainingtheProjectinaccordancewiththeapplicablelaws,standards,andspecifications.

b.FinancingtheProjectandensuringitscompletionwithintheagreedtimeframeandbudget.

c.AssumingallrisksassociatedwiththeProject,exceptasotherwiseprovidedinthisContract.

4.ResponsibilitiesofthePublicParty

ThePublicPartyshall:

a.Providenecessaryapprovals,permits,andauthorizationsfortheProject.

b.SupportthePrivatePartyinobtaininganyrequiredpermissions,licenses,andconcessions.

c.EnsuretheprovisionofnecessaryinfrastructureandutilitiesfortheProject.

5.FinancingArrangements

ThePrivatePartyshallfinancetheProjectthroughacombinationof[Specifythefinancingsources].ThePartiesagreetothepaymentstructuresetforthinAnnex[AnnexNumber]attachedhereto.

6.RevenueStreams

ThePrivatePartyshallbeentitledtogeneraterevenuefrom[Specifytherevenuestreams,e.g.,userfees,tolls,subsidies].ThePartiesagreeontherevenue-sharingmechanismdetailedinAnnex[AnnexNumber].

7.ForceMajeure

NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoaforcemajeureevent,asdefinedinAnnex[AnnexNumber].

8.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughnegotiationbetweentheParties.IfthePartiesfailtoresolvethedisputeamicably,itshallbereferredtoarbitrationinaccordancewiththerulessetforthinAnnex[AnnexNumber].

9.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].ThePartiessubmittotheexclusivejurisdictionofthecourtsof[Country].

10.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.
