ThisEmploymentContract(the"Contract")ismadeandenteredintoonthis[Date]byandbetweenPartyAandPartyB(collectivelyreferredtoasthe"Parties").

1.PositionandDuties

PartyBagreestoserveas[Position]inPartyA'sorganization,andperformthedutiesandresponsibilitiesassociatedwithsuchposition.

2.TermofEmployment

ThetermofthisContractshallbeforaperiodof[Duration],commencingontheEffectiveDateandendingon[TerminationDate].ThePartiesmayagreetoextendthetermofthisContractbymutualwrittenconsent.

3.Compensation

PartyAshallpayPartyBasalaryof[SalaryAmount]per[SalaryPaymentPeriod],subjecttoapplicabletaxesanddeductions.PartyAmayalsoprovideadditionalbenefitsandallowancesasspecifiedinthisContract.

4.Benefits

PartyAshallprovidePartyBwiththefollowingbenefits:

(a)Vacation:PartyBisentitledto[NumberofVacationDays]perannum,proratedbasedonthelengthofemployment.

(b)HealthInsurance:PartyAshallprovidePartyBwithhealthinsurancecoverageasspecifiedinthisContract.

(c)Pension:PartyAshallcontributetoapensionplanonbehalfofPartyB,asspecifiedinthisContract.

5.Confidentiality

PartyBshallmaintainstrictconfidentialitywithrespecttoallconfidentialinformationofPartyA,excepttotheextentthatsuchinformationisrequiredtobedisclosedbylaworregulation.

6.Non-Competition

DuringthetermofthisContractandforaperiodof[Post-TerminationNon-CompetitionPeriod],PartyBshallnotengageinanyactivitiesthatareindirectcompetitionwithPartyA'sbusiness.

7.Termination

ThisContractmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,inaccordancewiththetermsandconditionsspecifiedinthisContract.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughnegotiationsand,ifnecessary,byarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
