ContractforMedicalEquipment
ThisContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertBuyer'sName],hereinafterreferredtoasthe"Buyer",and[InsertSeller'sName],hereinafterreferredtoasthe"Seller".
1.ProductandQuantity
1.1TheBuyeragreestopurchasefromtheSellerthefollowingmedicalequipment(the"Equipment"):

1.2ThetotalpurchasepricefortheEquipmentshallbe[InsertTotalPurchasePrice],subjecttothetermsandconditionssetforthinthisContract.
2.Delivery
2.1TheSellershalldelivertheEquipmenttotheBuyer'sdesignatedlocation[InsertDeliveryLocation]onorbefore[InsertDeliveryDate].
2.2TheSellershallberesponsibleforallshippingandhandlingcostsassociatedwiththedeliveryoftheEquipment.
3.PaymentTerms
3.1TheBuyershallmakepaymentfortheEquipmenttotheSellerwithin[InsertPaymentDeadline]daysafterthedateoftheinvoiceissuedbytheSeller.
3.2Thepaymentshallbemadein[InsertCurrency]by[InsertPaymentMethod].
4.Warranty
4.1TheSellerwarrantsthattheEquipmentshallbefreefromanydefectsinmaterialsandworkmanshipforaperiodof[InsertWarrantyPeriod]fromthedateofdelivery.
4.2TheSeller'ssoleobligationunderthiswarrantyshallbe,atitsoption,torepairorreplaceanyEquipmentfoundtobedefectiveduringthewarrantyperiod.
5.IntellectualProperty
5.1TheBuyeracknowledgesandagreesthatallintellectualpropertyrightsinandtotheEquipmentshallremainthepropertyoftheSeller.
5.2TheBuyershallnotreverseengineer,disassemble,orotherwiseattempttodiscoverthesourcecodeortheintellectualpropertyoftheEquipment.
6.Confidentiality
6.1ThePartiesagreetomaintaintheconfidentialityofanyandallinformationexchangedbetweentheminconnectionwiththisContract,excepttotheextentthatsuchinformationisorbecomespubliclyknownthroughnofaultofeitherParty.
6.2ThePartiesagreethatanybreachofthisconfidentialityobligationshallconstituteamaterialbreachofthisContract.
7.Indemnification
7.1TheSelleragreestoindemnifyandholdharmlesstheBuyerfromanyandallclaims,damages,liabilities,andexpenses(includingattorney'sfees)arisingoutoforresultingfromtheuseormisuseoftheEquipment.
7.2TheBuyeragreestoindemnifyandholdharmlesstheSellerfromanyandallclaims,damages,liabilities,andexpenses(includingattorney'sfees)arisingoutoforresultingfromtheBuyer'suseoftheEquipmentinviolationofanyapplicablelaworregulation.
8.GoverningLawandDisputeResolution
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].
8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution].
9.Miscellaneous
9.1ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.
9.2ThisContractmaynotbeassignedbyeitherPartywithoutthepriorwrittenconsentoftheotherParty.
INWITNESSWHEREOF,thePartieshaveexecutedthisContractasofthedatefirstabovewritten.
