ContractforInformationConsultingServices

ThisContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertClientName]("Client"),a[InsertClient'slegalentitytype]organizedandexistingunderthelawsof[InsertClient'scountryorstateofincorporationororganization],and[InsertConsultantName]("Consultant"),anindividualwithanaddressat[InsertConsultant'sAddress].

1.Services.TheConsultantagreestoprovidetheClientwiththefollowingconsultingservices(the"Services"):

2.DurationandTermination.ThetermofthisContractshallcommenceontheEffectiveDateandshallcontinueforaperiodof[InsertDuration],unlessterminatedearlierbyeitherPartyuponwrittennotice.eitherPartymayterminatethisContractatanytimeforanyreasonornoreasonbyprovidingwrittennoticetotheotherParty.

3.Payment.TheClientagreestopaytheConsultantthefollowingfeesfortheServices:

4.Confidentiality.ThePartiesagreetomaintaintheconfidentialityofallConfidentialInformation(asdefinedbelow)disclosedbyeitherPartytotheotherPartyduringthetermofthisContract,excepttotheextentthatsuchinformationisorbecomespubliclyknownthroughnofaultofthereceivingParty."ConfidentialInformation"meansanyinformationthatisidentifiedasconfidentialatthetimeofdisclosureorthatshouldreasonablybeunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofthedisclosure.

5.Indemnification.TheConsultantagreestoindemnifyandholdharmlesstheClientfromanyclaims,damages,losses,orexpenses(includingreasonableattorney'sfees)incurredbytheClientasaresultofanybreachofthisContractoranyactoromissionoftheConsultantinconnectionwiththeperformanceoftheServices.

6.GoverningLawandJurisdiction.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningLawJurisdiction],andanydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[InsertJurisdiction].

7.EntireAgreement.ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.
