ThisContract(hereinafterreferredtoas"theContract")isenteredintoandexecutedbyandbetweenthefollowingparties:

Article1:Definitions

ForthepurposeofthisContract,thefollowingtermsanddefinitionsshallapply:

1.1"Goods"means[describethegoods]tobesuppliedbytheSellertotheBuyerinaccordancewiththetermsandconditionsofthisContract.

1.2"Price"meansthetotalamountofmoneytobepaidbytheBuyertotheSellerfortheGoods.

1.3"ContractPeriod"meanstheperiodfromthedateofthisContracttothedateofcompletionofdeliveryoftheGoods.

Article2:QualityandQuantity

2.1TheGoodsshallcomplywiththequalitystandardsagreeduponbybothparties.Intheeventofanydispute,thequalityshallbedeterminedbytherelevantinspectionauthority.

2.2ThequantityoftheGoodsshallbeasspecifiedintheattachedcommercialinvoiceandpackinglist.

Article3:PriceandPaymentTerms

3.1ThePriceoftheGoodsshallbe[specifythecurrencyandamount].

3.2Paymentshallbemadeby[specifythepaymentmethod,suchasL/C,T/T,D/P,etc.]within[specifythepaymentperiod]aftertheBuyerreceivestheshippingdocuments.

Article4:Delivery

4.1TheSellershalldelivertheGoodstotheBuyerat[specifythedeliverylocation].

4.2TheSellershallnotifytheBuyerofthereadinessoftheGoodsforshipmentatleast[specifythenoticeperiod]beforethescheduledshipmentdate.

Article5:Insurance

5.1TheSellershalleffectinsuranceontheGoodsforthefullcontractvaluewithareputableinsurancecompany.

5.2Theinsurancepolicyshallcover[specifytheinsurancecoverage,suchasmarinecargoinsurance,warriskinsurance,etc.].

Article6:ForceMajeure

6.1Intheeventofanyforcemajeure,suchaswar,flood,earthquake,oranyotherunforeseeableeventbeyondthecontrolofeitherparty,theaffectedpartyshallpromptlynotifytheotherpartyandshallbeexemptedfromfulfillingitsobligationsunderthisContracttotheextentofthedelayornon-performancecausedbytheforcemajeure.

Article7:DisputeResolution

7.1IntheeventofanydisputearisingfromorinconnectionwiththisContract,thepartiesshallendeavortoresolvethedisputethroughfriendlynegotiations.

7.2Ifthepartiesfailtoreachanamicablesettlement,thedisputeshallbesubmittedto[specifythearbitrationinstitution]forarbitrationinaccordancewithitsrules.

Article8:GeneralProvisions

8.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

8.2AnyamendmentormodificationofthisContractshallbeeffectiveonlyifitisinwritingandsignedbybothparties.

-HastherighttoreceiveThirdPartyServicesfromPartyCinaccordancewiththetermsandconditionsofthisContract.

-ShallpaythePricefortheGoodstoPartyBinaccordancewiththepaymenttermssetforthinthisContract.

-ShallprovideanynecessaryinformationtoPartyBandPartyCforthesuccessfulexecutionofthetransaction.

2.2PartyB:

-ShallsupplytheGoodstoPartyAinaccordancewiththespecifications,quality,andquantityagreedupon.

-ShallensurethattheGoodsaredeliveredtoPartyAinatimelyandeffectivemanner.

-ShallprovidethenecessarydocumentationandinformationrequiredbyPartyCfortheprovisionofThirdPartyServices.

2.3PartyC:

-ShallactasanintermediaryandfacilitatethetransactionbetweenPartyAandPartyB.

-Shallprovidetheagreed-uponThirdPartyServicestoPartyAinaprofessionalandtimelymanner.

-ShallnotdiscloseanyconfidentialinformationofPartyAorPartyBwithoutthepriorwrittenconsentofbothparties.

Article3:PriceandPaymentTerms

3.1ThePriceoftheGoodsshallbe[specifythecurrencyandamount].

Article4:DeliveryandAcceptance

Article6:LiabilityandLimitationofLiability

6.1PartyBshallbeliableforanydefectsintheGoodsoranyfailuretocomplywiththeagreedspecifications,quality,andquantity.

6.2PartyCshallbeliableforanyfailuretoprovidetheagreed-uponThirdPartyServicesoranynegligenceintheperformanceofitsduties.

6.3NeitherPartyBnorPartyCshallbeliableforanylossordamagearisingfromforcemajeureeventsbeyondtheircontrol.

Article7:TerminationandDefault

7.1ThisContractmaybeterminatedbyeitherPartyuponwrittennoticetotheotherpartyintheeventofamaterialbreachbytheotherparty.

7.2IntheeventofadefaultbyPartyBorPartyC,PartyAshallhavetherighttoterminatethisContractandseekdamages.

Article8:GeneralProvisions

8.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings.

8.2AnyamendmentormodificationofthisContractshallbeeffectiveonlyifitisinwritingandsignedbyallparties.

Article3:PriceandPaymentTerms

6.2PartyCshallbeliableforanyfailuretoprovidetheagreed-uponThirdPartyServicesoranynegligenceintheperformanceofitsduties.

6.3NeitherPartyAnorPartyCshallbeliableforanylossordamagearisingfromforcemajeureeventsbeyondtheircontrol.
