NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesagreeasfollows:

1.ScopeofWork

TheSuppliershallcompletetheInstallationProjectinaccordancewiththespecifications,drawings,andinstructionsprovidedbytheClient.TheSuppliershallensurethattheinstallationisperformedinasafe,professional,andtimelymanner.

2.WorkSchedule

TheSuppliershallcommencetheInstallationProjecton[StartDate]andcompletethesameon[CompletionDate].TheSuppliershallprovidetheClientwithadetailedworkschedule,includingmilestonesandprogressreports.

3.PaymentTerms

TheClientshallpaytheSupplierthetotalcontractpriceof[Amount]inaccordancewiththefollowingterms:

a)Adepositof[Percentage]%ofthetotalcontractpriceshallbepaidbytheClientuponexecutionofthisAgreement.

b)TheremainingbalanceshallbepaidtotheSupplieruponthesuccessfulcompletionandacceptanceoftheInstallationProjectbytheClient.

c)Allpaymentsshallbemadein[Currency]andshallbefreeandclearofanytaxes,levies,orotherdeductions.

4.Warranty

TheSupplierwarrantsthattheInstallationProjectshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[Duration]fromthedateofcompletionandacceptancebytheClient.Duringthewarrantyperiod,theSuppliershallrectifyanydefectsormalfunctionsatnoadditionalcosttotheClient.

5.Insurance

TheSuppliershallmaintain,throughoutthetermofthisAgreement,allnecessaryinsurancepolicies,includingbutnotlimitedtogeneralliabilityinsurance,workers'compensationinsurance,andpropertydamageinsurance.TheSuppliershallprovidetheClientwithproofofinsuranceuponrequest.

6.Termination

EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyintheeventofabreachofanymaterialtermorconditionhereof.Insuchevent,thenon-breachingpartyshallbeentitledtorecoveranydamagesincurredasaresultofthebreach.

7.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

2.RoleoftheThirdParty

3.Client'sRightsandObligations

a)TheClienthastherighttoapproveorrejectanychangestothescopeofworkorscheduleproposedbytheSupplierortheThirdParty.

b)TheClienthastherighttorequestprogressreportsandqualityassessmentsfromtheThirdPartyatanytime.

c)TheClienthastherighttoterminatetheAgreementwithimmediateeffectintheeventofamaterialbreachbytheSupplierortheThirdParty.

d)TheClientshallprovidetheSupplierandtheThirdPartywithallnecessaryinformation,access,andsupporttofacilitatethesuccessfulcompletionoftheInstallationProject.

4.Supplier'sRightsandObligations

a)TheSupplierhastherighttoreceivepaymentfortheworkperformedinaccordancewiththetermsofthisAgreement.

b)TheSupplierhastherighttorequestclarificationormodificationofthespecifications,drawings,orinstructionsprovidedbytheClientortheThirdPartyifdeemednecessaryforthesuccessfulcompletionoftheInstallationProject.

5.ThirdParty'sRightsandObligations

a)TheThirdPartyhastherighttoreceivepaymentfortheservicesprovidedunderthisAgreement.

b)TheThirdPartyshallactinthebestinterestsoftheClientandshallnotdiscloseanyconfidentialinformationobtainedduringthecourseoftheAgreement.

c)TheThirdPartyshallensurethattheSupplier'sworkmeetstheagreed-uponqualitystandardsandshallreportanydiscrepanciestotheClientimmediately.

9.EntireAgreement

d)TheThirdPartyConsultantshallmaintaintheconfidentialityofanyinformationdisclosedbytheClientortheSupplier.

5.Client'sRightsandObligations

a)TheClienthastherighttorequestchangestotheServicespecifications,guidelines,orrequirementsatanytime.

b)TheClienthastherighttoreceiveregularupdatesandreportsfromtheThirdPartyConsultantregardingtheprogressandqualityoftheService.

c)TheClienthastherighttoterminatethisAgreementwithimmediateeffectintheeventofamaterialbreachbytheSupplierortheThirdPartyConsultant.

d)TheClientshallprovidetheSupplierandtheThirdPartyConsultantwithallnecessaryinformation,access,andsupporttofacilitatethesuccessfulprovisionoftheService.
