NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesagreeasfollows:
1.SubjectMatter
ThesubjectmatterofthisAgreementistheOEMproductionandsupplyoftheProductsbytheManufacturertotheOEMer,asdetailedintheattachedAppendixA.
2.Obligations
2.1.TheManufacturershallundertaketoproduceandsupplytheProductsinaccordancewiththespecificationsandrequirementssetforthinAppendixA,withintheagreedtimeframe.
2.2.TheOEMershallprovidetheManufacturerwiththetechnicalspecifications,designdrawings,andotherrelevantinformationnecessaryfortheproductionoftheProducts.
2.3.TheManufacturershallensurethequalityoftheProducts,andcomplywiththeapplicablelawsandregulationsintheproductionprocess.
2.4.TheOEMershallprovidetheManufacturerwithreasonabletechnicalsupportandassistanceduringtheproductionprocess,asneeded.
3.PriceandPayment
3.1.ThepriceoftheProductsshallbedeterminedbasedontheagreedpricelistattachedasAppendixB.
3.2.TheOEMershallmakepaymenttotheManufacturerwithintheagreedpaymentterms,whichshallbesetforthinAppendixC.
4.IntellectualProperty
4.1.TheOEMershallretainallrightstoitsbrandname,logo,andproductdesign,whicharenottransferredtotheManufacturerunderthisAgreement.
4.2.TheManufacturershallnotuse,disclose,orcopyanyintellectualpropertyrightsoftheOEMerwithoutpriorwrittenconsentfromtheOEMer.
5.TermandTermination
5.1.ThisAgreementshallbeeffectiveupontheEffectiveDateandshallremaininforceforaperiodof__________years.
5.2.EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyintheeventofabreachofanytermorconditionofthisAgreementbytheotherparty.
6.GoverningLawandDisputeResolution

3.2.TheOEMershallensurethattheProductsmeettherequiredqualitystandardsandspecifications.

6.2.TheOEMershallhavetherighttoterminatethisAgreementupontheoccurrenceofamaterialbreachbytheManufacturer.

7.OEMer'sLimitationsandRestrictions

8.2.PartyCshallberesponsibleforanybreachofconfidentialityorunauthorizeddisclosureofinformation.
8.3.PartyCshallnotbeliableforanylossordamageresultingfromtheOEMproductionandsupplyrelationshipbetweentheManufacturerandtheOEMer.
9.GoverningLawandDisputeResolution
9.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof__________.

5.2.TheDistributorshallhavetherighttosetitsownpricingandsalesstrategyfortheProducts.
