sandadjustments,thehandlingofpropertyrightsandinterests,andthehandlingofterminationoftheContract.11.2附加條款的效力ThesupplementarytermsshallhavethesamelegaleffectasthemainbodyoftheContract.IfthereisanycontradictionbetweenthesupplementarytermsandthemainbodyoftheContract,thesupplementarytermsshallprevail.第十二條轉(zhuǎn)讓土地的雙方義務(wù)12.1轉(zhuǎn)讓方的義務(wù)Thetransferorshallguaranteetheauthenticityandvalidityofthelanduserightscertificate,andensurethatthelanduserightscertificateisfreefromanydebts,mortgages,seizuresandotherrestrictionsonrights.12.2受讓方的義務(wù)第十三條轉(zhuǎn)讓土地的雙方權(quán)利13.1轉(zhuǎn)讓方的權(quán)利ThetransferorshallhavetherighttorequirethetransfereetoperformitsobligationsunderthisContractandtoenjoythebenefitsprovidedforinthisContract.13.2受讓方的權(quán)利ThetransfereeshallhavetherighttorequirethetransferortoperformitsobligationsunderthisContractandtoenjoythebenefitsprovidedforinthisContract.第十四條轉(zhuǎn)讓土地的合同解除14.1合同解除的條件ThisContractmaybeterminatedinthefollowingcircumstances:(1)TheexpirationofthetermoftheContract;(2)ThemutualagreementofthepartiestoterminatetheContract;(3)TheoccurrenceofaforcemajeureeventthatmakesitimpossibleforeitherpartytoperformitsobligationsundertheContract;(4)Thebreachofcontractoneparty;(5)Othercircumstancesprovidedforlaw.14.2合同解除的程序ThepartythatwishestoterminatetheContractshallgivewrittennoticetotheotherparty.ThepartiesshallhandletheterminationproceduresinaccordancewiththerelevantprovisionsoftheContractandthelawsandregulationsoftheState.第二部分:第三方介入后的修正第一條第三方介入的概念和范圍1.1第三方介入的概念ForthepurposeofthisContract,"ThirdParty"referstoanyindividual,legalentityororganizationthatisnottheContractingPartiesandisinvolvedintheperformanceoftheContractorhasadirectorindirectinterestintheperformanceoftheContract.1.2第三方介入的范圍Thethirdpartyinvolvedmayinclude,butnotlimitedto,intermediaries,consultants,inspectors,surveyors,lenders,guarantors,andanyotherindividualsorentitiesdesignatedtheContractingParties.第二條第三方介入的責(zé)權(quán)利2.1第三方介入的責(zé)任ThethirdpartyshallassumetheresponsibilityfortheperformanceofitsobligationsundertheContractandshallbeliableforanydamagescauseditsbreachofcontract.2.2第三方介入的權(quán)利ThethirdpartyshallhavetherighttorequiretheContractingPartiestoperformtheirobligationsundertheContractandtoenjoythebenefitsprovidedforintheContract.2.3第三方介入的權(quán)益保護(hù)TheContractingPartiesshalltakenecessarymeasurestoprotecttherightsandinterestsofthethirdparty,includingbutnotlimitedto,providingrelevantinformation,coordinatingwiththethirdpartyintheperformanceoftheContract,andensuringthethirdparty'srightsundertheContract.第三條第三方介入的限定3.1第三方介入的限定條件ThethirdpartyshallnothavetherighttointerveneintheperformanceoftheContractunlesstheContractingPartiesagreeinwriting.3.2第三方介入的限定范圍Thethirdparty'sinterventionshallbelimitedtothespecificmattersagreedupontheContractingPartiesandshallnotextendtoothermattersnotrelatedtotheperformanceoftheContract.第四條第三方介入的程序4.1第三方介入的申請(qǐng)TheContractingPartiesshallsubmitanapplicationtothethirdpartyforintervention,specifyingthematterstobeintervenedandthereasonsforintervention.4.2第三方介入的審批Thethirdpartyshallhavetherighttoapproveorrejecttheapplicationforintervention.Ifthethirdpartyapprovestheapplication,itshallenterintoaseparateagreementwiththeContractingPartiestodefinetherightsandobligationsofthethirdparty.第五條第三方介入的費(fèi)用5.1第三方介入費(fèi)用的承擔(dān)TheContractingPartiesshallberesponsibleforthepaymentofanyfeesorexpensesassociatedwiththeinterventionofthethirdparty,includingbutnotlimitedto,consultationfees,inspectionfees,andotherrelatedexpenses.5.2第三方介入費(fèi)用的支付方式Thepaymentofthethirdparty'sfeesandexpensesshallbemadeinaccordancewiththetermsagreedupontheContractingPartiesandthethirdparty.第六條第三方介入的責(zé)任限額6.1第三方介入責(zé)任限額的確定TheContractingPartiesandthethirdpartyshallagreeinwritingontheliabilitylimitofthethirdpartyforanydamagesorlossescauseditsbreachofcontract.6.2第三方介入責(zé)任限額的支付方式Intheeventthatthethirdpartyisliablefordamagesorlosses,thethirdpartyshallbeliableforthepaymentoftheagreedliabilitylimit.ThepaymentshallbemadeinaccordancewiththetermsagreedupontheContractingPartiesandthethirdparty.第七條第三方介入的爭(zhēng)議解決7.1第三方介入爭(zhēng)議的解決方式Intheeventofanydisputesarisingfromorinconnectionwiththeinterventionofthethirdparty,theContractingPartiesshallresolvethedisputesthroughnegotiation.Ifthenegotiationfails,eitherpartymaysubmitthedisputetothepeople'scourtwithjurisdictionovertheplacewherethecontractisperformed.7.2第三方介入爭(zhēng)議解決的時(shí)效TheContractingPartiesshallendeavortoresolveanydisputesarisingfromorinconnectionwiththeinterventionofthethirdpartywithinareasonabletimeafterthedisputearises.Ifeitherpartyfailstoresolvethedisputewithinthetimelimit,theotherpartymayapplytothepeople'scourtforresolution.第八條第三方介入的合同解除8.1第三方介入合同解除的條件ThisContractmaybeterminatedinthefollowingcircumstances:(1)TheexpirationofthetermoftheContract;(2)ThemutualagreementofthepartiestoterminatetheContract;(3)TheoccurrenceofaforcemajeureeventthatmakesitimpossibleforeitherpartytoperformitsobligationsundertheContract;(4)Thebreachofcontractoneparty;(5)Othercircumstancesprovidedforla
