零件提交保證書英文版英文翻譯合同編號(hào)：__________Parties:1.__________(hereinafterreferredtoas"Seller")2.__________(hereinafterreferredtoas"Buyer")ContractDate:__________Subject:WarrantyforDeliveryofPartsTheSellerandtheBuyerhereagreeasfollows:Article1:DescriptionofParts1.1TheSellershalldeliverthefollowingparts(the"Parts")totheBuyer:(HereinsertadetaileddescriptionoftheParts,includingtype,quantity,specifications,etc.)1.2TheSellerrepresentsandwarrantsthatthePartsshallconformtothedescriptions,specifications,andqualitystandardssetforthinthisAgreement.Article2:DeliveryandInspection2.1TheSellershalldeliverthePartstotheBuyerat__________(the"DeliveryPoint")onorbefore__________(the"DeliveryDate").2.2TheBuyershallinspectthePartsupondelivery.IfthePartsdonotconformtothedescriptions,specifications,andqualitystandardssetforthinthisAgreement,theBuyershallnotifytheSellerinwritingwithin__________daysafterdelivery.TheSellershall,atitsowncostandrisk,promptlyreplaceorrepairanynonconformingPartsorrefundtheBuyerthepurchasepriceforsuchnonconformingParts.Article3:Warranty3.1TheSellerwarrantsthatthePartsarefreefromdefectsinmaterialsandworkmanshipandconformtothedescriptions,specifications,andqualitystandardssetforthinthisAgreement.3.2TheSeller'swarrantyforthePartsshallbeforaperiodof__________(the"WarrantyPeriod")fromthedateofdelivery.3.3DuringtheWarrantyPeriod,ifthePartsarefoundtobedefective,theSellershall,atitsowncostandrisk,promptlyreplaceorrepairanydefectivePartsorrefundtheBuyerthepurchasepriceforsuchdefectiveParts.Article4:ExclusionofOtherWarrantiesExceptfortheexpresswarrantiessetforthinArticle3,theSellerdisclaimsallotherwarranties,expressorimplied,includingbutnotlimitedtowarrantiesofmerchantabilityandfitnessforaparticularpurpose.Article5:LimitationofLiability5.1TheSeller'sliabilityunderthisAgreementshallbelimitedtothereplacement,repair,orrefundofnonconformingordefectiveParts.TheSellershallnotbeliableforanyindirect,incidental,consequential,orpunitivedamagesarisingoutoforinconnectionwiththePartsorthisAgreement.5.2TheSellershallnotbeliableforanydelaysorfailuresinperformanceduetoactsofGod,labordisputes,fire,flood,war,oranyothercausesbeyonditsreasonablecontrol.Article6:TermandTermination6.2EitherpartymayterminatethisAgreementwrittennoticeintheeventofamaterialbreachtheotherpartythatisnotcuredwithin__________daysafterwrittennoticeofsuchbreach.Article7:GoverningLawandDisputeResolution7.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof__________(the"GoverningJurisdiction").7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe__________(the"ArbitrationInstitution")andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.Article8:EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasoftheContractDate._________________________[Seller'sSignature][Seller'sName][Seller'sTitle][Seller'sAddress]_________________________[Buyer'sSignature][Buyer'sName][Buyer'sTitle][Buyer'sAddress](HereinsertanyadditionalprovisionsorattachmentstothisAgreement,ifany)一、附件列表：1.Partsdescriptionandspecifications2.Qualitystandardsandacceptancecriteria3.Warrantycertificate4.Inspectionreport5.Repairorreplacementauthorizationform6.Arbitrationagreement7.Anyotherdocumentsdeemednecessarytheparties二、違約行為及認(rèn)定：1.FailuretodeliverthePartsontimeoratall2.DeliveryofPartsthatdonotconformtothedescriptions,specifications,orqualitystandards3.FailuretoreplaceorrepairnonconformingordefectivePartswithinareasonabletime4.FailuretorefundthepurchasepricefornonconformingordefectivePartswithinareasonabletime5.FailuretoperformanyotherobligationsunderthisAgreement三、法律名詞及解釋：1.Seller:ThepartysellingthePartstotheBuyer2.Buyer:ThepartypurchasingthePartsfromtheSeller3.DeliveryPoint:ThelocationwherethePartsaretobedelivered4.DeliveryDate:ThedatewhichthePartsmustbedelivered5.Parts:TheitemsdescribedinArticle1ofthisAgreement6.WarrantyPeriod:TheperiodduringwhichtheSeller'swarrantyforthePartsiseffective7.DefectiveParts:Partsthatdonotconformtothedescriptions,specifications,orqualitystandardsandarenotduetonormalwearandtear四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.Deliveryissues:IfthePartsarenotdeliveredontimeorareincorrect,theBuyershouldnotifytheSellerinwritingandtheSellershouldtakecorrectiveaction.2.Qualityissues:IfthePartsarefoundtobedefective,theBuyershouldnotifytheSellerinwritingandtheSellershouldreplaceorrepairthePartsorrefundthepurchaseprice.3.Warrantyclaims:TheBuyershouldprovidedocumentationofthedefectivePartsandtheSellershouldhonorthewarrantyinaccordancewithArticle3ofthisAgreement.4.Disputeresolution:Incaseofanydisputes,thepartiesshouldrefertoArticle7ofthisAgreementfortheapplicabledisputeresolutionprocess.五、所有應(yīng)用場(chǎng)景：1.Purcha
