英文版泵采購合同合同編號：__________ContractforPumpProcurementparties:PartyA:____________________Address:____________________LegalRepresentative:____________________ContactPerson:____________________Tel:____________________Fax:____________________PartyB:____________________Address:____________________LegalRepresentative:____________________ContactPerson:____________________Tel:____________________Fax:____________________Objective:ThisContractismadeandenteredintoandbetweenPartyAandPartyB(hereinafterreferredtoasthe"Parties")withtheobjectiveofsettingforththetermsandconditionsoftheprocurementofpumpsPartyAfromPartyB.Definitions:1.1"Pumps"shallmeantheproductsspecifiedintheAttachmenthereto,whicharetobesuppliedPartyBtoPartyA.1.2"DeliveryDate"shallmeanthedateonwhichPartyBisrequiredtodeliverthePumpstoPartyAasspecifiedinArticle4hereof.1.3"ContractPrice"shallmeanthetotalpriceforthePumpsasspecifiedinArticle5hereof.1.4"PerformanceGuarantee"shallmeantheguaranteeprovidedPartyBtoPartyAinaccordancewithArticle7hereof.1.5"IntellectualPropertyRights"shallmeanallpatents,trademarks,copyrights,tradesecrets,andothersimilarrightsandinterestsrelatedtothePumps.1.6"ForceMajeure"shallmeananeventorcircumstancebeyondthereasonablecontrolofaParty,whichpreventsordelaysthePartyfromperformingitsobligationsunderthisContract.TermsofSupply:2.1PartyBagreestosupplythePumpstoPartyAinaccordancewiththespecifications,quantities,andqualitystandardssetforthintheAttachmenthereto.2.2PartyBshallensurethatthePumpsconformtotherelevantlaws,regulations,andstandardsapplicabletotheindustryinwhichthePumpsaretobeused.2.3PartyBshallprovidePartyAwithallnecessarytechnicaldocumentation,instructions,andtrainingtoenablePartyAtousethePumpsproperlyandsafely.Delivery:3.1PartyBshalldeliverthePumpstoPartyAatthedeliverylocationspecifiedintheAttachmentheretoonorbeforetheDeliveryDate.3.2PartyBshallberesponsibleforthetransportationandinsuranceofthePumpstothedeliverylocation.3.3PartyAshallhavetherighttorejectanyPumpsthatdonotconformtothespecifications,quantities,orqualitystandardssetforthintheAttachmenthereto.Insuchevent,PartyBshallpromptlyreplaceorrepairthenonconformingPumpsatitsowncost.PaymentTerms:4.1PartyAshallpaytheContractPricetoPartyBwithin[number]daysafterthedateoftheinvoiceissuedPartyB.4.2ThepaymentshallbemadewiretransfertothebankaccountspecifiedPartyB.4.3IfPartyAfailstomakethepaymentwithinthetimespecifiedinArticle4.1,PartyBshallbeendtointerestontheoutstandingamountattherateof[percentage]perannumcalculatedfromtheduedateuntilthedateofpayment.PerformanceGuarantee:5.1PartyBwarrantsthatthePumpsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[number]monthsfromthedateofdelivery.5.2Ifanydefectsoccurwithinthewarrantyperiod,PartyBshall,atitsowncost,repairorreplacethedefectivePumpspromptly.5.3ThePerformanceGuaranteeshallnotapplyifthePumpsaredamagedduetomisuse,mishandling,orabnormaloperatingconditions.IntellectualPropertyRights:6.1PartyBrepresentsandwarrantsthatithasthefullright,,andinterestinthePumpsandtherelatedIntellectualPropertyRights,andthatthePumpsdonotinfringeuponanythirdpartyIntellectualPropertyRights.6.2PartyAshallnotacquireanyownershiporotherrightsintheIntellectualPropertyRightsofPartyBvirtueofthisContract.Confidentiality:7.1ThePartiesagreetokeepconfidentialanyandallinformation,whetherinwritten,oral,orelectronicform,concerningthePumps,theContract,andthebusinessoftheotherParty,exceptforinformationthatispubliclyavailableorrightfullyknowntothePartyreceivingtheinformationpriortodisclosuretheotherParty.7.2Theconfidentiality一、附件列表：1.PumpsSpecificationsandQuantities2.QualityStandardsforPumps3.TechnicalDocumentation4.InstructionsforUseandSafety5.WarrantyCertificate6.PerformanceGuaranteeTerms7.PaymentTermsandInvoice二、違約行為及認定：1.FailureofPartyBtosupplyPumpsinaccordancewiththespecifications,quantities,orqualitystandards.2.DeliveryofnonconformingPumps.3.LatedeliveryofPumps.4.FailureofPartyBtoprovidenecessarytechnicaldocumentation,instructions,ortraining.5.FailureofPartyAtomakepaymentwithinthespecifiedtime.6.DamagetoPumpsduetomisuse,mishandling,orabnormaloperatingconditions.三、法律名詞及解釋：1.Contract:AnagreementbetweenPartyAandPartyBoutliningthetermsandconditionsoftheprocurementofpumps.2.Pumps:TheproductsspecifiedintheAttachment,tobesuppliedPartyBtoPartyA.3.DeliveryDate:ThedateonwhichPartyBisrequiredtodeliverthePumpstoPartyA.4.ContractPrice:ThetotalpriceforthePumps.5.PerformanceGuarantee:AguaranteeprovidedPartyBtoPartyAforthefunctionalityofthePumps.6.IntellectualPropertyRights:Patents,trademarks,copyrights,tradesecrets,andothersimilarrightsandinterestsrelatedtothePumps.7.ForceMajeure:AneventorcircumstancebeyondthereasonablecontrolofaParty,preventingitfromperformingitsobligationsundertheContract.四、執(zhí)行中遇到的問題及解決辦法：1.NonconformingPumps:PartyAshouldrejectthePumpsandPartyBshouldpromptlyreplaceorrepairthematitsown
