WHEREAS,theSellerdesirestosellandtheBuyerdesirestopurchasethe[DescriptionofGoods]onthetermsandconditionssetforthherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.ScopeoftheAgreement
ThisAgreementshallgovernthesaleandpurchaseofthe[DescriptionofGoods]betweentheSellerandtheBuyer,andshallbebindinguponbothparties.
2.DescriptionofGoods

5.ShipmentandDelivery

7.IntellectualPropertyRights
TheSellerherebygrantstheBuyeranon-exclusive,non-transferablelicensetousetheintellectualpropertyrightsrelatedtothe[DescriptionofGoods]solelyforthepurposeofpurchasingandusingthe[DescriptionofGoods]underthisAgreement.
8.ForceMajeure
NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,strikes,labordisputes,orgovernmentactions.
9.GoverningLawandDisputeResolution
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].
AnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicableresolution,thedisputeshallbesubmittedtothecompetentcourtsof[Country]forresolution.

ThisAgreementmayonlybeamendedormodifiedbyawritteninstrumentexecutedbybothparties.
