?合同編號:partiesthisagreement(hereinafterreferredtoas"thisagreement")ismadeandenteredintoonthedatefirstabovewrittenandbetween:landlord:(hereinafterreferredtoas"landlord")tenant:(hereinafterreferredtoas"tenant")referredtoindividuallyasa"party"andcollectivelyasthe"parties".Whereas,thelandlordistheownerofthatcertnrealpropertylocatedat:(hereinafterreferredtoasthe"premises");andWhereas,thetenantdesirestoleasethepremisesfromthelandlord;Now,therefore,inconsiderationofthemutualcovenantsandagreementscontnedherein,thepartiesagreeasfollows:leaseofpremises1.lease.thelandlordhereleasestothetenantandthetenanthereleasesfromthelandlordthepremises,subjecttothetermsandconditionsofthisagreement.2.term.thetermofthislease(hereinafterreferredtoasthe"term")shallmenceonthedatefirstabovewritten(the"mencementdate")andshallcontinueforaperiodofyears,unlessearlierterminatedasprovidedinthisagreement.3.rent.tenantshallpaytolandlordthefollowingrentduringthetermofthislease:(a)baserent.themonthlybaserentforthepremisesshallbeunitedstatesdollars($),payableinadvanceonthefirstdayofeachmonththroughoutthetermofthislease.(b)additionalrent.tenantshallalsopaytolandlord,asadditionalrent,anyamountsdueandowingunderthisagreementwhicharenotspecificallyidentifiedasbaserent,including,withoutlimitation,monareamntenancecharges,realestatetaxes,utilitiesandotherchargesasprovidedinthisagreement.4.paymentofrent.allrentpaymentsdueunderthisagreementshallbepdtolandlordatthefollowingaddress:orsuchotheraddressasthelandlordmaydesignateinwriting.5.securitydeposit.upontheexecutionofthisagreement,tenantshalldepositwithlandlordasecuritydepositintheamountofunitedstatesdollars($)assecurityfortheperformanceoftenant'sobligationsunderthisagreement.6.useofpremises.tenantshallusethepremisesforthefollowingpurpose:(the"leaseduse").tenantshallnotusethepremisesforanypurposethatisillegalorprohibitedthisagreement.7.reprsandmntenance.tenantshallberesponsibleforthemntenanceandreprofthepremises,including,withoutlimitation,theinteriorofthepremisesandtheexclusiveareasofthepremises.landlordshallberesponsibleforthemntenanceandreprofthemonareasofthepremises.8.insurance.tenantshallobtnandmntn,attenant'ssolecostandexpense,thefollowinginsurance:(a)mercialgeneralliabilityinsuranceinanamountnotlessthanmillionunitedstatesdollars($million),naminglandlordasanadditionalinsured;(b)propertyinsuranceinanamountnotlessthanthefullreplacementvalueofthepremises;and(c)anyotherinsurancerequiredthisagreementorlaw.9.indemnification.tenantshallindemnifyandholdharmlesslandlordfromandagnstanyandallclms,demands,suits,actions,judgments,damages,liabilities,costsandexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforinanywayconnectedwithtenant'suseoroccupancyofthepremises,excepttotheextentcausedthenegligenceorwillfulmisconductoflandlord.10.termination.thisagreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyasfollows:(a)tenant.tenantmayterminatethisagreementuponwrittennoticetolandlordif:(i)landlordflstoperformanymaterialobligationunderthisagreementandsuchflurecontinuesforaperiodofdaysafterwrittennoticethereoffromtenant;or(ii)acourtorotherpublicauthoritytakesanyactionwhichmateriallyandadverselyaffectstenant'suseoroccupancyofthepremisesandsuchactioncontinuesforaperiodofdaysafterwrittennoticethereoffromtenant.(b)landlord.landlordmayterminatethisagreementuponwrittennoticetotenantif:(i)tenantflstopayrentoradditionalrentwhendueandsuchflurecontinuesforaperiodofdaysafterwrittennoticethereoffromlandlord;or(ii)tenantflstoperformanyothermaterialobligationunderthisagreementandsuchflurecontinuesforaperiodofdaysafterwrittennoticethereoffromlandlord.11.default.ifeitherpartydefaultsintheperformanceofanymaterialobligation注意事項:1.雙方應仔細閱讀并理解本合同的每一條款,確保對合同內(nèi)容有全面的了解。2.雙方應確保所提供的信息真實、準確、完整,不得有任何虛假陳述。3.雙方應按照合同約定履行各自的權利和義務,不得擅自變更合同內(nèi)容。4.雙方應遵守國家的法律法規(guī),不得利用合同從事任何非法活動。5.合同的修改和解除必須經(jīng)雙方協(xié)商一致,并書面確認。6.雙方應妥善保管合同副本,并確保合同內(nèi)容的保密性。7.在履行合同過程中,如發(fā)生糾紛,雙方應通過友好協(xié)商解決;協(xié)商不成的,可依法向合同簽訂地的人民法院提起訴訟。法律名詞及名詞解釋:1.出租方(Landlord):指擁有物業(yè)并將其出租給他人的一方。2.承租方(Tenant):指租賃物業(yè)并支付租金的一方。3.租賃期限(Term):指租賃合同的有效期限,通常以年為單位。4.租金(Rent):承租方支付給出租方的費用,以使用和占用物業(yè)。5.附加租金(AdditionalRent):除基本租金外,承租方根據(jù)合同約定支付給出租方的其他費用。6.securitydeposit:承租方為保證履行合同義務,支付給出租方的押金。7.物業(yè)(Premises):指租賃合同中約定的租賃物。8.商業(yè)綜合責任保險(CommercialGeneralLiabilityInsurance):為企業(yè)提供保障,以防因疏忽或意外事件導致的第三方損害賠償。9.財產(chǎn)保險(PropertyInsurance):為保障物業(yè)免受損失或損害而購買的保險。10.賠償(Indemnification):承租方對出租方因租賃行為而產(chǎn)生的損失或損害進行補償?shù)牧x務。11.違約(Default):指合同一方未履行合同約定的義務。12.友好協(xié)商(AmicableNegotiation):雙方在發(fā)生糾紛時,通過友好對話和協(xié)商解決爭議的方式。13.訴
