3.PaymentTerms

4.IntellectualProperty

4.1ThePartiesacknowledgeandagreethatanyintellectualpropertyrightscreated,developed,oracquiredduringtheperformanceofthisAdditionalAgreementshallbeownedbythePartythatcreated,developed,oracquiredsuchrights,subjecttotherightsandobligationsoftheotherPartyassetforthinthePrincipalAgreement.

4.2ThePartiesshallcomplywithallapplicablelawsandregulationsregardingtheprotectionanduseofintellectualpropertyrights.

5.Confidentiality

5.1ThePartiesagreetomaintaintheconfidentialityofallnon-publicinformationdisclosedtothembytheotherParty,includingbutnotlimitedtotechnical,financial,andbusinessinformation.

5.2ThePartiesagreethatthisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAdditionalAgreement.

6.GoverningLawandJurisdiction
