3.PriceandPaymentTerms

4.DeliveryandShipment

5.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,civilunrest,governmentactions,andnaturaldisasters.

6.GoverningLawandDisputeResolution

6.PartyA'sRightsandInterests

a.PartyAshallhavetherighttoinspectandapprovethegoods/servicesprovidedbyPartyCatanytimeduringtheperformanceofthisContract.

b.PartyAshallhavetherighttoterminatethisContractimmediatelyupontheoccurrenceofamaterialbreachbyPartyC,withoutprejudicetoanyotherrightsorremediesavailabletoPartyA.

c.PartyAshallhavetherighttorequestPartyCtorectifyanydefectsinthegoods/serviceswithinareasonabletimeupondiscoveryofsuchdefects.

7.PartyB'sObligationsandLimitations

a.PartyBshallensurethatthepaymenttoPartyAismadepromptlyandinaccordancewiththetermsofthisContract.

b.PartyBshallnotassignitsrightsandobligationsunderthisContracttoanythirdpartywithoutthepriorwrittenconsentofPartyA.

c.PartyBshallberesponsibleforanybreachofthisContractbyPartyC,includinganydamagesorlossesincurredbyPartyAduetosuchbreach.

8.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,civilunrest,governmentactions,andnaturaldisasters.

9.GoverningLawandDisputeResolution

6.PartyA'sObligationsandLimitations

a.PartyAshallensurethattheservicesprovidedbyPartyCareinaccordancewiththetermsofthisContractandtherequirementsofPartyB.

b.PartyAshallnotinterferewiththedirectrelationshipbetweenPartyBandPartyCwithoutthepriorwrittenconsentofbothparties.
