1.EachPartyrepresentsandwarrantsthatitisacorporationdulyorganized,validlyexisting,andingoodstandingunderthelawsofthejurisdictionofitsincorporationandhasfullpowerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

2.EachPartyrepresentsandwarrantsthatithasthenecessaryauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

3.EachPartyrepresentsandwarrantsthatitisnotcurrentlyinviolationofanyapplicablelaws,regulations,ororders.

OBLIGATIONS:

1.PartyA,PartyB,andPartyCshall,jointlyandseverally,contribute[amount]ascapitaltothe合資公司(hereinafterreferredtoasthe"JointVenture").

6.PartyA,PartyB,andPartyCshall,jointlyandseverally,complywithallapplicablelaws,regulations,andordersintheperformanceoftheirobligationsunderthisAgreement.

7.PartyA,PartyB,andPartyCshall,jointlyandseverally,keeptheJointVenture'sconfidentialinformationconfidentialandnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParties.

TERMANDTERMINATION:

1.ThisAgreementshallbeeffectiveuponthedateofitsexecutionbyallPartiesandshallremainineffectforaperiodof[number]yearsfromthedateofitsexecution.
