ThisContract(hereinafterreferredtoas"theContract")isenteredintobyandbetweenthefollowingparties:

WHEREAS,thePrincipalisengagedinthebusinessof[Principal'sBusiness],andhasaneedtopromoteandsellitsproductsorservicesin[Territory];

WHEREAS,theAgentisengagedinthebusinessof[Agent'sBusiness],andhasanetworkofcustomersin[Territory]thatmaybeinterestedinpurchasingthePrincipal'sproductsorservices;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thePrincipalandtheAgentherebyagreeasfollows:

1.Term

ThisContractshallbeeffectivefromthedateofitsexecutionandshallremaininforceforaperiodof[Duration],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

2.AppointmentofAgent

ThePrincipalherebyappointstheAgentasitsexclusiveagentforthesaleandpromotionofitsproductsorservicesin[Territory]duringtheTermofthisContract.

3.RightsandObligationsoftheAgent

TheAgentshall:

a.ActivelypromoteandsellthePrincipal'sproductsorservicesin[Territory]inaccordancewiththePrincipal'smarketingstrategiesandguidelines;

b.UseitsbesteffortstoachievethesalestargetssetforthintheContract;

c.Complywithallapplicablelaws,regulations,andpoliciesoftherelevantauthoritiesin[Territory];

d.MaintainagoodreputationforthePrincipal'sproductsorservices;

e.ProvidethePrincipalwithaccurateandtimelysalesreportsandotherinformationrelatedtothesalesofthePrincipal'sproductsorservices.

4.RightsandObligationsofthePrincipal

ThePrincipalshall:

a.ProvidetheAgentwiththenecessarymarketingmaterials,promotionaltools,andtrainingasrequired;

b.SupporttheAgentinitseffortstopromoteandsellthePrincipal'sproductsorservices;

c.PaytheAgentacommissionorothercompensationinaccordancewiththetermsandconditionssetforthinthisContract;

d.KeeptheAgentinformedofanychangesinthePrincipal'sproductsorservices,aswellasanyupdatestothemarketingstrategiesandguidelines;

e.ProtecttheAgent'sinterestsandreputationinaccordancewithapplicablelawsandregulations.

5.CompensationandCommission

TheAgentshallbeentitledtoreceiveacommissionorothercompensationinaccordancewiththefollowingterms:

a.Thecommissionrateshallbe[CommissionRate]ofthetotalsalesvalueofthePrincipal'sproductsorservicesin[Territory];

b.ThecommissionshallbecalculatedonamonthlybasisandpaidtotheAgentwithin[PaymentPeriod]aftertheendofeachmonth.

6.Confidentiality

ThePrincipalandtheAgentagreetokeepconfidentialanyandallinformationdisclosedtotheotherpartyinconnectionwiththisContract,includingbutnotlimitedtobusinessplans,customerlists,andothertradesecrets.

7.Termination

ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthat:

a.Theterminatingpartyshallprovidetheotherpartywithawrittennoticeofterminationatleast[NoticePeriod]dayspriortotheeffectivedateoftermination;

b.TheterminatingpartyshallpayanyoutstandingcommissionsorothercompensationduetotheAgentpriortotheeffectivedateoftermination.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicableresolutionwithin[NegotiationPeriod],anyunresolveddisputesshallbesubmittedtothecompetentcourtof[Jurisdiction]forarbitration.

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePrincipalandtheAgentwithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweentheparties.

c.ConductmarketresearchandanalysistoidentifypotentialopportunitiesforthePrincipal'sproductsorservices.

5.RightsandObligationsofthePrincipal

ThePrincipalshall:

a.ProvidetheAgentandtheThirdPartywiththenecessarymarketingmaterials,promotionaltools,andtrainingasrequired;

b.SupporttheAgentandtheThirdPartyintheireffortstopromoteandsellthePrincipal'sproductsorservices;

c.PaytheAgentacommissionorothercompensationinaccordancewiththetermsandconditionssetforthinthisContract;

d.ProtecttheAgentandtheThirdParty'sinterestsandreputationinaccordancewithapplicablelawsandregulations.

6.CompensationandCommission

TheAgentshallbeentitledtoreceiveacommissionorothercompensationinaccordancewiththefollowingterms:

9.TerminationandConsequences

a.Theterminatingpartyshallprovidetheotherpartywithawrittennoticeofterminationatleast[NoticePeriod]dayspriortotheeffectivedateoftermination;

11.GoverningLawandDisputeResolution

12.EntireAgreement

b.EnsurethattheAgentandtheThirdPartyhaveaccesstotherequiredresourcesandsupporttoperformtheirobligations;
