AgreementonTerminationofContractThisAgreementonTerminationofContract(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").I.RecitalsA.PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")on[originalcontractsigningdate]forthepurposeof[describethepurposeoftheoriginalcontract].B.Now,bothpartieshavemutuallyagreedtoterminatetheOriginalContractinaccordancewiththetermsandconditionssetforthherein.II.TerminationoftheOriginalContract1.TheOriginalContractshallbeterminatedeffectiveasof[terminationdate].Fromtheterminationdate,neitherpartyshallhaveanyobligationsorrightsundertheOriginalContract,exceptasotherwiseprovidedherein.2.Allwork,services,ordeliveriesthatwererequiredtobeperformedundertheOriginalContractbutwereincompleteasoftheterminationdateshallceaseimmediately.III.SettlementofAccounts1.PartyAshallpayPartyBallamountsthataredueandpayabletoPartyBundertheOriginalContractasoftheterminationdate,lessanyamountsthatPartyBmayowetoPartyA.Suchpaymentshallbemadewithin[numberofdays]daysaftertheexecutionofthisAgreement.2.PartyBshallreturntoPartyAanyproperty,documents,ormaterialsbelongingtoPartyAthatareinPartyB'spossessionorcontrolasaresultoftheOriginalContract.Suchreturnshallbemadewithin[numberofdays]daysaftertheexecutionofthisAgreement.IV.Confidentiality1.TheconfidentialityobligationsofbothpartiesundertheOriginalContractshallsurvivetheterminationoftheOriginalContract.EachpartyshallcontinuetokeepconfidentialallconfidentialinformationoftheotherpartythatwasdisclosedduringthetermoftheOriginalContract.2.Confidentialinformationincludesbutisnotlimitedtobusinessplans,customerlists,technicalknow-how,andanyotherinformationthatwasmarkedasconfidentialorshouldhavebeenreasonablyunderstoodtobeconfidential.V.Non-CompeteandNon-Solicitation1.Foraperiodof[non-competeperiod]fromtheterminationdate,PartyBshallnotengageinanybusinessactivitiesthatarecompetitivewithPartyA'sbusinessinthe[geographicalarea]area.2.Duringthesameperiod,neitherpartyshallsolicitorattempttosolicittheemployees,customers,orbusinesspartnersoftheotherparty.VI.RepresentationsandWarranties1.EachpartyrepresentsandwarrantstotheotherpartythatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.2.EachpartyfurtherrepresentsandwarrantsthattheexecutionandperformanceofthisAgreementdonotviolateanyotheragreementsorlawstowhichitissubject.VII.Indemnification1.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyA'sbreachofthisAgreement.2.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyB'sbreachofthisAgreement.VIII.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].IX.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.X.AmendmentsandWaiversNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.XI.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.XII.CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartieshaveexecut
