11、copies.商品原產(chǎn)地證明之正本一份副本兩份。7) Non-Wooden Packing Declaration in 1 original for the non-wooden packing material or Sellers Certification certifying that the package(s) has/have been labeled with IPPC mark. 采用非木質(zhì)包裝材料時(shí)提供非木質(zhì)包裝聲明一份，或采用木質(zhì)包裝材料時(shí)提供書面聲明確認(rèn)木質(zhì)包裝上已有IPPC標(biāo)識(shí)。The seller shall send full set of above-ment

13、me of commodity, quantity, gross weight, invoiced value, flight number and the flight date.11. 品質(zhì)保證GUARANTEE OF QUALITY:賣方應(yīng)保證設(shè)備是用最好的材料制成的，采用最新的制造工藝，設(shè)備是全新未使用過的，并符合本合同及附件規(guī)定的各個(gè)方面，如質(zhì)量、技術(shù)要求和性能。保修期自貨物到達(dá)目的港，并經(jīng)驗(yàn)收合格起12個(gè)月內(nèi)，但最遲不超過貨物到達(dá)目的港之日起14個(gè)月。The Sellers guarantee that the commodity hereof is made of the bes

14、t materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract and conforms to the data sheets or technical manuals of the commodities contract.The guarantee period shall be 12 months counting from the date

15、on which the commodity arrives at the port of destination, and counting from the date on which the Acceptance Certificate has been signed by the representatives of both parties if the installation and inspection for acceptance of the commodities contracted are required, but no later than 14 months c

16、ounting from the date on which the commodity arrives at the port of destination.12. 索賠CLAIMS:在貨物達(dá)到目的港后90天內(nèi)，如發(fā)現(xiàn)貨物規(guī)格或數(shù)量與合同規(guī)定不相符（保險(xiǎn)公司或運(yùn)輸公司造成的除外），買方可依據(jù)中國(guó)商檢局的檢驗(yàn)證明提出索賠：更換新貨品，差額補(bǔ)償，或維修，所有費(fèi)用（如檢驗(yàn)費(fèi)、修理費(fèi)、貨物返航或貨物替換費(fèi)用、或修理費(fèi)、保險(xiǎn)、保存、裝載/卸載費(fèi)等）由賣方承擔(dān)。關(guān)于質(zhì)量問題，賣方應(yīng)保證如在本合同第十二條規(guī)定的保質(zhì)期內(nèi)，發(fā)生由于質(zhì)量不好、工藝差或材料不好引起的損壞，買方應(yīng)立即書面通知賣方并依據(jù)中國(guó)出入境檢

17、驗(yàn)檢疫局的檢驗(yàn)報(bào)告提出索賠。檢驗(yàn)報(bào)告作為索賠證據(jù)。賣方應(yīng)根據(jù)買方的索賠負(fù)責(zé)解決貨物的缺損、完全或部分替換，或根據(jù)缺損情況將商品降價(jià)。如果必要，買方有權(quán)要求賣方承擔(dān)費(fèi)用自行解決問題。如果賣方在接到買方的上述索賠要求后一個(gè)月內(nèi)沒有答復(fù)，將視為賣方接受此索賠要求。Within 90 days after the arrival of the goods at destination, should the specification, or quantity be found not in conformity with the stipulations of the Contract except

18、 those claims for which the insurance company or the Carriers are liable, the Buyer shall, on the strength of the Inspection Certificate issued by Entry & Exit Inspection and Quarantine Bureau of China, have the right to claim for replacement with new goods, or for compensation or repair and all the

19、 expenses (such as inspection charges, repairing fee, freight for returning the goods and for sending the replacement, or the repaired goods, insurance premium, storage and loading and unloading charges etc.) shall be borne by the Sellers. As regards quality, the Sellers shall guarantee that if, wit

20、hin the guarantee period stipulated in Clause 11 of this Contract, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Cert

21、ificate issued by Entry & Exit Inspection and Quarantine Bureau of China.The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyers claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the co

22、mmodity or shall devaluate the commodity according to the state of defect(s). Where necessary, the Buyers shall be at liberty to eliminate the defect(s) themselves at the Sellers expense. If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall

23、be reckoned as having been accepted by the Sellers.13. 不可抗力FORCE MAJEURE：在制造、裝卸或運(yùn)輸過程中由于不可抗力因素導(dǎo)致延遲交貨，賣方不承擔(dān)責(zé)任。但賣方必須在事發(fā)后14天內(nèi)將上述事故的記載及買方可接受的當(dāng)?shù)卣鞴懿块T出示的有關(guān)偶然事故的證明通過航空快件發(fā)給買方，在這樣的處境下，賣方仍需盡力采取必要的措施保證盡快的供貨，如果事故持續(xù)超過10周，買方將有權(quán)撤消未發(fā)貨的訂單，或延遲交貨時(shí)間。The Sellers shall not be held responsible for the delay in shipment or

24、 non-delivery of the goods due to Force Majeure, such as war, serious fire, flood, typhoon and earthquake, or other events agreed upon between both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately o

25、f the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof.Under such circumstances the Sellers,

26、however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers at its option may delete the undelivered goods from its purchase order or appropriately extend the time of delivery .The Buyers sh

27、all not be held responsible for failure or delay to perform all or any part of this Contract due to Force Majeure. 14. 延遲交貨和罰款LATE DELIVERY AND PENALTY：除本合同第十四條中不可抗力因素引起外，如果賣方未能按合同規(guī)定如期交貨，若賣方同意賠款并從付款銀行扣除罰款，買方應(yīng)同意延遲交貨。罰款不能超過延遲交貨商品總價(jià)的5%。罰款率為每7天0.5%，未超過7天時(shí)按7天計(jì)。賣方若延遲交貨超過合同規(guī)定日期10周，買方有權(quán)解除合同，或要求限期交貨并向買方支付罰款。

28、Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 14 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying b

29、ank from the payment. The penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten wee

30、ks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.15. 仲裁ARBITRATION：與本合同有關(guān)的或由執(zhí)行本合同引起的矛盾應(yīng)通過友好協(xié)商解決。如無法達(dá)成協(xié)議，應(yīng)提交仲裁。仲裁在中國(guó)北京進(jìn)

31、行，并由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)所屬的對(duì)外經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)按照仲裁機(jī)構(gòu)暫行的規(guī)定進(jìn)行仲裁。仲裁結(jié)果應(yīng)作為雙方的最終約束。任何一方不得向法庭或其他協(xié)會(huì)申請(qǐng)修改仲裁結(jié)果，仲裁費(fèi)用由敗訴方承擔(dān)。仲裁期間，雙方應(yīng)繼續(xù)執(zhí)行本合同中除仲裁條款外的其他條款。All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations.
