(以下簡(jiǎn)稱“乙方”)根據(jù)中華人民共和國(guó)合同法、中華人民共和國(guó)勞動(dòng)法和中華人民共和國(guó)勞動(dòng)合同法等有關(guān)法律、法規(guī)的規(guī)定,本著平等互利的原則,甲、乙雙方經(jīng)友好協(xié)商,就乙方使用甲方員工等事宜,達(dá)成本勞務(wù)合同(以下簡(jiǎn)稱“本合同”)。第一章 總則第一條 適用甲、乙雙方有關(guān)乙方使用甲方員工等事宜,適用本合同。第二條 適用法律本合同,以及與本合同有關(guān)的一切事宜,一律適用中華人民共和國(guó)的法律、法規(guī)。因任何原因,包括但不限于因法律法規(guī)變化,致使本合同條款與中華人民共和國(guó)法律、法規(guī)不一致時(shí),均應(yīng)以中華人民共和國(guó)法律、法規(guī)為準(zhǔn)。第三條 定義3.1 甲方員工:指乙方需要使用的,由甲方依法辦理相關(guān)手續(xù),派遣到乙方的中國(guó)公民。3.2 附件:指甲、乙雙方另行簽訂的所有關(guān)于本合同的補(bǔ)充協(xié)議或相關(guān)約定等; 3.3 管理費(fèi):指乙方使用甲方員工而應(yīng)支付給甲方的各種費(fèi)用的總和。一般包括:3.3.1 乙方為承擔(dān)甲方員工的社會(huì)保險(xiǎn)和住房公積金而支付的費(fèi)用;3.3.2 乙方為要求甲方向甲方員工提供福利保障、檔案保管而支付的費(fèi)用;3.3.3 乙方為甲方提供本合同下所列服務(wù)而支付給甲方的服務(wù)費(fèi)和約定的相關(guān)稅收。3.4 工資:指乙方使用甲方員工而應(yīng)支付給甲方員工的勞動(dòng)報(bào)酬,具體數(shù)額應(yīng)以附件所載為準(zhǔn)。3.5 法律:指中華人民共和國(guó)法律、法規(guī)、規(guī)章、制度、規(guī)范性文件等。第二章 權(quán)利和義務(wù)第四條 甲方享有的權(quán)利4.1 甲方有權(quán)要求乙方為甲方的服務(wù)配合甲方擬定的流程。4.2 甲方有權(quán)對(duì)乙方與甲方員工之間因?qū)嶋H使用關(guān)系所發(fā)生的爭(zhēng)議進(jìn)行調(diào)解。4.3 甲方有權(quán)對(duì)乙方侵害甲方員工合法權(quán)益的行為進(jìn)行交涉并提出整改意見(jiàn)和要求。4.4 甲方有權(quán)根據(jù)本合同和附件的約定,按月向乙方收取管理費(fèi)。第五條 乙方享有的權(quán)利5.1 乙方有權(quán)享有本合同和附件約定的由甲方提供的服務(wù)。5.2 乙方有權(quán)決定甲方員工的派遣期限,派遣期限一般不應(yīng)少于2年,派遣期滿乙方可以退回甲方員工,但另有約定的除外。5.3 乙方有權(quán)與被其使用的甲方員工另行簽訂協(xié)議(包括但不限于培訓(xùn)服務(wù)期協(xié)議、保密協(xié)議等),以約定雙方的權(quán)利義務(wù);但因此產(chǎn)生的一切責(zé)任,甲方不承擔(dān)任何一方(即乙方或甲方員工)的連帶責(zé)任。5.4 乙方有權(quán)制定、修改或者決定有關(guān)勞動(dòng)報(bào)酬、工作時(shí)間、休息休假、勞動(dòng)安全衛(wèi)生、保險(xiǎn)福利、職工培訓(xùn)、勞動(dòng)紀(jì)律以及勞動(dòng)定額管理等直接涉及甲方員工切身利益的規(guī)章制度或者重大事項(xiàng);但該規(guī)章制度或者重大事項(xiàng)在實(shí)體和程序上均不得與法律相沖突,而且應(yīng)當(dāng)向甲方員工公示或者告知。第六條 甲方履行的義務(wù)6.1 甲方應(yīng)為乙方合法使用的甲方員工依法辦理相關(guān)手續(xù)。6.2 甲方應(yīng)根據(jù)本合同和附件的約定,向乙方提供各類由乙方選定的服務(wù)。6.3 甲方應(yīng)教育甲方員工自覺(jué)遵守法律和乙方依法制定、修改或決定的規(guī)章制度或者重大事項(xiàng)。6.4 甲方應(yīng)當(dāng)按照乙方依法確定的標(biāo)準(zhǔn)為乙方使用的甲方員工繳納社會(huì)保險(xiǎn)和住房公積金,或者按照上海規(guī)定繳納綜合保險(xiǎn)。6.5 甲方可以根據(jù)乙方的合法需求協(xié)助符合條件的甲方員工辦理出國(guó)(境)手續(xù)。6.6 甲方可以根據(jù)乙方的需求協(xié)助符合條件的甲方員工辦理?yè)?dān)任乙方(首席)代表的手續(xù)。6.7 甲方可以為符合規(guī)定的甲方員工辦理職稱評(píng)定。6.8 甲方應(yīng)乙方的要求,協(xié)助乙方對(duì)甲方員工造成乙方的經(jīng)濟(jì)損失進(jìn)行追索,但甲方不對(duì)上述損失承擔(dān)連帶賠償責(zé)任。第七條 乙方履行的義務(wù)7.1 乙方應(yīng)根據(jù)本合同和附件的約定,為甲方履行服務(wù)提供必要的協(xié)助。7.2 乙方應(yīng)根據(jù)本合同和附件的約定,每月按時(shí)足額向甲方支付管理費(fèi)。7.3 乙方應(yīng)尊重甲方員工的民族習(xí)慣和宗教信仰,嚴(yán)禁種族歧視或性別歧視。7.4 乙方應(yīng)執(zhí)行國(guó)家勞動(dòng)標(biāo)準(zhǔn),提供相應(yīng)的勞動(dòng)條件和勞動(dòng)保護(hù);并應(yīng)承擔(dān)甲方員工正常死亡的喪葬補(bǔ)助費(fèi)、直系親屬撫恤金等責(zé)任和甲方員工工傷的責(zé)任。7.5 乙方應(yīng)根據(jù)法律規(guī)定依法執(zhí)行工時(shí)制度和支付加班費(fèi)。7.6 乙方應(yīng)根據(jù)法律給予女性甲方員工特殊勞動(dòng)保護(hù),保障其在孕期、產(chǎn)期和哺乳期的合法權(quán)益。7.7 乙方如果直接支付報(bào)酬的,包括但不限于工資、加班費(fèi)、績(jī)效獎(jiǎng)金等,應(yīng)當(dāng)及時(shí)足額支付并依法代扣代繳個(gè)人所得稅。7.8 乙方應(yīng)根據(jù)法律規(guī)定執(zhí)行帶薪休假制度。7.9 乙方可以與甲方員工書(shū)面約定,乙方聘用甲方員工每滿一公歷年,在年終由乙方向甲方加付一個(gè)月的工資作為年終雙薪。7.10 因乙方使用、退回甲方員工,或因乙方與甲方員工發(fā)生爭(zhēng)議,而引起甲方與甲方員工發(fā)生勞動(dòng)爭(zhēng)議仲裁或訴訟,或被行政處罰的,乙方應(yīng)協(xié)助甲方參加仲裁、訴訟、行政復(fù)議。若甲方因前述仲裁或訴訟或行政處罰導(dǎo)致需支付任何費(fèi)用,包括但不限于罰款、賠償、仲裁費(fèi)、訴訟費(fèi)、執(zhí)行費(fèi)等,均應(yīng)由乙方承擔(dān),但爭(zhēng)議或處罰系甲方過(guò)錯(cuò)造成的除外。第八條 雙方共同享有的權(quán)利和共同履行的義務(wù)8.1 本合同以及本合同履行過(guò)程中與之相關(guān)的一切文件,包括但不限于合同的草稿、附件、報(bào)價(jià)、往來(lái)傳真信函等,均為甲、乙雙方之商業(yè)秘密,除因法定事由并事先通知對(duì)方外任何一方均不得以任何形式向第三方泄漏,否則應(yīng)承擔(dān)相應(yīng)之違約責(zé)任和經(jīng)濟(jì)責(zé)任。8.2 任何一方有權(quán)對(duì)另一方違反本合同的行為進(jìn)行交涉并提出整改意見(jiàn)和要求,違約方有義務(wù)賠償因此造成的一切損失。8.3 任何一方有權(quán)要求另一方根據(jù)中華人民共和國(guó)新制定的法律、法規(guī)、規(guī)章執(zhí)行并變更本合同的相應(yīng)條款;另一方應(yīng)當(dāng)執(zhí)行。8.4 任何一方應(yīng)根據(jù)另一方的需要,提供相應(yīng)的法律、法規(guī)、規(guī)章。8.5 任何一方擬變更任何工商登記事項(xiàng),或者任何一方搬遷辦公地址的,均應(yīng)提前十五日以書(shū)面形式通知另一方,如因未及時(shí)通知而造成對(duì)方損失的,變更方應(yīng)承擔(dān)相應(yīng)之經(jīng)濟(jì)賠償責(zé)任。8.6 任何一方變更名稱、法定代表人、主要負(fù)責(zé)人或投資人等事項(xiàng),不影響本合同的履行;如果乙方發(fā)生分立、合并的,本合同應(yīng)由承繼乙方權(quán)利義務(wù)的單位繼續(xù)履行。第三章 甲方員工的使用、解除使用第九條 甲方員工的使用9.1 乙方使用甲方員工,應(yīng)在本合同簽訂前向甲方提供乙方在中國(guó)境內(nèi)有效的工商登記證明文件。乙方應(yīng)對(duì)前述文件的真實(shí)性和有效性負(fù)責(zé)。9.2 甲方員工的派遣期限以附件中約定的或者乙方書(shū)面通知的起始日期開(kāi)始,該派遣期限一般不應(yīng)少于兩年;如非因甲方原因致使使用起始日期無(wú)法按照乙方確定的日期為準(zhǔn)的,以甲方確定的日期為起始日期,派遣期限應(yīng)相應(yīng)順延。9.3 對(duì)于乙方初次使用的甲方員工,乙方可以要求甲方依法設(shè)置試用期,但有規(guī)定不能設(shè)置的除外。9.4甲方員工在乙方連續(xù)工作滿十年或甲方員工在乙方工作期間與甲方連續(xù)簽訂兩次固定期限勞動(dòng)合同后,乙方繼續(xù)使用甲方員工的,甲方應(yīng)與該甲方員工簽訂無(wú)固定期限勞動(dòng)合同,由乙方承擔(dān)無(wú)固定期限勞動(dòng)合同中根據(jù)法律規(guī)定甲方應(yīng)當(dāng)承擔(dān)的所有義務(wù)。乙方根據(jù)勞務(wù)合同和附件的約定退回該甲方員工的,除需要向甲方承擔(dān)本合同約定的責(zé)任外還應(yīng)當(dāng)承擔(dān)退回甲方員工后應(yīng)當(dāng)由甲方向甲方員工承擔(dān)的責(zé)任,包括但不限于支付勞動(dòng)報(bào)酬、繳交社會(huì)保險(xiǎn)和住房公積金、工傷醫(yī)療等經(jīng)濟(jì)責(zé)任。(乙方在初次接受該甲方員工的派遣時(shí)該甲方員工已經(jīng)與甲方簽訂無(wú)固定期限勞動(dòng)合同的除外。)9.5 乙方使用甲方員工,應(yīng)當(dāng)在使用前如實(shí)告知甲方員工錄用條件、工作內(nèi)容、工作要求、工作條件、工作地點(diǎn)、職業(yè)危害、安全生產(chǎn)狀況、勞動(dòng)報(bào)酬,以及甲方員工要求了解的其他情況。9.6 乙方使用甲方員工,甲方應(yīng)提供的服務(wù)和辦理的手續(xù),以及乙方應(yīng)提供的協(xié)助等相關(guān)事宜,除本合同約定的內(nèi)容外,均具體以附件為準(zhǔn)。第十條 甲方員工的解除使用10.1 甲方員工有下列情形之一的,乙方可以解除使用關(guān)系,將甲方員工退回甲方,但應(yīng)當(dāng)提前以書(shū)面形式通知甲方和甲方員工:10.1.1 在試用期間被證明不符合錄用條件的;10.1.2 嚴(yán)重違反乙方的規(guī)章制度的;10.1.3 嚴(yán)重失職,營(yíng)私舞弊,給乙方造成重大損害的;10.1.4 同時(shí)與其他用人單位建立勞動(dòng)關(guān)系,對(duì)完成乙方的工作任務(wù)造成嚴(yán)重影響,或者經(jīng)乙方提出,拒不改正的;10.1.5以欺詐、脅迫的手段或者乘人之危,使乙方在違背真實(shí)意思的情況下建立或者變更與其的使用關(guān)系的;10.1.6 被依法追究刑事責(zé)任的。10.2 甲方員工有下列情形之一的,乙方可以解除使用關(guān)系,將甲方員工退回甲方,但應(yīng)當(dāng)至少提前三十五日以書(shū)面形式通知甲方和甲方員工:10.2.1 甲方員工患病或者非因工負(fù)傷,在規(guī)定的醫(yī)療期滿后不能從事原工作,也不能從事由乙方另行安排的工作的;10.2.2 甲方員工不能勝任工作,經(jīng)過(guò)培訓(xùn)或者調(diào)整工作崗位,仍不能勝任工作的。10.2.3 乙方使用甲方員工時(shí)所依據(jù)的客觀情況發(fā)生重大變化,致使乙方無(wú)法繼續(xù)使用甲方員工,且乙方與甲方員工未能就變更使用關(guān)系協(xié)商一致的。乙方未依約定提前通知的,應(yīng)當(dāng)向甲方支付相當(dāng)于甲方員工一個(gè)月工資的違約金,標(biāo)準(zhǔn)按本合同11.4的約定執(zhí)行。10.3 除本條10.1約定的情形外,甲方員工有下列情形之一的,乙方不得解除使用關(guān)系退回甲方員工:10.3.1 從事接觸職業(yè)病危害作業(yè)的甲方員工未進(jìn)行離崗前職業(yè)健康檢查,或者疑似職業(yè)病病人在診斷或者醫(yī)學(xué)觀察期間的;10.3.2 在乙方患職業(yè)病或者因工負(fù)傷并被確認(rèn)喪失或者部分喪失勞動(dòng)能力的;10.3.3 患病或者非因工負(fù)傷,在規(guī)定的醫(yī)療期內(nèi)的;10.3.4 女職工在孕期、產(chǎn)期、哺乳期的;10.3.5 在乙方連續(xù)工作滿十五年,且距法定退休年齡不足五年的;10.3.6 法律、行政法規(guī)規(guī)定的其他情形。10.4 使用的順延如果乙方以派遣期限屆滿退回甲方員工時(shí),甲方員工有本條10.3約定的情形之一,且不屬于本條10.1情形的,乙方應(yīng)順延其使用關(guān)系至相應(yīng)的情形消失后方可退回。10.5 甲方可以依法與甲方員工解除或終止勞動(dòng)合同關(guān)系,但應(yīng)提前通知乙方。第十一條 退回補(bǔ)償11.1 除本合同10.1約定的情形外,乙方將甲方員工退回甲方的,均應(yīng)向甲方支付退回補(bǔ)償。11.2 退回補(bǔ)償按甲方員工在乙方工作的年限,按每滿一年支付一個(gè)月工資的標(biāo)準(zhǔn)向甲方支付。六個(gè)月以上不滿一年的,按一年計(jì)算;不滿六個(gè)月的,向甲方支付半個(gè)月工資的退回補(bǔ)償。11.3 甲方員工月工資高于上海市上年度職工月平均工資三倍的,向甲方支付退回補(bǔ)償?shù)臉?biāo)準(zhǔn)按職工月平均工資三倍的數(shù)額支付,向甲方支付退回補(bǔ)償?shù)哪晗拮罡卟怀^(guò)十二年。11.4 本條所稱月工資是指甲方員工被退回前十二個(gè)月的平均工資。11.5 乙方理解并同意:如果乙方退回2008年1月1日以前已經(jīng)使用的甲方員工,且2008年1月1日以后甲方尚未與甲方員工續(xù)簽過(guò)勞動(dòng)合同,則退回補(bǔ)償應(yīng)分段計(jì)算,2008年1月1日以后階段的退回補(bǔ)償可按11.3的約定封頂,2008年1月1日以前階段的退回補(bǔ)償,應(yīng)按11.2的約定計(jì)算,不應(yīng)按11.3的約定封頂。第十二條 額外退回補(bǔ)償12.1 乙方以10.2.1約定的情形退回甲方員工的,除應(yīng)按本條11.2的約定向甲方支付退回補(bǔ)償外,還需按不低于甲方員工六個(gè)月工資的標(biāo)準(zhǔn),向甲方支付額外退回補(bǔ)償;對(duì)于患重病和絕癥的還應(yīng)增加額外退回補(bǔ)償,患重病的增加部分不低于六個(gè)月工資標(biāo)準(zhǔn)的百分之五十,患絕癥的增加部分不低于六個(gè)月工資標(biāo)準(zhǔn)的百分之一百。12.2 乙方以10.2.3約定的情形退回甲方員工的,剩余派遣期限應(yīng)計(jì)算入甲方員工在乙方的工作年限,據(jù)此計(jì)算退回補(bǔ)償;并且除應(yīng)按本條11.2的約定向甲方支付退回補(bǔ)償外,還應(yīng)按剩余派遣期內(nèi)應(yīng)支付的該甲方員工的工資、社會(huì)保險(xiǎn)和住房公積金,以及服務(wù)費(fèi)等的總合作為額外退回補(bǔ)償按月向甲方支付。第十三條 甲方員工解除使用關(guān)系13.1 甲方員工提前三十日以書(shū)面形式通知乙方或者甲方,可以解除使用關(guān)系;甲方員工在試用期內(nèi)提前三日通知乙方或者甲方,可以解除使用關(guān)系。13.2 有下列情形之一的,甲方員工可以與乙方解除使用關(guān)系。13.2.1 乙方未按照約定依法提供勞動(dòng)保護(hù)或者勞動(dòng)條件的;13.2.2 乙方未及時(shí)足額支付勞動(dòng)報(bào)酬的;13.2.3 乙方未按照約定向甲方支付為勞動(dòng)者繳納社會(huì)保險(xiǎn)費(fèi)的費(fèi)用的;13.2.4 乙方的規(guī)章制度違反法律、法規(guī)的規(guī)定,損害甲方員工權(quán)益的;13.2.5 乙方以欺詐、脅迫的手段或者乘人之危,使甲方員工在違背真實(shí)意思的情況下與乙方建立或者變更使用關(guān)系(約定)的;13.2.6 乙方以暴力、威脅或者非法限制人身自由的手段強(qiáng)迫甲方員工勞動(dòng)的,或者乙方違章指揮、強(qiáng)令冒險(xiǎn)作業(yè)危及甲方員工人身安全的,甲方員工可以立即解除使用關(guān)系,不需事先告知乙方。13.2.7 法律、行政法規(guī)規(guī)定的其他情形。13.3 甲方員工解除使用關(guān)系的退回補(bǔ)償甲方員工依照本條13.2約定解除使用關(guān)系的,乙方應(yīng)當(dāng)按照本合同第11條和第12.1條約定的標(biāo)準(zhǔn)向甲方支付(額外)退回補(bǔ)償。第四章 費(fèi)用及結(jié)算第十四條 管理費(fèi)的確定14.1管理費(fèi)根據(jù)甲、乙雙方協(xié)商,確定于本合同附件,并以每月二十日前甲方標(biāo)準(zhǔn)格式統(tǒng)一打印的付款通知書(shū)為當(dāng)月管理費(fèi)的結(jié)算依據(jù)。乙方如有任何變動(dòng)情況,應(yīng)于當(dāng)月十五日前書(shū)面通知甲方,否則應(yīng)承擔(dān)相應(yīng)之責(zé)任。14.2 管理費(fèi)可以人民幣或者等值于人民幣報(bào)價(jià)的外幣結(jié)算。匯率按中國(guó)人民銀行當(dāng)月十五日公布的匯率的中間價(jià)為準(zhǔn)。14.3 甲、乙雙方應(yīng)根據(jù)政府相關(guān)規(guī)定的時(shí)間相應(yīng)地調(diào)整社會(huì)保險(xiǎn)費(fèi)用和住房公積金費(fèi)用;并根據(jù)政府的需要隨時(shí)進(jìn)行其它必須的調(diào)整。前述的調(diào)整,不應(yīng)影響派遣期限。第十五條 管理費(fèi)的支付每月月底前,乙方應(yīng)根據(jù)本合同及附件約定的金額向甲方支付當(dāng)月的管理費(fèi),具體支付方式為以下四種:15.1 現(xiàn)金;15.2 支票;15.3 轉(zhuǎn)帳;15.4 電匯。第十六條 退回補(bǔ)償?shù)闹Ц冻竞贤碛屑s定外,本合同和附件約定的任何退回補(bǔ)償和(或)額外退回補(bǔ)償,均應(yīng)在甲方員工被退回的同時(shí)向甲方一次性全額支付。第五章 違約責(zé)任第十七條 普通責(zé)任本合同的任何一方違反本合同和附件的任何約定,導(dǎo)致另一方遭受任何損失、處罰、索賠的,均應(yīng)由違約方在未違約方提出要求時(shí)向未違約方作出足額補(bǔ)償。任何一方依據(jù)本合同和附件的約定承擔(dān)了其他違約責(zé)任的,并不能免除其作為違約方應(yīng)承擔(dān)的本條約定的違約責(zé)任。第十八條 管理費(fèi)遲延支付的違約責(zé)任乙方未按本合同和附件的約定按時(shí)足額支付管理費(fèi)的,除應(yīng)足額支付外,還應(yīng)自應(yīng)付款之日起,至實(shí)際支付之日止,每日支付應(yīng)付款金額2的滯納金給甲方。同時(shí),因乙方未按約定支付管理費(fèi),造成甲方員工的社會(huì)保險(xiǎn)費(fèi)和(或)住房公積金未能按政府規(guī)定及時(shí)繳納的,乙方應(yīng)承擔(dān)相關(guān)政府部門(mén)規(guī)定的補(bǔ)繳罰款或罰息。甲方在乙方未按時(shí)支付管理費(fèi)的情況發(fā)生時(shí),有權(quán)根據(jù)乙方的違約情形選擇解除本合同,乙方作為違約方應(yīng)向甲方支付至本合同終止前拖欠的管理費(fèi)用,并應(yīng)向甲方一次性支付違約金;違約金的計(jì)算標(biāo)準(zhǔn)為:“視作每個(gè)甲方員工被退回,所應(yīng)獲得的退回補(bǔ)償和額外退回補(bǔ)償之和”加上“解除時(shí)乙方使用的每個(gè)甲方員工的工資、社會(huì)保險(xiǎn)、住房公積金、服務(wù)費(fèi)乘以至該甲方員工和甲方的勞動(dòng)合同期滿為止或依法順延滿為止的剩余月數(shù)之和”后的總和。第十九條 乙方未及時(shí)足額支付勞動(dòng)報(bào)酬 的違約責(zé)任因乙方未及時(shí)足額支付甲方員工勞動(dòng)報(bào)酬(包括但不限于工資、加班工資等),導(dǎo)致甲方遭受任何處罰、索賠、損失的,均應(yīng)由乙方向甲方作出足額補(bǔ)償。第二十條 退回補(bǔ)償遲延支付的違約責(zé)任乙方未按本合同和附件的約定按時(shí)足額支付退回補(bǔ)償和(或)額外退回補(bǔ)償?shù)?,除?yīng)足額支付外,還應(yīng)在甲方提出要求時(shí),按應(yīng)付金額百分之一百的標(biāo)準(zhǔn)向甲方加付違約金。第二十一條 乙方不當(dāng)解除使用甲方員工的 違約責(zé)任依法規(guī)定,乙方依本合同約定的情形將甲方員工退回甲方的,甲方可以依法與甲方員工解除或終止勞動(dòng)合同;但如果甲方據(jù)此解除或終止勞動(dòng)合同被裁判為違反法律規(guī)定的,乙方應(yīng)承擔(dān)以下違約責(zé)任。21.1 甲方員工要求繼續(xù)履行勞動(dòng)合同的,乙方應(yīng)同時(shí)恢復(fù)使用關(guān)系,并承擔(dān)由此產(chǎn)生的一切甲方應(yīng)承擔(dān)的責(zé)任;21.2 甲方員工不要求繼續(xù)履行勞動(dòng)合同的,應(yīng)當(dāng)依照本合同約定的退回補(bǔ)償標(biāo)準(zhǔn)的二倍向甲方支付違約金;21.3 使用關(guān)系實(shí)際無(wú)法恢復(fù)的,乙方應(yīng)承擔(dān)由此產(chǎn)生的一切甲方應(yīng)承擔(dān)的責(zé)任,包括但不限于支付賠償金、報(bào)酬、繳交社會(huì)保險(xiǎn)和住房公積金等經(jīng)濟(jì)責(zé)任;并應(yīng)按本合同和附件確定的服務(wù)費(fèi)標(biāo)準(zhǔn),一次性向甲方支付甲方與甲方員工剩余的勞動(dòng)合同期限的服務(wù)費(fèi)。第二十二條 違約后的合同解除任何一方違反本合同的約定超過(guò)三十日仍未改正的,另一方有權(quán)書(shū)面通知對(duì)方解除本合同,本合同自書(shū)面通知發(fā)出之日起即行解除。第六章 附則第二十三條 服務(wù)期的約定乙方為甲方員工提供專項(xiàng)培訓(xùn)費(fèi)用,對(duì)其進(jìn)行專業(yè)技術(shù)培訓(xùn)的,可以與其訂立協(xié)議,依法約定服務(wù)期和違約金。第二十四條 未創(chuàng)設(shè)第三方權(quán)利本合同的任何條款并未被用于、或被解釋為向第三方提供和創(chuàng)設(shè)使該第三方得到受益的權(quán)利。前述第三方包括但不限于甲方員工。第二十五條 雙方約定的其他事宜25.1 若由甲方支付甲方員工的工資的,一般應(yīng)由甲方代扣代繳甲方員工的個(gè)人所得稅,另有約定的除外。25.2乙方解除或終止本合同的,應(yīng)提前六十日書(shū)面通知甲方。乙方解除或終止本合同而將甲方員工退回甲方的,或乙方曾使用的甲方員工仍在勞動(dòng)合同期內(nèi)的,則乙方應(yīng)按月向甲方支付本合同解除時(shí)乙方使用或曾使用且仍在勞動(dòng)合同期內(nèi)的所有甲方員工的工資、社會(huì)保險(xiǎn)、住房公積金,直至該甲方員工和甲方的勞動(dòng)合同期滿可終止為止;并根據(jù)勞動(dòng)合同期滿可終止時(shí)依照甲方員工工作年限應(yīng)當(dāng)向甲方支付(額外)退回補(bǔ)償。前述費(fèi)用,甲方可以要求乙方一次性支付。第二十六條 本合同未盡事宜本合同在履行過(guò)程中如發(fā)現(xiàn)有未盡事宜,應(yīng)由甲、乙雙方依法律另行訂立補(bǔ)充約定作為本合同的附件。第二十七條 爭(zhēng)議的解決甲、乙雙方在履行本合同過(guò)程中發(fā)生的任何爭(zhēng)議,均應(yīng)由雙方友好協(xié)商解決;協(xié)商不成的,可提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)上海分會(huì)仲裁。第二十八條 合同的生效本合同由甲、乙雙方于 年 月 日在上海簽署,并自 年 月 日起生效。第二十九條 合同的變更除本合同另有約定外,任何一方需在合同期內(nèi)變更本合同的,均應(yīng)提前三十日以書(shū)面形式通知對(duì)方,另一方收到通知后三十日內(nèi),雙方應(yīng)就變更條款達(dá)成一致;如逾期雙方仍不能達(dá)成一致的,本合同原條款應(yīng)繼續(xù)有效,雙方必須繼續(xù)履行。第三十條 完整的合同和可分割性本合同以及本合同的所有附件,構(gòu)成甲、乙雙方之間所達(dá)成的完整的合同。本合同或附件任何條款的不合法或無(wú)效,不應(yīng)影響本合同和附件任何其他條款的有效性。第三十一條 政策性調(diào)整甲、乙雙方理解并同意:如果國(guó)家和/或上海市就勞動(dòng)合同法有規(guī)范性文件實(shí)施的,本合同和附件應(yīng)根據(jù)前述規(guī)范性文件變更。第三十二條 其他本合同一式二份,雙方各持一份為憑,具有同等效力。本合同如由中文和外文書(shū)就,兩種文本如有不一致,以中文文本為準(zhǔn)。Labor Service Contract (2008)Party A: Pure Intelligence Business Co.Ltd (hereinafter referred to as “Party A”)Party B:_ (hereinafter referred to as “Party B”)According to the Contract Law of the Peoples Republic of China, Labor Law of the Peoples Republic of China, Labor Contract Law of the Peoples Republic of China and other relevant laws and regulations, and in line with the principle of equality and mutual benefits, the two parties enter into this Labor Service Contract (hereinafter referred to as “this Contract”) through friendly consultation with regard to Party As labor service for Party B.Chapter 1 General ProvisionsArticle 1 ApplicationThis Contract applies to the related issues regarding Party Bs using Party As labor service.Article 2 Applicable LawsThis Contract and related matters shall be subject to laws and regulations of the Peoples Republic of China. In case of any discrepancy between the articles of this Contract and the laws and regulations of the Peoples Republic of China for any reasons, including but not limited to the change of laws and regulations, the latter shall prevail.Article 3 Definitions3.1 Party As Staff: Party As Staff refer to any Chinese citizens needed by Party B and dispatched by Party A to Party B after Party A has handled relevant procedures in accordance with law.3.2 Attachments: Attachments refer to all supplementary or related agreements signed by the two parties; t3.3 Management Fee: The total sum of all charges and expenses that Party B should pay to Party A for the use of Party As Staff. It generally covers:3.3.1 Social insurances and accumulated housing fund borne by Party B for Party As Staff;3.3.2 Expenses of benefits and personnel file preservation that Party B requests Party A to provide for Party As Staff;3.3.3 Service fee charged by Party A for service provided under this Contract and taxes levied by the state agreed upon by the two parties.3.4 Pay: Labor remuneration paid by Party B to Party As Staff for labor use, in the amount subject to the attachments hereto. 3.5 Law(s): Any and all laws, rules, regulations, institutions, statutes and the like, of the Peoples Republic of China.Chapter 2 Rights and ObligationsArticle 4 Rights Enjoyed by Party A4.1 Party A is entitled to request Party B to cooperate with regard to the procedures set by Party A for its service.4.2 Party A is entitled to conciliate between Party B and the Party As Staff with regard to the disputes arising from labor service.4.3 Party A is entitled to negotiate with Party B and to propose suggestions and requests of rectification with regard to the infringement of lawful rights and interests of Party As Staff.4.4 Party A is entitled to charge Management Fee from Party B on a monthly basis according to the stipulations in this Contract and the Attachments hereto.Article 5 Rights Enjoyed by Party B5.1 Party B is entitled to the service items provided by Party A according to this Contract and the Attachments hereto.5.2 Party B is entitled to decide on the dispatch term of Party As Staff and the dispatch term shall generally not be shorter than two years. Party B may return Party As Staff upon the expiration of the dispatch term unless otherwise agreed by the two parties.5.3 Party B is entitled to conclude other agreements (including but not limited to Agreement on Service Term for Training, Non-disclosure Agreement and the like) with Party As Staff to specify rights and obligations between the two parties. However, Party A does not bear any joint or several liabilities with either side (Party B or Party As Staff) arising from such agreements.5.4 Party B is entitled to set, modify or determine rules and regulations or major issues with regard to labor remuneration, working hours, leaves and holidays, labor safety and health, insurance and benefit, training, labor discipline and labor quota management, etc. which are in direct relation to the personal interests of Party As Staff; however such rules, regulations or major issues shall not conflict with law in any substantive or procedural issues and shall be disclosed or notified among Party As Staff.Article 6 Obligations to Be Performed by Party A6.1 Party A shall handle relevant procedures in accordance with law for Party As Staff lawfully serving Party B.6.2 Party A shall provide selected service items for Party B according to this Contract and the Attachments hereto.6.3 Party A shall instruct Party As Staff to conscientiously abide by the laws and regulations of the Peoples Republic of China as well as the rules and regulations or major issues set, modified or determined by Party B in accordance with law.6.4 Party A shall pay for social insurances and accumulated housing fund for Party As Staff who serve Party B based on the standard determined by Party B in accordance with law, or pay comprehensive insurance in accordance with the provisions of Shanghai Municipality.6.5 Party A, upon Party Bs lawful request, may assist Party As qualified staff in handling procedures for going overseas.6.6 Party A, upon Party Bs request, may offer assistance to Party As qualified staff in handling procedures for assuming the (chief) representative of Party B.6.7 Party A may handle procedures of awarding professional titles for Party As qualified staff.6.8 Party A, upon the request of Party B, shall assist Party B in recovering economic losses caused by Party As Staff, but shall not bear joint or several liabilities for such losses.Article 7 Obligations to Be Performed by Party B7.1 Party B shall provide Party A with necessary assistance for its service in accordance with this Contract and the Attachments hereto.7.2 Party B shall punctually make full payment of Management Fee on a monthly basis to Party A as stipulated in this Contract and the Attachments hereto.7.3 Party B shall respect ethical custom and religious belief of Party As Staff. Any racial or gender discrimination is strictly forbidden.7.4 Party B shall implement the labor standard of the state, provide relevant labor conditions and labor protection; Party B shall also bear funeral allowance, relief compensation to immediate family members and the like in the case of ordinary death of Party As Staff, and bear liabilities for the work-related injury of Party As Staff.7.5 Party B shall implement a working-hour system and make overtime payment in conformity with the provisions of law.7.6 Party B shall offer special labor protection for Party As female staff and ensure their legal rights and interests in pregnancy, maternity and nursing periods in conformity with the provisions of law.7.7 If Party B directly pays Party As Staff labor remuneration, including but not limited to pay, overtime, performance bonus and the like, Party B shall pay the remuneration to Party As Staff in full and withhold and pay the full amount of individual income tax for Party As Staff in a timely manner according to law.7.8 Party B shall implement the paid annual leave policy stipulated by Law.7.9 When Party As Staff have provided service to Party B for each calendar year, Party B and Party As Staff may agree in writing that Party B shall offer an extra one-month pay to such staff at the end of such a calendar year.7.10 In case of any disputes arising from Party Bs use of Party As labor service, the return of the Party As Staff or the dispute between Party B and Party As Staff which leads to a labor dispute arbitration or a lawsuit between them, or, an administrative penalty against Party A, Party B shall assist Party A in participating in such arbitration, lawsuit or administrative reconsideration. If Party A shall pay any charges for such arbitration, lawsuit or administrative penalty, Party B shall bear all cost including but not limited to penalty, damages, arbitration fee, cost of action, and expense of execution , unless the said dispute or the penalty is due to Party As fault.Article 8 Rights and Obligations Shared by Both Parties8.1 This Contract and the other related documents made in the process of performing this Contract, including but not limited to draft of this Contract, the Attachments, quotations, faxes and letters, are trade secrets of the two parties and shall not be disclosed to a third party by either party in any form, unless for lawful reasons and with prior notice to the other party. Otherwise, the disclosing party shall bear liabilities for breach of contract and economic compensation accordingly.8.2 If one party breaches this Contract, the other party shall be entitled to negotiate with the breaching party and to propose suggestions and requests of rectification. The breaching party shall compensate for all the losses accordingly.8.3 Either party is entitled to require the other party to implement and
