合 同 Contract 合同號： LXSP-01-1703001 Contract No.: LXSP-01-1703001 日期：2017-3-23 Date: 2017-3-23 簽約地點：中國齊齊哈爾市 Place: QIQIHAER, CHINA買方： The buyers: China HeiLongJiang LongXiang Food Co.Ltd(中國黑龍江省龍湘食品有限公司)General Manager: Yue Peng 賣方： The sellers: German Beck GmbH Group Company(德國貝克集團公司)Sales Manager:Huang Shi Ming 本合同由買賣雙方根據(jù)下列條款和條件，經(jīng)買賣雙方共同協(xié)商簽訂，以便共同遵守This contract is made by and between the buyer and the seller: hereby the buyer and the seller agree to the under-mentioned goods subject to the terms and conditions as stipulated below:1. 商品名稱、數(shù)量、總價：Name of Commodity /Quantity and Total value 商品名稱：雞副產(chǎn)品和豬副產(chǎn)品 Name of Commodity: Frozen chicken and pork by-product 數(shù)量：5萬噸 Quantity:50,000T 總價：37,500,000美元 Total value:USD37,500,000 備注：根據(jù)每次實際發(fā)貨確定金額 Mark:According to the actual delivery amount at a time. 2. 原產(chǎn)國及廠商：德國貝克集團公司 Country of origin & manufacturer: German Beck GmbH Group Company3. 裝運期限：于2017.12.31之前Shipment date: NOT LATER THAN Dec. 31, 20174. 裝運口岸：德國漢堡Port of loading: Hamburger Germany 5. 到貨口岸：中國大連Port of destination: DALIAN, CHINA6. 付款條件：100%不可撤銷九十天遠期信用證。Terms of payment: 100% of the total value will be paid by L/C at 90 days sight.7. 包裝：需用適合長途海運的包裝，由包裝不良所發(fā)生的損失，由于采用不充分或不妥善的防護措施而造成的任何損失，賣方應(yīng)負擔(dān)由此產(chǎn)生的一切費用和/或損失。Packing: The packages should be suitable for long distance freight transportation. The sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the sellers.8. 裝運條款：賣方保證按時將合同所述貨物運往買方港口。Terms of shipment: The seller shall ship the goods within the shipping date from the port of shipment to the port of destination. Transshipment is not allowed without the buyers consent.9. 裝運通知：貨物全部裝船后，賣方將于10個工作日內(nèi)將合同編號、商品名稱、數(shù)量、毛重、發(fā)票金額、船名和開船日期傳真通知買方。 Shipping advice: The seller shall within 10 working days after the completion of the loading of the goods advise by fax the buyers of the contract No., commodity, quantity, invoice value, gross weight, name of vessel and date of sailing.10. 保險：保險由賣方按發(fā)票金額的110%投保附加險和罷工險.Insurance: Insurance shall be covered by the seller for 110% of the invoice value against Additional Risks and Strike Risks11. 檢驗：賣方須在裝運前15日委托德國進出口檢驗機構(gòu)對本合同之貨物進行檢驗并出具檢 驗證書，貨到目的港后，由買方委托中國進出口檢驗檢疫局進行檢驗。Inspection：The Seller shall have the goods inspected by 15 days before the shipment and have the Inspection Certificate issued by German Inspection Bureau. The Buyer may have the goods reinspected by CCIQ after the goods arrived at the destination.12. 索賠：貨物到達買方后，買方應(yīng)向中國進出口商品檢驗檢疫局申請對質(zhì)量、規(guī)格、數(shù)量進行初步檢驗，并出具檢驗證明書，如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格、數(shù)量與合同不符，除保險公司或船運公司應(yīng)負責(zé)的以外，買方在貨到90天內(nèi)有權(quán)換貨或索賠，一切費用（如商檢費、相關(guān)的運費、保險費etc）由賣方承擔(dān)。Claims: Within 90 days after the arrival of goods at destination should be quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable. the buyers shall, on the strength of the inspection certificate issued by CCIQ have the right to claim for replacement with new goods or for compensation and all the expenses (such as inspection charges, freight for returning the goods and for sending the replacement insurance premium) shall be borne by the sellers.13. 仲裁：凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭執(zhí)，應(yīng)通過友好協(xié)商解決。如不能解 決，則應(yīng)申請進行仲裁。仲裁將在中國貿(mào)易促進委員會仲裁委員會進行。其做出的裁決 是最終的，買賣雙方均應(yīng)受其約束，任何一方不得向法院或其他機關(guān)申請變更。仲裁費 用由敗訴方負擔(dān)。Arbitration: All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiation, in case no settlement can be reached through negotiations, the case under dispute shall be submitted for arbitration to the China Economic and Trade Arbitration Commission Beijing in accordance with the provisional rules of procedures promulgated by the said arbitration commission. The award of the arbitration shall be final and binding upon both parties for revising the decision. The arbitration fee shall be borne by the losing part.14. 不可抗力：由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時，責(zé)任不在賣方，但賣方應(yīng)立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機關(guān)出具的事故證明用空郵寄交賣方為證。Force Majeure: The seller shall not be held responsible for any delay in delivery or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit. However, the seller shall advise the buyer immediately of such occurrence and within 14 days thereafter, the seller shall send by airmail to the buyers for their acceptance a certificate of the accident issued by the competent government authorities of the place where the accident occurs as evidence thereof. 15. 附加條款：本合同一式二份買賣雙方各執(zhí)一份。Supplements and other terms: This contract is made in two originals, one original to be held by each party.
