10、e management department in accordance with the actual consumption appeared on the bill of the management department. party b shall pay for the electricity consumed in the premises during the grace period 七、支付方式payment1 租金應按 預付,免租期屆滿后,乙方于應付款月的第【 】號前向甲方支付下期租金. the rent shall be paid on basis. after e_

12、epartment each month. 八、幣種和帳戶currency and account乙方應按甲方指定的帳戶支付本合同項下所有的到期款項,所有付款以人民幣計算,以人民幣支付. party b shall pay the rent and all other amounts due and payable in rmb to the account designated by party a. 九、保證金deposit1 自本合同簽訂之日起 日內(nèi),乙方應向甲方繳付相當于【 】個月的租金計人民幣【 】元作為保證金及首期租金人民幣【 】元,共計人民幣【 】元. within【 】days

13、 after the e_ecution of this lease agreement, party b shall pay to party a a deposit in the amount of【 】-month rent and the first rent rmb【 】 , totaling rmb【 】. 2本合同期滿,如本合同不續(xù)租,甲方應在期滿后三十(30)天內(nèi)返還保證金(不計利息)如乙方因違約而導致違約金、賠償金、費用和/或乙方尚未支付任何應付款項,甲方可從保證金中扣除此類違約金、賠償金、費用和/或未付款項. upon e_piration of the lease agr

14、eement, if the lease agreement is not to be renewed, party a shall refund the deposit without interest to party b within thirty (30) days after the e_piration of this lease agreement. if there is any default penalty or pensation or e_penses incurred due to the breach of party b and/or any due amount

15、 that party b fails to pay, party a may deduct such default penalty or pensation or e_penses or due amount from the deposit. 3在本合同期限內(nèi),如有任何應由乙方支付的違約金、賠償金、費用和/或其他應付款項,甲方可直接從保證金中予以扣除,乙方應在接到甲方書面通知后五(5)天內(nèi)補足該部分保證金. during the lease term, if there is any default penalty, pensation or e_pense and/or any oth

16、er due amount that shall be paid by party b, party a may deduct such amount from the deposit and party b shall, within five (5) days after party a so notifies. 十、大廈及承租區(qū)域的交付狀態(tài)the state of the premises when delivery甲方按現(xiàn)狀交樓,具備辦公條件. party a will deliver the premises at as-it-is basis, which satisfies th

17、e conditions as office. 十一、甲方的權利義務party as rights and responsibilites11甲方在本租賃合同規(guī)定的期限內(nèi)將房屋交付乙方. party a shall deliver the premises to party b within the term specified herein. 12甲方保證是房屋的合法權利人,有充分的權利出租房屋. party a shall ensure that it is legal owner of the premises and have full right to lease the premi

18、ses. 13甲方的權利保留party a may reserve the following rights. 11 使用公共設施;to use the public facilities;12 進入房屋內(nèi)對公共設施進行檢查和維修.甲方行使該項權利時,應提前通知乙方,緊急情況除外. to enter into the premises for check and maintenance provided that party a shall inform party b in advance e_cept under emergency. 13 在發(fā)出通知后(緊急情況除外),有權暫停大廈設施進

19、行維修和維護,可能導致水電的中斷.甲方無需為此承擔責任. to repair and maintain the facilities of the building which may result in the suspension of water and electricity, upon a notice (e_cept under emergency) without any liability thereof. 14 甲方應協(xié)助提供乙方提供辦理工商營業(yè)執(zhí)照所需相關證明文件. party a shall assist party b in registering with indus

20、trial and mercial administration by provide necessary documents. 15甲方在承租期內(nèi)促使物業(yè)管理機構(gòu)提供水、電、空調(diào)、供暖及日常房屋維修. party a shall procure the management department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period. 16 如在租賃期屆滿前兩個月,乙方未提出續(xù)租請求,或者雖然提出續(xù)租請求,但雙方在三十天內(nèi)未就

21、續(xù)租合同條款達成一致,甲方有權在工作時間帶領其他租戶進入房屋查看. if party b does not submit an application for renewal two months prior to the e_piration of this lease agreement, or if party b submits such application but the parties fail to reach agreement on the renewal, party a shall have the right to enter the premises with o

22、ther tenant at work hours to review. 十二、乙方的權利和義務 party bs rights and responsibilites11 自行負責房屋的裝修和設施. party b shall be responsible for the decoration and facilities of the premises. 除非經(jīng)消防局及甲方同意,乙方不得對房屋的主要結(jié)構(gòu)及裝置(包括煙感器及噴淋頭)作任何變動、拆除或調(diào)整.如乙方擅自做任何變動,應負責將其恢復原狀并承擔一切費用和相關責任. party b shall not alter, change, di

23、smantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of party a and fire control authority. if party b makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all e_penses and related liabili

24、ties. 12乙方應根據(jù)本合同第六、七、八條的規(guī)定按時繳納租金及各項相關費用. party b shall pay the rent and other fees pursuant to clauses 6, 7, and 8 on time. 13乙方應按本合同的規(guī)定合理使用房屋,并保持房屋的清潔. party b shall reasonably use the premises as provided hereunder and keep it clean. 14未得到甲方及大廈管理機構(gòu)的事先同意,乙方不得在窗外、外墻、 公共走廊墻面、電梯間及其它共用區(qū)域懸掛、張貼、附置或以其它方式放

25、置任何廣告、標識、招貼或其它資料. party b shall not hang, affi_, or display any advertisement, signboard, poster or any other materials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of party a and management department. 15 乙方在承租期內(nèi)不得將全部或部分房屋轉(zhuǎn)租、分租或借予第三方.

26、during the lease term , party b shall not sub-let or assign the lease to any third party. 16 乙方在其經(jīng)營活動中,不得宣稱或令顧客誤認為其與甲方關系屬合作、合營、合伙、聯(lián)營或關聯(lián)企業(yè)關系. party b shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with party a d

27、uring its operation. 17乙方應自行獲取依據(jù)法律法規(guī)和政府有關部門規(guī)定應具備的所有許可、批準和證照,保證其營業(yè)活動的合法性. party b shall be responsible for obtaining all approvals, consents and licenses required by laws to ensure that its operation is legal. 18乙方應自行承擔由于乙方工商注冊、稅務登記、遷址等行為所產(chǎn)生的稅、費. party b shall be responsible for any and all ta_es, fe

28、es and e_penses incurred for its industrial and ta_ation registrations and moving into the premises. 19對于第三方因乙方對其造成或在房屋內(nèi)發(fā)生的人身傷害或經(jīng)濟損失而提出的索賠,乙方應自行負責并保證甲方免于此類索賠.如甲方因此類索賠而遭受損失,乙方保證進行賠償. party b shall be responsible for and hold party a harmless against any claims raised by the customers for any personal

29、 injury and economic losses caused to the customers by party b or caused in the premises. party b hereby warranties that it shall indemnity party a for any losses caused to party a by such claims. 110乙方不得在房屋內(nèi)放置易燃、易爆的物品其他危險物品. party b shall not keep or store in the premises any flammable or e_plosive

30、 substances or other dangerous substances. 111乙方應嚴格遵守甲方和/或大廈物業(yè)管理機構(gòu)制定并不時修改的大廈所有管理規(guī)定. party b shall strictly ply with all rules made and amended from time to time by party and/or the management department. 112 乙方不得在房屋內(nèi)從事任何違法活動. party b shall not carry out any illegal activity in the premises. 113乙方不得將

31、房屋用于除辦公以外的用途. party b shall not use the premises for any purpose other than as office. 114若乙方以租賃房屋作為其公司注冊地址時,乙方應在租賃合同終止后15日內(nèi)辦理地址注銷登記手續(xù),乙方逾期辦理的,應每日按月租金千分之三的標準向甲方支付滯納金,造成甲方損失的,應予以賠償. if the premises is used as panys registered address of party b, party b shall plete the procedures of writing off the r

32、egistered address within 15 days after termination of the contract. if party b is not able to plete the procedures on time , it shall pay party a a penalty equal to 3 of the monthly rent per day of delay. party b shall pensate for such loss. 十三、違約責任與合同終止 breach and termination 11違約 任何一方違反合同給另一方造成損失的

33、,應當進行賠償. if a party is in breach of this lease agreement, it shall pensate the other party for any losses cause by its breach. 12在下列任何情況下,本合同終止 this lease agreement will be terminated under any of the following conditions11租賃期限屆滿the e_piration of this lease agreement 12 當一方違反本合同中任何規(guī)定,并且另一方書面通知要求其予以糾

34、正的三十(30)日內(nèi)未能糾正違約行為或者如果該違約是無法糾正的,守約方有權立即終止本合同. by one of the parties, with immediate effect, when the other party is in breach of this lease agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach sends a written notice requesting the cure of

35、such breach;13甲方可以提前六十(60)天的書面通知提前終止本合同,但應雙倍返還乙方保證金. party a may terminate this lease agreement with a si_ty (60) day prior written notice provided that it shall refund the deposit in double amount. 14如乙方延期支付租金和/或其他各項款項超過十(10)日,甲方有權解除合同,保證金不予退還.乙方除應支付延期款項外,還應支付逾期付款違約金,數(shù)額延期支付金額的0.5%/日,直至乙方全額付清為止. if

36、party b delays the payment of rent and/or other amounts for ten (10) days, party a shall have the right to terminate this lease agreement and the deposit shall not be refunded. party b shall pay a default penalty for the overdue amount at the rate of 0.5% of the overdue amount per day until it pays

37、in full amount, in addition to pay all the overdue amounts. 15 如乙方不遵守大廈管理規(guī)定并嚴重影響其他租戶正常經(jīng)營,甲方可以書面通知乙方提前終止本合同,并且保證金不予返還. if party b does not ply with the management rules of the building and therefore seriously affects the normal operation of other tenants, party a may terminate this lease agreement in

38、 advance with a written notice and the deposit shall not be refunded. 16 如乙方在房屋內(nèi)從事任何違法活動或未按照辦公用途使用房屋,甲方有權立即書面通知乙方提前終止本合同,保證金不予返還. if party b carries out any illegal activity in the premises or use the premises for other purpose than office, party a shall have the right to immediately terminate this

39、lease agreement with a written notice and the deposit shall not be refunded. 17 如乙方將房屋分租或轉(zhuǎn)租第三方,甲方有權以書面通知立即終止合同,并且保證金不返還. if party b sublets or assigns the lease to a third party, party a shall have the right to immediately terminate this lease agreement with a written notice and the deposit shall no

40、t be refunded. 18 不可抗力force majeure 一方因不可抗力事件連續(xù)六十天(60)不能履行義務,任何一方可以書面通知終止本合同,在不可抗力的影響范圍內(nèi)受影響的一方不承擔違約責任.“不可抗力”包括自然災害、爆炸、飛行物體墜落、政府行為(但專門針對受影響一方的行政行為除外)等受影響的一方不能預見、不能控制并且不可避免的事件.雙方在此明確但商業(yè)性風險不應作為不可抗力.受影響的一方應在不可抗力事件發(fā)生后的五(5)日內(nèi)書面通知對方,并且應附有有權機構(gòu)出具的不可抗力發(fā)生的證明. either party may terminate this lease agreement wit

41、h a written notice if one party is not able to perform its obligations hereunder for consecutive si_ty (60) days due to force majeure. the affected party shall not bear the liability of breach of contract to the e_tent of the effect of the force majeure. force majeure shall include such events that

42、the affected party is not able to foresee, control and avoid as natural disaster, e_plosive, falling of flying objects, government action (e_cept those specially against the affected party) the parties hereby confirm that mercial risk shall not be deemed force majeure. the affected party shall notif

43、y the other party in writing of such force majeure event acpanying with the certification of the occurrence of the force majeure event issued by petent authority. 19一方進入破產(chǎn)、清算、解散或任何類似程序,另一方可以終止本合同,但以善意管理費用或合并為目的的除外. one party may terminate this lease agreement if the other party launches the bankrupt

44、cy, liquidation, winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation. 1 3 合同終止的后果 the result of the termination 11 如本合同屆滿并且未由乙方續(xù)租,乙方須于屆滿之日的17點之前騰空房屋;如本合同因任何原因提前終止,乙方應于終止日后的三日內(nèi)騰空房屋.如乙方未能在此期間騰空房屋,由乙方應按日支付房租,逾期十日以上(包括十日),乙方應按雙倍房租支付.如因此給甲方造成經(jīng)濟損失(包

45、括因未能向下一租戶及時交付房屋而導致的違約金和租金收入),還應賠償損失. if this lease agreement is e_pired without the renewal of party b, party b shall vacant the premises by 5pm on the date of e_piration;if this lease agreement is terminated in advance for whatever reason, party b shall vacant the premises within three (3) days after the termination date. if party b fails to vacant the premises within the aforesaid period, it shall pay rent for each day of delay. if the delay is over ten (10) day (inclusive), party b shall pay the rent in double amount. if there is any economic loss caused to party
