2、he Buyers.(10) 包裝：PACKING:而粗暴搬運(yùn)。由于須用堅(jiān)固的新木箱/紙箱包裝，適合長(zhǎng)途海運(yùn)，防濕、防潮、防震、防銹,包裝不良所發(fā)生的損失，由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損，賣(mài)方應(yīng)負(fù)擔(dān)由此 而產(chǎn)生的一切費(fèi)用和/或損失。To be packed in new str ong wode n case (s) / cart on (s) suitable for long dista nee ocea n tran sportatio n and well protected aga inst dampe nss, moisture, shock, rust and

5、 CARE； “ KEEPAWAY FROMMOISTURE and the following shiping mark shall be stenciled legibly in fadeless paint:(12) 付款條件：TERMS OF PAYMENT甲 信用證付款。貨物裝運(yùn)前一個(gè)月，買(mǎi)方應(yīng)由上海中國(guó)銀行開(kāi)立以賣(mài)方為受益人的不可撤 銷的信用證，憑本合同第13條甲項(xiàng)規(guī)定的裝運(yùn)單據(jù)交到上海(銀行)后付款。乙、托收付款：貨物裝運(yùn)后，賣(mài)方應(yīng)將以買(mǎi)方為付款人的匯票連同本合同第13條甲項(xiàng)所列各 種裝運(yùn)單據(jù)，通過(guò)賣(mài)方銀行寄交買(mǎi)方銀行即上海中國(guó)銀行轉(zhuǎn)交買(mǎi)方，并托收貨款。丙、信匯付款：買(mǎi)方收到本合

6、同第13條甲項(xiàng)所列單據(jù)后，應(yīng)于天內(nèi)信匯祭款。A. 7、Collectio n: After delivery is made, the Sellers shall send through the Sellers, bank draft draw n on the Buyers together with the shipp ing docume nts apecified in Clause 13 hereof, to the Buyers through the Buyers bank, the Bank of China, Shan ghai, for collecti on.C. Payme nt by M/T: Payme nt to

8、be effected by the Buyers not later tha n days after receipt of the shipp ing docume nts specified in Clause 13 hereof.(13) 單 據(jù)：DOCUMENT甲、賣(mài)方應(yīng)將下列單據(jù)提交付款銀行議付貨款/托收付款，如為信匯付款，下列單據(jù)應(yīng)徑寄買(mǎi)方：1. 全套可議付的潔凈已裝運(yùn)海運(yùn)提單，空白抬頭，空白背書(shū)。注明運(yùn)費(fèi)到付”并通知到貨口岸中國(guó)對(duì)外貿(mào)易運(yùn)運(yùn)輸公司。2. 由包收據(jù)注明由費(fèi)/空運(yùn)提單。3. 保險(xiǎn)單或保險(xiǎn)證明書(shū)注明投保兵險(xiǎn)，一切險(xiǎn)包括TPND破碎，滲漏。無(wú)百分比限制，并注明貨物到達(dá)后

14、 技術(shù)資料：TECHNICAL DOCUMENTS:每次發(fā)貨進(jìn)，賣(mài)方應(yīng)將下述英文技術(shù)資料一整套與貨物一起裝箱，運(yùn)交買(mǎi)方：1. 基礎(chǔ)圖2. 布線說(shuō)明，電氣及/或氣動(dòng)及/或液壓接線圖3. 易損零件制造圖4. 零件目錄5本合同第18條甲項(xiàng)規(guī)定的品質(zhì)證明書(shū)6安裝、操作和維修說(shuō)明書(shū)Foun dati on draw ings2 Wiring in structio ns,diagrams of electrical conn ecti ons an d/of pn eumatic an d/or hydraulic conn ecti ons3. Erectio n,operati on, service and repair in structi on books乙、N個(gè)月前，賣(mài)方應(yīng)將本條甲項(xiàng)所列456各種技術(shù)資料2套，以空郵寄交買(mǎi)方。(F.U.M.P)(15) 裝運(yùn)條款：TERMS OF SHIPMENT甲每次發(fā)貨如毛重超過(guò)兩公噸，賣(mài)方應(yīng)于本合同第 8條規(guī)定的裝運(yùn)期六十 天前，將合同編號(hào) 商品名稱 數(shù)量、價(jià)

16、值、件數(shù) 毛重 尺碼以及及貨物在 裝貨口岸備舀日期函 /電告買(mǎi)方，以便買(mǎi)方訂艙。如毛重不超過(guò)兩公噸，則賣(mài)方應(yīng)與裝貨口岸的買(mǎi)方超前享受運(yùn)代理人 直接聯(lián)系裝運(yùn)事宜。乙、每發(fā)貨毛重超過(guò)兩公噸時(shí)，其訂艙事宜將由買(mǎi)方裝運(yùn)代理人北京中國(guó)租船公司(電報(bào)掛 號(hào)：ZHONGZU BEIJING辦理，買(mǎi)方與該公司密切聯(lián)系有關(guān)裝運(yùn)事宜。賣(mài)方則應(yīng)與在裝貨口岸的 中國(guó)租船公司裝運(yùn)代理人密切聯(lián)系。b. Booki ng of shipp ing space for each shipme nt exceedi ng two metric tons in gross weight will be atte nded to

17、by the buyers shipp ing age nt, China Nati onal Charteri ng Corporatio n, Beiji ng, Chi na (Cable Address: ZHONGZU BEIJNG) with whom the Buyers shall keep in close con tact in the matter of shipme nt. The Sellers shall keep in close con tact with ZHONGZU1 S shipp ing age nt at the loadi ng port.7/11

18、丙、北京中國(guó)租船公司或其港口代理人于估計(jì)承運(yùn)船到達(dá)裝貨口岸日期十 天以前，將船名、 預(yù)計(jì)裝船日期 合同編號(hào)初步通知賣(mài)方，以便賣(mài)方安排裝運(yùn)。事先指定的承運(yùn)船如有變更，或其估 計(jì)到達(dá)日期提前或延期時(shí)，買(mǎi)方或其裝運(yùn)代理人應(yīng)及時(shí)通知賣(mài)方，如果該船未能于買(mǎi)方或其裝運(yùn)代 理人所通知的到達(dá)日期后三十天內(nèi)到達(dá)裝運(yùn)口岸，則從第三十一天起貨物的倉(cāng)租和火災(zāi)保險(xiǎn)費(fèi)用應(yīng) 由買(mǎi)方負(fù)擔(dān)。c. Chi na Nati onal Charteri ng Corporati on, Beiji ng, Chi na, or their shipp ing age nt at the loadi ng port, will sen

I n case the carry ing vessel previously d

20、esig nated is to be replaced by ano ther vessel or in case the estimated date of arrival of the carry ing vessel is to be adva need or postp on ed, the Buyers or their shipp ing age nt shall advise the Sellers to that effect in time. Should the vessel fail to arrive at the port of load ing within 30

21、 days after the arrival date advised by the buyers or their shipp ing age nt, the buyers shall bear the storage and fire in sura nee expe nses in curred from the 31st day.丁承運(yùn)船及時(shí)到達(dá)裝貨口岸時(shí)，如賣(mài)方未將貨物備妥待裝，因此而發(fā)生的空艙費(fèi)和延滯費(fèi) 均應(yīng)由賣(mài)方負(fù)擔(dān)。d. The sellers shall be liable for any dead freight or demurrage con seque nt upo

22、n their failure to have the goods ready for load ing after the carry ing vessel has arrived at the port of load ing in time.戊、在貨物越過(guò)船舷并從吊鉤上卸下以前，所有在搬運(yùn)中發(fā)生的一切費(fèi)用 和風(fēng)險(xiǎn)均由賣(mài)方負(fù) 擔(dān)。在貨物超過(guò)船舷并從吊鉤上卸下以后，所發(fā)生的一切費(fèi)用均由買(mǎi)方負(fù)擔(dān)。e. The Sellers shall bear all expe nses and risks and risks invo Ived in the han dli ngof the goods

23、before they pass over the vessel s rail and are released from thewhereas all expe nses invo Ived in the loadi ng of the goods after they have passed over the vessel s rail and have been released from the vessel s tackles Buyers account.(16) 裝運(yùn)通知：SHIPPING ADVICE:貨物全部裝船后，買(mǎi)方應(yīng)立即將合同編號(hào)、商品名稱、數(shù)量、毛重、發(fā)標(biāo) 金額、船名

24、和開(kāi)航 日期電告買(mǎi)方。如單件貨物的重量超過(guò)9公噸或闊度3400超過(guò)毫米，或兩旁調(diào)試2350超過(guò)毫米，則賣(mài)方應(yīng)將該件重量和尺碼告知買(mǎi)方。如由于賣(mài)方未及時(shí)將 裝運(yùn)通知電告買(mǎi)方，以致貨物未及時(shí)保險(xiǎn)而發(fā)生的一切損失應(yīng)由賣(mài)方負(fù)擔(dān)。如貨物系屬危險(xiǎn)品，賣(mài) 方應(yīng)將其性質(zhì)及處理辦法電告買(mǎi)方和到貨口岸中國(guó)對(duì)外貿(mào)易運(yùn)輸公司。(17) 質(zhì)量保證：CUARANTEEOF QUALITY賣(mài)方保證訂貨系用最上等的材料和頭等工藝制成，全新，未曾用過(guò)，并完全符合本合同規(guī)定 的質(zhì)量、規(guī)格和性能。賣(mài)方并保證本合同訂貨在正確安裝、正常使用和維修的情況下，自化物到達(dá) 到貨口岸之日起十二個(gè)月內(nèi)運(yùn)轉(zhuǎn)良好。The Sellers shall

25、 guara ntee that the goods are made of best materials,with first class workma nship,bra nd now,unu sed and corresp ond in all respects with the quality,specifica- tio ns and perflrma nee as stipulated in this Con tract.The sellers shallalso guara ntee that the goods whe n correctly moun ted and prop

26、erly operated and mai ntai ned,will give satisfactory performa nee for a period of 12m on ths starti ng from the date on which the goods arrive at the port of des-ti nati on.(18) 檢驗(yàn)和索賠:INSPECTION AND CLAIMS在交貨以前，制造廠就訂貨的質(zhì)量 規(guī)格 性能 數(shù)量/重量作出準(zhǔn)確和全面的檢驗(yàn) 并出具 貨物和本合同規(guī)定相符的證明書(shū)，該證書(shū)為議付/托收貨款而應(yīng)上交銀行的單據(jù)的組成部分，但不得為貨物的質(zhì)量、規(guī)

27、格、性能和數(shù)量/重量的最后依據(jù)。制造廠應(yīng)將記載試驗(yàn)細(xì)節(jié)和結(jié)果的書(shū)面報(bào)告附在質(zhì)量證明書(shū)內(nèi)。貨物到達(dá)到貨口岸后，買(mǎi)方應(yīng)申請(qǐng)中國(guó)商品檢驗(yàn)局(以下稱商檢局)就貨物的質(zhì)量、規(guī)格和數(shù)量/重量進(jìn)行初步檢驗(yàn)。如發(fā)現(xiàn)到貨的規(guī)格或數(shù)量/重量與合同不符，除應(yīng)由保險(xiǎn)公司或船公司負(fù)責(zé)者外，買(mǎi)方于貨物在到貨口岸缺貨后120天內(nèi)憑商檢局出具之檢驗(yàn)證書(shū)有權(quán)拒收貨物或向賣(mài)方索賠。9/11在合同第17條規(guī)定的保證期限內(nèi)，如發(fā)現(xiàn)貨物的質(zhì)量及/或規(guī)格與本合同規(guī)定不符或發(fā)現(xiàn)貨物無(wú)論任何原因引起的缺陷包括內(nèi)在缺陷或使用不良的原料，買(mǎi)方應(yīng)申請(qǐng)商檢局檢 驗(yàn)，并有權(quán)根據(jù)商檢證向賣(mài)方索賠。Withi n the guara ntee perio

29、e for an in specti on to be carried out by the Bureau and have the right to claim aga inst the Sellers on the stre ngth of the in specti on certificate issued by the Bureau.T 賣(mài)方收到買(mǎi)方索賠通知后，如果在三十天內(nèi)不答復(fù)，應(yīng)視為賣(mài)方同意買(mǎi)方提出的一切索 賠。d. Any and all claims shall be regarded as accepted if the Sellers fail to reply wit

30、hin 30 days after receipt of the Buyers1 claim.(19) 索賠解決方法：SETTLEMENTOF CLAIMS如貨物不符合本合同規(guī)定應(yīng)由賣(mài)方者。同時(shí)買(mǎi)方按照本合同第17條和第18條的規(guī)定在索賠期限或質(zhì)量保證期限內(nèi)提出索賠，賣(mài)方在取得買(mǎi)方同意后，應(yīng)按下列方式理賠。In case the Sellers are liable for the discrepa ncies and a claim is made by the Buyers withi n the period of claim or quality guara n-tee period

31、as stipulated in Clauses 17 and 18 of thisC on tract.the Sellers shall settle the claim upon the agreeme nt of the Buyers in the followi ng ways:甲、同意買(mǎi)方退貨，并將通貨金額以成交原幣償還買(mǎi)方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損 失和費(fèi)用，包括利息，銀行費(fèi)用，運(yùn)費(fèi)，保險(xiǎn)費(fèi)，商檢費(fèi)，倉(cāng)租，碼頭裝卸費(fèi)以及為保管退貨而發(fā) 生的一切其它必要費(fèi)用。a. Agree to the rejecti on of the goods and refund to the B

32、uy-ers the value of the goods so rejected in the same curre ncy as con tracted here in,and to bear all direct losses and expe nses in conn ecti on there with in cludi ng in terest accrued ,ba nking charges,freight ,in sura nee premium,i napectio n charges,storage,stevedore charges and all other n ec

33、essary expe nses required for he custody and protecti on of the rejected goods.乙、按照貨物的疵劣程度，損壞的范圍和買(mǎi)方所遭受的損失，將貨物貶 值。b. Devaluate the goods accord ing to the degree of in feriority,exte nt of damage and amount of losses susta ined by the Buyers.調(diào)換有瑕疵的貨物，換貨必須全新并符合本合同規(guī)定的規(guī)格、質(zhì)量和性能。賣(mài)方并負(fù)擔(dān)因此而發(fā)生的一切費(fèi)用和買(mǎi)方遭受的一切直接損

34、失。對(duì)換貨的質(zhì)量，賣(mài)方仍應(yīng)按本合同第17條的決 定，保證十二個(gè)月。c. Replace the defective goods with new ones which confonn to the specificati ons quality and performa nee as stipulated in this Con tract ,and bear all expe nses in curred to and direct losses susta ined by the Buyers.The Sellers shall ,at the same time,guarantee th

35、e quality of the replacement goods for a further period of 12 mon ths as specified in Clause 17 of this Con tract.(20) 人力不可抗拒事故：FORCE MAJEURE:由于人力不可抗拒事故，而賣(mài)方交貨遲延或不能交貨時(shí)，責(zé)任不在賣(mài)方。但賣(mài)方應(yīng)立即將事故 通知買(mǎi)方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主 管機(jī)關(guān)出給的事故證明書(shū)用空郵寄交買(mǎi)方 為證，并取得買(mǎi)方認(rèn)可。在上述情況下，賣(mài)方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。如果事故 持續(xù)超過(guò)十個(gè)星期，買(mǎi)方有權(quán)撤銷本合同(21) 遲交和罰

36、款：LATE DELIVERYAND PENALTY如延遲貨除人力不可抗拒事故者外，賣(mài)方應(yīng)會(huì)給買(mǎi)方每一星期按遲交貨物總值0o 5%的遲交罰款，不足一星期的遲交日數(shù)作為一星期計(jì)算，此項(xiàng)罰款總額不超過(guò)全部遲交 貨物總值的5%,在議付貨款時(shí)由銀行代為扣除，或由買(mǎi)方在付款時(shí)進(jìn)行扣除。如遲延交貨超過(guò)原定期限十星期時(shí)，買(mǎi)方有權(quán)終止本合同。但賣(mài)方仍應(yīng)向買(mǎi)方繳付以上規(guī)定之罰款，不得推諉或遲延In case of delayed delivery,except for force majeure cases,the Sellers shall pay to the Buyers for every week o

37、f delay a pen alty moun ti ng to 0.5% of the total value of the goods whose delivery has bee n delayed.Aay fracti onal part of a week is to be con sidered a full week.The total amount of pen alty shall no t,however,exceed5% of the total value of the goods invo Ived in late delivery and is to be deducted from the remount due to the Sellers
