2、shall have the same meanings as are assigned to them in the Conditions of Client/Consultant Model Service Agreement hereinafter referred to.2.下列文件應被認為是組成本協(xié)議書的一部分，并應被作為其一部分進行閱讀和理解，即：The following documents shall be deemed to form and be read and construed as part of this agreement, namely:（1）中標函；The

3、Letter of Acceptance. （2）業(yè)主/咨詢工程師標準服務協(xié)議書條件（第1部分標準條件和第2部分特殊應用條件）；The conditions of Client/Consultant Model Service Agreement (General conditions and Particular conditions)（3）附件，即The Appendices, namely:附件A服務范圍 Appendix A Scope of Services附件B業(yè)主提供的職員、設備、設施和其他人員的服務Appendix B personnel, equipment, facilit

4、ies and services of others to be provided by the client. 附件C報酬和支付 Remuneration and payment3.考慮到下文提及的業(yè)主對咨詢工程師的支付，咨詢工程師在此答應業(yè)主遵照本協(xié)議書的規(guī)定履行服務。In consideration of the payment made by client to consultant as hereinafter mentioned, the Consultant hereby agrees with client to perform the services in conformi

5、ty with the provisions of the Agreement.4.業(yè)主在此同意按本協(xié)議書注明的期限和方式，向咨詢工程師支付根據協(xié)議書規(guī)定應付的款項似此作為履行服務的報酬。The Client hereby agrees to pay the Consultant in consideration with the performance of Services, such amounts as may become payable under the provisions of the Agreement at the times and in the manner pres

7、 Agreement ( General Conditions)定義及解釋Definitions and Interpretations1.定義1 Definitions下列名詞和用語，除上下文另有要求者外，應具有所賦予它們的涵義：The following words and expressions shall have the meanings assigned to them except where the context otherwise requires. （1）“項目”是指第二部分中指定的并為之建造工程的項目。Project means the project named in

8、 the particular conditions for which the works are provided.（2）“服務”是指咨詢工程師根據協(xié)議書所履行的服務，含正常的服務、附加的服務和額外的服務。Service means the service to be performed by the consultants in accordance with the agreement, and comprise normal service, additional service and exceptional service.（3）“工程”是指為完成項目所實施的永久工程（包括提供給

9、業(yè)主的物品和設備）。Works means the permanent works to be executed (including the goods and equipment to be supplied to the client) for the achievement of the project.（4）“業(yè)主”是指本協(xié)議書所指的雇用咨詢工程師的一方以及業(yè)主的合法繼承人和允許的受讓人。Clients means the part named in the agreement, who employs the consultant, and the legal successor

10、to the client and the permitted assignees.（5）“咨詢工程師”是指本協(xié)議書中所指的，作為一個獨立的專業(yè)公司接受業(yè)主雇用履行服務的一方以及咨詢工程師的合法繼承人和允許的受讓人。Consultant means the part named in the agreement, who is employed as an independent professional firm by the client to perform the service, and the legal successor to the consultant and the pe

The third party means other person or entities as the context requires.（7）“協(xié)議書”是指包括業(yè)主/咨詢工程師標準服務協(xié)議書第一、二部分的條件以及附件A（服務范圍），附件B（業(yè)主提供的職員、設備、設施和其他人員的服務），附件C（報酬和支付），中標函和正式協(xié)議書（如果已簽訂），或第二部分中的其他規(guī)

12、定。Agreement means the agreements comprising the conditions of consultant model service (general condition and particular condition) together with the appendix A( scope of service), appendix B( person, equipment, facilities provided by the client), Appendix C(Remuneration and payment), the letter of

13、acceptance and the formal agreement if completed, or otherwise as specified in the particular conditions.（8）“日”是指任何一個午夜至下一個午夜間的時間段。Day means the period between any one midnight and the next.（9）“月”是指根據陽歷從一個月份中任何一天開始的一個月的時間段。month means the period of one month according with the Gregorian calendar com

14、mencing with any day of the month.（10）“當地貨幣”（LC）是指項目所在國的貨幣，“外幣”（FC）是指任何其他的貨幣。Local currency means the currency of country where the project located, foreign currency means any other currency.（11）“商定的補償”是指第二部分中規(guī)定的根據協(xié)議書應支付的額外款項。Agreed compensation means the additional sums as defined in the particular

15、 conditions, which are payable under the agreement.2.解釋 Interpretation（1）本協(xié)議書中的標題不應在其解釋中使用。The headings in the agreement shall not be used in its interpretation.（2）單數包含復數含義，陽性包含陰性含義。視上下文需要而定，反之亦然。Singular includes plural, masculine includes feminine, Vice-versa where the context requires.（3）如果協(xié)議書中的規(guī)

16、定之間產生矛盾，按年月順序以最后編寫的為準。If there is any conflict between the provisions of the agreement, the last to be written chronologically shall prevail, unless otherwise specified in the particular conditions.咨詢工程師的義務The obligations of the consultant3.服務范圍Scope of the service咨詢工程師應履行與項目有關的服務。服務的范圍在附件A中規(guī)定。The c

The scope is stated in the Appendix A.4.正常的、附加的和額外的服務 normal, additional and exceptional service（1）正常的服務是指附件A中所述的那類服務。Normal service means the service stated in appendix A（2）附加的服務是指附件A中所述的那類或通過雙方的書面協(xié)議另外附加于正常服務的那類服務。Additional service means

18、 those described as such in appendix A or which by written agreement of the parties are otherwise additional to the normal service. （3）額外的服務是指那些既不是正常的也不是附加的，但根據第28條咨詢工程師必須履行的那類服務。Exceptional services are those which are not the normal service or additional service but which are necessarily to be per

19、formed by the consultant with clause 28.5.認真地盡職和行使職權Duty of care and exercise of authority（1）咨詢工程師在根據本協(xié)議書履行其義務時，應運用合理的技能、謹慎而勤奮地工作。The consultant shall exercise the reasonable skill ,and care and diligence in performance of the obligations under the agreement.（2）當服務包括行使權力或履行授權的職責或當業(yè)主與任何第三方簽訂的合同條款需要時，

24、lient to the use of the consultant shall be the property of the client, and where practicable shall be so marked. When the services completed or terminated, the consultant shall furnish inventories to the client of what has not been consumed in performance of service and shall deliver it as directed

26、is power to obtain which may pertain to the services.8.決定 decision為了不耽擱服務，業(yè)主應在一個合理的時間內就咨詢工程師以書面形式提交給他的一切事宜做出書面決定。On all matters properly referred to him in writing by the consultant the client shall give his decision in writing so as not to delay the services and within a reasonable time.9.協(xié)助 assist

27、ance在項目所在國，業(yè)主應盡一切力量對咨詢工程師和他的職員以及他的下屬按照具體情況提供如下協(xié)助：In the country of the project and in respect of the consultant, personnel and dependents, as the case maybe, the client shall do all in his power to assist in:（1）提供入境、居留、工作以及出境所需的文件；the provision of documents necessary for entry, residence, work and e

28、xit.（2）提供服務所需要的暢通無阻的通道；providing the unobstructed access wherever it is required for the services.（3）個人財產和服務所需物品的進出口，以及海關結關；import, export and customs clearance of personal effects and of goods required for the services.（4）發(fā)生意外事件時的遣返；their repatriation in emergencies.（5）提供如下權力，即允許咨詢工程師因服務目的和他的職員因個人使

29、用將外幣帶入該國；允許將履行服務中所賺外幣帶出該國；the provision of the necessary authorities to permit import of foreign currency by the consultant for the services and by the personnel for their personal use and to permit export of foreign currency earned in the performance of the services.（6）提供與其他組織相聯(lián)系的渠道，以便咨詢工程師收集他要獲取的信

30、息。providing access to other organization for the collection of information which is to be obtained by the consultant. 10.設備和設施 equipment and facilities業(yè)主應為服務之目的，免費向咨詢工程師提供附件B中所規(guī)定的設備和設施。the client shall make available, free of cost to the consultant for the purpose of equipment and facilities the equ

31、ipment and facilities described in the appendix B.11.業(yè)主的職員 clients personnel在與咨詢工程師協(xié)商后，業(yè)主應按照附件B的規(guī)定，自費從其雇員中為咨詢工程師挑選并提供職員。凡涉及服務時，此類職員只應從咨詢工程師處接受指示。In consultation with the consultant, the client shall at his cost arrange for election and provision in his employment to the consultant in accordance with

32、 the appendix B. Such personnel shall take instructions only from the consultant.12.其他人員的服務業(yè)主應按照附件B的說明，自費安排其他人員提供服務。咨詢工程師應與此類服務的提供者合作，但不對此類人員及其行為負責。The client shall at his cost arrange for the provision of the services from others as described in appendix B. The consultant shall cooperate with the s

33、upplier of such services but shall not be responsible for them or their performance.職員 personnel13.職員的提供 provision of the personnel由咨詢工程師派往項目所在國工作的職員，應接受體格檢查并應能適應本職工作，同時他們的資格應得到業(yè)主的認可。The personnel who are sent by the consultant to the country of project shall have been the physical examination and f

34、ound fit for the assignments, and their qualifications shall be acceptable to the client.業(yè)主按照第11條提供的職員應得到咨詢工程師的認可。The personnel to be supplied by the client in accordance with clause 11 shall be acceptable to the consultant.如果業(yè)主未能提供他應負責提供的業(yè)主的職員或其他人員的服務，而雙方均認為此類提供對于圓滿地履行服務是必須時，咨詢工程師可安排此類提供，以作為附加的服務。I

35、f the client cannot supply the personnel or services of others for which he is responsible and it is agreed to be necessary for the satisfactory performance of the services, the consultant shall arrange for such supply as an additional services.14.代表 representative為了執(zhí)行本協(xié)議書，每一方應指定一位高級職員或個人作為本方代表。For

36、the administration of the agreement, each party shall designate an official or individual as his representative.如果業(yè)主要求的話，咨詢工程師應指定一人與項目所在國內的業(yè)主代表建立聯(lián)絡關系.If required by the client, the consultant shall designate an individual to liaise with the clients representative in the country of the project.15.職員的

37、更換 changes in personnel如果有必要更換任何人員，則任命方應立即安排，代之以一位具有同等能力的人員。If it is necessary to replace any person, the party responsible for the appointment shall immediately arrange for the replacement by a person of comparably competence.此類更換的費用應由任命方承擔，除非更換是由另一方提出的。The cost of the replacement shall be borne by

38、 the party responsible for the appointment except the replacement is required by the other party.（1）此類更換要求應以書面形式提出，且須闡明更換理由；Such request shall be in writing stating the reason for it ,and （2）如果瀆職或不能圓滿地執(zhí)行任務不能作為理由成立的話，則提出要求方應承擔更換費用。The party making the request shall bear the cost of replacement unless

39、 misconduct or inability to perform satisfactorily is established as the reason.責任和保險liability and insurances 16.雙方之間的責任 liability between the parties16.1咨詢工程師的責任 liability of the consultant如果確認咨詢工程師違反了第5條（1）段，則他應僅對由本協(xié)議書引起的或與之有關的事宜負責向業(yè)主賠償。The consultant shall only be liable to pay compensation to th

40、e client arise out of or in connection with the agreement if a breach of clause 5.1 is established against him 16.2業(yè)主的責任 liability of the client如果確認業(yè)主違反了他對咨詢工程師的責任，則業(yè)主應負責向咨詢工程師賠償。The client shall be liable to pay compensation to the consultant, if a breach of the liability is established to the cons

41、ultant against the client.16.3賠償compensation如果認為任何一方對另一方負有責任時，則應僅在下列條件下支付賠償：If it is established that either party is liable to the other, compensation shall be payable only on the following terms.（1）此類賠償應限于由此違約所造成的可合理預見的損失或損害的數額，而不是其他；Such compensation shall be limited to the amount of the reasonab

42、ly foreseeable loss or damage suffered as a result of such breaches, but not otherwise. （2）在任何情況下，此類賠償的數額應限于第18.1款規(guī)定的數額；In any event, the amount of such compensation shall be limited to the amount specified in the clause 18.1（3）如果認為任何一方與第三方共同對另一方負有責任時，責任方所支付的賠償比例應限于由于其違約所應負責的那部分比例。If either party is

43、 considered to be liable jointly with the third party to the other, the proportion of the compensation payable by him shall be that proportion of liability which is attributable to his breach.17.責任的期限 duration of the liability除非第二部分規(guī)定的相應時間段終止之前或法律可能規(guī)定的更早日期之前，已正式向業(yè)主或咨詢工程師提出索賠，否則無論業(yè)主還是咨詢工程師均不應對由任何事件所引

44、起的任何損失或損害負責。18.賠償的限額和保障18.1賠償的限額根據第16條有關責任方面的規(guī)定，任何一方向另一方支付賠償的最大數額應限于第二部分中規(guī)定的數額。此限額不影響根據第31條（2）規(guī)定的、或本協(xié)議書另外規(guī)定的任何商定的補償。如果可能另外支付的賠償總額超過應支付的最大數額，則任何一方均應同意放棄對另一方的一切索賠要求。如果任何一方向另一方提出索賠要求，而該要求又不能成立的話，則索賠方應完全補償由于該索賠所導致對方的各種費用。18.2保障如果適用的法律允許，則業(yè)主應保障咨詢工程師免受一切索賠所造成的不利影響，包括由本協(xié)議書引起的或與之有關的第三方提出的此類索賠：（1）除非此類索賠被包括在根

45、據第19條規(guī)定所辦理的保險中；（2）此類索賠在第17條提及的責任期終止后提出。18.3例外第18.1和18.2款不適用于由下列情況引起的索賠：（1）故意違約或粗心引起的讀取；（2）與履行合同義務無關的事宜。19.對責任的保險與保障業(yè)主可以書面形式要求咨詢工程師：（1）對第16.1款規(guī)定的咨詢工程師的責任進行保險；（2）在業(yè)主第一次邀請咨詢工程師為服務提交建議書之日進行保險的基礎上，對第16.1款規(guī)定的咨詢工程師的責任追加保險額；（3）對公共的或第三方的責任進行保險；（4）在業(yè)主第一次邀請咨詢工程師為服務提交建議書之日進行保險的基礎上，對公共的或第三方的責任追加保險額；（5）進行其他各項保險。如

46、果這樣要求的話，咨詢工程師應做出一切合理的努力，在業(yè)主可接受的條件下，由承保人辦理此類保險或追加保險額。此類保險的費用或追加保險額的費用由業(yè)主負擔。20.業(yè)主財產的保險除非業(yè)主另有書面要求，咨詢工程師應盡一切合理的努力，按業(yè)主可接受的條件對下列各項進行保險：（1）根據第6條提供或支付的業(yè)主財產的損失或損害；（2）由于使用該財產而引起的責任。此類保險的費用應由業(yè)主負擔。協(xié)議書的開始、完成、變更與終止21.協(xié)議書生效從咨詢工程師收到業(yè)主對其建議書發(fā)出中標函之日或完成正式協(xié)議書所需的最后簽字之日（如有時），協(xié)議書生效時間以日期較晚者為準。22.開始和完成在第二部分所規(guī)定的時間或期限內，服務必須開始并

47、完成，但根據協(xié)議書延期的例外。23.更改當任何一方提出申請并經各方書面同意時，可對本協(xié)議書進行更改。24.進一步的建議書如果業(yè)主書面要求的話，則咨詢工程師應提交變更服務的建議書。此類建議書的編制和提交應為一項附加的服務。25.延誤如果業(yè)主或其承包商使服務受到障礙或延誤導致服務工作量的增加或工作時間的延長，則：（1）咨詢工程師應將此情況與可能產生的影響通知業(yè)主；（2）此增加部分應被視為附加的服務；（3）完成服務的時間應相應地予以延長。26.情況的改變如果出現(xiàn)按照本協(xié)議書咨詢工程師不應負責的情況，以及使咨詢工程師不負責或不能履行全部或部分服務時，他應立即通知業(yè)主。在此情況下如果不得己暫停某些服務時

48、，則該類服務的完成期限應予延長，直至此種情況消失。還應加上不超過42天的一個合理期限用于恢復服務。如果履行某些服務的速度不得已減慢，則該類服務的完成期限由于此種情況的發(fā)生可能必須給予延長。27.撤銷、暫?；蚪K止27.1業(yè)主的通知（1）業(yè)主可至少在56天前通知咨詢工程師，全部或部分暫停服務或終止本協(xié)議書，咨詢工程師應立即安排停止服務并將開支減至最??；（2）如果業(yè)主認為咨詢工程師無正當理由而未履行其義務時，他可通知咨詢工程師，說明發(fā)出該通知的原委。若業(yè)主在21天內沒有收到滿意的答復，他可發(fā)出進一步的通知終止本協(xié)議書，但該進一步的通知應在業(yè)主第一個通知發(fā)出后35天內發(fā)出。27.2咨詢工程師的通知在下

49、述（1）、（2）情況下，咨詢工程師向業(yè)主發(fā)出通知至少14天后，他才可以發(fā)出進一步的通知。在進一步的通知發(fā)出至少42天后，他才能終止本協(xié)議書，或在不損害其終止權利的情況下，可以自行暫?；蚶^續(xù)暫停履行全部或部分的服務。（1）當在一支付單據應予支付的日期后30天，他仍未收到屆時未提出書面異議的那一部分款項時；（2）當根據第26條或第27.1款已暫停服務并且暫停期限已超過182天時。28額外的服務當第26條所述情況發(fā)生時，或撤銷或暫停或恢復服務時，或并非根據第27.1款（2）終止本協(xié)議書時，除正常的或附加的服務之外，咨詢工程師需做的任何工作或支出的費用應被視為額外的服務。咨詢工程師有權得到為履行額外的

50、服務所需的額外的時間和費用。29.各方的權利和責任本協(xié)議書的終止不應損害或影響各方應有的權利或索賠以及責任。支付30.對咨詢工程師的支付（1）業(yè)主應按合同條件和附件C中規(guī)定的細則向咨詢工程師支付正常的服務報酬，并且按照附件C規(guī)定的費率和價格或者基于此費率和價格支付附加的服務報酬，如果此費率和價格適用的話。否則按照第23條商定的費率和價格。（2）除非另有書面協(xié)定，業(yè)主應就有關額外的服務向咨詢工程師支付：咨詢工程師的職員在履行服務中所花費額外的時間用于附加的服務的報酬；由咨詢工程師所花費的一切其他額外開支的凈成本。31.支付的時間（1）給付咨詢工程師的到期款項應迅速支付。（2）如果在第二部分規(guī)定的

51、時間內咨詢工程師沒有收到付款時，則應按照第二部分規(guī)定的利率間其支付商定的補償，每月將該補償加到過期未付的金額中，該補償以過期未付金額的貨幣從發(fā)票注明的應支付之日開始計算。該商定的補償不應影響第27.2款規(guī)定的咨詢工程師的權利。32.支付的貨幣（1）適用于本協(xié)議書的貨幣為第二部分中規(guī)定的貨幣。當使用其他貨幣支付時，應按第二部分規(guī)定的匯率計算并支付未加扣除的凈額。除非在附件c中另有規(guī)定，否則，業(yè)主應保證咨詢工程師能將其在業(yè)主所在國內收到的與履行服務有關的那部分當地貨幣或外幣及時匯往國外。（2）如果在簽訂本協(xié)議書之日或履行服務期間，業(yè)主國內的情況與協(xié)議書中規(guī)定的情況可能相反時，如：阻止或延誤了咨詢工程師將其在委托人所在國內得到的當地貨幣或外幣匯往國外；在業(yè)主所在國內限制得到或使用外幣；當咨詢工程師因用當地貨幣開支而從國外向業(yè)主所在國匯入外幣，以及隨后將總額相等的當地貨幣再匯往國外時，對其征稅或規(guī)定不同匯率，從而阻止咨詢工程師履行服務或導致他在財務上的損失。此時若沒有做出其他令咨詢工程師滿意的財務上的安排，業(yè)主應保證此種情況為適用于第26條規(guī)定的情況。33.有關第三方對咨詢工程師的收費除在第二部分或附件C中規(guī)定外，（1）在任何可能時，業(yè)主都
