15、adjusted accord in gly. 第八條 支付方式。 Article 8 Terms of payme nt 8.1本合同生效后三天內(nèi)，發(fā)包人支付設(shè)計費總額的30%，計 萬元作為定金(合同結(jié)算時，定金抵作設(shè)計費)。 8.1 Withi n three days upon the effective ness of this con tract, the Employer shall pay the Desig ner 30% of con tract price n amely RMBYua n as the dow n payment.( The down payment sh

16、all be counted as the charges for design upon settleme nt of the con tract). 8.2設(shè)計人提交 方案 設(shè)計文件后三天內(nèi)，發(fā)包人支付設(shè) 計費總額的20%， 計萬元；設(shè)計人提交 施工圖 設(shè)計文件后三天內(nèi)，發(fā)包人 支付設(shè)計費總額的45%，計萬元；工程完工后，結(jié)清設(shè)計費， 不留尾款。 8.2 With in three days upon the submissi on of schematic desig n docume nts by the Desig ner, the Employer will pay 20% of

17、con tract price n amely RMBYua n. Within three days upon the submissi on of con struct ion draw ings by the Desig ner, the Employer will pay 45% of con tract price n amely RMB Yua n. After completi on of the project, the Employer will pay the rest RMB * *Yua n, without any rema in der. 8.3雙方委托銀行代付代收

18、有關(guān)費用。 8.3 The Parties shall en trust bank to collect and pay for releva nt charges. 第九條 雙方責任。 Article 9 Resp on sibilities of the Parties 9.1發(fā)包人責任 9.1 Resp on sibilities of the Employer 9. 1.1發(fā)包人按本合同第五條規(guī)定的內(nèi)容,在規(guī)定的時間內(nèi)向設(shè)計 人提交基礎(chǔ)資料及文件，并對其完整性、正確性及時限負責。發(fā)包 人不得要求設(shè)計人違反國家有關(guān)標準進行設(shè)計。 發(fā)包人提交上述資料及文件超過規(guī)定期限15天以內(nèi)，設(shè)計人按

In case there i s a delay o f l ess than 15 days ex ceedi ng t he specifi ed time limit fo r t he delivery o f the abo

21、ve materials and d ocu m ent s by the Employer, the time li mit for the Designer to deliver design docu ment s shall be ex tended acco rdi ngl y; in case there is a delay of more than 15 days exceedi ng the sp eci fi ed time limit fo r the delivery of the above material s and document s by the Emplo

22、yer, the Designer shall have the right to re-d et erm ine the time for delivery of the desi gn documents. 9.1.2 發(fā)包 人 變更 委 托 設(shè) 計 項 目 、 規(guī)模 、 條件 或 因 提 交的 資 料 錯 誤，或所提交資料作較大修改，或設(shè)計周期變化，以致造成設(shè)計 人 設(shè) 計返 工 或 工 作 量 加 大時 ，雙 方 除 另 行 協(xié)商 簽 訂 補 充 協(xié)議(或 另 訂 合 同 )、 重 新 明 確 有 關(guān) 條 款 外 ， 發(fā) 包 人 應 按 設(shè) 計 人 所 耗 工 作 量向設(shè)計人支付返工費

23、。 在 未 簽訂 合 同 前 發(fā) 包 人 已同 意 ，設(shè) 計 人 為 發(fā)包 人所 做 的 各 項 設(shè)計 工作，發(fā)包人應支付相應設(shè)計費。 9.1.2 In case of the D esi gn er sr ewo rk on the design resulted fo r changes of the engi neering, size and cond itions of the design by the Empl oyer or mistakes of the materi al s submitted or major revi sion on the submitted mat

24、eri als, the Parties shall conclude supplementary agr eemen t separately (or conclude addi tional agreement) and redefi ne relevant term s and condi tions, and the Employer shoul d pay c harge s fo r r ewor k to the D esigner according to the workl oad. The Employer has agr eed befo re the conclusio

25、n of the co nt r act that it wi ll pay charge s of desi gn to the Desi gner for all the design works conducted by the Designe r. 9.1.3 在 合 同 履 行 期 間 ,發(fā) 包 人 要 求 終 止 或 解 除 合 同 ,設(shè) 計 人 未 開 始 設(shè) 計 工 作 的 ,不 退 還 發(fā) 包 人 已 付 的 定 金 ;已 開 始 設(shè) 計 工 作 的 ,發(fā) 包 人 應 根 據(jù) 設(shè) 計 人 已 進 行 的 實 際工 作 量,不 足 一 半 時 ,按該 階 段設(shè) 計 費 的一 半

26、 支 付 ;超 過 一半 時 ,按 該 階 段 設(shè)計 費的 全 部 支 付 。 9. 1.3 Duri ng the perfor mance of the cont ract , if the Empl oyer requires to terminate or cancel the cont ract before the D esi gn er starts the desi gn work, the Desi gn er wi ll not return the down payment already paid by the Empl oyer; if the D esi gn er

27、 has started the desi gn work, the Employer shall pay for the actual workl oad already done by the Designer. When the actual wo rkl oad of the design i s less than half of t he wo rk at the stage, t he Em ployer shall pay h alf o f t he paym ent f or t he design w ork at the stage. W hen t he actual

28、 workl oad of the d esi gn is more than half of the wor k at the st age, the Employer shall pay all the payment fo r the design work at t he stage. 9. 1.4 發(fā) 包 人 必 須 按 合 同 規(guī) 定 支 付 定 金 , 收 到 定 金 作 為 設(shè) 計 開 工 的 標 志 。未 收 到 定 金 ，設(shè) 計 人 有 權(quán) 推遲 設(shè)計 工 作 的 開 工時 間 ,且 交付 文件的時間順延。 9. 1.4 The Employer sho uld pay d

29、own paym ent as provi ded by the contract and receipt of down payment will be the symbol fo r the commencement of the design wo rk by the Designer. Th e Designer shall have the ri ght to pu t off t he com mencement date of t he design work if it has not received the down paym ent and the time for de

30、livery shall be extended accordi ngly. 9. 1.5 發(fā)包人應按本合同規(guī)定的金額和日期向設(shè)計人支付設(shè)計費 , 每逾期支付一天，應承擔支付金額千分之二的逾期違約金，且設(shè) 計人提交設(shè)計文件的時間順延。逾期超過 30 天以上時,設(shè)計人有 權(quán)暫停履行下階段工作 ,并書面通知發(fā)包人。發(fā)包人的上級或設(shè)計 審批部門對設(shè)計文件不審批或本合同項目停緩建 , 發(fā)包人均應 支付應付的設(shè)計費。 9.1.5 The Em pl oye r should pay charges for desi gn to the Designer at the amount and date pr

31、ovi ded in this Contract. For each day of overdue paym e nt, 2 %o of the overdue payme nt shall be paid as damages for overdue payment and the time for delivery by the Designer shall be extended accordi ngl y. Where the delay of payment has exceeded 30 d ays, the Designer shall have the right to sus

32、pend the perfo rmance of the work at the next stage and give written notice to the Employer. In case the hi gher authori ty or competent department of design approval would not approve the design docum ents or the engi neeri ng construction of thi s contract is suspended or stopped, the Employe r sh

33、oul d pay the payable charges for design. 9.1.6 發(fā)包人要求設(shè)計人比合同規(guī)定時間提前交付設(shè)計文件時 ,須 征得設(shè)計人同意,不得嚴重背離合理設(shè)計周期,且發(fā)包人應支付趕 工費。 9.1.6 If the Employe r requi res the Designer to deliver the design documents in advance, it should get the pri or consent of the Desi gner wi thout seri ous devi ation from the reasonabl e

34、design circl e, and the Empl oyer shall pay the crush cost. 9.1.7 發(fā)包人應為設(shè)計人派駐現(xiàn)場的工作人員提供工作、生活及 交通等方面的便利條件及必要的勞動保護裝備。 9.1.7 The Em ployer shoul d offe r conveniences in aspects of worki ng, livi ng and traffi c and necessary labor-protection equi pments. 9. 1.8 設(shè)計文件中選用的國家標準圖、部標準圖及地方標準圖由 發(fā)包人負責解決。 9.1.8 T

35、he Em ployer shall be responsible for the national standard drawi ng, m ini steri al standard dr awi ng and l ocal standard drawi ngs. 9.1.9 承擔本項目外國專家來設(shè)計人辦公室工作的接待費(包括 傳真、電話、復印、辦公等費用)。 9.1.9 The Empl oyer shall bear the expenses fo r receivi ng foreign expert in charge of the engi neeri ng to the Des

36、i gn er so ffi ce (includi ng ex penses on fax, telephone and offi ce affairs). 9. 2 設(shè)計人責任 9.2 Desig ner ssesp on sibilities 9. 2.1設(shè)計人應按國家規(guī)定和合同約定的技術(shù)規(guī)范、標準進行設(shè) 計,按本合同第六條規(guī)定的內(nèi)容、時間及份數(shù)向發(fā)包人交付設(shè)計文 件（出現(xiàn)9.1.1、9.1. 2、9. 1.4、9. 1.5規(guī)定有關(guān)交付設(shè)計文件順延 的情況除外）。并對提交的設(shè)計文件的質(zhì)量負責。 9. 2.1 The D esi g ner shoul d carry out desi g

38、1.4, 9.1. 5 under whi ch the del i very of desig n docum e nts may be exte nded）, and shal l b e re spo n si bl e for t he qu al i ty of the d esi g n do cum en ts. 9.2.2設(shè)計合理使用年限為主體結(jié)構(gòu)50年（磚混或框架結(jié)構(gòu)）。 9. 2. 2 Th e d esi gn I ife of t he en gi neeri ng co nstruct i on s hal l be mai n st ru ct ure fi ft

39、y years. 9.2.3負責對外商的設(shè)計資料進行審查,負責該合同項目的設(shè)計聯(lián) 絡(luò)工作。 9. 2. 3 Th e De si g ner shal l be respo nsible for the sc rut i ny on the f orei g n inv est or ad esig n materi al and con tact on t h e desi g n of t he engi neeri ng. 9.2.4設(shè)計人對設(shè)計文件出現(xiàn)的遺漏或錯誤負責修改或補充。由 于設(shè)計人對設(shè)計錯誤造成工程質(zhì)量事故損失，設(shè)計人除負責采取 補救措施外，應免收損失部分的設(shè)計費，并根據(jù)損失

40、程度向發(fā)包 人支付賠償金，賠償金數(shù)額最多與受損部分的設(shè)計費相等. 9. 2.4 Th e Desi g ner shal l be respo nsible fo r the rev i si on or sup pl em e nt t o t he m i stakes or om issi on of t he d esi g n docu me nt s. If any engin eeri ng qual ity acci de nts happe n because of the Desi g ner sfaul t, the Desi g ner should be resp o

41、n si bl e fo r tak i ng remedi al measures as wel l as redu ce the desi gn ch arge s on the aff ected part of the de sig n work and com pe nsate the Em pl oye r accord ing to the degr ee of loss. The amount of the dam ages for compensation is no more than t he desi gn pri ce of t he actual l oss. 9.

42、2.5由于設(shè)計人原因，延誤了設(shè)計文件交付時間，每延誤一天，應 減收該項目應收設(shè)計費的千分之二。 9. 2. 5 If the del i ve ry of desig n docu me nts are del ayed fo r the Desi g ner sreaso n , each day over du e wi 11 resul ted in the redu cti on of 2 %o of t he desig n ch arge s for the engi n eer ing. 9.2.6合同生效后，設(shè)計人要求終止或解除合同，設(shè)計人應雙倍返還 發(fā)包人已支付的定金。 9.

43、 2. 6 A ft er t he cont ract ent ers i nto f orce, t he De sign er m ay r equi re term in at i on o r c ance 11 ati on of the co n t ract and t he D esig ne r should return the down paym ent i n doub le. 9.2.7設(shè)計人交付設(shè)計文件后,按規(guī)定參加有關(guān)上級的設(shè)計審查, 并根據(jù)審查結(jié)論負責不超出原定范圍的內(nèi)容做必要調(diào)查補充。設(shè) 計人按合同規(guī)定時限交付設(shè)計文件一年內(nèi)項目開始施工,負責向 發(fā)包人及施工

44、單位進行設(shè)計交底、處理有關(guān)設(shè)計問題和參加竣工 驗收。在一年內(nèi)項目尚未開始施工，設(shè)計人仍負責上述工作，可按 所需工作量向發(fā)包人適當收取咨詢服務費,收費額由雙方商定。 9.2.7 Up o n delivery of the desig n doc ume nts, the Desig ner shall participate in the in spect i on on the desi g n by the re l ev a nt hi gh er author ity as pro vi de and shal l be respo n si bl e for n ecessary a

48、 de ter mined b y t he P arti es. 第十條 保密。 A rti cl e 1 0 Con fi de ntiality 雙方均應保護對方的知識產(chǎn)權(quán),未經(jīng)對方同意,任何一方均不得對 對方的資料及文件擅自修改、復制或向第三人轉(zhuǎn)讓或用于本合同 項目外的項目。如發(fā)生以上情況，泄密方承擔一切由此引起的后 果并承擔賠償責任。 Both P arties sh al l p rot ect each ot her si n tell ect ual p roper ty r i ght s. 50、 sha 11 bear the rel ev a nt compe nsat i on 第十一條仲裁。 A rticl e 11 Arbi trati on 本建設(shè)工程設(shè)計合同發(fā)生爭議，發(fā)包人與設(shè)計人應及時協(xié)商解決 也可由當?shù)氐亟ㄔO(shè)行政主管部門調(diào)解，調(diào)解不成時，雙方當事人 同意由仲裁委員會仲裁。雙方當事人未在合同中約定仲裁 機構(gòu)，當事人又未達成仲裁書面協(xié)議的，可向人民法院起訴。 If any disput es ar i ses in conn ect i on wi th thi s Engin eer ing Serv ice Con t ract, i t shal l be sett

53、專 人 長期駐 施工 現(xiàn) 場進 行 配合 與 解決 有關(guān) 問題 時 ,雙 方應 另行簽定 技術(shù) 咨詢 服務合同 。 12.1 As per the requ est of the Employer fo r dispatch of personnel to stay on the Construc tion site so as to co or di nate and solve relevant issues, the individual technical co ns ul t ant serv ice contract shall be signed by both parties.

54、 12.2 設(shè)計 人為 本合 同項目的 服務 至施工安 裝結(jié) 束為 止。 12.2 Servi ce provi ded by the Designer f or the Proj ect in this Contract wi ll be concluded unt il the completion of con struction and i nstal lation. 12.3 本 工程 項 目中 ,設(shè)計人 不得指定 建筑材 料、設(shè) 備 的生 產(chǎn) 廠或 供貨商。發(fā)包人需要設(shè)計人配合建筑材料、設(shè)備的加工訂貨時， 所需費用由發(fā)包人承擔。 12.3 In the proj ects of t

Where there is a necessity that Designer shall cooperate wi th Employer in o rd eri ng the process of con struction materi als and equi pments, the relev ant fee shall be pai d by

56、Employer. 12.4 發(fā) 包人委托 設(shè)計人配合 引進項 目的 設(shè) 計任 務 ,從詢價、 對外 談判 、國 內(nèi)外 技術(shù)考察 直至 建成 投產(chǎn)的各 個階段 ，應 吸收 承擔有 關(guān)設(shè)計任務的設(shè)計人員參加。出國費用，除制服費外，其他費用 由發(fā)包人支付。 12.4 The Empl oyer ent r ust ed the Designer to cooperate with the engi neering work of import ed proj ect and design per sonn el undertaki ng relevant design assignment sha

57、ll be included in all st ages fr om enqui ry, business negot iation, domestic and overseas techni cal inspection until the produ ction period. The fee for overseas busi ness trip and ot her relevant fee wi ll be paid by Employer ex cept the fee for purchasing dress. 12.5 發(fā) 包人委托 設(shè)計人承擔 本合同 內(nèi)容 以 外的 工作服
