6、管理緣由造成的人身傷亡及財(cái)產(chǎn)損失由乙方擔(dān)當(dāng)。5. construction time, delay and postpone合同工期、工期延誤、工期順延：(1) buyer shall issue a notice to seller about the construction one week prior the date of the construction start.甲方提早一周通知乙方施工時(shí)間。(2) construction period will be 15 days from the date of issuance of the order to commence the

7、 construction from buyer.自甲方發(fā)出開工令之日算起，工程工期15天。(3) construction period may be postponed as buyer agreed after he certified that the delay not caused by seller.非乙方緣由造成工期延誤，須經(jīng)甲方確認(rèn)后工期順延。(4) the start time of the construction shall be subject to the order to commence by buyer. seller shall unconditionall

10、t term 結(jié)算方式和期限: *(1) 50% of the total contract value will be paid by t/t within 10 working days after the first lot of materialarrived at the site and accepted by buyer, seller shall provide vat invoice with the total contract value to buyer. *第一批材料到現(xiàn)場(chǎng)后經(jīng)甲方驗(yàn)收合格，乙方開具合同全額的17%增值稅發(fā)票10個(gè)工作日內(nèi)，付合同總金額50%。*(2)

11、 40% of the total contract value will be paid by t/t within 10 working days after the construction completed and accepted by buyer.*施工完成經(jīng)甲方驗(yàn)收合格10個(gè)工作日內(nèi)支付合同總金額的40。(3) 10% of the total contract value will be paid by t/t after one year normal operation of the facility and thewarranty period expired. *剩下

12、的10%作為質(zhì)保金，設(shè)備正常運(yùn)行1年后付清。(4) in case of the site construction in iran, buyer will be responsible for visa, round-trip fares and traveling expense, food and accommodation, and 30 us dollar daily subsidies for each of sellers construction personnel on iran site. all of the cost will be paid by t/t within

13、 10 working days after the construction completed and buyer received related bills provided by seller and accepted these bills.假設(shè)需乙方前往伊朗工程現(xiàn)場(chǎng)施工，甲方負(fù)責(zé)乙方施工人員的簽證、往返車旅費(fèi)、食宿，并補(bǔ)助乙方每人30美金/天。以上費(fèi)用于現(xiàn)場(chǎng)施工完畢后，乙方提交相關(guān)票據(jù)，甲方收到票據(jù)核實(shí)無(wú)誤10個(gè)工作日內(nèi)結(jié)算。8. delay and penalty 違約責(zé)任：(1) if there is any defect or mistake of constructio

14、n quality, seller shall repair and replace immediately at its own cost. if seller fails to solve defect or mistake could not be , buyer shall have right to return the goods and claim to seller for loss there caused.假如乙方施工質(zhì)量出現(xiàn)問題，乙方需無(wú)償即時(shí)修復(fù)或更換，如再不能解決，甲方可向乙方退貨、索賠。(2) in case sellers construction can not

15、 accomplish as per buyers project schedule, and failed to keep up with the schedule, thus to seriously influence the whole schedule, or sellers poor quality of construction resulted buyers whole project quality could not satisfy owners quality standard, seller shall compensate all buyers loss there

16、caused in addition to the normal delay penalty.如因乙方的緣由使該工程的施工不能根據(jù)甲方的進(jìn)度方案完成，并經(jīng)甲方糾偏無(wú)效且實(shí)際影響了甲方的整個(gè)工程進(jìn)度，或因該工程的驗(yàn)收質(zhì)量導(dǎo)致甲方整個(gè)工程的質(zhì)量達(dá)不到業(yè)主質(zhì)量標(biāo)準(zhǔn)，除扣除正常的工期延期罰款外，經(jīng)業(yè)主認(rèn)定后乙方應(yīng)賠償由此給甲方造成的損失。9. contract price and adjustments 合同價(jià)款及調(diào)整：(1) contract price:the contract price is ffp (firm fixed price), include tender documents, t

17、echnical requirement, drawings, site inspection, risk premium, etc. the contract price will not be adjusted at settlement and during the whole project, if buyer would not change the design and sign site visa. contract price will not be adjusted and neither party could change it during contract execu

18、tion. except the factor listed in sub article 2.合同價(jià)款：合同價(jià)款采納固定合同總價(jià)的方式確定，招標(biāo)文件、技術(shù)要求、圖紙、現(xiàn)場(chǎng)考察、風(fēng)險(xiǎn)費(fèi)等等全部包干，甲方不提出設(shè)計(jì)變更，現(xiàn)場(chǎng)簽證，結(jié)算時(shí)合同價(jià)款不予調(diào)整。合同執(zhí)行過程中其它任何一方不得擅自更改，除以下第2條中規(guī)定的調(diào)整因素需在結(jié)算時(shí)進(jìn)展調(diào)整外，合同價(jià)款均不予調(diào)整。(2) the adjustment factor of contract price:合同價(jià)款的調(diào)整因素：a. change order issued by buyer ;甲方發(fā)出的變更或指令。b. change of material

19、: if buyer need to change the pourable material that buyer has stipulated in the tender documents due to technical issue, buyer and seller would discuss and determine to the adjustment of the contract price after verifying the price of the material in the market.材料變更：對(duì)于甲方在招標(biāo)文件中認(rèn)定的澆注材料，如因甲方技術(shù)緣由需要變更，經(jīng)

20、市場(chǎng)核實(shí)材料價(jià)格后，甲方與乙方協(xié)商對(duì)合同總價(jià)進(jìn)展變更和確認(rèn)。10. material inspection 材料檢驗(yàn)：(1) inspection of material and facility:all the material and facility for this project shall be sampled and tested by seller under supervision and witness of buyer before putting into use , the sampling and testing shall be in strict complia

21、nce to laws and regulations, related standard and codes, and contracts requirement.材料和設(shè)備的檢驗(yàn)：本工程一切材料設(shè)備在用于本工程之前，均應(yīng)根據(jù)法律、法規(guī)和有關(guān)標(biāo)準(zhǔn)、標(biāo)準(zhǔn)的規(guī)定以及本合同的商定，在甲方的監(jiān)視、見證下，由乙方負(fù)責(zé)取樣并做試塊。(2) program of test:the program of test, including test time, place, method of sampling, and test frequency test items shall be prepared b

22、y seller according to laws and regulations, related standard and codes, and contracts requirement, submitted to buyer for confirmations, and performed after accepted by buyer.檢驗(yàn)內(nèi)容：材料設(shè)備的檢驗(yàn)時(shí)間和地點(diǎn)、取樣方法、檢驗(yàn)頻次和內(nèi)容由乙方依據(jù)法律、法規(guī)和有關(guān)標(biāo)準(zhǔn)、標(biāo)準(zhǔn)的規(guī)定以及本合同的商定提出，報(bào)甲方確認(rèn)后施行。(3) normal check:buyer will enter the construction sit

23、e to supervise the construction quality at any reasonable time, and seller should provide all the convenience assistance when buyer enters.隨時(shí)檢查：甲方代表在一切合理的時(shí)間內(nèi)均應(yīng)能進(jìn)入施工現(xiàn)場(chǎng)對(duì)工程質(zhì)量進(jìn)展監(jiān)視，乙方應(yīng)為他們進(jìn)入上述場(chǎng)所供應(yīng)一切便利和幫助。11. settlement of disputes: 爭(zhēng)議解決all disputes in connection with this contract or the execution thereof shall be settled by friendly negotiation. if no settlement can be reached, either party may be referred to institute legal proceedings to the court located at the prosecutors address, or at the place where the purchase contract was executed.解決合同糾紛方式如出現(xiàn)質(zhì)量問題和工期延后問題，按合同執(zhí)行或雙方
