4、條甲方已取得的各項法律手續(xù)和許可證件(包括交清土地出讓金的憑證)在本合同生效之日起十五個工作日內(nèi)交付給乙方。乙方自行向政府有關(guān)主管部門辦理轉(zhuǎn)移手續(xù),甲方應(yīng)積極協(xié)助。乙方未按本協(xié)議第五條的約定及時向甲方支付有關(guān)費用,或未按政府有關(guān)部門的規(guī)定提供轉(zhuǎn)交證件所需要的證明文件而導致不能獲政府有關(guān)部門批準的,甲方有權(quán)拒交有關(guān)證件。2 、 甲方保證各項法律手續(xù)轉(zhuǎn)移的確定性, 如因其中某項手續(xù)因甲方的責任無法確定地轉(zhuǎn)移而影響項目的轉(zhuǎn)讓,甲、乙雙方同意按()處理:( 1 )雙方共同向政府主管部門申請補辦有關(guān)手續(xù),其補辦有關(guān)手續(xù)的一切費用由甲方承擔,若補辦不成功時,甲、乙雙方按(轉(zhuǎn))處理;( 2)協(xié)議解除,甲方退

5、還乙方全部已付費用,并按乙方已付費用的轉(zhuǎn)轉(zhuǎn)%予以賠償;3、如果因乙方的責任無法確定地轉(zhuǎn)移其中某項手續(xù),而影響項目的轉(zhuǎn)讓,甲方雙方同意按以下(轉(zhuǎn)轉(zhuǎn)轉(zhuǎn))方法處理:( 1)協(xié)議解除,甲方不退還乙方所交定金,退還乙方其他已付費用。同時,乙方在接手項目后已投入項目資金或其他資產(chǎn),甲方不再折價返還乙方。(2)協(xié)議解除,乙方按已付費用的一吾償甲方的損失。第五條項目轉(zhuǎn)讓費及其支付與項目轉(zhuǎn)讓的間接費用1、項目轉(zhuǎn)讓費總額:乙方應(yīng)向甲方支付協(xié)議項目轉(zhuǎn)讓費為 萬元(小寫:¥元) 。2、付款方式:轉(zhuǎn)賬支票支付。3、付款期限:乙方須在 年一月日前向甲方支付定金 萬元(小寫:¥寫寫寫寫寫元);乙方須在

6、年一月日前向甲方支付第一期轉(zhuǎn)讓費(小寫:¥_乙乙乙乙乙元);乙方須在乙乙乙乙年乙月乙日前向甲方支付第二期轉(zhuǎn)讓費乙乙乙乙乙乙萬元(小寫:寫 元);乙方須在乙乙乙乙年乙月乙日前向甲方支付轉(zhuǎn)讓費第三期轉(zhuǎn)讓費乙乙乙乙乙乙萬元(小寫:¥元) ;乙方須在 年月日日前將轉(zhuǎn)讓費用余額即 元(小寫:¥乙乙乙乙元)向甲方付清。5、項目轉(zhuǎn)讓時發(fā)生的房地產(chǎn)稅、契稅、印花稅等稅費的承擔依國家稅法規(guī)定辦理。6、項目轉(zhuǎn)讓后,項目發(fā)生的需向政府有關(guān)部門支付的一切費用(本協(xié)議其他條款特別約定的除外)全部由乙方承擔。第六條項目轉(zhuǎn)讓后辦理法律手續(xù)義務(wù)乙方按該項目原有的國有土地使用權(quán)出讓合同及附件、城市

7、規(guī)劃的批準文件、固定資產(chǎn)投資計劃的批準文件、拆遷批準文件等受讓該項目后進行開發(fā)建設(shè)。確有必要修訂有關(guān)限制條件的,由乙方在受讓項目后自行向有關(guān)部門申請,辦理有關(guān)法律手續(xù),甲方履行承擔協(xié)助辦理的義務(wù)。第六條甲方關(guān)于項目工程建設(shè)的責任甲方向乙方轉(zhuǎn)讓該項目尚需完成工程1 、;2、;3、。第七條甲方關(guān)于項目開發(fā)建設(shè)各項未完審批手續(xù)有關(guān)費用的責任。1 、;2、;3、。第八條項目轉(zhuǎn)讓后,開發(fā)項目甲方與其他第三人簽訂的協(xié)議的處理1 、甲方應(yīng)如實提供該項目所涉及的甲方與他方簽訂的設(shè)計、施工、工程監(jiān)理、商品房預(yù)售等方面合同尚需由乙方繼續(xù)履行的所有合同原件,或經(jīng)與原件核對一致,除非甲方已解除原簽合同;2、項目轉(zhuǎn)讓后

8、,需由乙方繼續(xù)履行的協(xié)議細目如下(內(nèi)容詳見附件四)1) 建設(shè)工程承包合同 ;2) 工程監(jiān)理合同 ;(3)商品房預(yù)售合同,共 份;( 4)o3、甲方應(yīng)當通知上述協(xié)議的協(xié)議當事人,與乙方一起協(xié)商有關(guān)協(xié)議繼續(xù)履行事項,并按以下方式處理原協(xié)議事宜。( 1)若幾方達成協(xié)議,應(yīng)簽訂對原協(xié)議的書面補充協(xié)議。( 2 )若達不成被充協(xié)議,甲方應(yīng)當與原協(xié)議當事人負責解除,其引發(fā)的協(xié)議責任應(yīng)當由甲方承擔,與乙方無關(guān)。4 、上述 3 款商談補充協(xié)議所產(chǎn)生的費用由甲方承擔。第九條甲方責任1 、甲方保證其有資格轉(zhuǎn)讓項目,并保證項目符合法定轉(zhuǎn)讓條件;2、甲方保證項目不存在為第三人或甲方債務(wù)擔保的情形;3、甲方保證項目轉(zhuǎn)讓時

9、,不存在法院查封、扣押等情形。4 、甲方保證項目轉(zhuǎn)讓時不存在有其他行使中華人民共和國合同法第 286 條規(guī)定的優(yōu)先受償權(quán)的情形;5、甲方應(yīng)當如實向乙方提供項目轉(zhuǎn)讓時現(xiàn)狀情況;6 、 甲方應(yīng)按本協(xié)議第 4 條第 1 款約定及時向乙方提供許可證件和法律文件,并積極協(xié)助乙方向有關(guān)部門辦理相關(guān)轉(zhuǎn)移手續(xù);7 、 甲方應(yīng)對本協(xié)議任何一方有關(guān)事宜保密, 并不得將甲方在與乙方商談項目轉(zhuǎn)讓的過程中及以后在履行本協(xié)議的過程中所獲取乙方任何商業(yè)秘密(資料)泄露(包括故意或過失)給與本協(xié)議無關(guān)的任何其它方或個人,除非商業(yè)秘密(資料)已正當?shù)貫楣娝ぁ? 、甲方應(yīng)按本協(xié)議約定履行其他義務(wù).第十條乙方責任1 、乙方保

10、證有資格受讓項目,并有能力繼續(xù)開發(fā)建設(shè)本協(xié)議項目;2、乙方應(yīng)當按本協(xié)議第五條的約定向乙方支付項目轉(zhuǎn)讓費;3、乙方應(yīng)當按本協(xié)議第五條的約定向乙方支付項目利潤分成;4、乙方應(yīng)積極協(xié)助甲方處理項目轉(zhuǎn)讓前所簽訂的協(xié)議事宜;5、乙方保證履行甲方已按本協(xié)議第八條處理的后由乙方履行的有關(guān)設(shè)計、施工、工程監(jiān)理、商品房預(yù)售等合同;6 、 乙方應(yīng)對本協(xié)議任何一方有關(guān)事宜保密, 并不得將乙方在與甲方商談項目轉(zhuǎn)讓的過程中及以后在履行本協(xié)議的過程中所獲取甲方任何商業(yè)秘密(資料)泄露(包括故意或過失)給與本協(xié)議無關(guān)的任何其它方或個人,除非商業(yè)秘密(資料)已正當?shù)貫楣娝ぃ?、甲方應(yīng)按本協(xié)議約定履行其他義務(wù)。第十一條違

11、約責任1 、甲方違約責任( 1 )甲方若沒有資格轉(zhuǎn)讓項目或項目不符合法定轉(zhuǎn)讓條件,而乙方不知曉或不可能知曉的,致使本協(xié)議無效時,乙方應(yīng)向甲方賠償項目轉(zhuǎn)讓費的%若乙方實際損失超過此賠償額時,超過部分甲方應(yīng)據(jù)實賠償。( 2 )甲方未按本協(xié)議第四條約定按時向乙方轉(zhuǎn)交有關(guān)證件的或甲方未按本協(xié)議第九條第 1 款至第 5 款的義務(wù)(有一款即可)時,視為甲方根本違約,乙方有權(quán)解除協(xié)議,甲方退還乙方全部已付費用,并按項目轉(zhuǎn)讓費的綱乙方支付違約金,若乙方實際損失超過此違約金時,超過部分甲方應(yīng)據(jù)實賠償。(3)甲方?jīng)]有第()款的根本違約情況下,而未按本協(xié)議第九條第6款至第8款履行其義務(wù)時,甲方應(yīng)向乙方支付違約金元。

12、2、乙方違約責任( 1 ) 乙方若沒有法定資質(zhì)受讓項目而甲方不知曉或不可能知曉, 而致使本協(xié)議無效時, 乙方應(yīng)向甲方賠償項目轉(zhuǎn)讓費的 %若甲方實際損失超過此賠償額時,超過部分乙方應(yīng) 據(jù)實賠償 ;( 2 )乙方未按本協(xié)議第五條約定按期如數(shù)向甲方支付項目轉(zhuǎn)讓費,每逾期一日按項目轉(zhuǎn)讓費用的萬分之乙乙支付違約金。若逾期超過30 日,甲方有權(quán)解除協(xié)議,罰沒定金。同時, 乙方再按已付項目轉(zhuǎn)讓費的乙乙%向甲方賠償。若甲方實際損失超過此兩項賠償費用時,超過部分乙方仍須據(jù)實賠償。( 3) 未履行本協(xié)議約定的其他義務(wù)時, 甲方應(yīng)向乙方支付違約金乙乙乙乙乙乙萬元 (小 寫:¥元)。第十二條不可抗力不可抗力

13、指不能預(yù)見,不能避免并不能克服的客觀情況,包括因國家政策的變動、城市規(guī)劃的更改等。由于不可抗力的原因,致使直接影響本協(xié)議的履行或者不能按條件履行時,應(yīng)書面通知對方,并在15 日內(nèi)提供事故詳情及協(xié)議不能履行或者部分不能履行, 或者需要延遲履行的理由的有效證明文件,此項證明文件應(yīng)由事故發(fā)生地區(qū)的權(quán)力機關(guān)或公證機構(gòu)出具。按其對履行需要影響的程度,由雙方協(xié)商解決是否需要或部分免除履行需要的責任或延期履行的協(xié)議。第十三條法律適用本協(xié)議的訂立、效力、解釋、履行和爭議的解決,適用中華人民共和國的法律。第十四條爭議的解決因執(zhí)行協(xié)議所發(fā)生的或與本協(xié)議有關(guān)的一切爭議,雙方應(yīng)友好協(xié)商解決。如協(xié)商不能解決,雙方同意按

14、以下第方式解決。1 、向項目所在地人民法院起訴2、向 仲裁委員會申請仲裁。第十五條協(xié)議文字本協(xié)議文本采用中方。本協(xié)議正本三份,甲乙雙方各持一份,另一份由甲乙雙方共同報 房地產(chǎn)管理部門備案。第十六條協(xié)議生效及其它本協(xié)議自甲、乙方雙方簽字、蓋章后,經(jīng)政府審批機關(guān)批準后生效。本協(xié)議未盡事宜,甲、乙雙方另行簽訂補充協(xié)議。補充協(xié)議具有本協(xié)議同等法律效力。第十七條協(xié)議附件附件包括與本協(xié)議相關(guān)的協(xié)議,附圖、附表、交接手續(xù)等,是本協(xié)議不可分割的組成部分。附件一:規(guī)劃拴樁紅線圖附件二:在建構(gòu)筑物及其附屬設(shè)施等附件三:項目開發(fā)建設(shè)現(xiàn)狀附件四:項目轉(zhuǎn)讓后需由乙方繼續(xù)履行的協(xié)議細目甲方:住所:法定代表人:委托代理人:
